Governing Document
Hays Travel Foundation is a company limited by guarantee, and is govert*d by tb Memorandum and ArtKles of
Association dated 16 Decefflber 2014. It is a ￿gIStered charity with the Charity Commission.
Appointment of Trustses
The first Trustees were appointed by John and Irene Hays. Subsequert Trustees are elected by the memb8rs or
Co-opted by the Board of Tnjstees. Trustees must be members of the charitable company 8nd one third of the
Board of TnBlees must relire each year. A retiring Trustee who is eligiNe may be reappointed. All Trustees were
re￿leCted lo remain part ofthe Board of Trustees for the next year.

The Trustees have been chosen based on the skills they have to Off￿ io ensure development of the Charity's
activities. New Trustees have an induction prrgrawnme lo brief them on their 12gal oblwJations under charity and

Organisation
The Board of Trustees administers the Chaiity and is responsible forthe strategicditection and policy Df the Charity.
Risk Management
There is no fo￿al risk assessmenl arKJ managemenl, however. the Truslees discussand reviewcertain risks posed
to Ihe Charity which include= .
Financial survfvat)iliry- This risk is mibgated wdl due to the support of Hays Travel Limited. Trnslees
regularly Teview the financial posilion and results of the Charity and manage their funds appropriately.
Misappropriation of funds. This is deemed to be negligible due fo tight controls over the Chariws funds.
Regular rewew of the financi￿ pw.lion and results would also hKJhlighi any discrepancies in the Charity
funds.
Related parties
Darne Irene Hays and Ken Campling are Trustees on the Board of Trustees. are also directors of Hays Travel
Limited. Dame Irene Hays is the majottty shareholder in Hay5 Travel Limiled. Hays Travei Lmrted is a major donor

ObjeGtlves and activitigs
Hays Travel Foundation was incorporated in December 2014. John and Irene Hays set upthe Foundation follo￿ng
35 years in ihe travel industry, where they have enjoyed plawng a large rDle in kelping and being part of the local
communities wheTe Hays Travel branches are IC￿ted. The Foundation was set up with the gim lo build on the
charitable activities of Hays Travel. The charity aims to woth with organisatKins that support local people, to help
them achieve their potential and improve their quality of lrfe. The FoUndat￿n would like to create opportunitses for
young ￿ople. and support th8m to atheve th￿r goals. whether this is their health. spott art or edurAtion.
With the maprity of fij￿11ng being d(wJated from Hays Travel Limited. the slaff at Hays Travel are also encouraged
to fundraise throughout the year. The webslte has played a major role in atlowing local charities to apply for ftjnding.
The Board meets qLtarteTly to review applicats.ons and approve grants which they believe are aligned with the aims
of the Foundation.

charity.
AchIev￿nents and perfomiance
Hays Travel Foundation has approved numerous grants this year up to a lotai of £468,872. The trustees have
strwed to support as many tharitable ￿USeS as possible.
In terms of donations over £7.500 the followng projects were awarded have an aggregated value of £130,667:

The Trustees have refeTred to the guidance contained in the Charity Commission's general guidan￿ on public
benefit when reviewing its aims and objectives and in planning its cuThent and future adivities. In particular, the
Trustees have considered how planned athvities will contribute to the aims and otiectives they have set. including
those purposes as per its MemoTandurn and Articles ofAssociakion.

As there was limrf(ed invoivemenl and acbvity wrth the charity this year Hays Travel Limited have ctl(yJlgted £Nil
costs (2024: £Nil) for donated services. being employee time S￿nI carrying out Foundation objectives.
A further donab'on of £8.475 (2024: £5.577) was received from Inlrepid Travel and £Nil (2024.. £11,28n were
receNed from a GoFundMe campaign. JustGiving and other direct c0ntrFb￿￿ns.
Grants to the value of £468,872 were awarded this year (2024.. £337,555)
In relation lo resources expended there was a govemarKe Cost of £Nh {2024.' £Nil) and ther8 was a net deficit in
the year of £81,288 (2024.. Income of £59,559).

The principal furKling of the Foundation in the period was donations from Hays Travel Limited.
Reserves pollcy
