Hay8 Travel Foundation is a company limited by guarantee, and is govemed by ils Memorandum and Articles of
Association dated 16 December 2014. It 18 a registered charity with Ihe Charily Commission.
Appolntmont of Tru8ts88
The first Tru5tee8 were appolnled by John and Irene Hays. Subsequent Trustees are 6lecled by the member5 or
co-opt8d by the Board of Trustees. Trustge5 must bo members of the charitablè company and on8 third of the
Board of Tru8te8s must retire each year. A retirlng Trustee who 15 eligible rnay be reappointed. All Trustees were
re-ele¢t8d to remain part of the Board of Trustees for the next year.
Trustee inductlon and tralnlng
The Trustees have b8en chosen based on the Bki118 they have lo offer lo ensure development of the Charily'8
8Ctiviti88. New Trustees have an induction programme lo brief them on their legal obligations under charily and
company law including our corporale induction. As part of their induction new Trustees are provided with an
information pack that Includes.. the Late81 fin8ncial information., and Coples of our Memorandum and Artlcles of
Association.

The Board of Twstee8 administers the Charlty and is responslble for the slrategic dlrection and policy of the Charity,
Rlsk Management
There 18 no forrnal risk assessment and management, however, the Trustees discuss and reviaw certain risks posed
lo the Charity which include..
Financial $urvivability. Th5s rlsk 18 mitigated well due lo the support of Hays Travel Limited. Trustees
regularly review the financial p081tion and results of the Charity and manage their funds appropriately.
Misapproprlation of funds. This 18 dèemed to be negllgible due lo light conlTols over the Charity's fund5.
Regular review of the financial position and results would also highlight any discrepancies in the Charity

Dame Irene Hays and Ken C8mpllng are Trusle&s on the Board of Truetees, are also directors of Hays Travel
Limited. Dame Irene Hay5 is the majorily shareholder in Hays Travel Limited. Hays Travel Limited is a major donor

Objective8 and a¢tlvltles
Hays Travel Foundation was incorporated In December 2014. John and Irgne Hays set up the Foundation following
35 yeais In the travel industry, where th8y have enjoyed playin[ a large role in helping and being part of the local
communltl&s where Hays Travel branches are located. The Foundation was sel up with the aim to build on thè
chgritable aGlivitl8s of Hays Travel. The charity aim8 lo work with organisations Ihat support local people, to help
Ihem achieve their potential and improve their quality of life. Th8 Foundation would like lo create opportunities for
young people, and support them to achieve their goals, wh8ther Ihi8 Is their hèalth, sport, art or educalion.
Wth the majority of funding being donated from Hays Travel Limited, the staff al Hays Trav81 are also encouraged
lo fundraise throughout the year, The website ha8 played a major role in allowing local charities lo apply for funding.
The Board meets quarterly to review applications and approve granls whSch they believe are aligned with the aims
of the Foundallon.

Hays Travel Foundation has approved numerous grants this year up to 8 total of £337,556 of which £9,858 was
received from just giving from Hays Travel branch fundraising &v8nts. The tru818es have strived to support as many
charitable cau8e8 as po88ible.

The Trustees have referred lo the guldance contained in the Charily Comrnission's general guidanGe on publi¢
benefit when reviewlng its alms and objeGtlves and in plannlng its ¢urrent and future activities. In particular, the
Tru8te8s havè considered how planned activllies wlll contribute to the alms and objectives they have set, Includlng
those purposes as per Ils Memorandum and Articles of Association.

The charlty receSved £380,25012023: £150,000) in monetsry donations from Hays Travel Limited in 2024.
As ther8 was limited Involvernent and adlvlly wlth the charity this year Hays Travel Lirniled have calculaled £Nil
costs {2023: £NII) for donated setvices, being employee time spent carrying out Foundation objedives.
In relallon lo resources expended there was a govern8nce Cost of £Nil (2023.. £Nil) and there was a n81 income in
the year of £59,559 (2Q23'. deficit of £134,288).

Reseryes policy
The Trustees will continue to apply the unrestricted fund to the Foundation's oblactives. Th8re Is no intention lo

income for Ihis period is £397,114 (2023.. £1 $8,858>.
Plans for future year8
We anticipate further funding from Hays Travel In the next financial year. We intend to in¢rea8e the grants mad8 in
the year, a8 much as possible, to help those whose ¢harilable activities contributs to the aims of the Foundation.
We have conlinued to receive applications for funding, whiGh will be reviewed by the trustees in due course.
