## **Structure, Governance and Management** 

## Governing Document 

Teesmouth Field Centre is a Charitable Incorporated Organisation governed by its constitution. 

## Recruitment and appointment of the Board of Trustees 

The trustees are appointed to serve for three years. Initially trustees were appointed for a di�erent period of time, so all do not retire at the same time. The board of trustees may co-opt new trustees whose appointment must be ratified by existing trustees. 

## Trustee induction and training 

New trustees are briefed on their legal obligations under charity law. They are provided with a copy of the constitution and the most recent accounts, as well as up to date management information. 

## Risk management 

The trustees monitor progress against budget and objectives and review their strategic objectives at their regular meetings. They also review the risks faced by the charity and implement strategies to mitigate those risks. 

## Organisational structure 

The trustees are responsible for administering the charity and for its strategic direction. 

## Related parties 

The charity does not have any related parties other than trustees and their immediate families.

## **Objectives, activities, achievement and performance** 

Teesmouth Field Centre (TFC) continues to provide a programme of indoor and outdoor educational activities related to the environment. For Primary School classes, changes in the National Curriculum mean that all pupils will need to become aware of the causes and e�ects of climate change. This is relevant in the Tees estuary where flood defences built of waste slag decades ago, can be seen, together with the newer flood defences constructed of clay and mud barriers, to combat sea level rise. The opportunity to realign tidal channels and create new intertidal habitats will mean a biodiversity gain over time. This has led TFC to develop two new study options in the past year ‘Protecting our Seashore Habitats’ and ‘The Tees Coastline – Climate Change and Sea Defences’. Ten school classes have followed one of these new options in the 2025-26 year. A few school groups have combined a tour of the Hartlepool Nuclear Power Station with a Field Centre session looking at sea defences. 

The established study options of ‘River Tees – source to mouth’ and ‘Rock Science’ have continued to attract bookings year on year from Primary School teachers with very positive responses. Teesside University students and two groups of A level Biology students have once again used the area for sand dune transect work and population studies. Adult groups from Leeds RSPB and Warrington U3A have visited TFC too and enjoyed the wildlife seen in the often wet and windy open green spaces of Teesmouth. There were 104 group bookings in the year April 2025 - March 2026, bringing  3,088 Primary School pupils with accompanying adults, 153 older students and 45 adults in recreational groups. In total there were 3,286 visitors to TFC and the Teesmouth National Nature Reserve. 

## 

The Field Centre functions via bookings only, usually made by email. It does not have an open door policy due to its location within the Visitor Centre of Hartlepool Nuclear Power Station that imposes certain site regulations. The TFC website and teacher to teacher recommendations, plus limited advertising to schools, all lead to bookings. Some funders ask that part of their grant should cover the usual £3 per pupil charge. This is particularly important to schools in disadvantaged urban areas. Ten school classes have benefitted in this way from Environment Agency funding in the current year. Each school still has to meet the coach cost for the day. Most schools within the Tees Valley region are around 30 minutes drive or less to the Field Centre. This provides opportunities for a class to experience a daywith-a-di�erence at the coast, just the natural environment, the wildlife and some industrial heritage. Direct observation is much more valuable than looking at a screen, for all ages.

## **Governance** 

The Trustees had formal meetings in June, September and October 2025 and January 2026, with discussion and decisions recorded in the Minutes. Alan Dixon and Julie Mason were re-appointed as Trustees for 2025-28, Ann Oxley was reappointed as Chair of the Trustees. The accountants Gresham & Gale provided payroll services and completed the preparation and examination of the April 2024March 2025 TFC Annual Accounts for submission to the Charity Commission. Bentley Telecom has continued to provide internet access and is being paid monthly. The usual matters regarding bookings, visitor numbers and policy reviews have all been considered. The two members of sta� are consulted about working hours each year. Both wish to work part-time, term-time, with additional days in the summer months. Insurance cover for Employer Liability, Public Liability and equipment is via an Aviva policy, arranged through Marsh Commercial Ltd, with the cost increasing year by year. The renewal this year was subject to questions regarding safeguarding, risk assessments and assurance that TFC sta� were not involved in Power Station Tours. 

## **Funding** 

The Trustees are always grateful for all donations, grants and sponsorship and express their thanks when opportunities arise. The main sponsor of the Field Centre is EDF Nuclear Generation Ltd which provides TFC accommodation, services and some financial support towards salaries. The Defra/Environment Agency Stronger Shores Community Fund grant of £4,350 for ‘Protecting Our Seashore Habitats’ has been used to provide 8 project days and covered the TFC admission charges for the Primary School classes to visit Teesmouth, each for a full day. The Defra/Environment Agency Tees Tidelands Youth Engagement programme has provided £2,500 in funds to develop the new project ‘The Tees Coastline – Climate change and Sea defences’. This will continue to be o�ered to schools until March 2027. Cleveland Scientific Institution have granted TFC £2,500 to support the ‘Rock Science 2026-2027’ project for ten Primary School classes. Two other bids to Charitable Trusts were unsuccessful. It was decided to maintain the charges for educational bookings at the same level as in the past three years, £3 per Primary School pupil and £4 per head for older students. 

## **Reserves Policy** 

At the 31[st] March 2026 the Charity held designated funds of £10,000 to cover potential statutory redundancy costs. It is policy to hold one year’s running costs in reserve. There were restricted reserves of £2,500 associated with one project that had not begun by the end of this reporting year. There were uncommitted reserves (free reserves) of £36,678. Free reserves are those unrestricted reserves which are not designated or tied up in fixed assets. The bank balance will be reviewed by the Trustees at the end of each financial year in respect of what new funding applications should be submitted.

## **The Coming Year** 

Annual sta� contracts are in place and signed for 2026-27. There have been no changes in sta�ing. The Field Centre is totally reliant on Clare Gubbins and Clare Shakespeare-Watts to deliver the programme of study options and administer all the bookings, invoices and reports as required. They will continue to work three days a week in term-time, with six additional days, all flexible to suit bookings and subject to the availability of the Field Centre premises.

They are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

## **Independent Examiner’s Report to the Trustees of Teesmouth Field Centre** 

I report on the accounts of the charity for the year ended 31[st] March 2026 which are set out in pages 8 to 14. 

## **Responsibilities and basis of report** 

As the charity’s trustees you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (“the Act”). 

I report in respect of the examination of the charity’s accounts carried out under section 145 of the Act and in carrying out my examination I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act. 

## **Independent examiner’s statement** 

connection with the examination giving me cause to believe that in any material respect: 

1. accounting records were not kept in respect of the charity as required by section 130 of the Act; or 

2. the accounts do not accord with those records; or 

3. the accounts do not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than the requirement that the accounts give a “true and fair view” which is not a matter considered as part of an independent examination. 

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

## 1. **ACCOUNTING POLICIES** 

## a) **Basis of Preparation** 

accordance with FRS 102 The Financial Reporting Standard applicable in the UK and Republic of Ireland, the Charities Act 2011 and follow the recommendations in Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts with FRS 102. 

- b) Donations and legacies are received by way of donations and gifts and are included in full in the Statement of Financial Activities when receivable. The value of services provided by volunteers has not been included. 

- c) Statement of Financial Activities in the year in which they are receivable. 

- d) Expenditure is recognised in the period in which it is incurred. Expenditure includes attributable VAT which cannot be recovered and is allocated to the particular activity to which it relates. 

- e) Unrestricted funds are donated and other incoming resources receivable or generated for the objects of the charity and are available as general funds or designated funds; 

   - General funds represent unrestricted funds available for general work of the charity at the discretion of the trustees. 

   - Designated funds represent unrestricted funds which have been designated by the charity for a specific purpose. The designated funds in these accounts are set aside for any future potential redundancy costs.
