The Trustees confirm that the annual report and financial statements of the Society Comp￿ with curient Statutory requirements and the requirements of the Society's goveming document. The Society aL80 operates under the name Olley Show. STRUCTURE. GOVERNANCE AND MANAGEMENT CONSTITUTION The principal object of the Society is lo arrange and Stage the annual Otley Show {founded in 1796). The society is governed by the Ruke8 of the Society, adopted in 2015 and is registered with the Charity CommbSSKsn for England and Wales no. 1161008. The Charity is 8 charitsble incorporated organisats'on. METHOD OF APPOINTMENT OR ELECTION OF TRUSTEES Al each AGM one third of the Trustees shall retire by rot81ion. There must be at least three and not more than six ele¢ted Charity Trustees. The vacancies may be filled by the decision of the members at the AGM. Any vacancy not filled al the AGM may be filled a5 follows= The members or tha Charity Trustees may at any time decided lo appoint a new Charty Trustee whether in place of a retired Trustee or one who has been removed, or as an additional Trustee. ORGANISATIONAL STRUCTURE AND DECISION MAKING The management of the Charity is the responsibi5ty of the Trustees. Inveslment Pollcy and Perforniance The Society has invested part of ils surplus funds in approved Charity Investments. The balance of funds is held on bank deposits. The Trustees feel that the perfomiance is satisfactory. FINANCIAL REVIEW Reserves Policy The SocEty holds accumulated funds in a General Fund. This is held for unrestricted use for the Society's purposes al the discretion of the TnJstees and the Execulwe Committee. STATEMENT OF TRUSTEES. RESPONSIBILITIES The Trustees are responsible for preparing the Annual report and the financial statements In accordan￿ with applicabLg law and regulations. Charity law require8 the Trustees to prepare financial statements for each financial year. Under that law the Trustees have elected to prepare the financial statements in accordance with United Kingdom Generally Accepted Accounting Practice Iunited Kingdom Aceounling Standards and applicable lawl. The financial statements are required by law to give a true and fair view of the slate of affairs of the Society and of the surplus or deficit of tho Society for that period.
