The Trust is governed by its trust deed dated 28 January 2015.
Governance of the Trust
The year under review is the sevenlh operating and aeeounting period of the Trust during which the
Trustees met to review the Trust's Fol¢cies and prccedures.

Recruitment and training of Trustees
Trustees are appointed by a ￿SOlutIOn ofthe e￿sting Trustees. New Trustees are appointed lo provide
the skilL8 identified as being necessary for the good govemance of the Trust. The Trustees are aware
of their responsibilities under charity law and have the Charity Governance Code available to review.11

In prewous years the activities of the Tw5t have been of ￿lativelY small value and an informal approach
has been taken. A5 a result of the donation lo Gresham's the Trustees have pul together a fomial
register which is revithved and maintsined by Ihe Trustees on regular tAsis.

Systems have been established lo mitigate those risks and procedures implemented lo minimise any
potential impact on the Trust should any of those risks maleriali$e. The principal risks include..
Loss of key benefactors:
The Trust has sufficient reserves to fiJnd planned a¢tivities. Funding is reviewed fully befo
committing lo any new donation.
Reputatlonal damage:
The James and Deirdre Dyson Trusl team work closety with the Dyson communications team,
Weybourne leadership and a charity lawyer. ensuring Charity Commission guidance is followed
on all projects.
Loss of confidential information;
The James and Deirdre Dyson Trust is fulty supported by the Weyboume ITteam. and therefore
benefits from the same cyber security policies and procedures.
Fraudulent activity.
The James and Deirdre Dyson Trust is fulty supported by the Weyboume finance team, and
therefore benefils from the same financial eonlrols and seeulllies such as segmenl81ion of
duties and formal delegated authority protocds.
Flnanclal risk management
Price risk
Price risk is negligible as financk41 inslrumenls are limited lo cash and cash equivalents.
Credlt rlsk
Credit risk on amounts owed lo the Trust is as its principal source of funds is donations from the
Trustees.
Liquidity risk
The Trust matches commitments lo ils credttors with the expected timing of cash receipts in fespecl of
donalions from ils trustees. The trustees have undertaken lo provide funds lo the Trust lo meet ils
liquidity requirements.
Interest rate and cash now risk
The Trust places surplus lunds on short temi deposit with EFG and Lloyds Bank.
Objectlves and actlvities
The Truslees confimi that they have complied with their duty in Section 17 of the Charities Act 201110
have due regard to public benefit guidance published by the Charity Commission for England and
Wales.

of the Trust's health objectives", £46,141 was in resped of the Trust's arts, cutture, heritage or s¢ien¢e.
Education and Sport objectwes. In 2020 the Trust made a grant lo Gre$ham's School of £18.75m of
which £12.348,629 was paid in 2021. The Gresh8m's prciect was completed in 2021.
The James and Deirdre Oyson Trust has also made a numberofsvJnifKantdonations in 2021. including
to Cure E81£14.gSOI and Screw Cancer {£5.750).

and with Lloyds Bank lo meet short tern requirements.
Reserves
The Trust does not receive any donations. grants and other souros of fundrdising where restrictions
are imposed that are narrower than the Trust's overall objectives. Reserves are maintained al a level
sufficient lo fund commitrnenls for the following twefve months and this is reviewed annually.
Future furKling will be wholty derived from direct donalions by Sir James and Lady Dyson. and as such
the Trustees can ensure continuation. The Tnjstees have revie4¥ed the impact of the Cowd-19
pandemic and are confident Ihal the WO￿ of the Trust can continue and thal despite the current
circumstance the Trustees believe Ihat the charity's financial resources arKf contingency planning is

By focusing on these areas the Trustees achieve their strategic prioribes of education. training and
research. The Charity had no fundraising activities requiring disclosure under S162A of the Charities
Act.

The Truslees are responsible for preparing the Trustees. Annual Report and the financial slalemenls in
accordance with applieable law and Unile(l Kingdom Generally A¢￿PIed A￿O￿nting Practice (United
Kingdom Accounting Standards).

These financial slalemenls have been prepared in accordance with Accounting and Reporting by
Charities.. Slalemenl of Recommended Practice applicable to charities preparing their accounts in
accordance with the Financial Reporting Standard applicable in the UK and Republ￿ of Ireland {FRS
1021 leffeclive l January 2019 - (Charilies SORP IFRS 10211, Ihe Financial Reporting Standard
applicable in the UK and Republic of IreL8nd IFRS 1021 Companies Act 2006 and Charities Act 2011.
The Trust meets the definrtion of a public benefit entity under FRS 102. Assets and liabilities are initially
recognised at historical cost or transaction value unless otherwise slated in the relevant accounting
policies.
Going concern
After making enquiries. the Trustees have a reasonable expectalion that the Charity has adequale
resources lo continue tts activities for the foreseeable (uture and there are no material uncertainties
aboLtI the Charity's ability to continue. Accordingty, they continue to adopt the going concern basis in
preparing Ihe finanual slalemenls as outlined in the Trustees. responsibililies statement on page 5.
The Trust's fixed costs are not significant and as a general polw significant reserves are not
maintained. since reguL4r funding is provided by direct donations from Sir James and Lady Dyson.
The Trustees do not Consider the Covid-19 pandemic to have had any significant impact on the Charity's
operalion as future funding will be wholly deiNed from direct donalions by the Sir James and Lady
Dyson. and as such the Trustees can ensure conlinualion. The Twsl also has sufficient tunds lo meet
rts commitments for the next 12 months from the date of approval of these financial slalemenl5.
Income from donatlons
Donations are fecognised on re￿ipt. Donated seTrices and gocKls have been recognised at their fair
value lo the Trust al the point of donation.
Income from Investments

Resources expended
All expenditure is accounted for on an accwals basis and ha5 been classified under headings that
aggregate all c0515 related lo the category. Where costs cannot be diredy attributed lo particular

jud9ements or estimates. used Ihe fairvalue al the point of the donatvJn. The value ofgocAs purchased
from Dyson James GTOUP Limrted have been uplifted from cost lo retsil value.
Liabililies afe reccgnised as soon as there is a legal or constructive obligation committing the charity to
the expenditure. The Gresham's grant is deerrtd to be a ¢￿strUCtive obligal*)n and therefore the
mmilment was recognised in full in 2019.
Fund accounting
General funds are unrestricted funds which a￿ available for use at the diseretion of the Trustees in
furtherance of the general objectives of the Tntst and which have nol been designated for other
purposes.
Investment incorne and gains are allocated to the appropriate fund.
