## **TRUSTEES ANNUAL REPORT** 

The trustees who are also directors of the charity for the purposes of the Companies Act 2006 , present their report and the financial statements of the charity for the year ended 31st December 2019. The Trustees have adopted the provisions of Accounting and reporting by Charities: Statement of Recommended practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS I 02) (effective I January 2019). 

## **GOVERNING DOCUMENT** 

Made With Hope Limited is a charitable company limited by guarantee, incorporated on 15[th] April 2014 and registered as a charity  on 25th February 2015.  The company was established under a Memorandum of Association which established the objects and powers of the charitable company and is governed under its Articles of Association. 

## **AIMS AND OBJECTIVES** 

Made With Hope believes every child, especially girls, living in rural Tanzania should have access to quality education to break the cycle of living in poverty. We empower these children through constructing or renovating schools, teacher training and resources, constructing toilets and providing access to clean water, hygiene and sanitation. 

## We aim to 

- Partner with communities and their schools to address the issues the ir children face when trying to get a quality education 

- Provide sustainable educational facilities in rural Tanzania including primary and secondary schools. 

- Use educational facilities as a base to offer health and wellbeing projects to support children in their ability to attend school consistently throughout the academic year 

- Empower small local Tanzanian NGOs that understand their communities needs and enable them to create solutions to the problems they see. 

- Maintain a high level of transparency and uphold our strong values to develop and promote an ethical way of running a charity. 

## **About the school communities we partner with** 

- No or limited access to clean water 

- Children have to walk long distances to school 

- School classrooms are very overcrowded - up to 100 students to I teacher 

- Hygiene facilities and practices are poor 

- There is no or limited support for girls who are menstruating 

- Toilets are incredibly unsanitary, dangerous and not suitable for use 

- Teachers are stressed with the poor learning environment 

- Each school only receives £15 a month for maintenance 

BUT...the school community is engaged and we work in collaboration to improve their school so their children are empowered to learn!

## **AIMS AND OBJECTIVES (CONT)** 

## **Always working** in **partnership** 

We are working alongside Tanzanian organisations, the Tanzania n government, Tanzanian schools and rural communities to identify schools in the greatest need of our support. We have visited several schools with Tanzanian Government Education Officers and have f01med partnerships with five communities/schools to work with. 

Although we focus on empowering children through education, we seek to work alongside communities and empower them too, by engaging them throughout our projects. With any project, community members are engaged through several community workshops so we can explore the best solutions for their children, together. We discuss and agree on a partnership that will have the biggest impact. From our experience, working alongside the community encourages ownership of a project to ensure its sustainability. 

We work alongside communities for several years to ensure projects are sustainable before we consider leaving that community. 

## **Our Delivery Partner** 

We work in partnership with local people who truly understand their community's needs. Since 2013 we have successfully collaborated with CHETI, a small Tanzanian NGO (Non-Government Organisation), who have been providing quality education to 8,000+ children in rural communities since 1997. CHETI are deeply embedded in the local community and highly regarded by the government which is just one of the reasons why our projects are so successful and sustainable. CHETI help to deliver the projects on the ground as they have such a good relationship with the communities. We speak every day and Made With Hope visit the projects twice a year to support  monitoring and finding new projects. 

" I started CHETI NGO in order to reach and help more poor people in Tanzania in eradicating poverty through education. I work with Made With Hope for CHETI NGO and Made With Hope do have many similar objectives. Our cooperation makes the NGOs stronger for we support each other in finding happiness to poor families. ## **Our Values** 

- Collaborative: We do this through collaborating with local Tanzanian NGOs to address the specific educational needs of children in their community. 

- Transparency: We see it as a fundamental right that every supporter knows exactly where every penny their money is spent. * 

- Empower: We know that education is a fundamental way to empower a child to break the cycle of living in extreme poverty. 

- Purpose: We have an awareness and social conscience that millions of people live in extreme poverty through no fault of their own and we desire to take action as global citizens. 

## Dedicated to Transparency. 

Public trust in charities is going down. The main reason for this is lack of transparency. (Charity Commission report, 2018) 

One of Made With Hope's first ever aims was to create an organisation where people felt like they knew where their money was going. When we first started, we struggled to understand why charities seemed so shiny and perfect. No one was talking about their mistakes or lessons teamed. We knew this didn't add up because the public were struggling to trust charities and news stor ies would appear about charities mistakes. Here is how we' re tackling this issue. 

- We clearly publish our mistakes and lessons learned on our website. See our Transparency web page. 

- We frequently share our receipts online 

- We invite supporters to challenge our transparency 

- We show how we spend donors' money in detail that is reader friendly

## **TRUSTEES** 

Any person can be admitted as a trustee of the charity providing all other trustees give their approval. 

## **REVIEW OF DEVELOPMENTS, ACTIVITIES AND ACHIEVEMENTS Our impact in 2020** 

- Renovated 2 classrooms at Mshikamano primary school to provide conducive learning environment that facilitates quality education for 110 children 

- Constructed 5 hand washing stations in five government schools (Mshikamano, Mzimuni, Maweni, Marurani and Majimoto in Arusha region to aid in preventing the spread of COVID and other diseases. 

- Water for over 1,600 children by installing 21 rainwater harvesting tanks in 3 schools (Mshikamano, Maweni and CHETI primary school in rural Arusha. 

- Formed a partnership with Femme International and worked together to empower 353 girls in 5 schools by implementing the Menstrual Hygiene Management as part of MWH’s girl’s empowerment project. 

- Constructed 9 girls’ friendly toilets and 1 changing room at Mshikamano primary school in rural Arusha. 

- Strengthened the relationship with Tanzania Government (Education department) 

- Created a strong relationship with 5 rural communities who volunteered to provide at least 10% of the labour for the construction projects at their local school. 

## **Our goals for 2021** 

- Construct 4 new classrooms, installation of 8 water tanks and connect rainwater harvesting system and construction of girl’s friendly toilet with 10 cubicles and 1 changing room at Marurani primary school to provide quality education to 416 children. 

- Install 8 water tanks at Mzimuni primary school to increase access to clean and safe water for over 626 children. 

- Add 4 more water tanks at Maweni primary school to increase the amount of water preserved by school. 

- Add 4 more government schools on the list of our partner schools to implement our school water, sanitation and hygiene project (SWASH) for more than 1000 children. 

- By 2021, we will strengthen our partnership with the Tanzanian government to make sure all projects we deliver have permits from the government and reserve enough support from them. 

- Partner with more local organizations in Tanzania to smoothen the delivery of our programs. 

- Increase our Menstrual Hygiene Management programme in our partner schools to help hundreds more girls stay in school when they’re on their period. 

## **Fundraising and Operational Highlights** 

We started 2020 off well and had raised substantial amounts of funding through Trusts and Foundations and donations. In late March, COVID was becoming a pandemic in the UK and our fundraising almost ceased overnight; individuals were nervous to spend their money in case they lost their job, and a lot of Trusts and Foundations diverted their attention to UK causes. Our planned events had to be cancelled and we were unsure if we were going to survive as an organisation, like many other charities. 

It was a tough year for us operationally. We had to furlough our only paid staff member to then not renew her contract due to lack of funding and our Director went on maternity leave in October. Some of our Trustees resigned due to other commitments in these uncertain times but still remain advisors to the charity. Our Chair took on a lot more responsibility and helped to run the charity, bring in donations and manage our existing volunteers. 

We have had to scale back on quite a few projects and plans but we have taken this time to reflect on our goals and achievements and are thankful that the charity is in a very healthy state. We are confident that in 2021 we will be able to gain some normality back for MWH and continue our success in rural Tanzania.

The company continues to support the poor communities in Tanzania. 

## **FINANCIAL REVIEW** 

The full results for the period and the charity's financial position are shown in the attached financial statements and the adequacy of the reserves is set out below. 

## **RISK** 

As a relatively new charity we are seeking professional pro bono help regarding organisation development, corporate and trust and foundations fundraising to ensure we comply with the Charity Commission and our projects are sustainable. The Trustees have a duty to identify and review the risks to which the charity is exposed. The trustees also maintain a risk register which is updated regularly. 

## **RESERVES POLICY** 

The charity endeavors to maintain it' s unrestricted reserves at a level sufficient to cover its out goings for six months and to close the charity down or wind it up if needed. 

## **TRUSTEES' RESPONSIBILITIES** 

The Trustees (who are also the directors of Made With Hope Limited) for the purposes of company law) are responsible for preparing the Trustees' Annual Report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice). 

Company law requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charitable company at the end of the year and of the incoming resources and application of resources for the year then ended. 

In preparing those financial statements, the trustees are required to: - 

- select suitable accounting policies and then apply them consistently. 

- make judgements and estimates that are reasonable and prudent. 

- Observe the methods and principals in the Charities SORP. 

- state whether applicable accounting standards and statements of recommended practice have been followed, subject to any material departures disclosed in the financial statements. 

- prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charity will continue its activities. 

The trustees are responsible for keeping proper accounting records which disclose, with reasonable accuracy at any time, the financial position of the charity, and enable them to ensure that the financial statements comply with the Companies Act 2006. The trustees are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud or other irregularities.

## **INDEPENDENT EXAMINER'S REPORT TO THE TRUSTEES OF MADE WITH HOPE FOR THE YEAR ENDED 31ST DECEMBER 2020** 

I report on the accounts of the company for the year ended 31st December 2020, which are set out on pages 9 to 16. 

**Respective responsibilities of trustees and examiner.** The trustees (who are also the directors of the company for the purposes of company law) are responsible for the preparation of the accounts. The trustees consider that an audit is not required for this year under section 144(2) of the Charities Act 2011 (the 2011 Act) and that an independent examination is needed. 

Having satisfied myself that the charity is not subject to audit under company law and is eligible for independent examination, it is my responsibility to: 

- examine the accounts under section 145 of the 2011 Act. 

- to follow the procedures laid down in the general Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act: and 

- to state whether matters have come to my attention. 

**Basis of independent examiner's report.** My examination was carried out in accordance with the general Directions given by the Charity Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts and seeking explanations from you as trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit and consequently no opinion is given as to whether the accounts present a 'true and fair view' and the report is limited to those matters set out in the statement below. 

**Independent examiner's statement** I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe: - 

- I. Accounting records were not kept in respect of the company as required by Section 386 of the 2006 Act: or 

2. the accounts do not accord with those records: or 

3. the accounts do not comply with the accounting requirement of Section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination: or

For the year ended 31st December 2020 the charitable company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies. 

The members have not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006. 

The trustees acknowledge their responsibilities for 

- ensuring that the charitable company keeps accounting records that comply with Section 387 of the Companies Act 2006 and 

- preparing financial statements which give a true and fair view of the state of affairs of the charitable company as at the end of each financial year and its surplus or deficit for each financial year in accordance with the requirement of Sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the charitable company.

## **1. ACCOUNTING POLICIES** 

The principal accounting policies adopted, judgements and key sources of estimation uncertainty in the preparation of the financial statements are as follows: - 

## **Basis of preparation** 

The financial statements have been prepared in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing accounts in accordance with Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS102) (effective 1 January 2019) - (Charities SORP (FRS I02)), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRSI02) and the Companies Act 2006. 

## **Financial reporting standard 102** - **reduced disclosure exemptions** 

The charity has taken exemption from preparing a cash flow statement under the charities SORP (FRS102 Update Bulletin I issued on 2 February 2016, as the charity constitutes a small charity. 

## **Income and Endowments** 

Donations and similar incoming resources are included in the period in which they are receivable, which is when the charity becomes entitled to the resource. 

## **Investment income** 

Investment income is accounted for in the period in which the charity is entitled to receipt. 

## **Expenditure** 

Expenditure is recognised on an accruals basis as a liability is incurred. 

Costs of raising funds comprise those costs directly attributable to raising funds  for the charity. Expenditure on charitable activities comprises those costs incurred by the charity in the delivery of its activities and services to enable the charity to meet its charitable aims and objectives. It includes both costs that can be allocated directly to such activities and those of an indirect nature necessary to support them. 

Support costs have been calculated based on the payments made from the operational bank account which is separate from the public donations bank account. 

## **Fund accounting** 

Unrestricted funds are donations and other incoming resources receivable or generated for the objects of the charity without further specified purpose and are available as genera l funds. 

Designated funds are unrestricted funds earmarked by the trustees for particular purposes. Restricted funds are to be used for specific purposes as laid down by the donor. 

## **Fixed assets** 

All fixed assets are initially recorded at cost. Assets with a value of less than £200 are not capitalised. 

## **Taxation** 

The company is a registered charity and as such is exempt from Income Tax and Corporation Tax under the provision of the Income and Corporation Taxes Act 1988.

## **4. SUPPORT COSTS** 

The charity also has a number of costs that are incurred by the organisation in order to support the projects that it runs. For example HR for our policies and procedures, Trustee meetings. Wages and salaries have been apportioned based on the time spent by our staff member on these different activities (approximately 75% on charitable activities, 25% on fundraising). The cost of our Wages and salaries is covered by a corporate donor that has invested in our capacity as a small but growing charity.
