The trustees, who are directors for the purposes of company law, present the annual report together with the financial statements of the charitable company for the year ended 30 June 2025.

The charity name

The legal name of the charity is:- ORA CHOIR

The charity is also known by its operating name, ORA Singers and ORA

The charity is registered in England & Wales with the Charity Commission in England & Wales (CCEW) with charity number 1160228

Legal structure of the charity

The charity is constituted as a company limited by guarantee, registered under the Companies Acts . The governing document of the charity is the Memorandum and Articles of Association establishing the company under company legislation.

There are no restrictions in the governing documents on the operation of the Charity or on its investment powers other than those imposed by Charity Law.

By operation of law all trustees are directors under the Companies Act 2006 and all directors are trustees under Charities legislation and have responsibilities, as such, under both company and charity legislation.

The trustees are all individuals.

Objects and activities of the charity

The purposes of the charity as set out in its governing document:

To advance, improve, develop and maintain public education and appreciation of the arts, in particular choral music, by the presentation of concerts and recordings, the commissioning of composers and the support of young musicians.

The main activities undertaken in relation to those purposes during the year include:

Concerts and Recordings:

The 2024-25 financial year was a busy period for ORA Singers, with highlights including our ensemble debuts at Wigmore Hall in London and The Stoller Hall in Manchester, record breaking sales for our self-promoted Classic Christmas with Stephen Fry at St Clement Danes, an appearance at the prestigious Thüringer Bachwochen in Erfurt, Germany, and the premiere of our Songs of Angels programme at St Martin-in-the-Fields which will go on to be recorded and released as our 11th album.

On 16 May 2025 ORA Singers also performed a special Gala Concert at the Town Church in St. Helier as part of the Liberation International Music Festival. To mark Jersey Liberation 80, we devised a bespoke programme that featured the world premiere of a new work by Pawel Lukaszewski, reflecting Prayer in the Time of Distress by theologian and anti-Nazi dissident Dietrich Bonhoeffer, and culminated in Francis Poulenc’s Liberté from Figure Humaine - an iconic and rarely performed choral work written during the occupation of France and premiered in London in 1945. Suzi Digby also delivered a series of inspirational choral workshops at schools across Jersey as part of ORA’s visit, aiming to inspire the younger generation through the power of singing.

The Young Composers’ Final Concert returned to the Three Choirs Festival, taking place in the majestic setting of Worcester Cathedral on 2 August 2024. We also launched our Graduate Composers scheme for five early-career composers, culminating in a showcase at the Dora Stoutzker Concert Hall in Cardiff in September 2024.

Commissions & Premieres:

During FY 2024-25, ORA Singers gave a remarkable 16 world premieres at venues nationwide. This included the first five Graduate Composer commissions, which will be included in ORA’s ‘100 Commissions’ catalogue.

In a wonderful full-circle moment, we commissioned our first alumni of the Young Composers’ Scheme in 2025 and aspire to support more former participants pursuing composition as a career. Emily Pedersen, who took part in 2019 and returned as an adjudicator in 2023, went on to study at the Royal Northern College of Music and is now pursuing her Masters degree as a scholar at the Guildhall School of Music & Drama. She has had her music published by Faber, worked with groups such as the BBC Singers and Hallé, and written her first chamber opera. We engaged her to write a contemporary reflection of Lassus’ Omnes de Saba, which received its premiere as part of a concert at The Stoller Hall in Manchester on 29 April 2025.

We extend our congratulations to these five early-career composers who were commissioned following a competitive application process with only a 10% success rate. We anticipate they have exciting careers ahead of them and will follow their progress with great anticipation.

Support of Young Musicians:

Each year, ORA Singers’ Young Composers Scheme provides a comprehensive overview of the elements surrounding choral composition to 50 students from non-fee paying schools from across the country. This year, the Young Composers’ final works received their premiere on the largest stage of the world’s longest running music festival. Held in the nave of Worcester Cathedral as part of the Three Choirs Festival in August 2024, we welcomed more than 150 members of the public to this concert – including friends and families of our Young Composers. An expert Panel of Adjudicators made up of Paul Mealor, Cecilia McDowall and Nathan James Dearden had the unenviable task of choosing a Winner. Our congratulations to Annabel Baxter, whose work Spring took home this year’s prize. In a first, we re-performed this work at The Stoller Hall in Manchester on 29 April 2025 as part of one of our regular concert programmes.

ORA Singers inaugural Graduate Composers’ Showcase also reached its conclusion in FY 2024-25, with a performance at the Royal Welsh College of Music & Drama. We launched this programme to plug the gap between our pioneering Young Composers' Scheme and our groundbreaking ‘100 Commissions’ project. Five composers were selected to take part, receiving a commission to write a Renaissance reflection for ORA’s full complement of 18 singers. Each of these composers displayed an impressive level of skill, musicality and promise in their applications. Their brief was to respond to one of three Renaissance works in their own interpretation, writing a piece lasting around 4 minutes for an ensemble of 18 singers. Each responded in distinct and innovative ways, resulting in a series of highly original works.

The sixth Young Composers Scheme and second Graduate Composers Scheme were launched in December 2024, forming a carefully considered Composers Pathway which has become an annual feature of our artistic programme.

Short Summary:

This financial year was another successful one for ORA, with an increased programme of concerts and continued progress towards our stated aim of commissioning 100 new works in 10 years. ORA continues to employ a wide range of professional singers, composers, mentors, workshop leaders, recording engineers and engages with amateur musicians and audiences across all age groups.

Financial Position:

We were able to maintain our official reserve, and we would like to thank all our supporters who enabled us to continue our work in this financial year.

I report to the charity trustees on my examination of the financial statements of Ora Choir for the year ended 30 June 2025.

Responsibilities and basis of report

As the charity's trustees of the company (and also its directors for the purposes of company law) you are responsible for the preparation of the financial statements in accordance with the requirements of the Companies Act 2006 ('the 2006 Act.

Having satisfied myself that the financial statements of the Charity are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's financial statements as carried out under section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5) (b) of the 2011 Act.

Independent examiner's statement

As the charity's gross income exceeded £250,000 your examiner must be a member of a body listed in section 145 of the 2011 Act. I confirm that I am qualified to undertake the examination because I am a member of FCCA, which is one of the listed bodies.

Basis of preparation

The financial statements have been prepared in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2015) - (Charities SORP (FRS 102)), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) and the Companies Act 2006.

Change in basis of accounting or to previous accounts

There has been no change to the accounting policies (valuation rules and method of accounting) since last year and no changes have been made to accounts for previous years.

Fund accounting

Unrestricted funds These are available for use at the discretion of the trustees in furtherance of the general objects of the charity. Designated funds These are unrestricted funds earmarked by the trustees for particular purposes. Revaluation funds These are unrestricted funds which include a revaluation reserve representing the restatement of investment assets at their market values. Restricted funds These are available for use subject to restrictions imposed by the donor or through terms of an appeal.

Income Recognition of Income is included in the Statement of Financial Activities (SoFA) when the charity income becomes entitled to, and virtually certain to receive, the income and the amount of the income can be measured with sufficient reliability. Expenditure

Recognition of Expenditure is recognised on an accruals basis. Expenditure includes any VAT which expenditure cannot be fully recovered, and is reported as part of the expenditure to which it relates. Taxation

The charity is exempt from corporation tax on its charitable activities.

Trade and other debtors

Trade and other debtors are recognised at the settlement amount due after any trade discount offered. Prepayments are valued at the amount prepaid net of any trade discounts due.

Cash and cash equivalents

Cash and cash equivalents comprise cash at bank and on hand, demand deposits with banks and other short-term highly liquid investments with original maturities of three months or less and bank overdrafts. In the statement of financial position, bank overdrafts are shown within borrowings or current liabilities. In the Statement of Cash Flows, cash and cash equivalents are shown net of bank overdrafts that are repayable on demand and form an integral part of the company's cash management.

Trade and other creditors

Short term creditors are measured at the transaction price. Other creditors and provisions are recognised where the charity has a present obligation resulting from a past event that will probably result in the transfer of funds to a third party and the amount due to settle the obligation can be measured or estimated reliably. Creditors and provisions are normally recognised at their settlement amount after allowing for any trade discounts due.

Pension costs

The charity operates a defined contribution plan for its employees. A defined contribution plan is a pension plan under which the company pays fixed contributions into a separate entity. Once the contributions have been paid the company has no further payments obligations. The contributions are recognised as expenses when they fall due. Amounts not paid are shown in accruals in the balance sheet. The assets of the plan are held separately from the company in independently administered funds.

Receipt of donated goods, facilities and services

All donated goods, facilities and services received are recognised within incoming resources and expenditure at an estimate of the value to the charity.

The company is a private company limited by guarantee and consequently does not have share capital.
