Trustees' Report
The trustees present the annual report together with the financial statements of the charity for the year ended 31 August 2021.
Objectives and activities
Objects and aims
The objects of the CIO are the advancement of education for the benefit of the public by the promotion of literature, language and the arts in particular through a book of literature festival in Derby and such other activities as the charity trustees shall from time to time determine.
Public benefit
The public benefit provided by the Charity include:

promoting artistic appreciation
-
bringing a diverse and high quality range of authors and artists to Derby audiences.
The beneficiaries are all members of the public and access is enabled as follows:
-
through concessionary ticket schemes
-
all areas of the festival are wheelchair accessible.
The trustees confirm that they have complied with the requirements of section 17 of the Charities Act 2011 to have due regard to the public benefit guidance published by the Charity Commission for England and Wales.

Achievements and performance
In 2021 we delivered our first in-person Festival since autumn 2019 having been forced to cancel our 2020 Festivals (spring and autumn) due to the pandemic, although we were able to hold one event in October 2020 for children with our partner venue Deda.
Despite the cancellations, the Festival continued to make plans for a hybrid Festival in 2021 and maintained partnerships, which have remained strong and productive.
Having acquired experience of live streaming and recorded events, our 2021 Festival included these as well as an in-person programme of around 50 events. Due to the on-going situation with COVID, we could not be confident we could deliver in-person events but ultimately our venues opened 10 days before the Festival was programmed to start and we were able to deliver these. We had reduced capacity in venues and stringent health and safety requirements in place. Audiences were inevitably reluctant to return to in-person events and ticket sales were significantly lower than 2019 levels and we were forced to cancel 12 events.
We also started planning our Autumn 2021 Festival.
Despite all of the challenges, the 2021 Festival successes include:

Our first hybrid Festival including in-person, live streamed, recorded and virtual only events
-
Our first Digital Pass which included 28 of which were available as live streams and recordings – 68 were sold
-
Management of online ticket sales through the Festival website for the first time
-
Management of book sales for all events through our Gardner’s account, following Waterstones’ decision that they
-
could not support this
-
Training of dedicated retail volunteers in addition to event volunteers
-
A programme of outdoor family events in the city’s Parks in partnership with Derby City Council
-
Expansion of venues outside the city centre taking the Festival into local communities eg. Darley Abbey Village
-
Hall

Our Children’s Picture Book Award (Y2&3) was held for the 3rd year with 29 books submitted by publishers & 3
-
books
shortlisted for judging by children. The winner was Sophy Henn’s All Kinds of Families.

Sophy Henn and Sita Brahmachari joined us for 2 virtual Meet the Author events for Derby & Derbyshire primary
-
schools (8430 pupils).

Our Shared Reading project continued online & in-person for some groups with new groups set up.
-
Our Shared Writing project continued with a new book, Life On Hold, produced with young refugees & asylum
-
seekers sharing their experiences of lockdown.
Financial review
Reserves at 31 August 2021 totalled £30,223. This falls witihn the range agreed by the trustees.

Risk Review
The Trustees have examined the major internal and external risks which the charity faces and confirm that systems and procedures are in place to mitigate exposure to major risks.
Structure, governance and management
Nature of governing document
Derby Book Festival is a Charitable Incorporated Organisation (CIO), which was registered with the Charity Commission on 5 January 2015. Its governing document is a constitution dated 3 September 2014.
Membership
The members of the CIO are its Trustees.
In the event of the Charity being wound up members have no liability to contribute to its assets and no personal liability for settling its debts and liabilities.
Recruitment and appointment of trustees
The constitution provides for the appointment of a minimum of three and a maximum of twleve trustees. Trustees are appointed by resolution at a meeting of the Trustees. All Trustees are appointed to serve for a period of three years. In selecting individuals for appointment as appointed charity trustees, the charity Trustees must have regard to the skills, knowledge and experience needed for the effective administration of the CIO.
Induction and training of trustees
When a new Trustee is appointed they are provided with a pack which contains:

a copy of the CIO constitution;
-
a copy of the most recent Annual Report and Accounts;
-
copy Minutes of previous Trustees' Meetings;
-
a copy of the Charity Commission Guidance 'The Essential Trustee' and 'Charities and Public Benefit'.

Statement of Trustees' Responsibilities
The trustees are responsible for preparing the trustees' report and the financial statements in accordance with the United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice) and applicable law and regulations.
The law applicable to charities requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charity and of the incoming resources and application of resources of the charity for that period. In preparing these financial statements, the trustees are required to:
-
select suitable accounting policies and then apply them consistently;
-
observe the methods and principles in the Charities SORP;
-
make judgements and estimates that are reasonable and prudent;
-
state whether applicable accounting standards have been followed, subject to any material departures disclosed and explained in the financial statements; and
-
prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charity will continue in business.
The trustees are responsible for keeping proper accounting records that disclose with reasonable accuracy at any time the financial position of the charity and enable them to ensure that the financial statements comply with the Charities Act 2011, the applicable Charities (Accounts and Reports) Regulations, and the provisions of the constitution. The trustees are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

Independent Examiner's Report to the trustees of Derby Book Festival
I report to the trustees on my examination of the accounts of Derby Book Festival for the year ended 31 August 2021.
Responsibilities and basis of report
As the charity trustees of Derby Book Festival you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (‘the Act’).
I report in respect of my examination of the Derby Book Festival's accounts carried out under section 145 of the 2011 Act and in carrying out my examination I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.
Independent examiner’s statement
I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:
-
accounting records were not kept in respect of Derby Book Festival as required by section 130 of the Act; or
-
the accounts do not accord with those records; or
-
the accounts do not comply with the accounting requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a ‘true and fair view' which is not a matter considered as part of an independent examination.
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

1 Accounting policies
Statement of compliance
The financial statements have been prepared in accordance with the second edition of the Charities Statement of Recommended Practice issued in October 2019, the Financial Reporting Standard applicable in the United Kingdom and Republic of Ireland (FRS 102) and the Charities Act 2011.
Basis of preparation
Derby Book Festival meets the definition of a public benefit entity under FRS 102. The accounts (financial statements) have been prepared under the historical cost convention with items recognised at cost or transaction value unless otherwise stated in the relevant note(s) to these accounts.
Going concern
The trustees consider that there are no material uncertainties about the charity's ability to continue as a going concern.
Income and endowments
All income is included in the statement of financial activities when the charity has entitlement to the income, certainty of receipt and the amount can be measured with sufficient reliability.
Donated services or facilities, which comprise donated services, are included in income at valuation which is an estimate of the financial cost borne by the donor where the cost is quantifiable and measurable.
Expenditure
All expenditure is recognised once there is a legal or constructive obligation to that expenditure, it is probable settlement is required and the amount can be measured reliably. All expenditure is accounted for on an accruals basis are allocated to the applicable expenditure heading that aggregate similar costs to that category. Expenditure is classified by activity.
Fund structure
Unrestricted income funds are general funds that are available for use at the trustees's discretion in furtherance of the objectives of the charity.
Legal Status of the Charity
The charity is a charitable incorporated organisation. In the event of the Charity being wound up members have no liability to contribute to its assets and no personal liability for settling its debts and liabilities.
