## **THE ASSOCIATIONOF FRIENDS OF THE CHURCH OF ENGLAND CHURCH OF ST MARY AND ST PETER TIDENHAM TRUSTEES ANNUAL REPORT YEAR ENDING 31 MARCH 2025** 

This is the annual report for the charity the Association of Friends of the church of England church of St Mary and St Peter Tidenham, charity number 1159658. 

The Charity registered address is: Chapel Cottage, Netherhope Lane, Tidenham, Chepstow, NP16 7JD.  Its name and registered number are above. 

The Trustees for the financial year ending the 31[st] March 2025 were:  Peter Gilchrist, Brian Ion Duerden, Sarah-Jane Gilchrist,  Oliver Hinton (stood down 11/24), Robert Adams (joined 11/24) and Marian Lillington. 

Structure, governance and management. 

1. The charity is governed by a written unincorporated constitution adopted on the 20[th] May 2014, approved by the Charity Commission, and managed by the Trustees who are appointed at the AGM and subject to re-election at the end of a three year period on a rotating basis.  The Trustees all undertake appropriate training in their duties and self awareness of the requirements to comply with the relevant charity law and good practice.  The Trustees meet several times a year to discuss and decide matters of business to further the objects of the charity. 

2. The objects of the charity are to help conserve, restore, maintain and upkeep the buildings, ground, fabric, furnishings and fittings of the Church of St Mary and St Peter Tidenham for the benefit of the community by the provision of funding and other activities and fostering public interest in the building, its fabric, grounds and history. 

Activities and Objectives in the Year 

3. A Faculty for the reordering of the North Aisle of the church was granted on the 27[th] October 2023.  Once granted grants were applied for to enable the works to be completed.  Preparatory work was started in May 2024 which entailed the removal of the pews in the North Aisle and creating ramps at the entrance of the church to improve access. 

4. The old boiler house was demolished and, under the supervision of an archaeologist, drains were laid through the churchyard to a new septic tank and water was brought in. 

5. Repairs were made to the roof to stop water ingress and a significant amount of re-plastering was completed.  Once finished the North Aisle and elements in the main body if the church which had been repaired were lime washed.  Once completed the structures in the West and East end of the North Aisle could be erected. 

6. At the West end a disabled toilet was inserted, a kitchenette created and a store/utility room where all the engineering could be accessed. 



7. In the East End a larger Vestry was created with a robing area and further storage.  A focal point was created using a section of an 1858 stained glass window which had been stored since 1926.  This was mounted in a LED light box and is stunning. 

8. All the work, including snagging, was complete on the 29[th] November 2024 which meant that the Annual Christmas Tree Festival could be held.  The project was Project Managed by the Chairman and all the tradesmen used were local who became invested in the project and the finished result is excellent and in keeping with the Grade II* listed category of the building. 

9. During the year supporting activities were run to continue to raise funds to support the activities of the Charity and additional funds were sought to provide heating in the North Aisle as a subsequent phase in 2025. 

## Public Benefit Statement 

10. Throughout the period of the financial year the Trustees have complied with their duty to have due regard to the guidance of public benefit published by the Charity Commission when exercising their powers or duties. 

## Financial Statement 

11. The financial statement for the year ending 31[st] March 2025 shows an income of £83442 , which included Grants of £40,000, donations of £24,692, Gift Aid of £4,975 and VAT refunds of £10,091.  Expenditure for the year of £201675 which was almost entirely the re-ordering of the North Aisle which left an operating deficit of £118233 which was in our plan for the year. 

12. There is no general reserve policy decided by the Trustees.

The Trustees of the Association of Friends of the Church of England Church of St Mary and St Peter Tidenham hold the following property on behalf of the Association: 

## **Land adjacent to the churchyard on the North-Eastern side** 

**Value  £87,912** (purchase price £9000 from Treasury Solicitors, July 2015; development costs 201519, £76,687 and £2,225 in 2021-22 for the final surfacing. The capitalised development costs include all costs incurred in developing the land as a car park after the purchase of the land excepting the initial legal fees of £546 relating to the purchase. This was agreed by the trustees in preparing the 2015-16 accounts. The costs do not include maintenance costs following initial development. ) 

Ownership of this property will be transferred to the Parochial Church Council when its development as a car park for the church has been completed. 

I have prepared these accounts based upon the income and expenditure records I have kept from 1 April 2023 to 31 March 2024. I acknowledge my responsibility for the accounts and for providing Mr Peter Cook with all the information and explanations necessary for their review and audit.

I have completed my examination of the accounts for the Friends of St Mary and St Peter, Tidenham 2024-2025 and I confirm that no matters have come to my attention in connection with the examination giving me cause to believe that in any material respect: 

1                 accounting records were not kept in respect of the trust as required by section 130 of the 2011 Act; or 

2                 the financial statements do not accord with those records; or 

3                 the financial statements do not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts & Reports) Regulations 2008 other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination. 

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the financial statements to be reached.
