The Trust is under the overall control of the Trustees.
There must be at least three charity trustees. The maximum number of charity trustees is 12. Every trustee must be appointed for a term of three years (for maximum three serving terms) by a resolution passed at a properly convened meeting of the charity trustees.
The Foundation has an open recruitment procedure for new Trustees who have the appropriate skills, knowledge and experience needed for the effective administration of the CIO. The procedures for the induction of new Trustees are set out in the Constitution.
Each trustee is also automatically a CIO member. Membership of the CIO cannot be transferred to anyone else.
The Trustees consider the board of Trustees to be the key management personnel in charge of directing and controlling the Trust.
As the charity is a Charitable Incorporated Organisation, on winding up or dissolution, the members of the Trust have no liability to contribute to its assets and no personal responsibility for settling its debts and liabilities. However, the members must take every step necessary to minimise the potential loss to the creditors. Subject to the payment of all the ClO's debts the remaining assets must be applied for charitable purposes the same as or similar to those of the CIO
All Trustees give their time freely and no trustee received remuneration during the year. The constitution allows the trustees to be compensated charity trustee is entitled to be reimbursed from the property of the CIO or may pay out of such property reasonable expenses properly incurred by him or her when acting on behalf of the CIO.
## **Section C Objectives and activities**
The object of the CIO is to promote, foster and maintain for the educational advancement and benefit of the public an appreciation of the **Summary of the objects of the** arts in general, with an emphasis on supporting and encouraging the **charity set out in its** creation of new musical works and performances, specifically but not **governing document** limited to the field of vocal chamber music.

The Trust supports composition and performance of new vocal chamber music. Every year the Trust supports a small number of works by composers in this field with concerts and performances of the pieces.
The Trust has commissioned 18 pieces since its inception.

Cuddigan Oliver Trust Award
The Cuddigan Oliver Trust offers a small number of composers awards each year.

The award supports composers to create new vocal chamber music works with concerts and performances of the pieces by top musicians in the field. Since its inception in 2014, over twelve new pieces have been commissioned.

## Section D Achievements and performance
**Summary of the main achievements of the charity during the year**
2024/25 was a year of consolidation for the Trust, following the death of the previous Chair, Sir Stephen Oliver, in early 2024 and the death of our founder, Anne Cuddigan, in October 2025. Donations in her memory to the Trust were suggested at her funeral.
During the year we organised a fundraising concert at Blackheath Concert Halls to celebrate the life of Sir Stephen Oliver and to showcase some of the commissions made by the Trust under his leadership.
We also held a fundraising concert at the home of our new chair, Paul Zisman, at which a recent Trust commission was performed.
Both concerts raised money for a future programme of commissions which will start bearing fruit in subsequent years.
A partnership was entered into with the London Sinfonietta to support the composition and performance of a newly commissioned work for 2026.
A surplus of £8,505 (2024: £605) in the year was added to the surplus brought forward of £16,584 (2024: £15,979) making a surplus carried forward of £25,089 (2024: £16,584).

## **Brief statement of the charity’s policy on reserves**
The charity’s unrestricted reserves are represented by cash in a bank account with Barclays Bank PLC.
Trustees believe that the foundation’s unrestricted cash reserves to cover all administrative and professional fees should be at least £3,000. Currently the reserves stand at £25,089. The trustees plan to grow the reserves to be able to support more composition and performance of new vocal chamber music.
