The trustees of St Peters Early Years have agreed to change our dissolution statement.
The reason for this is that we are no longer members of the Pre-school Learning Alliance and are
therefore no longer bound by their constitution. We have contacted them directly and they have
advised that we are to adopt a new constitution due to our membership lapsing- admentment I
On the advice given by the Charities Comission. as the setting itself has been closed for 20 months
and we will be closing the charity in the very near future we will not be adopting a new constitution,
just adapting our statement of dissolution.
We would like to change the following dissolution clause-
29. Voluntary winding up ordtssolution.

As we are no longer under the constution of the PLA we are no longer bound by having to gain their
permission to tranfer the funds to any particular setting l. nor to they themselves when we formallv
close the charity.
We would like to change the statement to that of being able to tranfer remaining assests to FRIENDS
OF FARNDON ST pEfER'S SCHOOL (Charity number: 10478611 The transferred assests are to be used
to fund and support their Foundation early years setting. The school is in the local area and children
that would have been able to attend the setting will attend the schools foundation pre school unit as

the remit of 'Early Year

Agenda - To find a way to divert funds to another charity and close the Charity.
Discussion
Di5olving and c105ing the charity itself.
KF- Our constitution was always with The Early Years Alliance,
however we navent renewed our memebership sinte AugL4Si
2021. EYA constitution stated that remaining monies were to be
donated to another charity run early years setting or to the EYA
themselve5.
KF emailed EYA to ask if we still bound by their constition due to
our membershio lapsing, they stated that due to the lapse we
would have to adopt a new constitution. Please see email
communication attached below.
Action
KF- To login and adapt the
dissolution clause on CC
MB- To ask JS to put together a
list of all charities in the village.
KF contarted the charities commission on the phone to ask howe
they would advise we proceed witout a constition as we will be
disolving the chairty imminently.
The advise was that as we are closing we wouldn't need to adopt
a new constition. To agree as a committee which Charities we
wish to donate the funds to as we were no longer bound by our
old constitution rules.
Once a decision has been made we were to login and to adapt our
dissolution documents highlighting that we no longer had
constituion and we not going to adopt a new one as we are
closing and that we were Intending to donate funds to another
charity.
KF- Would like the funds to stay in the village and some of the
funds to be donated to the local village school PTA as this has
charity status and supports all of the children that attend the
School.

RH- Would it be an idea to look at donating funds across the
village as a whole? Also some of the same committee are on the
PTA at the school so it may look more fairly spread.
MB- Sadty the Friends association do not have a charity statu5 SO
wouldn't be able to donate to them.
KF- Raised personal concerns that if the monies were spread out
then it may cause an resurgence in anger in the village as wa5
when the settir¢g itself went into the process of closing down.
MB- We can reconvene in a couple of weeks, this giving time to
find a list of all charities in the village and to have time to make a
detision on where to donate the monies to.

Agenda- To agree a way to divert funds to another charity and close the charity.
This meeting was rescheduled. due to an email from the CC that needed attendtion of the
ommittee prior to the meeting.
Discussion
KF- Last meeting action to adapt the disolution clause has been
completed.
KF- Write up and distribute these
minutes.
KF/GLIMB- Both in agreement that the email from CC was to
confirm that the committee as a whole were aware and in
agreement with the changes- all are in agreement.
GL- Confirmed that both herself and VBP will no longer be
atteftding any furhter meetings and that she feels that we need to
use this meeting as a final decision as to how we proceed with
actions putting in place in this meeting to resolve and agree to
dissolve. The remaining funds need to be donated so that we can
close as a matter of urgency. The setting closed nearly 2 years ago
now and this should have been closed down by now.
MB- JS has given a list of charities in the village -some no longer
tradin8.
KF- Felt that the list of charities included charitie5 for adultS-
such as WI/FREG/The Farndon Charity and strongly feels that the
funds should be kept for things that children directly attend as the
setting was a childrens setting it should go to places for the
children in the village.
GL- Feels that the swiftest way forward would be to donate the
lump sum to the Friends association at the local school to then

distribute the fund5 to the pre school unit. They would the use
the funds to support pre school aged children in the pre school
unit and would not only support those currently there, but
children who are not yet of age to be able to attend in the future.
VPB gave verbal agreement to GL of this prior to the meeting.
MB/GLIKFIVBP- In agreement to transfer the remaining funds to
St Peters Cross Keys Academy Friends Association, once
transferred MB will infrom CC of closure.
