TRUSTEES' REPORT (CONTINUED) FOR THE YEAR ENDED 31 MARCH 2025
Achievements and performance
a. Main achievements of the Charitable Company
Landscapes are central to people’s quality of life, identity, and wellbeing. In the spirit of the European Landscape Convention the Association holds that all landscapes matter, that people should be engaged in their stewardship, and that protection, management, and planning should be integrated across decision making. We strive for landscapes to contribute to thriving, resilient, inclusive, nature and culture rich places, where natural beauty represents the emotional expression of this connection to place. We aim to maximise our contribution and impact by being a respected and influential voice which draws on experience and evidence to make and influence national and regional policy. We try to shape debate and seek innovation, learning, and solutions. Embracing the complexity of landscape and the forces acting upon it, we seek to empower local teams to be properly invested in so that they may convene, enable, and deliver.
We appear set to endure a prolonged period of economic restraint and news dominated by division and conflict. All the more important then to hold high the clear truth that National Landscapes and the nature they nurture are life affirming and a powerful resource for wellbeing and potential mitigation of the current and future challenges our society and economy face.
While we have high expectations placed upon us; which we are more than willing to aspire to, resources constrain our ability to reach our potential. We have coped with a level funding settlement but this is sadly a far cry from the immediate doubling of funding recommended in the Glover Review over five years ago. The National Landscapes Association continues to remind Government at every opportunity of the nature, wellbeing and economic benefits National Landscapes deliver year in, year out both locally and at scale.
It is very disappointing and a blow to communities and dedicated campaigners that Natural England determined to halt the process of designation for the Cheshire Sandstone Ridge and extension of the Chilterns National Landscape. This is in response to funding pressure on Natural England. It is however, reassuring that at the same time Natural England publicly committed to continue the designation for the Yorkshire Wolds and extension of the Surrey Hills National Landscape.
We adopted “Welcome: National Landscapes Strategy 2025-31” which was an opportunity to clarify our vision and mission; to reset our ambitions in light of our rebrand to National Landscapes Association. The vision of ‘beautiful landscapes where nature and people thrive together’ is supported by a clear mission to ‘lead and champion activity, working with National Landscapes, to protect and restore the UK’s most outstanding landscapes and make sure everyone can enjoy them’. We have three strategic ambitions on people, place and partnerships which serve to ensure alignment of effort with our charitable objects in ways that are easy to understand. Organisational values of ambitions, empowering, collaborative and inclusive guide our behaviours. Together, the refreshed strategy and values support decision making on organisational design and work planning.
A key focus of effort is working with governments, their associated agencies, and nongovernmental bodies to promote the conservation and enhancement of natural beauty .
The 75th anniversary of the National Parks and Access to the Countryside Act was marked in December 2024; with the Government declaring its support for the designations and an intent to strengthen their purposes and governance. We developed advocacy priorities in support of the strengthening to ambition and delivery to inform government plans by hosting an event for all lead officers. No further details or timetable were offered by government in this reporting period.
Through our participation with the Protected Landscapes Partnership we have played a leading role in developing evidence based nature recovery ambitions. We continue to host Big Chalk, an ambitious partnership for landscape scale nature recovery across the south of England – some 20% of the total area of England. Our work aims to galvanise the partnerships across the area, in support of which we hosted a major conference to

develop nurture its shared endeavour. A proposal to run a major capital grants programme was successful, which will deliver during 2026. Work was undertaken to establish the pathway to scale the delivery and impact. Work started to introduce accredited climate literacy training for roll out in 2025 in support of climate adaptation plans.
Since the formal adoption of 30by30 (30% of terrestrial and marine area to be managed for nature by 2030) by the Convention on Biological Diversity (CBD), we inputted into Natural England and Defra on the criteria of what should and should not be included. We undertook analysis of the potential for National Landscapes to deliver a significant proportion of the target, setting out the policy and resource support which would be required. It’s clear that third party finance represents a huge opportunity for National Landscapes, and taking full advantage will require significant increases in capacity and knowledge. Our Nature Based Solutions team has rapidly built a portfolio of projects seeking funding in excess of £4 million, created the platform, Your Natural Parter, to showcase these opportunities and undertaken much advocacy, profile raising, and engagement with the corporate sector. Support has been provided to increase the level of knowledge and confidence with third party finance across the National Landscapes family.
Much work has also taken place to advance the education, understanding and appreciation of the public in relation to the conservation and enhancement of natural beauty . Our new outward facing name of National Landscapes continues to gain traction, a keystone in our effort to position National Landscapes as exemplars of how thriving, diverse communities can work with and for nature in the UK: restoring ecosystems, providing food, storing carbon to mitigate the effects of climate change, safeguarding against drought and flooding, whilst also nurturing people’s health and wellbeing.
"Nature Calling" our first national arts commissioning programme funded by Arts Council England presented an exciting new route of creativity for writers and artists of all disciplines. It is designed to amplify new voices and create innovative artwork in collaboration with communities close to National Landscapes. It delivered six new writing commissions from writers of all disciplines; from poetry and prose to rap. Six major arts projects were commissioned to deliver a season of events throughout 2026.
We joined a national consortium of youth and outdoor organisations to deliver the £4.5 million "Generation Green" programme through which participating National Landscapes have given 3,300 young people the opportunity to spend time within them including 900 residencies and 600 farm visits.
We enjoyed a record attendance of well over 200 participants at our annual conference, held at Harper Adams University. Under the title “Changing Landscapes: Changing Minds” we explored what role for natural beauty and landscape designation in ever-changing landscapes? What are the different ways of working and resilience needed if natural beauty is to prevail in the contested debate on the value and use of land and sea? The programme of speakers and visits were geared to arming attendees to better navigate the policy and personal responses to the twin crises of climate change and nature decline, and the unrelenting political pursuit of economic growth.
Our Chief Executive was included on the ENDS Report Power List for 2025 of the UK’s 100 most impactful environmental professionals.
b. Fundraising activities and income generation
Funds are generally raised through membership contribution and grants. The Association received a grant from Defra to explore and develop its approach to securing third party funding for landscape and nature. This has allowed for the appointment of two fixed term development roles which are classed as fundraisers.

Achievements and performance (continued)
c. Investment policy and performance
The Trust adopts a low risk policy, balancing security and access to funds with income generation.
Financial review
a. Going concern
After making appropriate enquiries, the Trustees have a reasonable expectation that the Charitable Company has adequate resources to continue in operational existence for the foreseeable future. For this reason, they continue to adopt the going concern basis in preparing the financial statements. Further details regarding the adoption of the going concern basis can be found in the accounting policies.
b. Reserves policy
At the 31st March 2025 there were total funds of £511,894 this compares to £576,504 at 31st March 2024. Restricted funds accounted for £184,731 of this balance (2024: £197,634). Free reserves are calculated as unrestricted funds, less any designated funds and fixed assets. The free reserves balance at the year end was a surplus of £327,163 (2024: £378,870).
Charity law requires any income received by a charity to be spent within a reasonable time of its receipt. The Trustees therefore have to be able to justify the holding of income as reserves. A reserves policy is also important in that it explains to existing and potential funders, donors and other stakeholders why a charity is holding a particular amount of reserves, thereby giving confidence that that charity's finances are being managed properly into the future.
The National Landscapes Association agrees a reserves policy annually which addresses these aspects in accord with Charity Commission guidance.
The Association aims to ensure that there are sufficient reserves to service its cash flow requirement, to tide it over periods when new fund raising is required, or to allow (if necessary) the Association to be dissolved while meeting its obligations to staff and creditors.
The Association aims to run annually a balanced budget, funding reserves from unrestricted income. Identifying funding for future purchases and activities should be normal matters for the reserves.
The Board adopted a reserve level for 2024/25 of £400,000 which represents an estimate of 6 months running costs.
c. Principal risks and uncertainties
The Trustees have assessed the major risks to which the Charity is exposed and are satisfied that, insofar as mitigation is possible, systems and procedures are in place to manage the exposure to those risks. The principal risks associated with the Charity are as follows:
-
Public sector environmental funding declines
-
Major partners withdraw from use of Association services (e.g. Defra)
-
Free reserves fall below target

INDEPENDENT AUDITORS' REPORT TO THE MEMBERS OF NATIONAL LANDSCAPES ASSOCIATION LTD
Opinion
We have audited the financial statements of National Landscapes Association Ltd (the 'charitable company') for the year ended 31 March 2025 which comprise the Statement of financial activities, the Balance sheet, the Statement of cash flows and the related notes, including a summary of significant accounting policies. The financial reporting framework that has been applied in their preparation is applicable law and United Kingdom Accounting Standards, including Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' (United Kingdom Generally Accepted Accounting Practice).
In our opinion the financial statements:
-
give a true and fair view of the state of the charitable company's affairs as at 31 March 2025 and of its incoming resources and application of resources, including its income and expenditure for the year then ended;
-
have been properly prepared in accordance with United Kingdom Generally Accepted Accounting Practice; and
-
have been prepared in accordance with the requirements of the Charities Act 2011.
Basis for opinion
We conducted our audit in accordance with International Standards on Auditing (UK) (ISAs (UK)) and applicable law. Our responsibilities under those standards are further described in the Auditors' responsibilities for the audit of the financial statements section of our report. We are independent of the charitable company in accordance with the ethical requirements that are relevant to our audit of the financial statements in the United Kingdom, including the Financial Reporting Council's Ethical Standard, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.
Conclusions relating to going concern
In auditing the financial statements, we have concluded that the Trustees' use of the going concern basis of accounting in the preparation of the financial statements is appropriate.
Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the charitable company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue.
Our responsibilities and the responsibilities of the Trustees with respect to going concern are described in the relevant sections of this report.

Other information
The other information comprises the information included in the Annual report other than the financial statements and our Auditors' report thereon. The Trustees are responsible for the other information contained within the Annual report. Our opinion on the financial statements does not cover the other information and, except to the extent otherwise explicitly stated in our report, we do not express any form of assurance conclusion thereon. Our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the course of the audit, or otherwise appears to be materially misstated. If we identify such material inconsistencies or apparent material misstatements, we are required to determine whether this gives rise to a material misstatement in the financial statements themselves. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report that fact.
We have nothing to report in this regard.
Matters on which we are required to report by exception
We have nothing to report in respect of the following matters where the Charities (Accounts and Reports) Regulations 2008 requires us to report to you if, in our opinion:
-
the information given in the Trustees' report is inconsistent in any material respect with the financial statements; or
-
sufficient accounting records have not been kept; or
-
the financial statements are not in agreement with the accounting records and returns; or
-
we have not received all the information and explanations we require for our audit.
Responsibilities of trustees
As explained more fully in the Trustees' responsibilities statement, the Trustees (who are also the directors of the charitable company for the purposes of company law) are responsible for the preparation of the financial statements and for being satisfied that they give a true and fair view, and for such internal control as the Trustees determine is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.
In preparing the financial statements, the Trustees are responsible for assessing the charitable company's ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the Trustees either intend to liquidate the charitable company or to cease operations, or have no realistic alternative but to do so.
Page 10
NATIONAL LANDSCAPES ASSOCIATION LTD (A company limited by guarantee)
INDEPENDENT AUDITORS' REPORT TO THE MEMBERS OF NATIONAL LANDSCAPES ASSOCIATION LTD (CONTINUED)
Auditors' responsibilities for the audit of the financial statements
We have been appointed as auditor under section 144 of the Charities Act 2011 and report in accordance with the Act and relevant regulations made or having effect thereunder.
Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an Auditors' report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs (UK) will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.
Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities, including fraud. The extent to which our procedures are capable of detecting irregularities, including fraud is detailed below:
-
We reviewed the susceptibility of the charitable company's financial statements to material misstatement and identified the principal risks, implementing a series of testing procedures to provide us with sufficient comfort to issue our opinion.
-
We reviewed the charitable company's regulatory environment to ensure we could conclude that it had acted in accordance with the framework relevant to the charitable company and its environment and identify any instances of non-compliance.
-
We also assessed the charitable company's internal control procedures to ensure that we could appropriately scrutinise these controls and establish whether our understanding of the control environment was sufficient to supplement our additional testing procedures.
-
The engagement team consisted of a team that the engagement partner believes is equipped with the relevant level of technical and charitable company awareness to carry out our work to the required standard.
Because of the inherent limitations of an audit, there is a risk that we will not detect all irregularities, including those leading to a material misstatement in the financial statements or non-compliance with regulation. This risk increases the more that compliance with a law or regulation is removed from the events and transactions reflected in the financial statements, as we will be less likely to become aware of instances of non-compliance. The risk is also greater regarding irregularities occurring due to fraud rather than error, as fraud involves intentional concealment, forgery, collusion, omission or misrepresentation.
A further description of our responsibilities for the audit of the financial statements is located on the Financial Reporting Council's website at: www.frc.org.uk/auditorsresponsibilities. This description forms part of our Auditors' report.

NOTES TO THE FINANCIAL STATEMENTS FOR THE YEAR ENDED 31 MARCH 2025
1. General information
The National Landscapes Association is a private limited company, limited by guarantee, with it's registered office at Belmont House, Shrewsbury Business Park, Shrewsbury, Shropshire SY2 6LG. It is incorporated in England and Wales.
The members of the company are the Trustees named on page 1. In the event of the company being wound up, the liability in respect of the guarantee is limited to £1 per member.
2. Accounting policies
2.1 Basis of preparation of financial statements
The financial statements have been prepared in accordance with the Charities SORP (FRS 102) - Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) and the Companies Act 2006.
National Landscapes Association Ltd meets the definition of a public benefit entity under FRS 102. Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy.
2.2 Going concern
After making enquiries, the Trustees have a reasonable expectation that the Charity has adequate resources to continue as a going concern for the foreseeable future. The Charity therefore continues to adopt the going concern basis in preparing its financial statements.
2.3 Income
All income is recognised once the Charitable Company has entitlement to the income, it is probable that the income will be received and the amount of income receivable can be measured reliably.
Grants are included in the Statement of financial activities on a receivable basis. The balance of income received for specific purposes but not expended during the period is shown in the relevant funds on the Balance sheet. Where income is received in advance of entitlement of receipt, its recognition is deferred and included in creditors as deferred income. Where entitlement occurs before income is received, the income is accrued.
2.4 Expenditure
Expenditure is recognised once there is a legal or constructive obligation to transfer economic benefit to a third party, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is classified by activity. The costs of each activity are made up of the total of direct costs and shared costs, including support costs involved in undertaking each activity. Direct costs attributable to a single activity are allocated directly to that activity. Shared costs which contribute to more than one activity and support costs which are not attributable to a single activity are apportioned between those activities on a basis consistent with the use of resources. Central staff costs are allocated on the basis of time spent, and depreciation charges allocated on the portion of the asset’s use.

2. Accounting policies (continued)
2.4 Expenditure (continued)
Expenditure on charitable activities is incurred on directly undertaking the activities which further the Charitable Company's objectives, as well as any associated support costs.
Grants payable are charged in the year when the offer is made except in those cases where the offer is conditional, such grants being recognised as expenditure when the conditions attaching are fulfilled. Grants offered subject to conditions which have not been met at the year end are noted as a commitment, but not accrued as expenditure.
All expenditure is inclusive of irrecoverable VAT.
2.5 Government grants
Government grants relating to tangible fixed assets are treated as deferred income and released to the Statement of financial activities upon the completion of the relevant performance-related conditions. Other grants that are not subject to performance-related conditions are credited to the Statement of financial activities as the grant proceeds are received. Grants received prior to the revenue recognition criteria being satisfied are recognised as a liability.
2.6 Interest receivable
Interest on funds held on deposit is included when receivable and the amount can be measured reliably by the Charitable Company; this is normally upon notification of the interest paid or payable by the institution with whom the funds are deposited.
2.7 Debtors
Trade and other debtors are recognised at the settlement amount after any trade discount offered. Prepayments are valued at the amount prepaid net of any trade discounts due.
2.8 Cash at bank and in hand
Cash at bank and in hand includes cash and short-term highly liquid investments with a short maturity of three months or less from the date of acquisition or opening of the deposit or similar account.
2.9 Liabilities and provisions
Liabilities are recognised when there is an obligation at the Balance sheet date as a result of a past event, it is probable that a transfer of economic benefit will be required in settlement, and the amount of the settlement can be estimated reliably.
Liabilities are recognised at the amount that the Charitable Company anticipates it will pay to settle the debt or the amount it has received as advanced payments for the goods or services it must provide.
Provisions are measured at the best estimate of the amounts required to settle the obligation. Where the effect of the time value of money is material, the provision is based on the present value of those amounts, discounted at the pre-tax discount rate that reflects the risks specific to the liability. The unwinding of the discount is recognised in the Statement of financial activities as a finance cost.

2.11 Pensions
The Charitable Company operates a defined contribution pension scheme and the pension charge represents the amounts payable by the Charitable Company to the fund in respect of the year. . The Charitable Company contributes to personal pension plans at a rate of 30% of the employees' salary.
