This year at Fallen Angels Dance Theatre we worked with Dr Samina Zahir from Hybrid Consultancy to develop FADT Theory of Change, and surveyed our participants about their workshop experience. The findings from the surveys told us:

This year at Spreading Wings assisting Paul whilst working towards a performance was an absolute honour. To feel trusted not only by Paul but the other Angels in giving them direction was an amazing experience. I felt true pride and a sense of self-worth. 

Claire and Paul did some outreach in the community and came along to a group I was involved in. I went along to a session at Storyhouse and didn’t leave. 

The first big project I was involved in was “Rituals” aka Tom Walker “I will leave the light on”. This project was so close to all our hearts it left a message of hope. 

I was able to complete the first unit of the OCN qualification in peer mentoring as well as start the second unit. This is something I thought I would struggle with as learning does not come easy to me. Claire really did an amazing job of sectioning out the learning in bitesize chunks and allowing time to do the assignments there and then. I also feel I have become more patient not only with Fallen Angels, but in my everyday life also. I feel like I truly belong and myself worth has increased also. I would like to take this opportunity to say thank to the National Lottery for their continued support. People like me would not get chances like this anywhere else. 

Being someone who had struggled with addiction and mental health Fallen Angels definitely felt like home. I can safely say that it has been a lifeline. I 100% agree that it works and helps many in recovery. You may ask yourself why? Well, you just have to look at the people who participate and hear their passion to believe. I also have very complex health conditions as well as being Autistic. Fallen Angels really is a lifeline.

*New ways of donating and fundraising saw the launch of ‘Guardian Angels’ and *Becca Lennard ran the 2021 London Marathon on behalf of FADT to successfully exceeded the £2k target. 

FADT emerged with renewed enthusiasm for our mission from the restrictions of the pandemic and 2021/22, which also marked our ten-year anniversary became a year of reassessment. 

*We deepened our commitment and connections which support recovery and mental well-being 

*We were delighted to welcome our first new patron Robert Fox, the Theatre, film and TV producer and two new members of staff, Maddie (learning and participation manager) and Jude (engagement worker) **Sue Davies – Chair** 

* Our participants and artists went back to live dance. 

*We met in person, to reconnect, share the same space and move as one group. 

*The “Transfiguration” Film series funded by Arts Council England supported our commitment to raising awareness and breaking down barriers to understanding addiction as well as receiving national and international critical acclaim.

## **Report of the Trustees for the year ended 31 March 2022** 

The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 31 March 2022. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019). 

## **OBJECTIVES AND ACTIVITIES** 

## **Objectives and aims** 

The objectives are to relieve the charitable needs of people who are suffering from, have suffered from or who have been affected by addiction through the performing arts, especially dance. 

The trustees confirm that they have referred to the guidance contained in the Charity Commission's general guidance on public benefit when reviewing the Charity's aims and objectives. 

## **ACHIEVEMENT AND PERFORMANCE** 

## **Charitable activities** 

2021/2022 was a year of ongoing development, challenges and achievements, as FADT continued to support those in recovery from addiction and mental health adversity. 

Starting to emerge from the restrictions of the pandemic, 2021/2022 became a year of reassessment. Redefining what was important, taking the opportunity to deepen our commitment and connections which support recovery and mental well-being and moving from remote online workshops to live dance. 

Participants desperately wanted to meet in person, reconnect, share the same space and move as one group. This was made possible by FADT delivering 145 workshops, staging 11 events and running two training programmes across the Northwest. Over 477,000 users were also reached by social media and web activity. 

Additionally, we supported our commitment to raising awareness and breaking down barriers to understanding about addiction with the development of three, 10-minute films entitled 'Transfiguration'. Working with a professional writer and film director to produce a series of defining and complex moments in the journey from addiction to recovery, the first film entitled 'I Fall' was launched in January 2022 to great acclaim. 

Developing new ways of donating and fundraising saw the launch of 'Guardian Angels' to support ongoing work and we are grateful to Becca Lennard who ran the 2021 London Marathon on behalf of FADT to successfully raise funds. 

A celebration event, for our tenth anniversary as a charity, was held in November, where we welcomed our first new patron Robert Fox, the Theatre, film and TV producer. Robert's genuine commitment, advice and support is much appreciated and valued. 

We also welcomed two new members of staff, Maddie (learning and participation manager) and Jude (engagement worker) providing much needed access to new participants and support for existing beneficiaries. Sadly, we said goodbye and thank you to one of our founding trustees, Mike Cunningham, who was instrumental in establishing FADT as a charity. 

Finally, none of this year's body of work could have been achieved without the dedication and creative enterprise of all the Staff and especially Paul and Claire. We are very grateful to the contribution of our funders, principally Arts Council England, our partners, notably Storyhouse, and for the ongoing commitment and support of the Trustees, all of whom are vital to the success of the company. 

In 2022/2023 we look forward to consolidating the organisation, building on new and existing partnerships, reaching a larger audience and widening the social impact of the work of FADT.

## **FINANCIAL REVIEW** 

## **Reserves policy** 

In accordance with its reserves policy, the trustees reviewed the organisations reserves policy during 2020/21 and will continue to retain at least three months operating expenditure in unrestricted reserves. The total unrestricted reserves as at 31 March 2022 was £29,650 (2021 unrestricted reserves were £35,043) which continues to meet the requirements of the reserves policy. The trustees will continue to review the reserve policy on an annual basis. 

## **STRUCTURE, GOVERNANCE AND MANAGEMENT** 

## **Governing document** 

The charity is a charitable company limited by guarantee and not having a share capital and, in accordance with Section 30 (2) of the Companies Act 1985, is exempt from the requirement to use the word 'limited' as part of its name.  It is governed by a Memorandum and Articles of Association. 

The charity was entered in the Central Register of Charities with effect from 15 August 2014 and accepted by HM Revenue & Customs as a Charity for tax purposes.

## **Independent examiner's report to the trustees of Fallen Angels Dance Theatre North West ('the Company')** 

I report to the charity trustees on my examination of the accounts of the Company for the year ended 31 March 2022. 

## **Responsibilities and basis of report** 

As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act'). 

Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5) (b) of the 2011 Act. 

## **Independent examiner's statement** 

Since your charity's gross income exceeded £250,000 your examiner must be a member of a listed body. I can confirm that I am qualified to undertake the examination because I am a registered member of FCA which is one of the listed bodies. 

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe: 

1. accounting records were not kept in respect of the Company as required by section 386 of the 2006 Act; or 

2. the accounts do not accord with those records; or 

3. the accounts do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or 

4. the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)). 

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

The charitable company is entitled to exemption from audit under Section 477 of the Companies Act 2006 for the year ended 31 March 2022. 

The members have not required the company to obtain an audit of its financial statements for the year ended 31 March 2022 in accordance with Section 476 of the Companies Act 2006. 

The trustees acknowledge their responsibilities for 

- (a) ensuring that the charitable company keeps accounting records that comply with Sections 386 and 387 of the Companies Act 2006 and 

- (b) preparing financial statements which give a true and fair view of the state of affairs of the charitable company as at the end of each financial year and of its surplus or deficit for each financial year in accordance with the requirements of Sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the charitable company. 

These financial statements have been prepared in accordance with the provisions applicable to charitable companies subject to the small companies regime.

## **1. GENERAL INFORMATION** 

The charity is a registered charity in England and Wales and is incorporated. The address of the principal office is 39 Toll Bar Road, Chester, CH3 5QU. 

There are no material uncertanties about the charity's ability to continue. 

The presentational currency of the financial statements is the Pound Sterling (£). 

The amounts in the financial statements have been rounded to the nearest £1. 

## **2. ACCOUNTING POLICIES** 

## **Basis of preparing the financial statements** 

The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention. 

## **Income** 

All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably. 

## **Expenditure** 

Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources. 

## **Tangible fixed assets** 

Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life. 

Computer equipment - 33% on cost 

## **Taxation** 

The charity is exempt from corporation tax on its charitable activities. 

## **Fund accounting** 

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees. 

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes. 

Further explanation of the nature and purpose of each fund is included in the notes to the financial statements. 

## **Pension costs and other post-retirement benefits** 

The charitable company operates a defined contribution pension scheme. Contributions payable to the charitable company's pension scheme are charged to the Statement of Financial Activities in the period to which they relate.

## **Financial instruments** 

Financial instruments are recognised when the company becomes party to the contractual provisions of the instrument. Basic financial assets, which include debtors, prepayments and bank balances, are initially measured at transaction price and are subsequently carried at cost unless the arrangement indicates otherwise and then the asset is measured at the present value of the future receipts discounted at a market rate of interest. Basic financial liabilities, which include creditors, accruals, bank loans and group borrowings, are initially recognised at transaction price and are subsequently carried at cost unless the arrangement indicates otherwise and then the liability is measured at the present value of the future obligations discounted at a market rate of interest.

## **Report of the Trustees for the year ended 31 March 2022** 

The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 31 March 2022. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019). 

## **OBJECTIVES AND ACTIVITIES** 

## **Objectives and aims** 

The objectives are to relieve the charitable needs of people who are suffering from, have suffered from or who have been affected by addiction through the performing arts, especially dance. 

The trustees confirm that they have referred to the guidance contained in the Charity Commission's general guidance on public benefit when reviewing the Charity's aims and objectives. 

## **ACHIEVEMENT AND PERFORMANCE** 

## **Charitable activities** 

2021/2022 was a year of ongoing development, challenges and achievements, as FADT continued to support those in recovery from addiction and mental health adversity. 

Starting to emerge from the restrictions of the pandemic, 2021/2022 became a year of reassessment. Redefining what was important, taking the opportunity to deepen our commitment and connections which support recovery and mental well-being and moving from remote online workshops to live dance. 

Participants desperately wanted to meet in person, reconnect, share the same space and move as one group. This was made possible by FADT delivering 145 workshops, staging 11 events and running two training programmes across the Northwest. Over 477,000 users were also reached by social media and web activity. 

Additionally, we supported our commitment to raising awareness and breaking down barriers to understanding about addiction with the development of three, 10-minute films entitled 'Transfiguration'. Working with a professional writer and film director to produce a series of defining and complex moments in the journey from addiction to recovery, the first film entitled 'I Fall' was launched in January 2022 to great acclaim. 

Developing new ways of donating and fundraising saw the launch of 'Guardian Angels' to support ongoing work and we are grateful to Becca Lennard who ran the 2021 London Marathon on behalf of FADT to successfully raise funds. 

A celebration event, for our tenth anniversary as a charity, was held in November, where we welcomed our first new patron Robert Fox, the Theatre, film and TV producer. Robert's genuine commitment, advice and support is much appreciated and valued. 

We also welcomed two new members of staff, Maddie (learning and participation manager) and Jude (engagement worker) providing much needed access to new participants and support for existing beneficiaries. Sadly, we said goodbye and thank you to one of our founding trustees, Mike Cunningham, who was instrumental in establishing FADT as a charity. 

Finally, none of this year's body of work could have been achieved without the dedication and creative enterprise of all the Staff and especially Paul and Claire. We are very grateful to the contribution of our funders, principally Arts Council England, our partners, notably Storyhouse, and for the ongoing commitment and support of the Trustees, all of whom are vital to the success of the company. 

In 2022/2023 we look forward to consolidating the organisation, building on new and existing partnerships, reaching a larger audience and widening the social impact of the work of FADT.

## **FINANCIAL REVIEW** 

## **Reserves policy** 

In accordance with its reserves policy, the trustees reviewed the organisations reserves policy during 2020/21 and will continue to retain at least three months operating expenditure in unrestricted reserves. The total unrestricted reserves as at 31 March 2022 was £29,650 (2021 unrestricted reserves were £35,043) which continues to meet the requirements of the reserves policy. The trustees will continue to review the reserve policy on an annual basis. 

## **STRUCTURE, GOVERNANCE AND MANAGEMENT** 

## **Governing document** 

The charity is a charitable company limited by guarantee and not having a share capital and, in accordance with Section 30 (2) of the Companies Act 1985, is exempt from the requirement to use the word 'limited' as part of its name.  It is governed by a Memorandum and Articles of Association. 

The charity was entered in the Central Register of Charities with effect from 15 August 2014 and accepted by HM Revenue & Customs as a Charity for tax purposes.

## **Independent examiner's report to the trustees of Fallen Angels Dance Theatre North West ('the Company')** 

I report to the charity trustees on my examination of the accounts of the Company for the year ended 31 March 2022. 

## **Responsibilities and basis of report** 

As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act'). 

Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5) (b) of the 2011 Act. 

## **Independent examiner's statement** 

Since your charity's gross income exceeded £250,000 your examiner must be a member of a listed body. I can confirm that I am qualified to undertake the examination because I am a registered member of FCA which is one of the listed bodies. 

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe: 

1. accounting records were not kept in respect of the Company as required by section 386 of the 2006 Act; or 

2. the accounts do not accord with those records; or 

3. the accounts do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or 

4. the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)). 

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

The charitable company is entitled to exemption from audit under Section 477 of the Companies Act 2006 for the year ended 31 March 2022. 

The members have not required the company to obtain an audit of its financial statements for the year ended 31 March 2022 in accordance with Section 476 of the Companies Act 2006. 

The trustees acknowledge their responsibilities for 

- (a) ensuring that the charitable company keeps accounting records that comply with Sections 386 and 387 of the Companies Act 2006 and 

- (b) preparing financial statements which give a true and fair view of the state of affairs of the charitable company as at the end of each financial year and of its surplus or deficit for each financial year in accordance with the requirements of Sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the charitable company.

## **1. GENERAL INFORMATION** 

The charity is a registered charity in England and Wales and is incorporated. The address of the principal office is 39 Toll Bar Road, Chester, CH3 5QU. 

There are no material uncertanties about the charity's ability to continue. 

The presentational currency of the financial statements is the Pound Sterling (£). 

The amounts in the financial statements have been rounded to the nearest £1. 

## **2. ACCOUNTING POLICIES** 

## **Basis of preparing the financial statements** 

The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention. 

## **Income** 

All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably. 

## **Expenditure** 

Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources. 

## **Tangible fixed assets** 

Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life. 

Computer equipment - 33% on cost 

## **Taxation** 

The charity is exempt from corporation tax on its charitable activities. 

## **Fund accounting** 

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees. 

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes. 

Further explanation of the nature and purpose of each fund is included in the notes to the financial statements. 

## **Pension costs and other post-retirement benefits** 

The charitable company operates a defined contribution pension scheme. Contributions payable to the charitable company's pension scheme are charged to the Statement of Financial Activities in the period to which they relate.

## **Financial instruments** 

Financial instruments are recognised when the company becomes party to the contractual provisions of the instrument. Basic financial assets, which include debtors, prepayments and bank balances, are initially measured at transaction price and are subsequently carried at cost unless the arrangement indicates otherwise and then the asset is measured at the present value of the future receipts discounted at a market rate of interest. Basic financial liabilities, which include creditors, accruals, bank loans and group borrowings, are initially recognised at transaction price and are subsequently carried at cost unless the arrangement indicates otherwise and then the liability is measured at the present value of the future obligations discounted at a market rate of interest.

The purpose of the restricted funds is as follows: 

## **Community Programme** 

For the delivery of workshops in Cheshire, Liverpool and Greater Manchester, with the main funds derived from local Trusts and Foundations including: Cheshire Community Foundation and Big Lottery. 

## **Productions** 

For the development of Artistic Productions to inspire and raise awareness of recovery from addiction with funds derived from Arts Council England. 

## **Organisation development** 

To build capacity to deliver our mission, develop new partnerships and increase levels of contributed and earned income with funds derived from Arts Council England Elevate.
