The Trustees present their annual report together with Ihe financial slalemenls of the Charity for the year from 1
January 2023 10 31 December 2023. The Annual report serves the purposes of both a Trustees. report and
directors. report under company law. The Trustees confirm that the Annual report and financial statements of the
charitable company comply wilh the curnnl statutory requlrem8nts, the requirements of the charitable companrfy
governing document and the provisions of the Ststement of Recommended Practice ISORPI applicable lo
charities preparing their accounts in accordance with the Firtancial Reporting Standaid applicable in the UK and
Republic of Ireland IFRS102}.
Since the Charity qualifies as small under section 382 of the Companies Act 2006, the Strategic Report required
of medium and large companies under tho Companies Act 2006 (Strategic Report and Directrjrs, Report)
Regulations 2013 has boen omitted.

The objects and purpose of the Charity. as per its Memorandum & Articles of Association, are such exclusively
charitable purposes as the Trustees may in their absolute discretion determine. The main activities undertaken in
relation lo the purposes of the charity as set out in its governing document are detailed below.
In setting objectives and planning for aclNilies. the Trustees have given due consideration lo general guidance
published by the Charity Commission rglaling lo public bengfit, includlng the guidance 'Public benefit.- running a
charity IP82)'.

The Charity has been established a5 a grant maker with wide charitable purposes foi maximum flexibility.
Wilhoul limitation, the Trustee5 initially wish lo focus on making grants lo projects aimed al advancement of
education, confiict resolution and human rights, sustainable development and the protection. enhancement and
rehabilitation of the environment.
A¢hlevoments and perfomiancè
Main achievements of the Charity
The Charity paid out grants lo institutions during the period lotalling £65.000 (2022- £10.OOOJ.
£25,000 was pald to the Royal Bolanlc Gardens to support scientific research to help find solutions ¢0 bSodiversily
loss and tlimate change by delivering science-based kn￿￿edge through projects such as the Evolutionarily
Distinct and Globally ErKlangered (EDGE) Framework.
£25,000 was pald to the Global InstSlute for Women's Leadefshlp whlch helps support the team expand Ihelr
work lowards gender equalty.
£15,000 was paSd lo the Caxton Youth Organlsalion which helps support tho independenc¢ of young pgople
learning difficulties and autism by providing trips into the communty and participation in a wde variety of
activities from photography lo horse ridir¥J.
The grants made in the year were lo projects wlh aims that align with the Charitys focus above.

Financlal revlew
a. Golng concern
After making appropriate enquiries. the Trustees have a reasonable expe¢tab'on that the Charity has adequale
sources to contsnue in operation21 existen¢e for the foreseeable futu￿. For this reason, they continue to adopt
the going concern basis in preparing the financlal ststements. Further detslls regarding the adoption of the gtsing
concern basis can btr found in the accounting policies.
b. Financial p051tion
The Charty recèived donations of £100,000 (2022 - £100.000) during the year. Girt ald of £25.365 (2022
£25,080) has been reclaimed from HMRC.
The Charity incurred expenditure of £71.090 f2022 - £15,940J whkh has resulted in a net surplus of £54,275
(2022- £111,120).
The Trustees appty the income received by giving grants to charitable bodies. The grants paid h the year have
been disclosed within the Tevtew of'A¢heivements' above.
e. Rèservès policy
The Charity only holds unreslricled funds which are available lor use al the discretion of the Trustees in
furtherance of the general objtsclives of the Charity and which have not been designated for other purposes.
At the year end, the Charty held unreslricled general furKt5 of £442,117 (2022 - £387,842J. Given that the
majority of the Chariws expenditure arises from grant-making activities which are awaided at the discretion of
the TrL*slees, we condude that the level of rese￿eS held at the year end is adequate.

a. Constitution
Jock's Influence Limited was fomierfy known as A2BD Foundation UK. 11 was incorporated a5 a charitable
company limited by shares on 23 April 2014 Icompany Registered Number 09fK)61981 and also registered as a
Charity on 25 June 2014 (Charity Registered Number 11575961. The Change of name by Resolution was
adopted on 1 August 2017.
b. Methods of appointment or election of Trustees
The management of the Charity is the responsibilty of the Trustees who are eleeled and co-opte(f under the
terms of Ihe Memorandum of Association.

Jock's Influence Limited is a wholty owned subsidiary of Jock's Inffluence Inc. {formerfy A2BD Fovndation US). a
not-for-profil organisalion registered in the Unile(J Slates. which is the Charivs sole shareholder.

Act and are eligible for independent examination, I report in respect of my examination of the Charills accounts

followed the Directions given by the Charity Commission under section 14515llbl of the 2011 Act.

Jock's Influence Limited is a private charitable Company limilod by share capital registered ￿th the Charity
Commission (Charity registration number 11575961 and Registrar of Companies (Company registration
number 090061981 in England and Wales.
The address of the registered Office is given in the Charity infomialion on page 1 of these financial
statements. The nature of the Charitys operations and principal activitses are detailed in the TrLtsleos'
report.
The significant a¢wunting poli¢lgs applied in the preparation of these flnanclal statements are set out
below. These policies have been consistently applies to all years presented unless otherwise stated.
Accounting pollcles
2.1 Basls of preparatlon of flnanclal statements
The finan¢ral slalemenls have been Prepared in accordance with the Charities SORP IFRS 102} -
Accounting and Reporting by Charities.- Statement of Recommended Practice applicable lo charities
preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK
and Republic of Ireland IFRS 1021, the Financial Reporting Stsndard applicable in the UK and
Republic of Ireland IFRS 1021 and the Companies Ad 2006.
Jock's Influence Limited meets the delinilion of 8 public benefit entity under FRS 102. Assets and
liabilit16s are initially recognised al historlcal cost or transaction value unless Otherwse slated in the
relevant accounting policy.
The Charity has applted Update Bulletin 1 and does not include a cash flow stalemenl on the grounds
that il is applwng FRS 102 Section 1A.
The flnancial statements are presented in pounds sterting which is the functional Currency of the
Charity and all amounts are rounded to the nearest pound.
2.2 Going concern
The financial statements have been prepared on a going concem basis as the Truslees believe that
no maleiial unCertaint￿S exist. The Trustees have considered the level of funds held and the
expected level of income and expenditure for 12 months from authorising these financial statements.
The budgeted income and expendllure Is sufficSenl wth the level of r8serves for the Charity lo be able
to continue as 8 going concern.
2.3 Incom
l income is recognised once the Charlty has enlidemenl to the Income. 11 Is probable that the
income will be re￿iVed and the amount of income receivable can be measured rella￿y.

2A Expendlture
All expenditure is accounted f(w on an accruals b8sis. Expenditure is re¢ognised once there is a legal
or conslruclive obligation to transfer economic benefit lo a third party. it is probable that a transfer of

reliably.

Grants payable are charged In the year when the offer is made except in those cases where the offer
is conditional, such grants being recognised as expenditure when the conditions attaching are

2.5 Taxallon
The Charity is considered to pass Ihg tests set out in Paragraph 1 Schedule 6 of the Finance Act
2010 and therefore il meets the definition of a charitable company foi UK Corporatlon tax purposes.
Accordingly, the Charity is potentially exempt from taxation in r8spe¢l of in¢ome or capital gains
received within categories covered by Chapter 3 Part 11 of the Corporation Tax Act 2010 or Section
256 of the Taxation of Chargeable Gains Act 1992. to the extent that such income or gains are
applied exclusively lo charitable purposes.
2.6 Debtors
Trade and other debtors are recognlsed at the settlement amount after any trade discount offered.
Prepayments are valued al the amount prepaid nel of any Irade diseounls dLte.
2.7 Cash at bank and in hand
Cash at bank and in hand include5 cash and short-lerm highly liquid investments with a short maturity
of three month5 or less from the dale of acquisition or opening of the deposit or similar a¢¢ounL

Liabilities are reeognised when there 15 an obligation al the Balance Sheet date as a result of a past
event, it 15 probable that a transfer of economic benefit will be required in settlement, and the amount
of the selllement can be estimated reliably.
