The trustees present their report and the unaudited financial statements for the year ended 31 December 2023. Included within the trustees’ report is the directors’ report as required by company law.

Reference and administrative information set out on page 1 forms part of this report. The financial statements comply with current statutory requirements, the memorandum and articles of association and the Statement of Recommended Practice - Accounting and Reporting by Charities: SORP applicable to charities preparing their accounts in accordance with FRS 102.

Objectives and activities

The charity's objectives are: to educate the public in arts and the sustainable conservation of the environment and endangered species and in particular the arts, music, drama, poetry, sculpture, painting, handicrafts and all other associated arts, and to encourage the public to participate in the said arts by the presentation of concerts, performances, exhibitions during festival periods and at other times.

The charity's subsidiary company, Optimistic Trout Productions CIC (“OTP”) advances the charity's objectives by organising an annual festival on its behalf known as the Green Gathering (“GG”). The festival promotes participative educational awareness raising of environmental sustainability through the arts. It also acts as a fundraiser for the charity.

The trustees review the aims, objectives and activities of the charity each year. This report looks at what the charity has achieved and the outcomes of its work in the reporting period. The trustees’ report the success of each key activity and the benefits the charity has brought to those groups of people that it is set up to help. The review also helps the trustees ensure the charity's aims, objectives and activities remained focused on its stated purposes.

The trustees have referred to the guidance contained in the Charity Commission's general guidance on public benefit when reviewing the charity's aims and objectives and in planning its future activities. In particular, the trustees consider how planned activities will contribute to the aims and objectives that have been set.

Achievements and performance

The charity's main activities and who it tries to help are described below. All its charitable activities focus on environmental awareness and are undertaken to further The Green Gathering’s charitable purposes for the public benefit.

A Greener Festival awarded The Green Gathering the following: ‘International Greener Festival Award’, ‘AGF Community Action Award’, ‘AGF Circular Festival Award’, ‘AGF Greener Catering Award’, ‘AGF Greener Power Award’, ‘AGF Pied Piper Award”, and ‘AGF Water & Sanitation Award’.

UK Festivals Award’s UK Greener Festival Award was presented to The Green Gathering.

FUNDED PROJECTS

For GG 2023 the charity funded a full conversion to compost toilets on the GG site at a total cost of £16,398 which is a tidy ecologically sound waste treatment method, that many people first come across at our event. Half of the cost was granted to OTP and the charity paid the balance of £8,199 for the cost direct to the supplier. In addition to the £8,199 a further grant of £18,000 to OTP helped to fund crew training, marketing costs, conference attendance, subscriptions, a contribution to directors’ contractor fees, and also a contribution towards the preparations for GG 2024.

We have commissioned a Carbon Footprint report for our event, and a ‘Sustainability Research Project’ to quantify the positive social, cultural and environmental impacts festivals can make, with GG as the case study. One of the directors of OTP has a paid role in this project, for marketing and communications. Half of the costs for the Research Project have been paid upfront with the balance due on completion.

We have also funded BBISL translation for the event website, one of the directors of OTP is the paid role in this project, and a race awareness education project for GG trustees, OTP directors, coordinators and the public, as well as a provision for Health & Safety training for event staff, telehandler training for site and power crew, as well as accessibility and inclusion training.

The charity also funded the filming of the Speaker's Forum for the 2023 event, creating a valuable resource on green issues that may be accessed at any time, from anywhere. One of the directors of OTP ran this project.

We have facilitated a donation for Triban, a collective that run a stage at the GG, to cover the theft of their marquee (at another event). The donation was paid over to Triban as a grant after the year end.

Greenstage - The Green Stage is a sustainable timber structure that serves as a small acoustic stage, as well as the charity's onsite home, where the annual tea party is held for the membership.

OTHER CHARITY PROJECTS

Charity volunteers run a number of projects at the event to raise awareness on various issues, and provide workshops, or services. The charity sees it as a measure of success when either the production company, or other festivals seek to engage one of the charity projects.

‘Crock and Rock’ - is a washing up service that loans out crockery and cutlery via the onsite caterers for a small returnable deposit. This service reduces the number of single use food containers going to compost. The service was formally adopted by our Production Company after GG23 and is no longer a charity project. The production company hope to roll the service out to other festivals.

Regional Partnership was a new initiative for 2023, to set up a network of groups around the country who are engaging in ‘Education for Sustainability’ through their work. The Regional Partners would represent The Green Gathering at their local events and attend the annual event to promote their services. Some of the Regional Partner scheme prospective partners attended GG in 2023 for the first time.

Solar Sewing – A bank of sewing machines powered by the sun provide the opportunity to learn sewing machine techniques, repair clothing or create something new from scraps. It was adopted by the production Company and moved to a more prominent location on site.

Serenpod - our quiet space for people with autism or other sensory needs, it is situated away from main thoroughfares and loud venues.

Clean Stream - a sustainable water use and resource collection project. Clean Stream guide visitors into sorting their waste cleanly to maximise levels of recyclate at their collection point, including avenues for non-site collected recyclate. Waste is also reduced, where possible, to minimise transportation of air and liquid. Clean Stream also provides a foot operated handwash system that reduces cross contamination and uses minimal water. Clean Stream are regularly invited to the Nottingham Green Festival.

GRANTS AND DONATIONS RECEIVED

No grants were received during the year. A donation of £60,000 was received from the subsidiary trading company and a restricted donation of £750 was also received. See details below.

BENEFICIARIES

The beneficiaries of the Charity are those who attend the event, including ticket-holding members of the public, volunteers, traders and performers all of whom are able to gain a deeper understanding of sustainability and environmental issues through their participation.

COMMUNITY MEMBERSHIP AND SKILL SHARING

The charity has a non-voting membership (known as 'community membership') which was set up to enable beneficiaries to directly (through volunteering) or indirectly support the charity and work with and advise the Trustees in the development, progress and direction of the charity.

Financial review and reserves policy

The charity received £60,000 in donated profits from the subsidiary trading company; (2022: £ NIL). The charity received £750 in other donations (2022: NIL), and at the end of the period the charity held £16,123 (2022: £167) in unrestricted reserves and £750 (2022: NIL) in restricted funds.

The Trustees have an agreed policy to hold a minimum of £10,000 as reserves, with no identified upper limit at present. The objective of the policy is to ensure that the charity holds sufficient reserves to cover shortfalls in uncertain income streams.

Structure, governance and management

The company is managed by its voluntary trustees, who are also the directors for the purposes of company law. The Trustees meet on a regular basis (no less than four times a period), in person, via email or on Skype. New Trustees are selected via an interview process and co-opted onto the Board following a majority vote by the Trustees. No other person or body is authorised to appoint Trustees.

The organisation is a charitable company limited by guarantee, incorporated on 27 July 2011 and registered as a charity on 9 April 2014. The company was established under a memorandum of association which established the objects and powers of the charitable company and is governed under its articles of association.

Members of the charity guarantee to contribute an amount not exceeding £1 to the assets of the charity in the event of winding up. The total number of such guarantees on 31 December 2023 was £5 (2022: £4). The trustees are members of the charity, but this entitles them only to voting rights. The trustees have no beneficial interest in the charity.

All trustees give their time voluntarily and receive no benefits from the charity other than as noted above and in note 6 to the accounts.

Grievance and mediation process

In September 2023 the trustees were informed by the production company that three of the directors had a grievance against the fourth director. The board put in place a mediation process, employing a professional mediator, which was resolved by November. Through this process the board also recognised the need to employ a minute taker for all their meetings.

The board have not further investigated the allegations made as many of these allegations were disputed and we have prioritised the stability of the production company for the time being, with a review to be held September 2024.

The following actions have been taken:

  1. The director in question is longer an Executive Director of the production company whilst remaining a director.

  2. We have appointed a new Director to help stabilise the board, she is operating as a 'trainee' but we have a high degree of confidence in her.

  3. We are planning to appoint our minute taker to OTP meetings to remove the burden from current directors.

Related parties and relationships with other organisations

The Charity owns 100% of the share capital of Optimistic Trout Productions CIC (company no 07460992) which operates as the Charity’s trading wing. A primary purpose of the subsidiary is to raise funds for the Charity. As mentioned above, the Charity commissions its trading subsidiary to put on the Green Gathering event each year, which is the primary vehicle through which The Charity meets its objectives.

Related party transactions are set out in note 6 to the accounts.

Statement of responsibilities of the trustees

The trustees (who are also directors of The Green Gathering for the purposes of company law) are responsible for preparing the trustees’ annual report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).

Company law requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charitable group and of the incoming resources and application of resources, including the income and expenditure, of the charitable group for that period. In preparing these financial statements, the trustees are required to:

I report on the accounts of the charity for the year ended 31 December 2023 set out on pages 7 to 15.

Respective responsibilities of trustees and examiner

The charity's trustees are responsible for the preparation of the accounts. The charity’s trustees consider that an audit is not required for this year under section 144 of the Charities Act 2011 (“the Charities Act”) and that an independent examination is needed.

It is my responsibility to:

Basis of independent examiner’s statement

My examination was carried out in accordance with general Directions given by the Charity Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently no opinion is given as to whether the accounts present a ‘true and fair’ view and the report is limited to those matters set out in the statement below.

In connection with my examination, no matter has come to my attention:

  1. which gives me reasonable cause to believe that, in any material respect, the requirements:

1 Accounting policies

The principal accounting policies adopted, judgments and key sources of estimation uncertainty in the preparation of the financial statements are as follows:

a Basis of preparation

The financial statements have been prepared in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) issued in October 2019 - (Charities SORP (FRS 102), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) and the Companies Act 2006.

THE GREEN GATHERING meets the definition of a public benefit entity under FRS102. Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy note.

b Preparation of the accounts on a going concern basis

The trustees consider that there are no material uncertainties about the charitable company's ability to continue as a going concern.

c Income

Income is recognised when the charity has entitlement to the funds, any performance conditions attached to the item(s) of income have been met, it is probable that the income will be received and the amount can be measured reliably.

Income from government and other grants, whether ‘capital’ grants or ‘revenue’ grants, is recognised when the charity has entitlement to the funds, any performance conditions attached to the grants have been met, it is probable that the income will be received and the amount can be measured reliably and is not deferred.

Income received in advance of a provision of a specified service is deferred until the criteria for income recognition are met.

d Interest receivable

Interest on funds held on deposit is included when receivable and the amount can be measured reliably by the charity; this is normally upon notification of the interest paid or payable by the Bank.

e Fund accounting

Unrestricted funds are available to spend on activities that further any of the purposes of charity.

Designated funds are unrestricted funds of the charity which the trustees have decided at their discretion to set aside to use for a specific purpose.

Restricted funds are donations which the donor has specified are to be solely used for particular areas of the charity’s work or for specific projects being undertaken by the charity.

f Expenditure and irrecoverable VAT

Expenditure is recognised once there is a legal or constructive obligation to make a payment to a third party, it is probable that settlement will be required and the amount of the obligation can be measured reliably.

Irrecoverable VAT is charged as a cost against the activity for which the expenditure was incurred.

g Fixed asset investments

The company holds 100% of the share capital of its trading subsidiary, Optimistic Trout Productions CIC (company no 07460992). This investment is recognised at historic cost. There are no other investments.

h Debtors

Trade and other debtors are recognised at the settlement amount due after any trade discount offered. Prepayments are valued at the amount prepaid net of any trade discounts due.

i Cash at bank and in hand

Cash at bank and cash in hand includes cash and short term highly liquid investments with a short maturity of three months or less from the date of acquisition or opening of the deposit or similar account.

j Creditors and provisions

Creditors and provisions are recognised where the charity has a present obligation resulting from a past event that will probably result in the transfer of funds to a third party and the amount due to settle the obligation can be measured or estimated reliably. Creditors and provisions are normally recognised at their settlement amount after allowing for any trade discounts due.

2 Legal status of the charity

The charity is a company limited by guarantee registered in England and Wales and has no share capital. In the event of the charity being wound up, the liability in respect of the guarantee is limited to £1 per member of the charity. The registered office address is disclosed on page 1.

6 Trustee remuneration and expenses, and related party transactions

No travel and subsistence or project expenses were paid to trustees during the year (2022: nil) other than as noted below.

Tony Phillips - reimbursement of Greenstage expenses incurred: £271 (2022: £nil).

Shane Collins (subsididary trading company director) - professional fees: £2,000 filming 'Speakers Corner' at event

Emma Fordham (subsididary trading company director) - professional fees: £600 re sustainability project marketing and communications and British Sign Language interpretation

Transactions with subsidiary trading company

A donation of £60,000 was received from the subsidiary during the year (2022: nil). Grants totalling £26,199 (2022: £51,500) were paid to the subsidiary during the year. In addition the charity paid £8,199 (2022: nil) being 50% of the cost of compost toilets directly to the providers, at the event run by the subsidiary.

The following trustees were paid as contractors for professional services rendered to the subsidiary trading company:

Stephen Muggeridge - licensing consultancy & event management: £10,700 fees and expenses (2022: £11,665).

Chloe Wilson - campaigns area co-ordination: £1,100 fees (2022: £nil).

No trustee or other person related to the charity had any personal interest in any contract or transaction entered into by the charity, including guarantees, during the year (2022: nil), other than as disclosed above.

There are no donations from related parties which are outside the normal course of business and no restricted donations from related parties.

7 Corporation tax

The charity is exempt from tax on income and gains falling within Chapter 3 of Part 11 of the Corporation Tax Act 2010 or Section 256 of the Taxation of Chargeable Gains Act 1992 to the extent that these are applied to its charitable objects. No tax charges have arisen in the charity.

12 Subsidiary undertaking

13 Grant making activities

A total of £26,199 was granted to the production company of which £8,199 funded half of the cost of compost toilets at the 2023 festival site (the charity paying the balance of £8,199 directly to the providers) and £18,000 helped to fund crew training, marketing costs, conference attendance, subscriptions, a contribution to directors’ contractor fees, and also a contribution towards pre production costs for the 2024 Green Gathering event.
