guarantee, as defined by the Companies Act 2006.
Recruitment ond oppolntment of trustees
The management of the charltable company Is the responslbllity of the trustees who are elected and co-opted under
the terms of the Artlcles of Assoclation. All trustees 8ive thelr tlme voluntarily and recelve no beneflts from the
charltable company.

The charity is a reglstered company Ilmlted by Buarantee4 governed by Tts Memorandum and Artlcles of Assoclatlon.

Organlsatlonal structure
The Board, who meet at least every quarter. provtdes strateglc dlrectlon for the organlsatlon. The Dlrertor Is appolnted
by the Board to manage the day to day operation ofthe or8anlsation.
The Dlrector has the dele8ated responslblllty to make day to day declslons and communlc3tes thls Informatlon to the
Chair of the Board by way of regular superv151on meetlngs and quarterly Board meetlngs. From time to time the Board
members are requlred to respond to speclfic questions or Items.
The Dlrector reports to The Board durlng quarterly Board meetlngs. Each project has a nomlnated lead responslble for
the management and delSvery of outcome5 as Stated In the fundin8 agreement or service level agreement betrrfeen the
or8anisat5on and the partnerlpurthaser. The nomlnated lead 15 re5pon51ble for ensurlng that all outcomes are
achleved, the projert is dellvered wlthln bud8et and In agreed timescales. Each project has its.own budget, which is
created by the nominated lead and agreed wlth the Dlrertor. Progres5 towards outcomes.is monltored during monthly
supervlslons between the Director and the nominated lead and Flnance Offlcer.
Quarterly plannlng sessions take place between the Dlrector and the program team, 5UPPOrted occaslonally by the
Chair of the Board or other Board member, Thls process helps to Identlfy partnershlp opportunltles or fundlng
requlrernents. The Dlrector Is responsible for buslness plannlng and Strategic plannlng along wlth the Board of
Trustees.

Risk monogement
To ensure that the financlal resources are safe8uarded the Director meets regularly wlth the Board to plan and
monltor financial reportln8. Rl8ht Balance Accountlng are our designated accountants.
Sage accountlng software Is used to maintaln ftnanclal records along with a regularly updated cash flow forecast and
budgets for each cost center/department. Thls enables remedlal actlon to be taken where ne￿sSary and approprlate.
staff are trained In Health and Safety, Flrst Ald and Safeguardlng to Level 2. lan Alcock Is the deslgnated person
responslble for overseelng Safeguarding matters. Soundwave has appropriate levels of insurance as per legal
requlrements, which Is procured through Markel Insurance Broker5.

and wellbeln& and creatlng pathway5 Into further educatlon, employment and partlclpatlon In the cultural Sector.
Accessible Community Music Provlslon
Soundwave dellvered open-access communlty Jamming and cholr sessions from Its base on Klng Street, Whltehaven.
These sessions were free or low-cost and open to all ages and 3bllltles, reduclng barrlers to partlclpation. The actlvlty
provided clear publlc benefit by supporting soclal connection, improving wellbelng and enablin8 people who mlght not
otherwise engage In music to participate In shared creatlve activlty.
Hl8h Street Engagement.and ReEeneratlon
By relocatlng to an empty hlgh-street shop on Kln8 Street. Whitehaven, Soundwave Increased the vlslblllty and
accesslblllty of Its work. Operatlng from a town<entre location enabled greater en8a8ement wlth the local community
and contrlbuted to the cultural use.and anlmatlon of underutlllsed hlgh-street space.
Educatlon and Skills Development
Weekly songwrltlng sesslons were dellvered at Lakes College, supportlng learner5 to develop creatlve, communication
and collaboratlve skllls. Partlclpants 8ained prattlcal experlence In son8wrltln8 and muslc creatlon, contributing to
Improved confidence, 5elf-expresslon and engagement wlth learnin8.
Youth Muslc and Personal Development
Soundwave delivered weekly Muslczone sesslons In Worklnston, Whitehaven and Cockermouth for youn8 people aged
11-19. These sessions focused on muslc performance, songwritlng and productlon, whlle a150 SUPPOrtlng transferable
skllls such as teamwork, reslllence and self-confidence. The proEramme provlded safe. supportlve spaces for youn8
people to develop creatlvely and scclally.
Performance Opportunities and Confldence Bulldlng
New performance opportunities were Created through '@Loud in the Librarl open mlcsessions at Whltehaven Library,
with separate sesslons for under 195 and adults. These events provlded accesslble, supportlve platforms for
participants to perform publlcly, helpln8 to build confidence, asplratlon and a sense of achlevement.
Pathways into the Muslc and Creatlve Industries
Partlclpant5 and Staff engaged with live muslc Industry events Includlng a community music conference In Leeds,
Generator Llve In Newcastle and BBC Introduclng actlvlty. These experiences Increased understandlns of the music
Industryi expanded professional networks and supported progression routes for emerglnE artlsts and young people.
Festlval and Cultural Participatlon
Soundwave collaborated with Generator North East and BBC Introduclng to dellver the Roots Stage at Kendal Callln8
Festlval, showcaslng approxlmately 40 emerging acts over the weekend. Th15 provided significant publlc beneflt by
supportlng new talent, Increasing audlence access to emerglng music and offering artlsts valuable professlonal
performance experlence.
In additlon, a new partnershlp wlth Krankenhaus Festival enabled Soundwave to deliver a sta8e and frlnge event at
Muncaster Castle, further expanding performance and audience eneagement opportunitles.
Work Experlence and Employabillty
Soundwave supported three secondary school pupils through tallored work experlence placements. These placements
provided meaningful Inslght into cornmunity music, live events and creatlve worK supporting emplcyablllty skllls and
Informed career choices.

The or8anlsatlon supported three tralnee communlty musicians through mentorlng, practical dellvery experience and
Involvement In proEramme plannlng. This actlvlty helped develop skllls, cOnfIden￿ and employabllity, contrlbutlng to
the sustalnabllity of the local community muslc workfor￿,
Flnancial revlew
At the end of the financial year 31 March 2025 the charlty had unre5trlcted reserves of £48,603, whlch represents 3.40
months operating costs at current expenditure levels. The organlsatlon Ideally needs 6 months of operatlng costs in
reserves, which typlcally amounts to approx. £85,000.
The restrtlcted reserves of £8,800 wlll be used for next 4 years of restrlcted depreclatlon.

for preparlng the Tru5tees' Annual Report and the financlal statements In accordance wlth appllcable law and United

Company law requlres the trustee5 to prepare financlal statements for each flnancial year whlch glve a true and falr
vlew of the state of affairs of the charitsble company and of the Incomlng resources and appllcatlon of resources,
Includin8 the Income and expendlture, of the charltable company for that period. In preparlng these financlal

Basls of accounting
The financlal statements are prepared under the hlstorlcal cost convention and In accordance wlth FRS 102,

Recommended Practlce applicable to charStles preparlng their accounts In accordance wlth the Financlal

The charlty has taken advantage of the exemptlon In FRS102 Update Bulletin I from the requirement to
produce a cashflow statement because It Is a small company.

Expendlture Is reco8nised on an accrual basls as a Ilablllty is Incurred. Expenditure includes any VAT whlch
cannot be fully recovered. and Is reported as part of the expendlture to whlch It relates.
Cost5 of generating funds comprlse the costs assoclated with attractlng voluntary Income and the cost5 of
tradlng for fundralslng purposes includlng the charlty'5 shop.
Charltable expendlture comprlses those costs incurred by the charity in the dellvery of its actlvltle5 and services
for Its beneficiarles. It Includes both c05t5 that can be allocated dlrectly to such actlvltles and those costs of an
Indlrett nature necessary to support them.
Support costs are those costs Incurred dlrectly In support of expenditure on the objects of the charlty and
