with 5 grant increases to exithn8 projects to a value of El,359.289. These were all applications that were carefully
a55es5ed and subjected to due dil￿enCe by our Road Safety Initiatives Comrnittee IRSICI and executive team to ensure
that The Road Safety Trust achieves its purpose rA maximum irnpact ￿ UK road safety through the initiatives it fund
With a small staff team of only 3.5 people and a voluntary LK>ard of Trustee4 much has been achieved.
The Main Theme'Fitnessto Drive. applicaiion rouThJ resulted in 5 of the IS applicat￿n5 being awarded grants to a total
01 £1,108,905. The ￿arf5 Small Grants Pro8ramme Ok*ned in the Swing of 2022 and of the 14 eligible applications
submitted 4 were awarded a total of £113.737. Coniinuing the new approach to increasing its impact in line with its
strategic goals, theTrust also funded four Strate&'c PriorityGraniswiihkn the period to avalue of £73,080- and additicmal
fundi￿ of £63,568 was aw¥ded to existing projett

are continually develtspin8 our sV5tem5 to ensure they are supported to complete their projects, assess their
interventions and develop the impatt of the findin8S.

The Police. Crlme Sentencing and Courts Att 2022 makes speclfk proviyon for a pdiCi￿ body to char8e a fee for
approved courses offered as an atternative to prosecution for a fixed ￿nalty road traffic offence. The Act sets out
ptswers for the Secretary of State to make regulations èxercisable by statutory instrument in relation to a number of
rnatters pertaining to the operation, administration and funding of the t¥OVi90n ol appro¥ed courses. This primarv
legislation I￿aCeS ihe kheme on a firm statutory foundation. Sim￿lfyi￿ and clarfyiry thè legal and finarKil basis of
the Scheme. Secondary legI￿atIon in the form of statutory instnJmenis will in due course be brou8ht forward for
parliamentary approval, further specifyng detailed aspects ol provlsion of courses. Thè directors wll liaise with
police forces and other stakeholder5 to ensure com￿lance wrth new legiststion and to maximlse the opp￿tUnitY
for improviryd road safety.

uncompleted. In 2021-2022 there were de￿¥5 to cOm￿et10n ol projeds attributed to Covid-19 and somè of the

dur5r¢ 2023.24.

Iwithin one year) needs are held in bank current acctyjnts and shLYt-term deposits. Funds hèld to meet medlum-term
Ibetween one and five yearsl are held in bank deposit accounts wlth up to three yèars notice. Long-term funds whlch
are needed after more than five years, may be Invested In finandaty regulated assets %thkh may be subject to rlsk In
their capital value.
Investment in the Trusys traaw subsid1￿ is in the lom of a loan. The Trustees considered the risks associated with
Ihe loan f¥ility of £S00.rJJo made durin8 2020-21, detemiined the 4)prowiateness of advancin8 loans under the facility
and set the terms of repayment and interèst &tordingly. A loan of £5(Xl,(M) was advanced on 20th April 2021 and wa5
outstanding at the year end. Thè Trustees èxtended the duration of the facility ￿ Tr)e year in July 2023. The loan bears
Interest at 6% and the fa£i1Sty expires on 31 Ortober 2024.
Short term cash reserves are hdd to finarKiHI securty and may ￿ required at short notice. As such, capital

Seccombe and Sonya were the resignations. Tanya Fosdick. Deirdre O'Reilly and Shaun Helman brin8 their
exten9ve expertise and experierte as roèj safety research pr￿titionerS to the Road Safety Initiative5 Committee. We
began the ￿CrUit1rent for new trustees for the Audit and Risk C(Mnmittee in Au8USt 2022. fdlowing the resignation of
lagdeep Chaggar. This re£ruitmerf process was coM￿eted in the fourth quarter of 2022-23 and resulted in the recent
appointment in May 2023 of ￿CtOria Coker and Anthorw Blxkman. Chief corsst31￿e Jo Shiner NPCC Road5 Policin8
portfolio continue5 to enswe that the Police Force Th*mbwship are represented on the Trust tr*)ard.
The skills-led appro&h to Trustee reuuitment forn￿ the basis of one of thÈ Tr￿t'S key objectives under Diversitv,
Equality and Inclusion which is monitored as part of the Trust's commitmènt to the Charity GOVern￿(e Code. At 31st
March 2023, the board's minimum required number olTiustees with ski114experience was exceeded in all 22 out of 24
areas identified as necessary for an eflertNe board.
The charity recognises the importance of a tomprehenyve induction for ne* Trustees and learnitvd and development
for new and existin8 Trustees to be a￿e to dixharge their duties and fulfil their roles properly. There is a Trustee

BOARD GOVERNANCE
The board meets quarterlyon a virtu4 basis three tlmes peryèar and once as a fa¢e.to.fxe Meeting atthe May board.
The Chair and 7rusteès ha¥¢ man<e(I ro run aThJ hold elfective meeti￿5 virtually and the in-person meetin8 helps the
board to build cohesiveness and improve commun￿atIon. Having fielded Trustee OFinions and prefere￿e$ through a
survey, a blendèd approach seems to ￿ the most py)pular going forward and ihe Trust will continue io hold f￿e-to-
lace board and virtual bot4d Me￿I￿S.
Trustees are enCour￿ed to be members of at least one Ccffinwttee. TheAudit & Risk IA&RI and Road Safety Initiative5
IRSII Committees meet three or four times year. The RemuneraiN)n Committee meets annually unle$5 Qtherwise
required. In accordance bmth its Tems ol Reference, the Remuneration Ctynmittee enswes that Trust staff are
remunerated in line wlth the Remuneration Pdky. The N¢Jninabons Cornmittee meets at least twice a year or more
often as netessary.
In addition to the above, an RST board stratègy session washeld in person in February 2023 to galvanise our vision and
purpose and to develop beyond 2023. The 5es5ion was f￿llitated and the board met in person to disCU55 next steps
and area5 to focu5 on. This includes a symposium event planned for 2024 which wll celebrate the achievèments of The
Trust over the past Ioyears and determine h¢￿we look forward to the next 5 years of fundin8. With Covid restrittions
relaxed. a face-to-lace scKial event for both b)ards was held on 9th May 2023 because Direttors and Trustees both
valued the opportunity to meet a)d discuss matters rogether. There is also an established feedb¥k sy5teTh followin8
the charity's and UKROEd's individual t¥)ard Meeti￿$. The Trustee representative ￿ the UKROEd board, Kathv
Webster, plays a crucial role in tlms flow of communication, supported by the Trust's Chief Executive and Head of
FinarKe.

PRINOPAL RISKS AND (ANCERT￿NTIEs
The Strategic Rlsk Re8lSter is re￿eWed three times ay*ar bythè Audit & Risk Committee and then reported to the Trust
board with a summary ol the operational risks that are, or have become. si8nificant. The Audit & ￿sk Cornmittee risk
workshjp in February 2022 continued to provide a firni base for assessin8 risks aThJ the mili8arions implernented.

FINANCIAL SUSTAINABILirY
The Trust depends on Its tradin8 subsidi*y as its sole source cl iwxne. While its subydiary is leKally obll8ed to
distribute all ol its surplus to theTrusi. amountof thè surplus t¥h year is variatrle and subjKt to risks which neither
the Trust nor UKROEd can wholly control. The Trust holds re5eNes in respert of the risk5 associated with both the Trust
and UKROEd and made a loan ol £%xI.rm to UKROEd in April 2021 and extend&J the duration of rhe facility by one
vear in July 2023. wli¢h was outstanding at the year end. Care has been taken with the 3-year strate8y and financial

furtherance of the charitable objectives of the charitable company. Grant comfflitment5 are recognised once an
application for a 8rant has been approved, the recipient notified of the Brznt and a legal or construetive obligation
thereby cleated. &n8le or mult*-year 8ranis are accounted for when eiiher the reciplent has a reasonable expectation
that they will receive a grant and the Trustees have a8reed to pay the grant without condition. or the reciplerst has a
reasorsable expèrtation that they will receive a grant and any condltion aitachln8to the 8rant Is outside the Control of
the charltable company.

considered to be relevani. Actual results may dlffer from these estimates.
The estimates and underlying assumptions are reviewed on an on80ing basi5. Revisions to accountin8 estimates are
recognised in the period in which the estimate is revised.
In determining whether the Subsidiary undertaking 15 acting a5 agent or prirlcipal with re8ard to an element of the
'Seheme Participation Char8e' income. the Trustees have assessed whether it is the subsidiary undertakin8 or the
relevant police forte that has exposure to the significant risks and rewards assoaated with the provision of the NDORS

Grant5 payable is the amount prov5ded in rèspèd of grants committed to recipients which had not yet been paid bv
the end of the year. The projects which are lunded by the grants made a￿ typically carried out over a period of more
than one year arbd octasionally more than two years. with grant instalments payable in arrears when the projects
reach a8reed milestones. The amount of grants payable therelore reflects the grants committed in prtor years, as well

## **17. Related party transactions** 

During the year £1,649,095 was distributed under gift aid from UKROEd Limited, the wholly owned subsidiary (2022: £2,285,239). A total of £nil was paid during the year, leaving a sum of £1,649,095 due at 31 March 2023 and is included in amounts owed by group undertakings (2022: £185,239). 

The charity recharged £Nil of bank charges to UKROEd Limited (2022: £4,582). 

A loan of £500,000 was advanced to UKROEd in April 2021, repayable in October 2023, bearing interest annually at a rate of 6%.  The balance on the loan to UKROEd Limited was £500,000 at 31 March 2023 (2022: £500,000). 

Although not related parties as defined by FRS 102, in the interest of transparency the Trustees have the following other relationships; 

- according to the Trust’s Articles of Association, the Police Force Trustee is the Chief Officer who is the National Lead for Roads Policing in England, Wales and Northern Ireland. The force which they lead will therefore be a recipient of income reflecting cost recovery arising from the NDORS Scheme payable by UKROEd Limited. 

- the police forces overseen by the Police and Crime Commissioner appointed to the board of Trustees will also be a recipient of income reflecting cost recovery arising from the NDORS Scheme payable by UKROEd Limited.
