The charity is constituted as a company limited by guarantee, registered under the Companies Act, its governing document is a Memorandum and Articles of Association under company legislation.
The Governing Document is dated 13 September 2013
By operation of law, all trustees are directors under the Companies Act 2006 and all directors are trustees under Charities legislation and have responsibilities, as such, under both company and charity legislation. The trustees are all individuals.

Never Such Innocence (NSI) has been set up to commemorate the centenary of the First World War and has broadened to give young people a voice on conflict with a twofold approach:

A series of focus groups with teachers and students were held across the United Kingdom to develop the next phase of NSI

Through educational initiatives across the United Kingdom and internationally.

Charitable objects:

To engage young people on the topic of conflict through poetry, art, speech, and song.

To highlight how conflict can affect communities both locally and globally.

To provide free, high-quality learning materials to schools about conflict and workshops that encourage young people to create poetry, art, speech and song.

To hear from stakeholders (teachers, advisory panel and past participants) about the direction of the next three years of the annual competition.

To bring awareness to young people on the effects of conflict, leading to an understanding on how to prevent future conflicts.
The contribution of volunteers during the year
NSI has benefited significantly from the dedicated support of a number of volunteers including our Board of Trustees and an Executive Committee, which numbers twenty-seven. We are immensely grateful for the generous support and encouragement of our President, Vice Admiral Sir Tim Laurence.
We are also grateful to all that kindly donated to Never Such Innocence, monetary or in-kind, in particular
Armed Forces Covenant, Cultural Recovery Fund, Nametags4U, Simon Bergman, and the Ministry of Defence. We are extremely thankful to Charity Next for pairing us with a talented and driven Fast Streamer.
The charity has been generously provided pro bono office facilities and staff from Robert Walters.
A range of services and support have been provided on a pro bono basis where people have given their time and skills in development of our events and educational programmes, namely, the Commonwealth War Graves Commission.
We are also incredibly grateful to all of our office volunteers, our treasurer, all sponsors and corporate partners, and all that supported NSI. A heartfelt thank you to all that have supported and engaged with Never Such Innocence, there are many we have been unable to name in this report but for whose contributions we are extremely grateful.

A wide variety of activities for Armed Forces Day
In total, 783 students participated in workshops, roadshows and special events.
Our annual international competition, we saw work on a wide variety of topics including: the First and Second World Wars, and regional conflicts in Asia, Africa and the Middle East. We heard about a wide variety of unique stories, bringing to light many unheard voices in conflict. We received over 3,000 entries into the international competition from 99 countries.

Due to the pandemic, we were unable to hold an in-person award ceremony, to celebrate and recognise the winners and all participants, our president Vice Admiral Sir Tim Laurence and CEO Lady Lucy French recorded special videos which were featured on our website and in our digital winners booklet. We also held several Zoom winners calls – with young people from 25+ countries participating. A letter from the UK Prime Minister Boris Johnson, celebrating their accomplishments was included as well. The digital winners booklet was an interactive document which featured videos and recordings of the winning pieces of work. The booklet has been viewed over 8,000 times.
While we were unable to do as many in-person workshops as we did pre-pandemic, we were still able to hold a good number for schools which were welcoming guests. Our online workshops remained popular as schools were not yet ready to welcome visitors. By doing workshops online, we were able to reach schools in more isolated areas and even schools internationally.
As with organisations throughout the world, 2021 was a very challenging year, with hopes of reopening and resuming life as normal, constantly changing and being delayed. Nevertheless, we were about to continue to hold workshops and activities online and as and when we were allowed to in person. There has been a growing need for our workshops with young people following the pandemic and we will continue to work with schools across the UK to support their creative endeavours.
The main activities undertaken during the year to further the charity's purpose for the public benefit
NSI delivers a public benefit through a programme of arts and educational activities, engaging with communities around the UK in a variety of settings. The free online curriculum that was created by NSI staff allows for schools to have an additional set of resources to utilise in the classroom, which were especially useful as schools remained doing remote learning. NSI’s in person activities provide benefit to the local communities visited by strengthening links between local institutions and schools, enabling young people to feel involved in their local community. By receiving feedback from stakeholders, NSI ensures that it is providing a service that is valuable to the public and allows young people to reflect on our shared history and events that change the world.

The difference the charity's performance during the year has made to the beneficiaries of the charity.
With the lingering effects of Covid-19, schools and parents required additional resources to support their pupils and children. NSI had online resources available and was able to continue supporting freelance artists who were unable to find work with many services closed. Multiple stakeholders were positively

impacted because of NSI’s performance, in a time when there were many ongoing challenges.
The Voices of Armed Forces Children Project also supported the military community in a new way – giving young people a unique new platform to have their voices heard. Many young people found new ways to express themselves, especially as parents may have been away on deployments. It was not only the young people, but families and the military community as a whole have shared how beneficial the project has been for morale and welfare.

2020/21 International Competition - ‘Unheard Voices of Conflict’
NSI invited young people to share their reflections on conflict or give a voice to those who may not have one. Some examples of an ‘unheard voice’ could include: a personal family story relating to conflict, refugees fleeing from their homes, conflict faced by indigenous peoples or the feelings of a service child who has a parent deployed.
The international competition features four categories: Poetry, Art, Speech and Song and is open to young people aged 9-18. Winners in the four categories will be invited to participate in unique experiences and all participants will receive a special personalised certificate of commendation for their work.

Remembrance Day
One of our NSI young people was selected to deliver a keynote speech at the National Ceremony for German Remembrance Day on 15th of November 2020 at the Bundestag, attended by The Prince of Wales and the Duchess of Cornwall. Jasleen Singh, a NSI young ambassador, was invited to reflect on 75 years since the end of the Second World War, 75 years of peace and partnership in Europe, German British reconciliation and her hopes and fears for the future. Three other young people from Germany, Moldova and Israel also spoke. This was a very significant moment for Jasleen, her family and the UK as a whole.
Ripon - Students from RAF Leeming took part in one of our few in person workshops in the autumn, with our practitioner being the first guest speaker in the school since the start of the lockdown. The young people wrote poems about ‘Heroes’, which were then read as part of the annual Service Children Remembrance Service at Ripon Cathedral. The service was viewed online over 1,000 times.
Unlocking Creativity
As part of our Cultural Recovery Grant, we held a special project, Unlocking Creativity, which asked young people to reflect on how the previous year of Covid had effected their lives and what it mean to them to be regaining a sense of normality. Many young people shared that Covid brought many emotions

– excitement at the beginning, to be out of school, but quickly turned into a challenging time for them – missing friends and the socialising that being in school brings. They spoke about how their mental health had suffered, but we happy to use creative arts to express what they were feeling.
Workshops
We held virtual and in person creative workshops across the UK and around the world throughout the year, despite the delays and changes due to Covid. Our poetry, art, speech and songwriting practitioners visited schools around the UK, delivered online workshops to young people in Germany and Armenia and we partnered with groups such as Aggies, Reading Force and Military Family Federations. The young people learned how to use the creative arts to share their reflections on conflict, gaining creative writing and public speaking skills.
Voices of Armed Forces Children Project
The ‘Voices of Armed Forces Children’ project which welcomes service children, 5-18 years old, to use creative arts to share what the Royal Navy, Army or RAF means to them. The project asks young people to explore the words courage and honour and/ or to share how it feels when a family member leaves for an extended period or are wounded, injured or sick.
The project has been an engaging way for families to speak about different topics and challenges faced by service families. Many welfare units, military oriented charities and family federations have offered the programme to families and it has made a powerful impact.
We held a variety of poetry and song writing workshops throughout the year, one parent shared: Neither of us really knew what to expect, however it was everything and more. The team was fantastic, my daughter really enjoyed the creativity and how it wasn't just 'another poetry lesson'. My daughter was gutted the session had to end and really cannot wait for the next event. It was a welcome distraction to her stepdad’s deployment earlier in the week. Thank you so much!!
During our international competition, there were two winners from our project:
Military Child: Awarded 1st Place 9-11 age category in the 2020/21 International competition, presented certificate and special prize by Major General C J Ghika CBE, featured in 2020/21 Winners Booklet - viewed over 10,000 times.
Welcome Home: Awarded 1st Place 9-11 age category in the 2020/21 International competition. The song was recorded at Abbey Road Studios, with 21 tri forces children from across the UK and performed at Armed Forces Day at NMA in front of thousands of visitors and Princess Royal.
As part of the project, we offered a variety of activities for schools and young people to participate in for Armed Forces Day in June 2021. We sent lyric sheets to over 100 schools with a high proportions of service children. Additionally, over 500 flyers with the lyrics and the project were given to attendees of the Armed Forces Day event at the National Memorial Arboretum.
Launch of 2021/22 International Competition - ‘Life After Conflict
In mid-September, NSI launched their 2021/22 International Competition - ‘Life After Conflict’. NSI wants young people to share their reflections on the theme, including the words, rebuild, recover, reflect, remember and resolve.
The international competition features four categories: Poetry, Art, Speech and Song and is open to young people aged 9-18. Winners in the four categories will be invited to participate in unique experiences and all participants will receive a special personalised certificate of commendation for their work. The competition will end in March 2022.

Structure, governance and management of the charity
The methods used to recruit and appoint new charity trustees.
Trustees are sought primarily through the introduction and referrals of the Board, Executive Committee and external advisors. The charity will also seek to advertise trustee vacancies in 2021/22 and to develop the range of skills and experience on the board. As it evolves, it will seek to identify best practice and to implement it in its work.

Financial review of the position at the reporting date, 30 September 2021
The trustees consider the financial performance by the charity during the year to have been good in light of the impact of Covid19 on the wider sector and a wider reduction in charitable donations, with incoming resources primarily from generous donations.
NSI has also benefited from the very generous donation of time and services from a range of supporters in particular in office accommodation, meeting and event venues, catering and event assistants, IT support and accountancy. Charitable expenditure primarily comprised of core costs and salaries.
The surplus for the year totalled £37,682 (2019/20: deficit £67,526) which combined with a surplus brought
forward from 2019/20 of £31,498 results in a total surplus carried forward of £69,180.
The surplus carried forward combined with grants and donations received shortly after the financial year end, puts the charity in a strong position to deliver its planned activities for the 2021/22 financial year, subject to any future restrictions on holding events in person.
The impact of the pandemic on the charity has been primarily to curtail its operational activities preventing in person meetings, with events and workshops being delivered online wherever possible.
Donations and grants received after the financial year-end include £123,368 from the Royal British Legion and £27,500 from the Armed Forces Covenant.
The receipt of these additional grants and donations during the 2021/22 financial year has given the Trustees assurance that the charity has the resources to continue its operations for a further 12 – 18 months.

Policies on reserves
The trustees have considered the level of reserves required to ensure the continued activities of the charity.
Reserves are needed to meet the costs of ongoing educational activities, balancing any fluctuations in income and expenditure. Those costs are primarily the work of the staff delivery team, managing the design of educational resources, delivering roadshow events and workshops, schools liaison and fundraising.
The trustees consider it is reasonable to hold reserves to meet these costs for six months, whilst further fundraising activity is undertaken.
Reserves at 30 September 2021 of £69,180, whilst below those held in prior years, are appropriate and sufficient, when combined with incoming resources noted above, from committed donations in the early part of 2021/22 to support the continuing work of NSI for a further 6 – 12 months.
Availability and adequacy of assets of each of the funds
The board of trustees is satisfied that the charity's assets in each fund are available and adequate to fulfil its obligations in respect of each fund.
Plans for the Future
The Board of Trustees are actively considering keeping Never Such Innocence in existence with the aim of encouraging children and young people to reflect on all forms of conflict throughout history, not just the First World War.

Statement of Directors' and Trustees' Responsibilities
The charity's trustees are responsible for the preparation of the accounts in accordance with the terms of the Companies Act 2006, the Charities Act 2011 and the Charities: Statement of Recommended Practice (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK (FRS 102)) issued in October 2019 (Charities SORP (FRS 102).
In particular, the Companies Act 2006 and charity law require the Board of Trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charity as at the end of the financial year and of the surplus or deficit of the charity. In preparing those financial statements the Board is required to:

prepare the accounts in accordance with United Kingdom Generally Accepted Accounting Practice (United Kingdom Accounting Standards and applicable law).
-
select suitable accounting policies and then apply them consistently;
-
make judgements and estimates that are reasonable and prudent; and
-
prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charity will continue in business.

state whether applicable accounting standards and statements of recommended practice have been followed, subject to any material departures disclosed and explained in the financial statements.
The law requires that the trustees must not approve the accounts unless they are satisfied that they give a true and fair view of the state of affairs of the charity and of the surplus or deficit of the charity for the year.
The Trustees are also responsible for maintaining adequate accounting records which disclose with reasonable accuracy at any time the financial position of the charity and which are sufficient to show and explain the charity's transactions and enable them to ensure that the financial statements comply with the Companies Act 2006 and comply with regulations made under the Charities Act. They are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.
The Trustees are also responsible for the contents of the Trustees' report, and the statutory responsibility of the Independent Examiner in relation to the Trustees' report is limited to examining the report and ensuring that, on the face of the report, there are no material inconsistencies with the figures disclosed in the financial statements.
Method of preparation of accounts - Small company provisions
The financial statements are set out on pages 17 to 27.
The financial statements have been prepared implementing the Charities: Statement of Recommended Practice (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK (FRS 102)) issued in October 2019 (Charities SORP (FRS 102) and the Companies Act 2006

Report of the Independent Examiner to the Trustees of the charitable company on the accounts for the year ended 30 September 2021
I report on the financial statements of the charitable company on pages 17 to 27 for the year ended 30 September 2021 which have been prepared in accordance with the Charities Act 2011 (the Act) and with the Charities: Statement of Recommended Practice (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK (FRS 102)) issued in October 2019 (Charities SORP (FRS 102) and the Companies Act 2006), under the historical cost convention and the accounting policies set out on page 21.
Respective responsibilities of Trustees and Independent Examiner
As described on page 14, the charitable company's Trustees, who are also the Directors of the Company for the purposes of Company law, are responsible for the preparation of the financial statements.
The Trustees consider that the audit requirement of Section 144(1) of the Charities Act 2011 (the Act) does not apply, and that there is no requirement in the memorandum and articles of the charity for the conducting of an audit, and that the accounts do not require an audit in accordance with Part 16 of the Companies Act 2006 and that no member or members have requested an audit pursuant to section 476 of the Companies Act 2006. As a consequence, the Trustees have elected that the financial statements be subject to independent examination.
Having satisfied myself that the charity is not subject to audit under any legal provision, or otherwise, and is eligible for independent examination, it is my responsibility to:

a) examine the accounts under section 145 of the Act;

b) follow the procedures in the General Directions given by the Charity Commission under section 145(5)(b) of the Act; and;
-
c) state whether particular matters have come to my attention.
Basis of Examiner's Statement and scope of work undertaken
I conducted my examination in accordance with the General Directions issued by the Charity Commission for England & Wales, under section 145(5)(b) of the Act, setting out the duties of an Independent Examiner in relation to the conducting of an Independent Examination. An Independent Examination includes a review of the accounting records kept by the charitable company and of the accounting systems employed by the charitable company and a comparison of the financial statements presented with those records. It also includes consideration of any unusual items or disclosures in the financial statements, and seeking explanations from you, as Trustees, concerning such matters. The purpose of the examination is to establish as far as possible that there have been no breaches of charity legislation and that the financial statements comply with the SORP, on a test basis, of evidence relevant to the amounts and disclosures in the financial statements.
The procedures undertaken do not provide all the evidence that would be required in an audit, and information supplied by the Trustees in the course of the examination is not subjected to audit tests or enquiries, and consequently I do not express an audit opinion on the view given by the financial statements, and in particular, I express no opinion as to whether the financial statements give a true and fair view of the affairs of the charity, and my report is limited to the matters set out in the statement below.
I planned and performed my examination so as to satisfy myself that the objectives of the Independent Examination are achieved and before finalising the report I obtained written assurances from the Trustees of all material matters.
Subject to the limitations upon the scope of my work as detailed above, in connection with my examination, I can confirm that:
In accordance with Regulation 31 of The Charities (Accounts and Reports) Regulations 2008, (The Regulations) the accounts of this charitable company are not required to be audited under Part 16 of the Companies Act 2006.

1 Accounting policies
Policies relating to the production of the accounts.
Basis of preparation and accounting convention
The financial statements have been prepared in accordance with the Charities: Statement of Recommended Practice (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK (FRS 102)) issued in October 2019 (Charities SORP (FRS 102) and the Companies Act 2006.
Never Such Innocence Limited meets the definition of a public benefit entity under FRS 102. Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy note(s). Policies relating to categories of income and income recognition.
Nature of income
Income is recognised when the charity has entitlement to the funds, any performance conditions attached to the item(s) of income have been met, it is probable that the income will be received and the amount can be measured reliably.
Income recognition
Income is included in the Statement of Financial Activities (SoFA) when:

the charity becomes entitled to the resources;
-
it is more likely than not that the trustees will receive the resources;
-
the monetary value can be measured with sufficient reliability.
Gift Aid
Gift Aid receivable is included in income when there is a valid declaration from the donor. Any Gift Aid amount recovered on a donation is considered to be part of that gift and is treated as an addition to the same fund as the initial donation unless the donor or the terms of the appeal have specified otherwise.
Grants and Donations
Grants and donations are only included in the SoFA when the general income recognition criteria are met (5.10 to 5.12 FRS102 SORP).
Donated goods, facilities and services
Donated services and facilities are included in the SOFA when received at the value of the gift to the charity provided the value of the gift can be measured reliably. Donated services and facilities that are consumed immediately are recognised as income with an equivalent amount recognised as an expense under the appropriate heading in the SOFA.
Government Grants
The charity has received government grants in the reporting period. Grants received are recognised in the period in which they become receivable.
Volunteers
In accordance with the SORP, and in recognition of the difficulties in placing a monetary value on the contribution from volunteers, the contribution of volunteers is not included within the income of the charity. However, the trustees value the significant contribution made to the activities of the charity by

unpaid volunteers and this is described more fully in the Trustees Report.
Liability recognition
Liabilities are recognised where it is more likely than not that there is a legal or constructive obligation committing the charity to pay out resources and the amount of the obligation can be measured with reasonable certainty.
Governance and support costs
Support costs have been allocated between governance costs and other support. Governance costs comprise all costs involving public accountability of the charity and its compliance with regulation and good practice.
2 Liability to taxation
As a registered charity, the organisation is exempt from income and corporation tax to the extent that its income and gains are applied towards the charitable objects of the charity and for no other purpose. Value Added Tax is not recoverable by the charity and is therefore included in the relevant costs in the Statement of Financial Activities.
3 Winding up or dissolution of the charity
If upon winding up or dissolution of the charity there remain any assets, after the satisfaction of all debts and liabilities, the assets represented by the accumulated fund shall be transferred to some other charitable body or bodies having similar objects to the charity.
4 Government Grants
The charity received government grants through the coronavirus job retention scheme during the financial year. Further grants were received through the Culture Recovery Fund during the early part of the 2020/21 financial year.

Of the four staff all were members of a defined contribution pension scheme throughout the year. The organisation continues to provide a defined contribution scheme to its employees with an anticipated commitment in the 2021/22 financial year of £3,729.
7 Remuneration and payments to Trustees and persons connected with them
Lady Lucy French received payment for Chief Executive services including remuneration of £53,772 during the 2020/21 financial year (2019/20 £55,141) for services as a member of staff not as a trustee.
The Charity received confirmation on 16[th] October 2019 from the Charity Commission that the payment for services as an employee has their approval.
