## Report of the Trustees 

For the year ended 31 October 2022 

The Trustees, who are also directors for the purposes of company law, have pleasure in presenting their report and the financial statements for the charitable company for the year ended 31 October 2022. The Trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and the Republic of Ireland (FRS 102) (effective 1 January 2019). 

## **OBJECTIVES AND ACTIVITIES** 

## **Objectives and aims** 

The trustees have considered the Charity Commision's guidance on public benefit, including the guidance 'public benefit: running a charity (PB2)'. 

The charity exists for the purpose of nurturing an interest and participation in the classical arts, in particular opera, amongst communities of colour in the UK and beyond. 

The Black British Classical Foundation addresses the situation where ethnic minorities are underrepresented in the field of opera and the Classical arts in general. Across society, powerful role models can inspire future generations, whether it is in sports, science, or the arts. 

By fulfilling this need we hope to encourage minority audiences to see possibilities for themselves, to say, Yes, I too can do that Our work takes us to engage with many different communities including schools, prisons, places of worship including churches, and the health and caring communities. 

However, our major project is a biannual competition Voice OF Black Opera’ for Black and South Asian singers from the British Commonwealth. 

## **ACHIEVEMENTS AND PERFORMANCE** 

## **Significant activities** 

Creating platform performances for emerging Black & South Asian artists. Developing community interest in Opera and Classical Music Development of a young men’s choir The demystification of Opera 

Voice Of Black Opera -  an international opera competition to find the best voice from the Commonwealth.

## **Achievements against objectives** 

The Serpentine Concert - The Annual Summer Concert 

The annual Summer Concert is given by the BBCF in celebration of the Serpentine Summer Pavilion. This is an annual event to build awareness and funds for the BBCF and to showcase some of the rising talent. Alternative years as in this year, we presented the winners of the  Voice Of Black Opera. 

## Voice of Black Opera - Biannual Competition 

VOBO. This is the BBCF Flagship event that happens every two years. After a call out for talent from around the Commonwealth, for professional opera singers of African or South Asian origins, a series of heats are held. Once the final five finalists are found, they go forward to a Gala Concert with a full orchestra where they have twenty minutes to impress the judges. 

There are two prizes, the Sir Willard White Award, for the overall winner and the Samuel Coleridge Taylor Award for the best rendition of a composition by a Black composer. This is a compulsory element that each contestant must perform in their repertoire and can be sung in Mother Tongue. 

## Black History Month 

Our annual performances that we take to corporate companies and also in Birmingham & Bristol. We also present at Weil Gotshal & Manges LLP and the American Embassy in London. 

## The Christmas Concert - 

As it says on the tin! BBCF end-of-year event where we take a traditional Christmas programme of Carols and Readings but with a twist. This year the title of the programme was "Point Of View." We looked at characters that must have been at the birth of Christ but were not spoken or written about in the Bible. BBCF did! 

We looked at Joseph's mother, who loved Mary until she heard she was pregnant and to say that it was God and not Man who made her pregnant. 

She was not best pleased and let Mary have the rough edge of her tongue however, she praised Joseph as a wonderful human being and well-brought-up man to take on a woman and her child that was not his. We looked also at the Shepheard and the Kings giving them a makeover. These stories were raped in wonderful music. 

Apart from our major events above we work in Schools presenting music programmes, old peoples home and Black Community clubs. Paid Weddings and Funerals are also part of our work.

## **STRUCTURE, GOVERNANCE AND MANAGEMENT** 

## **Recruitment and appointment of trustees** 

Appointment of directors 

34 The charity may by ordinary resolution: 

(1) appoint a person who is willing to act to be a director, and 

(2) determine the rotation in which any additional directors are to retire. 

35 No person other than a director retiring by rotation may be appointed a director at any general meeting unless: 

(1) he or she is recommended for re-election by the directors, or 

(2) not less than fourteen nor more than thirty-five clear days before the date of the meeting, the charity is given a notice that: 

(a) is signed by a member entitled to vote at the meeting, 

(b) states the member’s intention to propose the appointment of a person as director, 

(c) contains the details that, if the person were to be appointed, the charity would have to file at Companies House, and 

(d) is signed by the person who is to be proposed to show his or her willingness to be appointed 

36 All members who are entitled to receive notice of a general meeting must be given not less than seven nor more than twenty-eight clear days’ notice of any resolution to be put to he meeting to appoint a director other than a director who is to retire by rotation. 

37 (1) The directors may appoint a person who is willing to act to be a director. 

(2) A director appointed by a resolution of the other directors must retire at the next general meeting and must not be taken into account in determining the directors who are to retire by rotation. 

38 The appointment of a director, whether by the charity in general meeting or by the other directors, must not cause the number of directors to exceed any number fixed as the maximum number of directors. 

c) Objectives and activities 

Black British Classical Foundation is incorporated to advance, and create opportunities for Black and South Asian professional opera singers. We also work in the development of new audiences from the said community.

I report to the trustees on my examination of the accounts of the charitable company for the year ended 31 October 2022. 

## **Responsibilities and basis of report** 

As the charity Trustees, who are also directors for the purposes of company law, are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act'). 

Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts carried out under section 145 of the Charities Act 2011 ('the 2011 Act').  In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act. 

## **Independent examiners statement** 

I have completed my examination.  I confirm that no matters have come to my attention in connection with the examination giving me cause to believe that in any material respect: 

1. accounting records were not kept in respect of the Company as required by section 386 of the 2006 Act; or 

2. the accounts do not accord with those records; or 

3. the accounts do not comply with the requirements of section 396 of the 2006 Act other than any requirement that the accounts give a 'true and fair view' which is not a matter considered as part of an independent examination; or 

4. the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102). 

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

## **1. Accounting Policies** 

## **Basis of accounting** 

The financial statements have been prepared under the historical cost convention, except for investments which are included at market value and the revaluation of certain fixed assets and in accordance with the Charities SORP (FRS 102) ‘Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102), and the Companies Act 2006. 

BLACK BRITISH CLASSICAL FOUNDATION LIMITED meets the definition of a public benefit entity under FRS 102. Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy note(s). 

## **Incoming resources** 

All incoming resources are included in the statement of financial activities when the Charity is entitled to the income and the amount can be quantified with reasonable accuracy.  The following specific policies are applied to particular categories of income:
