governed by its memorondum and articles of association, incorporaled in Englond and
Wales.

All trustees receive on induction into Everybody Sport & Recreation and receive Ihe
appropriate popew0￿. During the year the popepwork hos been renewed to assist
both new and established tnjslees. In addilion. we hove embarked on a programme of
development including tt)e affongement of CPD workshops and away days for Irustees.
These sessions focus on govemance issues for trustees including finance, structure ond
strategic planning.
The Trustees follow wherever appficable the Chority Commission best practise and follow
o full internol governonce process based upon all elements of the Charity Commission
Governance Code.

Each Trustee holds o place on one of three subcommittees. People and Governance,
nance and Risk and Customers and Partners. These sub committees take a detailed look
at certain area5 of the business each quarter and then take reports regarding Ihese areas

to prepare financial statements for each financial year. Under that law the trustees hove
elecled to prepore Ihe financial statements in accordonce wilh United Kingdom Generally
Accepted Accounting Practice {United Kingdom Accounting Standards and applicable
lawl. Under company law. the tTUStees must not approve the financial statemenls unless
they are satisfied thal they give o true and fair view of the state of affairs of the charitable
company and of the incoming resources and application of resources, including the
income and expenditure. of the charitable company for the year. In preparing these
financial stotemenls, the Irustees are required to:

The trustees are responsible for keeping adequate occounling records that are sufficient
to show and exploin the charitable company's transactions and disclose with reosonoble
accuracy, at any time. the finonciol position of the charitable company and to enable
them to ensure that financial stotements comply with the Companies Acl 2006. They
ore also responsible for safeguarding the assets of the charitable company and hence for
taking reasonable sleps for the prevention and detection of fraud and other ￿egUlaritieS.

There is no relevant audit information of which Ihe charitable company's ouditor is
unaware; and
The trustees have taken all steps that they ought to have taken to make themselves
aware of any relevant oudit information and to establish that the auditor is aware of
that information.
Pubmc Benefit
The Trustees of Everybody Sport & Recreation have complied with their duty to have due
regard to the guidance on Public Benefit pvbfished by the Charity Commission in exercising
their powers and duties. All activities hove been undertaken to further Everybody Health
& Leisure's purpose lo ensure the promotion and preservation of good health, including
but nol limited to through community participation in healthy recreation. Activities are not
arranged to provide any financial relurn to members.
Reserves Pollcy Slalement
Rese￿eS are the resources that o charity has. or can make ovailable to spend. for all of the
charity's purposes. The SORP explains the term "ieserves" it describes them os that part of
o chority's funds Ihat are freely avoilable.
The Charity Commission guidance, CC19, explains thot designaled funds should be
considered when reviewing the charity's reserves. allhough these are not part of the general
reseryes. Funds need to be properly designated for a defined purpose, which should be
explained n the notes to the accounts.
Posl Ihe COVID pandemic. the Tnjstees hove agreed a new Trust's reserve policy and have
concluded to aim to hold enough free reserves using a risk based approach to ensure thot
the Trust ￿ able to continue ol operations and services for a short period should a significant
part of our income not be realised. Our current unreslricted reserves at the end of March
2023 have reduced from £334.554 (os restated) to £304,3J), with our unrestricted designated
rese￿e5 position moving from £163,109 to £644.705 and restricted funds of £19,451 .
While the operation of the defined benefit pension scheme doe5 create a financial risk for
the organisation, any deficit or surplus in the scheme can be managed over the medium
term and so has no immediole impacl on ourcashflow requirements. Any Exit Contributions
paid by the Contractor {Everybodyl will be funded by Cheshire Eost Council through Ihe
Management Fee, where an Exil Contribution 15 paid and there is no future Annual Payment
due, the Authority shall make an appropriale additional payment to Everybody. Any risks
associoted wilh changes in the level of pension scheme assets and liabilities are therefore
disregarded for reserves poky purposes.

Rlsk Monagemenl
The Trustees are fully aware. and take very seriously their responsibility for identifwng,
ossessing and managing the risks of Everybody Sport & Recrealion. Risks are identified by
the Executive Management Team and reported via the Risk Register to the Trustees.
There are several principal risks and uncertainties.
The level of the management fee poid to Everybody Heollh & Leisure by Cheshire East
Council. This fee is negotiated every year and ongoing efficiencies are expected
IT system failure - the IT systems are large ond complex with manual inlerfaces
be￿een systems. we have sel up o designated fund in ￿der to reduce the risks in this
area.
The Risk Register is considered on o qvortety basis by the Finance and Risk Sub Committee,
Ihe likelihood of the risk occurring. the impact of such a risk and any mitigating action
requiredltaken is considered and llsks scored then RAG {Red, Amber, Green} rated.
Red/High Risks are reported to the full board. The subcommillee take a fulty detailed review
of every risk on the register on an annuol basis.

The policy of Everybody Health & Leisure has been to invest Surplus funds in the growth of
the business. Our aim is to invesl SLrplus funds in the security and sustainability of the business
ond to the benefit of the publlc.

fixed term bond. This meels the objective of a higherrelum thon average deposit occounts.
without risking the funds. while maint(ining moximum flexibility to fvnd new projects. The
trustees are mindful of the current low interest rate return on cash deposits and theirpolentiol
to fall below inflalion levels thereby etoding reseNes.
Results for the Yeor
Everybody Health & Leisure's finonces hove relurned to a surplu5 posilion, with an increose
in held reserves of £470.793. By Ihe end of March %)23, we have recovered to above pre-
pandemic levels wilh our fitness membership levels over 20,CKMJ arKI Learn to Swim Scheme

Our overall Income figure is £20,867.098. This includes £4.217.W in respect of Donotions for
the use of the leisure centres which remain under the ovrfnership of Cheshire East Borough
Council ond Holmes Chapel Paiish Council. In addition, £3,469.108 was received relating
to Grants ond Contracts, of whrh £2.720.$87 refers to income received from Cheshire East
Borough Council. In addition £247.021 was received to deliver 'Bikeability cycle training.
to 7.883 chldren ond £152.785 was received from Health portners to deliver a voriety of
programmes targeted al rnproving the fwes of those with bng term health conditions.
Income of £12,334,437 was received duriro the yeor from customers to our centres and
through delivering our conlracls. £803.396 trodiro income was received from our social
areas and our investment ncome in year was just £42,587.
Outgoing resources totomed £21.195.305 for the year, leaving us V￿th a Net Unrestricled
Expenditure of £347.658 and restricted income of £19,451 for 2022123. This Expenditure
includes a nOt￿n01 pension Sery￿e cost of £799.QKK). when this is removed. we are lefl with
a net operotiro uNestiicted surplus of £l10.469.
The total UTYeslricted Funds as at the end of 2022-23 ore £304,3￿ excluding our designoted
funds. which equate lo £644,705 105 detailed in Note 161.
Followng a review of the ComF)any's VATliabililies. osystem related omissionwas determined

Membership income has steadli y increased during the year to almost pre F)andemic levels
and continues to rise steadli y. Our Leam to Swim Scheme hos capitalised on the new
timetabling that we achieved throughout the vorious lockdown periods and is larger than
ever before with o large wailing ltst still to be brought on board. Costs are still being tightly
controlled.
On 01 November 2023 Cheshire East Council announced their intention to hold a public
consultation on their proposals under the Strategic Leisure Review to make significant savings
in the leisure sector. This consultation opened on tt)e 23 November 2023 and runs until the
7 Jonuory 2024 with the stoted aim of agreeing measures to save at leasl £479.CCQ on
commissioned leisure services. The Twstees hove considered the potential financial impact
on a period of al least12 months from the Balance Sheel signing date of 04 December 2023
and report no moterial uncertainty as a result. A deC￿lon is expected to be announced no
earfier than February 2024.
The Trustees and the Executive Monagement Team feel very confidenl about the future
and have full confidence in our Going Concem status.

by the chief executive and Senior Manogement Teams followed by an open Question and
Answer session to which all staff are encouraged to contribute.
To ensure that employees hove representotion we have established a "Developing
Everybody Group" that is made up from representative5 from all areas of the business at all
levels. Thi5 group comes up with ideas. initiatives ond hdds its own budget to be spent with
the remit of 'all employees benefit..
To encourage the involvement of employees in the comF)any's performance we have
implemented a Sharing in Success Scheme. Ihis enobles employees to oll receive a payment
should the company make a surplus.

risks included enquiries of management about their own identification and assessrnent of

estimales for biases, sample testing from grant documentation and sample testing of
membership fees from the membership datobase.

1.01 Basls of Preparatlon

standard 102 IFRS 1021 and follow Ihe recommendations in 'Accounting and Reporting by

The Trusl is a Pubfic Benefit Entity registered as a charity in England and Wales ond a
company limited by guorontee. It wos incorporaled on I I September 2013 (company
number: 086859391 and registered as a charity on 10 Morch 2014 {charity number. 11560841.

1.02 Golng Concem
The Trustees hove considered the financial position of the Tnjst, the levels of free reseNes
ond the 2023-24 budget: consequentty the Truslees believe that the charity is well-placed
lo manage it5 business risks successfully.
Historically. there has been a pension liability ￿lch exceeds Ihe net assets of the Trust.
Ihis Should not be inlerpreted as creating a state of insolvency. The liabikty does not result
in on immediate cosh commitment and the liobility is not expected to crystallise in the
foreseeable hjlure. Cheshire East Council provide a guarantee. in relalion to all eligible
employees, in respect of the Trust's pension obligotions. In 2022-23. it wll be noled that a
pension surplus has been generated. valuations are based upon reviews by external
actuaries engaged through the Local Govemment Pension Scheme.
In the event of the company winding up the Tnjstees may resolve thol any net assets of
Ihe Charity after all its debts and liabilities have been paid. be applied. or transferred
either directly for the objecls of the Charity. or to any institution which is or are regarded as
charitable for purposes similar to Ihe objects of the Chority or for use for particular pvrposes
that fall within the objects of the Charity. In no circumstances shall the net assets of the
Charity be paid to or distributed among the member5 of the Charity Under this Article 41.

1.03 Incomlng Resources
Income 15 credited to the Stotemenl of Financial Activities in the period in which it is
receivable. The income ond expenditure account is presented in the form considered most
appropriate to the current activities of the charity.
Donations ond Legacies include an amount equal to notional rental expenditure for the
Use of Cheshire East Council facilities. in addition to one building owned by Holmes Chapel
Parish Council.
Grants, including grants for the puichase of fixed assets. are recognised in full in the
Stotement of Financial ActFwties in the year in which they are receivable. Included within
the Grants and Contracts figure on the face of the accounts is the management fee paid
to Everybody by Cheshire East Council.

The onnual depreciation charge for tangible assets is sensitive to changes in the estimated
useful economic lives and residual volues of the assets. The useful economic lives and
residual volues are re-assessed onnually. They ore amended when necessary to reflect
currenl estimates. based on technological advancement. future investments, economic
utilisalion and the physical condition of the asset5. See Note 12 for the carrying amount of
the property, plant and equipment. and note 1.07 & 1 .08 for the useful economic lives for
each closs of a55ets.
Iiil Impairment of debtors
The company makes an estimate of tt)e recoverable value of trade and other debtors.
When assessing impairment of trade and other debtots, management considers factors
including the cuffent credit rating of the debtor. the ageing profile of deblors ond historical
experience. See note 13 for the net carying amounl of the debtors and associated
impairment provision.
Iiii) Actuarial Assumptions
Everybody Health & Leisure has obligations to pay pension benefits to certain employees
who are member5 of a Local Government Pension Scheme. The cost of these benefits and
the present value of the obligation depend on several factors including life expectancy.
solary increases and the discount rale on corporate bonds. Management estimates these
foctors in determining the net pension obligation in Ihe Statement of Financial Position. The
assumptions reflect historrcal experience and current trends.

1.14 Pensk>ns
The Trust participates in the Local Govemment Pension Scheme (LGPS). with Cheshire
West and Chester Council operating as the Administering Authority. The LGPS is a defined
benefit scheme. The schemes assets are held separately from Ihe assets of the Trvsl and are
administered by trustees and managed professionally.
Pension scheme assets are measured on on ocluoriol bosis using the projecled unit method
and discounted ato rate equivalentto ttie currentrate of return on a high-qualitycorporate
bond of equivalent term and currency to the liabli ities. The actuarial valuotions are obtained
annually and updated at each Balance Sheet dale.
A liabilily is recogni5ed in the Balance Sheet in respect of the scheme ￿lch represenls
the present value of the defined benefit obligation at ttie balonce sheet date less the fair
value of the scheme assets. A full valuotion ol the liability is calculated by an independenl
actuary every Ihree years using the projected units method. The present value of the
defined benefit obligation is determined by discounting the estimated future cash ovtfiows
using interest rates of high-quality corporate bond5 that are denominated in the currency
in which the benefits will be paid and that have the terms to maturity approximating to the
lerms of the related pension obligalion. Actuarial gains and bsses are recognised in the
Stalement of Financial Activities in the year thal Ihey arise. Where changes to the Scheme
have resulted in post service cosls, these ore recognised immediately in the Statement of
Financial Activitres.
Liabilities for the pension scheme are held by Chesh¥e East Council (the "Authority'l, and
ore covered in the Operoting Contract (section 19.01 which states that "To ensure that
Ihe Administering Authority does not require the Contractor to put in place any indemnity
or bond in respect of the E￿gible Employees, the Authority wll provide the Administering
Authority wilh o guarantee in a form acceptable to the Administering Authority and the
Contractor in respect of the Contract¢￿,5 obligations to the Administering Avthorrty in
respect of Eligible Employees"
Everybody Health & Leisure is reporting on opeiating surplus Frfror to the pension service
costs £91,018 as shown in note 1.16 below. The swrce costs and pension movements that
we ore required to show in our accounts vnder FRS 102 nJles include changes in actuarial
assumptions and other adjustments Ihot do riot impact on the operational cashflow of the
charity.
During the contract negotiations it was agreed with Cheshire Eost Council, that they would
indemnify the pension liability for all Everybody Heolth & Leisure, curTent and new staff, for
as long as the scheme remains open.
On 26 October 2018, the High Court handed down a judgment involving the Lloyds Banking
Group's defined benefit pension schemes. The judgment concluded the schemes should
be amended to equalise pension benefits lor men and women in relation to guaranteed
minimum pension benefits. The issues detemiined by the judgment arise in relation to many
other defined benefit pension schemes. The Tnjstees are aware that the issue will affect the
charity and will be making decisions as to the next steps in due cOu￿e. The Trustees have
not yet estimated the overau value of individual adjustments to the Scheme os a whole.
A follow up ruling on 20 November 2020 confvmed that members who hove historically
laken a transfer value now have to be included in GMP equalisation assessments ond top

Following o review of the charity's VAT liabilities. a system reloted omtssion was determined

An amount of £4,5QKI was received during 2022-23 arKJ hos been designated for continued
Use into 2023-24. This was received from the VCFSE (Voluntary, Community. Faith and Social
Enterprise and is being used to improve health and care outcomes for the residenls of
Cheshire East.
17. Related Party Transacllons
Everybody Health & Leisure has a close working relationship with Cheshire East Counci
ICECI, who nominate two of the eleven trustees of the charity. These two nominated
trijstees have equal voting rights with the other trustees.
In addition. o close working relationship has also been established wilh Holmes Chapel
Parish Council {HCPCI wth Everybody Health & Leisure investing in and operating the
Holmes Chapel Community Centre on behalf of the Pcyish Councl.

The above donations relate lo an amount calculated for use of the Borough and Partsh

East Council f￿ the delivery of various services within the facilities owned by Cheshire East
Council. This includes income relating to the purchose of bock office and IT support provided
by the Council on beholf of Everybody Heallh and Leisure (which is repaid as expenditure
identified as Choritoble Activities).

The foundation is treated as o Related Party as three of the truslees are also Everybody
Health and Leisure trustees. In addition, the fourth trustee is Ihe chief executive of Everybody

Cheshire East Councli have indemnified Everybody Health & Leisure's pension liabli ity
(refer to note 1.14). As at 31st March 2023 Ihe local government pension fund has a surplus
balance of £2.360.OCK). ffte projected amount to be charged to the Operating Profit in the
year to 31 March 2023 is expected lo be £2.763.CMX).

18. Defined Benefft Penslon Scheme
The charity continues to operole o defined benefit scheme which is now c105ed to new
employees. The scheme is part of the Local Government Pension Service ILGPSI, ond
"Everybody" has its own o55et5 held within the wder fund. An actuarial revaluation is corried
out every three years. The fund is adminislered by independent trustees who are responsible
for ensuring it is funded lo meet C￿￿ent and future obligations. the agreed contribution
rates for future years are 21.6% for employers and between 5.5% and l 0.5%. depending on
pay for employees.

The pension scheme has o surplus: this is reviewed through a reevaluotion of employer's
contribution ot each ttiannual review. This year's opening deficit has reduced in yeor from
£12.7m to a surplvs of £2.4m. However, to satisfy pension accounting rules under FRS102 in
relation to recognilion of a scheme asset. Ihe movement has been fimited in order not to
recognise an asset. thus the balance recognised at 31 March 2023 is £nil.
The scheme was fully funded at transfer, valued on an 'ongoing' basis. and is valued in
different ways by the octuary for different purposes:
The 'ongoing' basis of valuation is used by the acluary fo sel the funding strategy of the
scheme and the contribution rates for ttie scheme and uses a discount rate thal refiects
the assel mix tho* the fund invesls. with a degree of prudence. Iretum on government
bonds + outperformance l.6%1. FRS102 reporting requiremenl gives a more prescribed
calculotion of the discount rate stating, it must be 'determined by reference to market
