This Report has been prepared in accordance with the Statement of Recommended Practice - Accounting and Reporting by Charities {2005). STRUCTURE, GOVERNANCE AND MANAGEMENT FOR THE YEAR ENDED 30TH SEPTEMBER 2024 The Charily is constituted as a Company Limited by Guarantee, and is governed by a Memorandum and Articles of Association as a Charitable Company. It is registered with the Charity Commissioners under Charity No 1154154. In 2014, the operations of the Charity were transferred from Streatham Darby and Joan Club, a registered Chartty. The lease of the building used by the Charity lo provide its services remains the property of the onginal charity. The Company undertakes the wort( previously carried out. Management is in the hands of a Board of Trustees which usually meets at least 4 times a year and met four limes during Ihe 2023124 financial year (with any other necessary or urgent decisions made by the Chair andlor by Board members in electronic or telephonic communication. The Board currently consists of six Trustees. including one representative of the London Borough of Lambeth, and the Company Secretary Members of the Board retire each year in accordance with the terms of the Memorandum and Anicles of Association. but are eligible for r&election by ballot at the AGM. AIM AND OBJECTIVES The principal purpose of the Charity as set out in tts ¢onslitution is to promote the welfare of older people in Streatham and its environs in any manner deemed to be charitable. The Woodlawns Centre provides older people with a range of high quality services and activities that promote their independence, improve their health and well-being. value their diversty and help make later lrfe an enjoyable, fulfilling and more rewarding experience.
The Woodlawns Centre Trustees, Report PUBLIC BENEFIT The Board of Trustees has referred to the guidan contained in the Charity Commission's general guidance on public benefit when reviewing the Charity's aim and objectives and in planning its future activities. In particular, members of the Board of Trustees consider how planned activities will contrtbute to the aims and objectives that they have set. The Woodlawns Centre is Lambeth's original Community Hub vthich is part of the borough's Community Hubs Neork. This benefits not only the people and communty groups we provide services for but also the wider community through providing space for other chanties and members of the public to hold 5peaal events, functions, meetings and celebrations. Streatham had a strong community focus for much of the 20th century but a significant part of that began to disappear in the early 1990's for a number of locally-based reasons. Due to its long history in the community and ils status as a Community Hub, The Woodlawns Centre is perfectly placed and plays a major part In community life and cohesion for local people and the wider Slrealham and Lambeth communities. ACHIEVEMENTS AND PERFORMANCE Having reopened the Centre's doors (following restrictions due to the Coronavirus (Covid-19} pandemic and restrictions under the Coronavirus Act 2020 and subsequent variations to it) in late 2021 for hiring and early 2022 for members, the Board of Trust8es of The Woodlawns Centre have now been able to ensure that regular income was finally restored in 2022123 to its normal levels throughout the year for the first lime since 2018119 and grew further in 2023124. Our services for older people and the operation of the Charity are funded by lettings I rental of the premises. Whilst some of these leltings are purely activities for generating funds, others go towards meeting our objectives. Al the end of the period of this report, there were no offices vacant. We are still working towards the completion of our renovation plans. which will allow The Woodlawns Centre to provide a flexible and fil-for-purpose space for a variety of Gommunity meetings and events, as well as a unique venue in the local area for private functions includin9 weddings. We have continued refurbishments lo the main house including redecoratlng and new carpeting and these works are still ongoing. We continue to provide membership at a fee of £12 per annum. Viith additional fees charged for some activities and refreshmenls. We continue lo run a number of classes including seated exercise. line dancing. Popdance, games, quiz, day trips. Tai Chi. and our lunch club. These activities have proven to produce significant improvements in the heallh and well-being of older people. We have seen evidence of improvements in the older people who use our services and have also received positive feedback on the positive consequent impact on both their own family members and support neorkS as well as the wider Gommunity. Existing day to day services are being consistently reviewed and new services added where funding allows. We will also work with partners to provide activities in our premises that benefit our members. During the year, we have continued to work closely with partner organisations based at The Woodlawns Centre, which include Streatham Darby and Joan Club, Woodlawns Asian Group. Leigh Day Windrush Project and South London Refugee Association, as well as other local partner organisations including Outings for Older South Londoners. The Board of Trustees would like to express its gratitude to all its partners. FINANCIAL REVIEW The Trustees eonfimi that the financial statements comply viith current statutory requirements and wth the requirements of Recommended Practice Accounting and Reporting by Charities. The Company's activities are funded by lettings and events held at the premises and gmxll orant for •p•oifi¢ projGGta. We are much indebted to donors who have contributed £716. Lettings, income was £103,654 for the e1ve-MOnth period, which reflects OLrr objeclive to maximise revenue opportunities from the capital investment incurred over the years this was affected in this financial year by Coronavirus restrictions although less so than in the previous financial years {s above}. The Woodlawns Centre continues lo work closely with its partners. streatham Darby and Joan Club, the Woodlawns Asian Group, Outings for Older South Londoners. the South London Refugee Association, Da'aro Youth, The Lunch Club and Leigh Day Windrush ProieGt. The Board of Trustees acknowledges with thanks the help given in many areas by volunteers - in the period of this report, 12 volunteers gave a total of 1400 hours of volunteer time.

Report STATEMENT OF THE RESPONSIBILITIES OF THE TRUSTEES The Trustees (who are also Directors of The Woodlawns Centre for the purposes of company law) are responsible for preparing the Trustees, Report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice). Company law requires Trustees to prepare financial statements for each financial year which give a true and fair view of the state of the affairs of the charity and of the incoming resources and application of resources, induding the income and expenditure of the charity for that period. In preparing these financial statements, the Trustees are required to do the following, The Trustees are responsible for keeping proper accounting records that disclose with reasonable accuracy at any time the financial position of the charitable company and enable them to ensure that the financial statements comply with the Companies Acl 2006. They are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. The Trustees hereby declare the following.. COMPANY'S POLICY ON RESERVES The Trustees, policy on reserves is to build up reserves equivalent to three months, expenditure, in accordance with Charlty Commission guidelines. The Centre is now on a sound financial footing and is rebuilding these reserves for use for future capital works and maintenanGe. The impact of the Coronavirus is largely historic and we are now in a position to move fOard and meet ongoin9 Costs whilst also slowly building reseNes. RELATED PARTIES In 2004, the operations of the Charity were transferred from Streatham Darby and Joan Club, a registered Gharily number 254702. The lease of the building used by the Charity to provide its services remains the property of the original Charity. All other assets and liabilities were transferred in 2004. Streatham Dart)y and Joan Club Limited undertook the work previously carried out by the old Charity until this in turn was transferred to the Charity known as The Woodlawns Centre in 2014, A decision was taken at thé 2018 Annual General Meeting to dissolve the Streatham Darby and Joan Club Limited Charity (number 11062741 and Ihis work has recently been completed. This will leave the original Charity - Streatham Darby and Joan Club (number 254702) - and this Charity - The Woodlawns Centre (number 1154154) parties. as the only two still operational. These two charities operate with such a significant degree of control over each other that they do not operate independently of each other. i.e. they mèet the legal definition of relat8d The freehold of th8 Club premises at 16 Leigham Court Road. London, SW16 2PJ, was acquired by the London Borough of Lambeth in 1968,. the premises were leased to Streatham Darby and Joan Club (the old Charity) for a lem of fifty years at an annual rent of £1. In September 2008, a new 99-year lease was agreed beeen the London Borough of Lambeth and the Streatham Darby & Joan Club. Some administrative errors were belatedly discovered on the new lease which have been amended through a Deed of Variation agreed by the London Borough of Lambeth and registered with the Land Registry in 2021. RISK ASSESSMENT BY THE BOARD OF TRUSTEES Members of the Board of Trustees have undertaken a risk analysis and confirm that normal business and financial risks have been addressed, and that adequate insurance is in place. Intemal financial control8 mangge risk through the practice of procedures which rgquiro outhori)alion of all transactions. The organisation has effective policies and procedures which are regularfy reviewed to ensure that it effectively manages health and safety requirements. The risk assessment has been reviewed during this accounting period to take into account the capit21 development programme and will be reviewed on an annual basis when those works have been completed. This Report has been prepared in accordan the Statement of Recommended Practice Accounting and Reporting for Charities {issued in March 2005), the Financial Reporting Standard for Smaller Entities, and in accordan with the Special Provisions relating to small Gompanies within Part 15 of the Companies Act 2006. In the event that a donation is subject to conditions that require a level of performance by the charity before the charity is entitled to the funds, the income is deferred and not reGognised until either those conditions are fully met, or the fulfilment of those conditions is wholly within the control of the charity and it is probable that these conditions will be fulfilled in the reporting period. Expenditure All expenaiture is recognised once there is a legal or constructive obligation to that expenditure, it is probable settlement is required and the amount can be measured reliably. All costs are allocated to the applicable expenditure heading that aggregate similar costs to that category. Where costs cannot be directly attributed to particular headings they have been allocaled on a basis consistent with the use of resources. with central staff costs allocated on the basis of lime spent, and depreciation charges allocated on the portion of the asset's use. Other support costs are allocated based on the spread of staff costs. Raising funds These are costs incurred in attracting voluntary income. the management of investments and those incurred in trading activities that raise funds.

It includes both costs that can be allocated directly to Such activities and those costs of an indirect nature necessary to support them. Support costs Support costs include central functions and have been allocated to actlvlty cost categories on a basis consistent with the use of resources, for example, allocating property costs by floor areas. or per capita, staff costs by the time spent and other costs by their usage. Governance costs These include Ihe costs attnbutable to the charity's compliance wrth Gonstitutional and statutory requirements, Strategic management and trustees meetings and reimbursed expenses. Taxatlon The charity is considered to pass the tests set out in Paragraph 1 Schedule 6 of the Finance Act 2010 and therefore it meets the definition of a charitable company for UK corporation tax purposes. Accordingly. the charity is potentially exempt from taxation in respect of income or capital gains received within categories covered by Chapter 3 Part 11 of the Corporation Tax Act 2010 or Section 256 of the Taxation of Chargeable Gains Act 1992. to the extent that such income or gains are applied exclusively to charitable purposes. Investment propertle5 Investment propety is carried at historical cost. Trade debtors Trade debtors are amounts due from customer8 for merchandlse sold or services performed in the ordinary course of business. Trade debtors are r8cognised initially at the transactlon price. They are subsequently measured at amortised cost using the effective interest method, less provision for impairment. A provision for the impairment of trade debtors is established when there 15 objective evidence that the charity will not be able to collect all amounts due according to the original terms of the recelvables. Cash and cash equlvalents Cash and cash equivalents comprise cash on hand and call deposits. and other short-tem highly liquid investments that are readily convertible to a known amount of cash and are subject to an insignificant risk of change in value. Trade credltors Trade creditors are obligations to pay for goods or services that have been acquired in the ordinary course of business from suppliers. Accounts payable are classified as current liabilities if the charity does not have an unconditional right, at the end of the reporting period, to defer settlement of the creditor for at least tsvelve months after the reporting date. If there is an unconditional right to defer settlement for at least tsvelve months after the reporting date, they are presented as non-currenl liabilities. Borrowlngs Interesl-bearing borrowings are initially recorded at fair value. net of transaction Costs. Interest-bearing borrowings are subsequently Carried at amortised cost, with the difference between the proceeds. net of transaction costs, and the amount due on redemption being recognised as a charge to the Statement of Financial Activities over the period of the relevant borrowing. Interest expense is recognised on the basis of the effective interest method and is included in interest payable and similar charges.
