The trustees present their report and the financial statements for the year ended 31[st] May 2023. The trustees, who are also directors of Wortley Rugby Union Football Club Limited for the purposes of company law and who served during the year and up to the date of this report arc set out on page 1 - 2.
Structure, governance and management
Governing Document
The club is a company limited by guarantee, incorporated on 8[th] November 2011. The company was established under Articles of Association which establish the objects and powers of the company. In the event of the company being wound up the members arc required to contribute an amount not exceeding £ l. The club was granted charitable status on 16 October 2013.
The trustees form the management committee and have delegated the running of the club to the executive committee, which consists of the officers of the club who are elected annually.
The club was formed to take over the operations of Wortley RUFC, an unincorporated association which has been a rugby club in South Yorkshire formed in 2003 and playing regularly against local teams ever since.
Trustees
All trustees give their time voluntarily and receive no benefit from the club. The existing trustees are responsible for the recruitment and training of new trustees.
Risk management
The trustees have assessed the risks the club faces, considering both the likelihood of those risks and measures taken to manage them. Insurance is in place and finances arc kept under review.
Objectives and activities
The charitable objects are as follows: -

to promote community participation in healthy recreation by providing facilities for playing rugby union football and other sports (facilities means land, buildings, equipment and organising sporting activities);
-
to provide and assist in providing facilities for sport, recreation or other leisure time occupation of such persons who have need for such facilities by reason of their youth, age, infirmity or disablement, poverty or social and economic circumstances or for the public at large in the interests of social welfare and with the object of improving their conditions of life; and
-
to advance the education of children and young people through such means as the directors think fit in accordance with the law of charity.
Achievements and performance
The directors confirm that they have, when and where necessary to do so, paid regard to the Charity Commission's Guidance on Public Benefit when considering and making decisions.

Chairman's Report
This is the first time as Chairman of Wortley Rugby Union Football Club I have collated information from three distinct but inclusive groups within the Club. (I would like to thank Luke Goodwin, Reanne Cuttell and Den Plaistow for the contribution to this report and the unbelievable amount of time given to Wortley RUFC). It is very rewarding to be able to write about Women’s Rugby being played at Wortley and elsewhere. Our Junior sides are going from strength to strength but, unfortunately, our extremely successful U15 side did not continue into the U16 due to various reasons, none of which had any reflection on the Team Management by Pat Fitzpatrick. It’s a good job we still have more youth teams coming through. The Senior Team are becoming more professional with the intensity of the training regime from Paul Harrison, the match day focus with Aaron Naylor and Will Cuttell arranging great fixtures.
The ongoing stewardship of our pitches is going very well with Lee Marsh steering and driving the requirements. We still have some of the best pitches within the Yorkshire region.
The Seniors
The recruitment drive continued for Wortley Seniors during the 22-23 with some new faces adding to a fantastic group. Paul Harrison carried on the mantle as first team coach and set too improving not just our level of play but team ethics thus, enforcing the club’s ethos of everyone plays. The league structure started out well with us lining up fixtures with 12 teams, 24 fixtures in total, as the season went on some games were missed due to weather and numbers but all in all a positive season. Some fantastic wins against the likes of Dinnington at home and Wheatley Hills away were huge victories for the club, not just in terms of league position but also in the way it gave the team a huge lift. The team finished 5[th] in the merit league structure out of 17. Plans were discussed to join Yorkshire 4 after the 22/23 season but after a team discussion it was felt we needed one more year to galvanize a fairly new team, get some structure and then progress. Thus, no matter the league position during the 23/24 season Wortley will go up to Yorkshire 4.
In terms of personnel, we had a fantastic end to the season with some great results followed by our annual end of season awards:
Daniel Trainer, player of the season. Having won best new player last year it was not much of a surprise to see Dan take the top award. Hardly missing a game or minute and gave everything to the club. Attending pretty much every training session and contributing to a large number of Wortley’s tries during the 22/23 season.
Best new player, Dan Higgins . A fantastic addition to the team, his commitment and drive to play rugby has been a real driving force for Wortley’s season. We should also note he has brought in a new main sponsor for the Senior men’s and ladies’ team for the new kits.
Most improved, Brad Healey . Brad epitomizes how rugby should be played, with a keen eagerness to learn and contribute to the team alongside his respectful manner to his teammates, laws and opponents he is a real credit to Wortley RUFC and the game of rugby itself.
The 2022/23 season saw the end to Luke Goodwin Captaining Wortley RUFC, while still continuing to play he saw fit to hand over the mantle and give his time to other areas of the club. Michael Lynch will take the reins for the 23/24 season, a longstanding member of Wortley RUFC and a very worthy captain.

The Ladies
This is the first report, of many we hope, on Wortley RUFC Women’s Rugby Team. At last year’s AGM Reanne Cuttell was given the go ahead once more to try create a women’s team at Wortley. The start was tough, we heavily relied on word of mouth and women turning up, some weeks it was just Reanne, Hannah and the coaches but they continued to show up week after week and within a few months we were looking at double figures with new women giving rugby a go. The lady’s hearts were filled with so much happiness, they decided they were ready to try some friendly games of touch to see where they were in competitive terms, they have now played multiple teams and won every game that has been played and that has created our Rugby family. The Ladies have had plenty of socials over the last season and now have 22 Registered women on GMS who are now using tackle bags at training and gaining great ball handling skills. The most rewarding part of it all is our team ranges from age 14-50 and every single woman is treated with the same respect and is very much part of our team.
We have also been accepted into the Allianz inner warrior league thus showing we are now considered an official Ladies Rugby Team, and we some fantastic rugby clubs to play against. We have also got Wortley Womens first ever kit on the way, which was just a dream, but now it’s a reality!
Our coaches have been the best, Mick O’Toole & Will Cuttell - the pair of them work hard week in week out to make us the team we are and we know hand on heart all the women love both coaches they are so passionate for the sport and making this women’s team grow.
The Juniors
The beginning of season saw our junior teams back in action after the summer break, unfortunately we lost our u12 and u13 sides through lack of numbers, leaving us with u7 – u11’s and then u14’s and u15’s. Numbers for all of the other teams have been healthy and we have welcomed some new parent coaches who have risen to the challenge. The club’s junior section has had quite a variety of fixtures and have had to travel to ensure that our players have competitive rugby at the weekends with each team having between 18 -25 games for the season.
As we will all know the ethos of junior rugby from u12’s and below does not advocate a final score for the games however our teams have given a good account of themselves and there has been much posi5ve feedback for the opposing clubs.
The season saw the u14’s join with Rotherham u14’s due to some issues around numbers through injury. This was a successful union with some strong performances against some big clubs. This partnership came to an end a6er each side regained their numbers. The Wortley u14’s had some notable victories which included a narrow and hard-fought victory over West Yorkshire giants York. 22-21, victory over Mosborough 58-7 and Dinnington 3210. The U14’s Yorkshire Cup run was disrupted by the inclement weather in December with the games being decided on a coin toss and some games being forfeited. 3 of the U14’s have been nominated to attend the Yorkshire DPP and we look forward to have they faired in October.
The u15’s had a bright start to the season under coach Patrick Fitzpatrick and pushed their opposition every game with some unexpected landslide wins including Doncaster Knights, Thorne and Dinnington. Their Yorkshire cup run was successful and the final game may have led them into one of the group finals however due to lack of numbers on the day this proved not to be. Moussa Basry was the second player, following Bran Coleman to be selected for Yorkshire w hich is a great testament to the club, player and coaches. The u15’s attended the Harrogate Festival and came away with 2 losses and 2 wins and were awarded the team of the tournament for their sportsmanship and ethic.

Following such progression, it is with great disappointment that we will not see this team as an u16’s team Wortley. Many of the players were dual code players and have chosen to concentrate of Rugby league. Most of the union players have found new clubs and we wish then the best of luck for the future. The administration for the juniors has always been challenging with so few volunteers trying to manage so much. A special thanks goes to Ali Johnson who has worn many hats throughout the season. Finally, a big thank you to all of the coaches who have continued to commit their Sundays and for some team’s weekday evenings to coach their respective teams. We have a reputation for being a club that has installed the TREDS code of rugby and this is often mentioned by our visiting teams.
Conclusion
Wortley RUFC is not just about the players our entire ethos is about inclusivity and that everyone plays. However, in order for this to happen it totally dependent on volunteers and sheer commitment and dedication to the club. We are very fortunate to have so many wonderful volunteers who work so hard on Wortley RUFC’s behalf and if I could ask anything for the next season it would be that we can attract more volunteers to share the rewarding workload. As chairman, I would like to sincerely thank everyone who as contributed in any way to our success, and all we have achieved in this season, the commitment and dedication we see at Wortley is truly inspiring, any club is only as good as its members.

Statement of trustees' responsibilities
The trustees (who are also directors of Wortley Rugby Union Football Club Limited for the purpose of company law) are responsible for preparing the Trustees' Annual Report and the financial statements in accordance with applicable law and United Kingdom Generally Accepted Accounting Practice.
Company law requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charitable company and of the incoming resources and application of resources, including the income and expenditure, of the charitable company for that period. In preparing these financial statements, the trustees are required to:
-
select suitable accounting policies and then apply them consistently;
-
observe the methods and principles in the Charities SORP;
-
make judgments and estimates that are reasonable and prudent:
-
state whether applicable UK Accounting Standards have been followed, subject to any material departures disclosed and explained in the financial statements; and
-
prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charitable company will continue in operation.
The trustees are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the charitable company and which enable the m to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the charitable company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.
Small company provisions
This report has been prepared in accordance with the special provisions for small companies under Part 15 of the Companies Act 2006.

INDEPENDT EXAMINER'S REPORT TO THE TRUSTEES FOR THE YEAR ENDED 31[st] MAY 2023
I report on the accounts of Wortley Rugby Union Football Club Limited for the year ended 31[st] May 2023 set out on pages 3 to 14.
Respective responsibilities of trustees and independent examiner
The trustees (who are also the directors of the company for the purposes of company law) are responsible for the preparation of the accounts. The trustees consider that an audit is not required 1or this year under section 144(2) of the Charities Act 2011 (the 2011 Act) and that an independent examination is needed.
Having satisfied myself that the charity is not subject to audit under company law and is eligible for independent examination, it is my responsibility to:

examine the accounts under section 14-5 of the 2011 Act:
-
to follow the procedures laid down in the general Directions given by the Charity Commission under section 11-5(5Xb) of the 2011 Act; and
-
to state whether particular matters have come to my attention.
Basis of independent examiners statement
My examination was carried out in accordance with the General Directions given by the Charity Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from you as trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit and consequently no opinion is given as to whether the accounts present a 'true and fair view' and the report is limited to those matters set out in the statement below.
Independent examiner's statement
In connection with my examination, no matter has come to my attention:
(i) which gives me reasonable cause to believe that in any material respect the requirements:

to keep proper accounting records in accordance with section 386 of the Companies Act 2006; and
-
to prepare accounts which accord with the accounting records, comply with the accounting requirements of section 396 of the Companies Act 2006 and with the methods and principles of the Statement of Recommended Practice: Accounting and Reporting by Charities have not been met; or
(ii) to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.

The financial statements have been prepared and delivered in accordance with the provisions applicable to companies subject to the small companies’ regime and in accordance with FRS 102 Section 1A.
For the year ended 31[st] May 2023 the company was entitled to exemption from audit under Sections 475 and 477 of the Companies Act 2006 relating to small companies.
The members have not required the company to obtain an audit in accordance with Section 476 of the Companies Act 2006.
The trustees acknowledge their responsibilities for:

(a) ensuring that the company keep accounting records which comply with Section 386 of the Companies Act 2006.

1. ACCOUNTING POLICIES
The principal accounting policies are summarised below. The accounting policies have been applied consistently throughout the year and the preceding period.
Accounting Convention
The financial statements arc prepared under the historical cost convention and in accordance with the Financial Reporting Standard 102 Section 1A for Smaller Entities, the Statement of Recommended Practice Accounting and Reporting by Charities issued in March 2005 (SORP 2005) and the Companies Act 2006.
Incoming Resources
All incoming resources arc included in the statement of financial activities when the charity is entitled to the income and the amount can be quantified with reasonable accuracy. The following specific policies are applied to particular categories of income:
Voluntary income is received by way of grants, donations and gifts and is included in full in the statement of financial activities when receivable. Grants where entitlement is not conditional on the delivery of a specific performance by the charity, are recognised when the charity becomes unconditionally entitled to the grant.
Donated services and facilities are included at the value to the charity where this can be quantified. The value of services provided by volunteers has not been included. Income from the sale of kit is included in the year in which it is receivable.
Resources Expended
Expenditure is recognised on an accrual basis as a liability is incurred. Expenditure includes any VAT which cannot be fully recovered, and is reported as part of the expenditure to which it relates.
Costs of generating funds comprise the costs associated with attracting voluntary income and the costs of trading for fundraising purposes including the sale of kit.
Charitable expenditure comprises those costs incurred by the charity in the delivery of its activities and services for its beneficiaries. It includes both costs that can be allocated directly to such activities and those costs of an indirect nature necessary to support them. Governance costs include those costs associated with meeting the statutory requirements of the charity.
Stock
Stock is valued at the lower of cost and net realisable value.

2. TRUSTEES' EMOLUMENTS, ADVANCCES, CREDITS AND GUARATEES
No trustee received remuneration, expenses, advances or credits requiring disclosure in the period.
3. TAXATION
The charity's activities fall within the exemptions afforded by the provisions of the Income and Corporation Taxes Act 1988. Accordingly, there is no taxation charge in these accounts.

8. COMPANY LIMITED BY GUARANTEE
Wortley Rugby Union Football Club Limited is a company limited by guarantee and accordingly does not have a share capital.
Every member of the company undertakes to contribute such amount as may be required not exceeding £1 to the assets of the charitable company in the event of its being wound up while he or she is a member, or within one year after he or she ceases to be a member.
