The trustees present their report and the financial statements for the year ended 31** May 2021. The trustees, who are also directors of Wortley Rugby Union Football Club Limited for the purposes of company law and who served during the year and up to the date of this report arc set out on page | - 2. 

## Structure, governance and management 

## Governing Document 

The club is a company limited by guarantee, incorporated on 8" November 2011. The company was established under Articles of Association which establish the objects and powers of the company. In the event of the company being wound up the members arc required to contribute an amount not exceeding £ I. The club was granted charitable status on 16 October 2013. 

The trustees form the management committee and have delegated the running of[the][club][to][the][executive] committee, which consists ofthe[officers][of][the][club] who[are][elected][annually.] 

The club was formed to take over the operations of Wortley RUFC, an unincorporated association which has been a rugby club in South Yorkshire formed in 2003 and playing regularly against local teams ever since. 

## Trustees 

All trustees give their time voluntarily and receive no benefit from the club. The existing trustees are responsible for the recruitment and training of new trustees. 

## Risk management 

The trustees have assessed the risks the club faces, considering both the likelihood of those risks and measures taken to manage them. Insurance is in place and finances arc kept under review. 

## Objectives and activities 

The charitable objects are as follows: - 

- to promote community participation in healthy recreation by providing facilities for playing rugby union football and other sports (facilities means land, buildings, equipment and organising sporting activities); 

- to provide and assist in providing facilities for sport, recreation or other leisure time occupation of such persons who have need for such facilities by reason of their youth, age, infirmity or disablement, poverty or social and economic circumstances or for the public at large in the interests of social welfare and with the object of improving their conditions of life; and - to advance the education of children and young people through such means as the directors think fit in accordance with the law of charity. 

## Achievements and performance 

The directors confirm that they have, when and where necessary to do so, paid regard to the Charity Commission's Guidance on Public Benefit when considering and making decisions.

## Chairman's Report 

Well, here goes with a really strange review of our fantastic Wortley Rugby Union Football Club. What a terrible time for everyone with the outbreak of Covid-19. We stopped playing competitively nearly 18 months ago and are now only just starting again, however, some great things have occurred during this weird period of the club’s history. 

Due to the imposed restrictions, we have had to concentrate on the Club and not playing rugby. So, we have tried to improve our grounds and facilities while strengthening our core with new players both in the Senior team and across all Junior teams. 

Unfortunately, we have lost some of our key people in critical roles, like Brian Morrisey and Steve Brown who were fundamental in the initial birth of Wortley RUFC, but I am sure we will consolidate and grow stronger with new input. 

I think it’s only right that the progress with grounds & facilities are discussed. Tremendous work has been undertaken by the Grounds Sub Committee, and support from parents of the Junior Team. In particular Mario who did great work around the changing facilities with hardcore, steps and levelling off the area in front of the toilet block. 

This initial work ‘paved the way’ for our new shower block. Another big thank you must go to Lee Marsh and his great effort in dealing with issues arising with the pitches and the deterioration of the grass. It now looks like the pitches have recovered and they are now looking as green as ever. 

The Senior Team has seen an influx of welcome new blood mixing with the established older players training rigorously whenever we could, always in accordance with stages set out by Rugby England, which lead to our first silverware for the Club at Hemsworth. 

With regard to the junior sections, we have seen a year-on-year improvement with Den Plaistow and his team taking the Juniors to brilliant new heights. We also have the U14’s competing in the Yorkshire Cup and doing very well. 

Patrick Fitzpatrick needs praise for the organised sponsored walk on the ‘three peaks’ which generated funds for a scrummaging machine. Thanks also for all his efforts in establishing an Academy based approach for the older junior teams, hopefully leading to a pathway into the Senior teams. 

Our volunteers are our life blood not just of the club, but for the whole game and we need to treasure them. We are so blessed as a club to have so many wonderful volunteers who work so hard on our behalf, hopefully we can attract more over the coming season.

## Statement of trustees’ responsibilities 

The trustees (who are also directors of Wortley Rugby Union Football Club Limited for the purpose of company law) are responsible for preparing the Trustees' Annual Report and the financial statements in accordance with applicable law and United Kingdom Generally Accepted Accounting Practice. 

Company law requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charitable company and of the incoming resources and application of resources, including the income and expenditure, of the charitable company for that period. In preparing these financial statements, the trustees are required to: 

- select suitable accounting policies and then apply them consistently; 

- observe the methods and principles in the Charities SORP; 

- make judgments and estimates that are reasonable and prudent: 

- state whether applicable UK Accounting Standards have been followed, subject to any material departures disclosed and explained in the financial statements; and 

- prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charitable company will continue in operation. 

The trustees are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the charitable company and which enable the m to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the charitable company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. 

## Small company provisions 

This report has been prepared in accordance with the special provisions for small companies under Part 15 of the Companies Act 2006.

## INDEPENDT EXAMINER'S REPORT TO THE TRUSTEES FOR THE YEAR ENDED 31" MAY 2021 

I report on the accounts of Wortley Rugby Union Football Club Limited for the year ended 31** May 2021 set out on pages 3 to 14. 

## Respective responsibilities of trustees and independent examiner 

The trustees (who are also the directors of the company for the purposes of company law) are responsible for the preparation of the accounts. The trustees consider that an audit is not required lor this year under section 144(2) of the Charities Act 2011 (the 2011 Act) and that an independent examination is needed. 

Having satisfied myself that the charity is not subject to audit under company law and is eligible for independent examination, it is my responsibility to: 

- examine the accounts under section 14-5 of the 2011 Act: 

- to follow the procedures laid down in the general Directions given by the Charity Commission under section 11-5(5Xb) of the 2011 Act; and 

- to state whether particular matters have come to my attention. 

## Basis of independent examiners statement 

My examination was carried out in accordance with the General Directions given by the Charity Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from you as trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit and consequently no opinion is given as to whether the accounts present a ‘true and fair view' and the report is limited to those matters set out in the statement below. 

## Independent examiner's statement 

In connection with my examination, no matter has come to my attention: 

(1) which gives me reasonable cause to believe that in any material respect the requirements: 

- to keep proper accounting records in accordance with section 386 of the Companies Act 2006; and 

- to prepare accounts which accord with the accounting records, comply with the accounting requirements of section 396 of the Companies Act 2006 and with the methods and principles of the Statement of Recommended Practice: Accounting and Reporting by Charities have not been met; or 

(ii) to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.

## 1. ACCOUNTING POLICIES 

The principal accounting policies are summarised below. The accounting policies have been applied consistently throughout the year and the preceding period. 

## Accounting Convention 

The financial statements arc prepared under the historical cost convention and in accordance with the Financial Reporting Standard 102 Section 1A for Smaller Entities, the Statement of Recommended Practice Accounting and Reporting by Charities issued in March 2005 (SORP 2005) and the Companies Act 2006. 

## Incoming Resources 

All incoming resources arc included in the statement of financial activities when the charity is entitled to the income and the amount can be quantified with reasonable accuracy. The following specific policies are applied to particular categories of income: 

Voluntary income is received by way of grants, donations and gifts and is included in full in the statement of financial activities when receivable. Grants where entitlement is not conditional on the delivery of a specific performance by the charity, are recognised when the charity becomes unconditionally entitled to the grant. 

Donated services and facilities are included at the value to the charity where this can be quantified. The value of services provided by volunteers has not been included. Income from the sale of kit is included in the year in which it is receivable. 

## Resources Expended 

Expenditure is recognised on an accrual basis asa liability is incurred. Expenditure includes any VAT which cannot be fully recovered, and is reported as part of the expenditure to which it relates. 

Costs of generating funds comprise the costs associated with attracting voluntary income and the costs of trading for fundraising purposes including the sale of kit. 

Charitable expenditure comprises those costs incurred by the charity in the delivery of its activities and services for its beneficiaries. It includes both costs that can be allocated directly to such activities and those costs of an indirect nature necessary to support them. Governance costs include those costs associated with meeting the statutory requirements of the charity.
