The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 31 March 2024. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019). 

## **Summary** 

Mimbre had a very successful year from April 2023 to March 2024 restaging and touring two successful shows nationally and internationally, taking part in several exciting, cross-artform artistic collaborations, co-producing a series of short-film reaching over 125,000 online audiences and running an impressive youth programme and artist development programme. All of this despite working against a backdrop of reduced funding and a difficult arts landscape.

## **Highlights of the year include:** 

- Touring two highly successful outdoor shows, _Look Mum, No Hands!_ and _Lifted_ to UK and European outdoor festivals and schools reaching over 13,400 live audiences. 

- Creating six fun and informative short films with Daryl & Co, Look Mum, Let’s Talk About Disability, reaching over 125,000 audiences online and shared by several Disabled influencers helping to shape conversations around disability. 

- Casting and choreographing a team of circus performers to be filmed for an episode of the internationally acclaimed adaptation of _Malory Towers_ for the BBC. 

- Continuing our artistic relationship with designer Shona Heath through an extraordinary photographic essay and short film collaboration _The Still Life of A Peach_ . 

- Running three successful terms of Mimbre Youth with over 45 regular participants per term, with additional outings and extracurricular activities with Cirque du Soleil, the National Centre for Circus Arts and Shakespeare Walk Adventure Playground 

- Investing in extended training for a new core team of acrobats, including Joint Artistic Director Silvia Fratelli, to raise our trio acrobatic skills to world-class levels. The new high-level skills were celebrated through social media posts and a fun photoshoot at London’s South Bank, with several reels reaching over 50,000 views. 

- Supporting Mimbre’s wider pool of performers and associates with continued professional development and support through acrobatic research weeks, regular group training and personalised mentoring. 

We would like to thank our funders and supporters Arts Council England, Wilmcote Charitrust, the Rank Foundation, Chapman Charitable Trust, Ford Britain Trust, Tesco Stronger Starts and all our youth programme donors. 

Over the year the organisation’s income was £212,431 (2022/2023: £240,571) and total expenditure was £239,026 (2022/2023: £256,231). Mimbre spent some of our reserves on artistic projects, leaving us with £72,267 (2022/2023: £98,862), which is still well in excess of our operational reserve level of £35,000. 

Looking forward to 2024/2025, both _Lifted_ and _Look Mum, No Hands!_ have toured again, with new show _Weight(less)_ thrilling audiences up and down the country.

## **About Mimbre** 

Mimbre are a female-led producing company, creating acrobatic theatre for outdoor and unusual settings, touring nationally and internationally, with a strong digital presence. We collaborate across the Creative Industries, as consultants and creators. We run a vibrant local youth programme and an Artist Development Programme for physical performers. 

We use circus and movement innovatively as a physical language to illuminate human connections. We pull down barriers to reach beyond social, financial, and cultural boundaries and facilitate everyone’s place within the arts. In all our work we challenge gender stereotypes and promote a positive, diverse, and inclusive image of cis and trans women as well as non-binary people. 

We make at least two productions each year, including at least one tour, typically reaching around 20,000 live audiences. In the last five years, our digital reach has been 3.5M. 

Our youth programme, Mimbre Youth, is rooted in the communities of our local borough of Hackney. It includes classes, community days, performance projects and progress routes. It is a place where young people can express themselves creatively, gain confidence and work as a team. Mimbre Youth focuses on access, inclusion and excellence, and pulls down barriers to enable every child to thrive, regardless of means or abilities. 

Our Artist Development Programme advances circus and leadership through professional development initiatives, artistic research and knowledge sharing. We focus on mid-career performers, women, non-binary artists and those from under-represented backgrounds. 

A collaborative approach permeates all aspects of our work, from our company structure to our relationship with our performers, audiences and participants. Working with a wide variety of artists, technical innovators and educators, across art forms and borders allows us to continuously enhance our artistic vocabulary and create bold, challenging and highly skilled work.

## **OBJECTIVES AND ACTIVITIES Activities and Achievements Productions and touring** 

We toured two existing shows, _Lifted_ and _Look Mum, No Hands!_ during the summer of 2023, while also beginning the creation of our new touring three-hander, _Weight(less)_ through a series of Research and Development periods and audience engagements. 

## **Look Mum, No Hands!:** 

_Look Mum, No Hands!_ is a tender tale of friendship and growing up. It explores a coming-of-age story about two friends testing their own boundaries. Together they explore freedom, taking risks and independence. They see how those things change, depending on who you are. 

Risk is a sliding scale. What seems risky to you might feel comfortable to someone else. Yet every day we take small risks that help us to grow, until – one day – the things we once thought were risky now feel like the norm. _Look Mum, No Hands!_ playfully explores ideas of vulnerability, strength and independence, with striking physical imagery that will linger in people’s minds. 

The production takes creative advantage of the fact that one character uses a wheelchair to make acrobatic shapes and choreographies that are original and unexpected. We see the two friends play, gently pushing the boundaries of what is possible, until together they find the perfect balance of each of their limits. 

Our co-production with Daryl & Co, _Look Mum, No Hands!_ , was out for its second year and continued to wow crowds, travelling to music and street festivals, schools, libraries and to its first international booking, Spoffin in the Netherlands. Due to demand and an additional schools tour we expanded the cast to have two teams on the road, including Danielle Summers, Kat Ball, Maiya Leeke and Emma Saunders. Luckily this also made us more resilient in the face of an acute cast illness early on in the tour, where we were able to keep inclusion and support of the performers at the heart of the production, while navigating injuries and complex health issues.

## **Lifted:** 

Mimbre’s outdoor production _Lifted_ is a collection of funny, poetic and surprising moments, which explore in different ways what it means when one body is carried by another. Or when one person carries two people. Or when a person doesn’t want to be carried. Or when three people find the perfect balance. 

Created in collaboration with three guest choreographers, Yi-Chun Liu, HURyCAN and Gary Clarke, this captivating performance experiments with new approaches to Mimbre’s trademark acrobatics. _Lifted_ mixes dance, theatre and circus to celebrate the expressions and impressions that appear when three strong women move, lift and balance each other. 

Lifted was back out in summer 2023 for its fourth full year of touring. This year we welcomed two new cast members: Martha Harrison who is a long term Mimbre collaborator and one of our Associate Performers, and Helga Ehrenbusch, an Estonian Circus Artist, studying at the National Centre for Circus Arts in London. The team worked particularly well together acrobatically and we were able to include some outstanding new tricks in the show, refreshing it for a new year and new gigs.

While Weight(less) doesn’t offer solutions, the three acrobats provide reflections on the world we live in and the emotions we experience, inviting audiences of all ages and backgrounds to laugh, cry, and dream together. Join us for this joyful escape from the chaos of everyday life, celebrating the courage it takes to keep on going when times are tough.

Mimbre were involved with several exciting cross-artform projects over the year. 

## **Look Mum, Let’s Talk About Disability** 

Funded by The Space, Daryl & Co created a series of short films in collaboration with Mimbre and the artists from _Look Mum, No Hands!_ 

The six short films respond to common questions around disability asked by young people and raise awareness of the social model of disability in a playful and fun way. Aimed at young audiences but accessible to everyone. The concept came from our experiences of working with young people, fielding the many honest questions they are curious to ask about what it means to be disabled and a wheelchair user. It was a great opportunity for us to have the space to answer young people's questions in meaningful and creative ways. 

The films were very successful with more than 125,000 views by the end of the year.

## **Malory Towers** 

The _Lifted_ team - Silvia Fratelli, Martha Harrison, Helga Ehrenbusch - as well as circus performers Bibi and Bichu, Lucia Tong and Fraser Hooper, with Mimbre Joint Artistic Director Lina Johansson as circus choreographer, spent time in Devon filming for Series 5 of _Malory Towers_ (a King Bert and BBC children’s programme adapted from Enid Blyton’s books). We also arranged for performers from a local community circus, Cirque Du Ciel (now Cirk Hes), to join the shoot as background artists.

## **Flite** 

Lina Johansson worked as Movement Coordinator on Framestore’s short film _Flite_ in 2022 alongside Mimbre performers Freya Stokka and Jaide Annalise. 

_Flite_ premiered in May 2023 and went on to win prizes at several festivals, including the Soho London Independent Film 

Festival, HollyShorts Film Festival and Ignite Film Festival. _Flite_ attracted a lot of attention for its realistic animation and

## **The Still Life of a Peach** 

Lina Johansson worked as Movement Director on an experimental short film made by Oscar-winner designer Shona Heath, which also included Mimbre performers Alison Halstead, Danielle Summers and Helga Ehrenbusch. Mimbre’s previous employee Zsófi Szendrei was also in the studio working as part of the production team. _The Still Life of a Peach_ has already been featured as a photo essay in renowned Luncheon magazine and will be released as a short film in due course in 2024.

Additionally: 

- Lina Johansson and Silvia Fratelli ran a consent workshop as part of Immediate Theatre’s takeover of the Yard Theatre. This followed a performance of _Pressure Drop_ , a show that Immediate Theatre take to schools that includes themes such as school exclusion, knife crime and revenge porn. 

- In May 2023, Lina Johansson and Silvia Fratelli went to Cornwall to work with young performers from Cirque Du Ciel (now Cirk Hes) community circus, providing choreographic and dramaturgical support to a young trio with an upcoming performance at Glastonbury Festival.

## **Mimbre Youth Programme** 

Mimbre Youth is a programme for young people in Hackney to learn acrobatics, streetdance, circus and performance skills. Suitable for all levels, with a chance to learn new or improve existing acrobatics skills: rolls, cartwheels, handstands, flips, as well as  new dance moves and choreographies. In addition to weekly classes we regularly do group outings to see inspiring professional shows and performance projects where the young people can make their own choreographies and perform publicly! 

Throughout the year we ran three terms: summer 2023, autumn 2023 and spring 2024. The classes were incredibly successful with 45 regular participants each term and over 1,100 attendances overall. 

Each term we gathered feedback. Here are some highlights: 

Summer 2024: _“Aside from improving her physical strength and promoting the natural flexibility she has always had, my child has really benefitted from the process of setting personal goals and observing the techniques required to achieve them. She_ 

_has really learned the importance of practising techniques to achieve goals and has been trying to apply this to other areas of life where she has set targets. Mimbre has helped promote her physical health but also is teaching valuable life lessons!!”_ 

In autumn term 2023: 

- 98% of the young people enjoy the classes 

- 98% think they have got better and learned new tricks 

- 95% feel included 

- 100% feel comfortable trying new things 

- 95% have made new friends 

Spring term 2024: _"She is quite shy in public settings, but I feel this class is helping her grow in confidence Thank you!"_ 

In early April 2023, four of Mimbre’s young people attended the National Youth Circus Event and one young person also attended a CircUnity day at the National Centre following on from the Black History Month project NCCA ran in November 2022.

In June 2023, Lina Johansson ran a workshop and play-centred consultation with the young people at SWAPA (Shakespeare Walk Adventure Playground) about their new play-fence design. Following this we were also able to give SWAPA some of our old props and set items from 2018’s _The Exploded Circus_ , to be repurposed and used within the playground. 

In winter 2023/24 we ran a crowdfunding campaign for Mimbre Youth, raising £1,710 plus Gift Aid across our different platforms. As well as bringing in income so that we can keep offering bursary and concession places, we also found that the crowdfunding campaign helped to raise the profile for our youth programme, bringing in new partnerships and more long-term supporters. 

In January 2024, 50 people (young people and their families) were able to attend Cirque du Soleil’s _Alegria_ at the Royal Albert Hall with free tickets given by the company. Several parents said what a fantastic opportunity it was: _“a once in a lifetime opportunity for our family to go and see a show like that.”_ 

And finally a new youth assistant, Álvaro Grande, has joined Lina Johansson, Silvia Fratelli and long term streetdance teacher Natasha Khamjani in the team.

## **OBJECTIVES AND ACTIVITIES Artist and Sector Development** 

## **Acrolab** 

In March 2024 we ran another Acrolab at 101 Outdoor Arts - this was a chance for 17 female and non-binary acrobatic performers to come together and train at a higher level. Feedback included: _“I’m struggling with doing acro in spaces with men and really notice the difference in this space. Very grateful for this”_ 

## **Other artist support** 

Mimbre continued to prioritise the wellbeing of performers throughout all our work, and carried out the following activities as part of our Artist Development programme: 

- We ran six group acro sessions throughout the year in London, to continue to grow the skill level and team rapport of a core pool of female and non-binary performers. 

- Silvia Fratelli and Martha Harrison taught an acrobatic masterclass in Sweden in January 2024 at Rydal Circus School, to young aspiring performers. 

- Silvia Fratelli and Lina Johansson ran a week of movement classes for dancers, physical theatre and circus performers at Tripspace in London in February 2024. 

- Lina Johansson supported Odd Eyes Theatre with business strategy planning, and mentored Ria Ashcroft from the Circus Hub Nottingham as she directed her first bigger community performance. 

And throughout the year, Mimbre’s performer teams, especially for _Lifted_ and _Weight(less)_ continued to train regularly together, maintaining and improving their skills over more than 70 individual sessions. 

## **Sector support** 

Along with fellow circus and outdoor companies Upswing, Tangled Feet and Revel Pucks we ran a Safer Spaces training day in March 2024 for our employee and freelancer teams. This was a fantastic opportunity to learn some ways of approaching issues around harassment and abuse in the industry and work together to move towards solving them.

Lissy Lovett did a short talk on Mimbre’s approach to the menopause as part of ITC and Equity’s joint launch of Equity’s new menopause resource -  https://www.equity.org.uk/advice-andsupport/know-your-rights/creating-a-menopause-friendly-workplaceemployers-resource - 

and also took part in a podcast that can be heard here - https://theindependenttheatrepodcast.buzzsprout.com/. 

Silvia Fratelli attended Fresh 23 in Paris, an international three-day event for the development of contemporary circus and outdoor arts. The event was attended by around 400 people from across Europe and the world discussing, networking and attending talks, lectures and performances around the topics of care, safety and sustainability. 

Lina Johansson gave a lecture to the 3rd year BA Hons Degree students at National Centre for Circus Arts on the subject of reflecting your values in creation. 

The team also informally mentored several circus creators, gave talks and interacted with many other colleagues, fellow companies and industry bodies, including National Centre for Circus Arts, Circus Change Up, 101 Outdoor Arts, ITC, the Artist-led Network, Without Walls and Participatory Arts London. 

## **Organisational** 

Mimbre is proud to be a fair pay employer, pays its performers rates in line with those of the Independent Theatre Council / Equity agreement and is a member of the Living Wage Foundation. Mimbre is female-led and offers flexible working arrangements to retain talent. It considers developing strong female leaders to be part of its mission. 

Mimbre is led day-to-day by Joint Artistic Directors Silvia Fratelli and Lina Johansson, with Executive Director Lissy Lovett. During the year the company said goodbye to Marketing and Project Manager Zsófi Szendrei and Fundraising Manager Anna Strickland, but welcomed Communications and Administration Officer Brilla Sesay to the team. Helga Ehrenbusch was employed by the company on a Creative Worker visa. 

Mimbre takes the welfare of its performers very seriously and as well as the activities mentioned above under artist and sector support, physiotherapy treatment is arranged before any long rehearsal period or tour for all performers. Core performers are paid for group training sessions. Key freelancers are also paid to attend training sessions and any meetings. 

## **Environmental Responsibility** 

In summer 2023, Mimbre were asked to vacate our long-term storage in north London due to redevelopment plans. For a long time we have prided ourselves on reusing and upcycling our old sets, but this meant we had a whole shipping container with over 15 years of old sets, props and costumes. We decided it would make more sense both financially and environmentally if we slimmed down our own storage and offered up some of our resources to be used more immediately by other theatre or circus companies. We are proud to say that the majority of items in our shipping container were distributed to other producing companies and artists, with the last few set pieces incorporated into local adventure playgrounds, being given new life and joy by young people in our borough! 

In early 2024 we also offset the carbon footprint for our 2023 _Lifted_ tour through the Gold Standard platform. While we appreciate offsetting is not a perfect solution, we still see it as a step on the way towards greener touring.

## **FINANCIAL REVIEW** 

## **Financial position** 

In 2023/24 Mimbre's income was £212,431 (2022/2023: £240,571) and expenditure £239,026 (2022/2023: £256,231), giving rise to a planned deficit of £26,595. 

## **Income** 

## **Arts Council England** 

Mimbre is proud to be a National Portfolio Organisation and will remain so until March 2027. Mimbre’s funding from Arts Council England this year was £128,087 (2022/2023: £128,087). 

## **Trusts and foundations** 

Mimbre received £1,000 from the Golsoncott Foundation towards our production of Weight(less). We also received £500 from the Wilmcote Charitrust, £222 from the Rank Foundation, £1,000 from the Chapman Charitable Trust, £529 from Ford Britain Trust and £1,000 from Tesco Stronger Starts for the youth programme The Rank Foundation and Ford Britain Trust grants were specifically for equipment. 

## **Earned income** 

Mimbre’s earned income during this period was £78,541 (2022/2023: £88,614). This income comes from fees for shows, services, commissions and youth fees from those parents that can afford it. 

## **Donations** 

Mimbre received £2,722 in donations (2022/2023: £2,832). 

This includes a youth programme fundraising campaign in December 2023 which raised £1,710. 

## **Expenditure** 

Mimbre's overall expenditure during 2023/2024 was £239,026 (2022/2023: £256,231). This amount includes the salaries of permanent members of staff and the company’s overheads. The remainder of the company’s expenditure was spent on Mimbre’s projects, including production and touring work and the Youth Programme. 

## **Reserves policy** 

The total reserves of the company at the close of 2023/2024 are £72,267 (2022/2023 £98,862). This includes an operational reserve of £35,000 and £37,267 of additional unrestricted reserves. 

## **Trustees** 

Mimbre advertises for new Trustees on a regular basis. Applicants which meet the requirements of the organisation are invited to a Board meeting as observers and then if mutually agreed are inducted into the organisation and officially join the Board. 

Alice Wordsworth joined the board in May 2023, Ifunanya Ifeacho and Irene Butera joined in March 2024, Antonia Byatt joined in June 2024. Karen Petersen stood down from the board in July 2023 and Aramide Ogunlana stood down in September 2024.

Mimbre is a company limited by guarantee (company number 655042) and a registered charity (number 1153310). It is governed by a Memorandum and Articles of Association updated on 3rd June 2013. Mimbre gained charitable status in July of the 2013/14 year. 

## **Charitable Objectives** 

Mimbre's charitable objective is the advancement of the arts for the public benefit by promotion in particular, but not exclusively, of the art of drama. 

## **Management** 

The Board of Trustees governs the charity, meeting at least four times a year. The trustees delegate daily management of the Company to a management team, currently consisting of two Artistic Directors, Silvia Fratelli and Lina Johansson, and one Executive Director, Lissy Lovett. The company maintains an office at Unit 4, The Energy Centre, Bowling Green Road, London, N1 6AL.

I report to the charity trustees on my examination of the accounts of the Company for the year ended 31 March 2024. 

## **Responsibilities and basis of report** 

As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act'). 

Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under Section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under Section 145(5) (b) of the 2011 Act. 

## **Independent examiner's statement** 

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe: 

1. accounting records were not kept in respect of the Company as required by Section 386 of the 2006 Act; or 

2. the accounts do not accord with those records; or

## **1. STATUTORY INFORMATION** 

Mimbre Limited is a limited-by-guarantee company incorporated in England and Wales. In the event of the charity being wound up, the liability in respect of the guarantee is limited to £1 per member of the charity.The address of the registered office is given in the Trustees' Report of these financial statements. 

The financial statements are presented in sterling (£). 

## **2. ACCOUNTING POLICIES** 

## **Basis of preparing the financial statements** 

The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention. 

## **Income** 

All incoming resources are included in the Statement of Financial Activities (SoFA) when the charity is legally entitled to the income after any performance conditions have been met, the amount can be measured reliably and it is probable that the income will be received. 

For donations to be recognised the charity will have been notified of the amounts and the settlement date in writing. If there are conditions attached to the donation and this requires a level of performance before entitlement can be obtained then the income is deferred until those conditions are fully met or the fulfilment of those conditions is within the control of the charity and it is probable they will be fulfilled. 

No amount is included in the financial statements for volunteer time. 

Monies received for performances at venues are recognised in the Statement of Financial Activities at the date of the show. Monies received from furthering the art of drama through providing workshops are recognised on the date that the service is provided. 

Income from government and other grants are recognised at fair value when the charity has entitlement after any performance related conditions have been met, it is probable that the income will be received. 

## **Expenditure** 

Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources. 

## **Tangible fixed assets** 

Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life. 

Plant and machinery -  25% straight line Motor vehicles -  25% straight line Computer equipment -  25% straight line 

Tangible fixed assets are stated at cost (or deemed cost) or valuation less accumulated depreciation and accumulated impairment losses. Cost includes costs directly attributable to making the asset capable of operating as intended. 

## **Taxation** 

The charity is exempt from corporation tax on its charitable activities. 

## **Fund accounting** 

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees. 

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.

The charitable company operates a defined contribution pension scheme.  Contributions payable to the charitable company's pension scheme are charged to the Statement of Financial Activities in the period to which they relate. 

## **Financial instruments** 

Debtors and creditors with no stated interest rate and receivable or payable within one year are recorded at transaction price. Any losses arising from impairment are recognised in the profit and loss account in other administrative expenses.
