Structure, governance and management

The charity is a company limited by guarantee and was formed on 10 July 2007. It is governed by a memorandum and articles of association dated 10 July 2007 and amended 21 February 2013, 8 March 2013, 10 July 2013 and 11th October 2017. The liability of the members in the event of the company being wound up is limited to a sum not exceeding £10.

On 12 July 2013 the limited company, formally known as Eccleshill Youth and Community Association Limited, registered as a charity and changed its name to Eccleshill Community Association Limited.

Method of recruitment and appointment of trustees

The trustees of the charity are also the directors for the purposes of company law and are appointed by board.

The Charity's objects

To further or benefit the residents of Eccleshill and surrounding districts of Bradford in West Yorkshire, regardless of gender, sexual orientation, race or political, religious or other persuasion, by associating together the said residents and the local authority, voluntary and other organisations in a common effort to provide facilities and advance the wellbeing of the community in social welfare for recreation, leisure time occupation with the objects of improving the conditions of life for residents.

In furtherance of these objects but not otherwise, the trustees shall have power to institute and continue with the establishment of a community centre and to maintain, manage or cooperate with any statutory authority in the maintenance of such a centre for activities, promoted by the charity, in furtherance of the above objects.

The Charity's main activities

The charity is based In Eccleshill Mechanics Institute, where it provides a number of rooms for a wide variety of activities; some initiated by the community association itself, while others are provided by groups who hire space for work which is consistent with our aims and priorities. There are further room hires on a commercial basis which provide income to ensure the commercial viability of the charity.

There has been a number of improvements to the facilities offered from last year which provides better amenities and facilities for anyone wanting to hire the venue. Specifically, the centre itself provides a number of superb rooms available to let, for community groups and businesses alike. These include the Main Hall which has a fully functional licenced bar now boasting draft ales with a stage area holding up to 180 guest designed to accommodate celebratory and corporate events.

In addition to this there is ''Room 8'' that can accommodate up to 25 people seated, designed to accommodate community groups, business meetings and possibly training events. There is also the newly created ''Front Room'' which is a recently refurbished area that is a selfcontained room comprising kitchenette and modern conference facilities, again accommodating up to 25 people.

It is clear to see one of the biggest achievements has been the successful relaunch of the community Café, where the doors are open to the public and everyone is welcome. Boasting free Wi-fi access and affordable prices, it again provides a hub for anyone wanting a social or business meeting.

Unfortunately, in March 2020 the centre had to close as a result of national Lockdown following the effects of the Covid-19 pandemic which had a significant impact on the centre during this finacial year.

Public benefit statement

In setting our objectives and planning our activities our trustees have given serious consideration to the Charity Commission's general advice on public benefit. The organisation has continued to provide facilities for a wide range of local groups serving Eccleshill and the surrounding area, as well as organising its own events to strengthen community activity and the well-being of individuals, particularly the elderly and isolated residents, from different parts of this urban village at the heart of a Bradford Ward which is the 9th most deprived out of the 30 in the City of Bradford Metropolitan District.

Achievements and performance

The café continued to grow and so does the number of visitors who all enjoy great food at fantastic prices.

The building has continued to go through its transformation. The Board recognising the lack of care and attention this structure has had over many, many years. The Directors continue in their efforts to restore this magnificent building to its former glory and continue restoring, repairing, refurbishing areas that was first started in 2017. The costs of these works are all funded by through self-generated trading revenue profit.

Our greatest asset is the small number of volunteers who enable the income to be profitable by providing time and expertise mostly on a voluntary basis with just two (part-time) contacted individuals who clean the building and manage the café.

A strongly held view of the Board is there are to be no employees, for as long as is practicable. We are a charitable community organisation run, largely, by volunteers.

Following the events at the end of the financial year 2017. which was detailed in the accounts for the period ending July 2017, this charity has flourished and attained levels of community support and praise previously left wanting.

Reserves policy

The charity's reserves at the year end were £78,276.

The trustees aim continues to maintain sufficient reserve funds to cover between 3 and 6 months of operating expenditure.

Statement of Trustees' Responsibilities

The Trustees (who are also the directors for the purpose of company law) are responsible for preparing the Trustees report and the financial statements in accordance with the applicable law and UK Accounting Standards.

Company law requires the trustees to prepare financial statements for each financial year. Under that law the trustees have elected to prepare the financial statements in accordance with United Kingdom Generally Accepted Accounting Practice (United Kingdom Accounting Standards and applicable law). Under company law the trustees must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the company and of the profit of loss of the company for the period. In preparing these financial statements, the trustees are required to:

The Trustees are responsible for keeping adequate accounting records that are sufficient to show and explain the company's transactions and disclose with reasonable accuracy at any time the financial position of the company and enable them to ensure the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

In order to fulfil your duties under the Companies Act 2006, we have prepared for your approval the annual report and financial statements of Eccleshill Community Association Limited for the year ended 31[st] July 2021 as set out in these financial statements.

Respective Responsibilities of trustees and examiner

It is the directors/trustees responsibility and duty to ensure that Eccleshill Community Association Limited has kept adequate accounting records and to prepare statuary accounts that give a true and fair view of the assets, liabilities, financial position and profit/loss, in accordance with section 394 and 395 of the Companies Act 2006.

It is also the responsibility of the trustees/directors to consider and evaluate that Eccleshill Community Association Limited is exempt from the statutory requirements of an audit for the year ended 31[st] July 2021. This is under section of 144 of the Charities Act 2011 alongside section 477 of Companies Act 2006, and 476 of the same act.

We have not been instructed to carry out and audit or review of the accounts and for this reason, we have not verified the accuracy or completeness of the accounting records or information and explanations you have given to us and we do not, therefore, express opinion on the statutory accounts.

We have agreed to carry out an independent examination of the accounts under section 145 of the Charities Act. We have followed the procedures laid down in the general Directions given by the Charity Commission (under section 145(5) (b) of the Charities Act, and acknowledge our responsibility to state whether particular matters have come to our attention.

Basis of independent examiners’ statement

Our examination was carried out in accordance with general Directions given by the Charity Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, seeking explanations from the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently no opinion is given as to whether the accounts present a ‘true and ‘fair’ view and the report is limited to those matters set out in the statement below.

For the year ending 31 July 2021 the charitable company was entitled to exemption from audit under section 477 of the companies Act 2008 relating to small companies.

The members have not required the charitable company to obtain an audit of its accounts for the year in question in accordance with section 476. The trustees (who are also the directors for the purpose of company law) acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.

These accounts have been prepared in accordance with the provisions applicable to companies subject to the small companies' regime and with the Financial Reporting Standard for Smaller Entities (effective April 2008).

Accounting policies

Basis of accounting

The financial statements have been prepared under the historical cost convention. The financial statements have been prepared in accordance with the Statement of Recommended Practice, Accounting and Reporting by Charities (SORP 2005), the Companies Act 2006 and Financial Reporting Standard for Smaller Entities (effective April 2008).

There has been no change to the accounting policies since last year.

No changes have been made to the accounts for the previous years.

Incoming Resources

All incoming resources are included in the Statement of Financial Activities (SOFA) when the charity becomes entitled to the resources, the trustees are virtually certain they will receive the resources and the monetary value can be measured with sufficient reliability.

Grants and Donations

Grants and donations are only included in the SOFA when the charity has unconditional entitlement to the resources.

Where the grants are related to performance and specific deliverables, they are accounted for as the charity earns the right to consideration by its performance.

Donated goods for resale are valued at the amount actually realised upon their sale.

Donated assets, facilities or services are valued at their estimated value to the charity. This is the price that the charity estimates it would pay in the open market for equivalent items; or services and facilities of equivalent utility to the charity.

Expenditure and liabilities

Expenditure is recognised on an accrual basis as a liability is incurred. Liabilities are recognised as soon as there is a legal or constructive obligation committing the charity to pay out the resources.

Taxation

As a charity the organisation benefits from rates relief and is generally exempt from income tax and capital gains tax but not from VAT. Irrecoverable VAT is included in the cost of those items to which it relates.

Fund accounting

Unrestricted funds are available for the use at the discretion of the trustees in furtherance of the general objectives of the charity.

Restricted funds are subjected to restrictions on their expenditure imposed by the donor or through the terms of an appeal.

Further explanation of the nature and purpose of each fund can be requested.

Related party transactions

There were no related party transactions during this or the previous financial year.

Fixed Assets

During the year end 31st July 2021 the charity has a net book value asset worth of £73,318. This represents the net book value of all fixed assets, including fixtures and fittings.

All redecoration work is classified as repar and renewal expenditure in the income and expenditure statement.

Directors remuneration

There is no financial remuneration paid to any one director or trustee. The charity is funded by keeping the doors open to rais funds and donations as well as welcome vounteers to the building.
