## **TRUSTEES ANNUAL REPORT 2022** 

## **Structure, Governance and Management** 

_Type of Governing Document_ : the charity was established by a Constitution adopted on 17[th] February 2013, amended in 2017 to adopt the present name of the charity. 

_Constitution_ : the charity is a Trust registered with the Charity Commission, registered number 1151916.  The day-to-day management of the charity is delegated to a committee comprising the Trustees with the Artistic Directors and Festival Administrator.

## **Objectives and activities** 

To promote, improve, develop and maintain public education in and appreciation of the art and science of music to be held annually for public attendance in and around Alfriston, East Sussex. 

The Covid-19 pandemic compelled cancellation of the 2020 Festival, which affected both income and expenses of the charity.  Two evening concerts were held for limited numbers late in the year. Fortunately, the 2021 Festival could take place under the prevailing restrictions and was greatly appreciated by audience and musicians. 

## **Financial Review** 

The total income in the year was £25105 and expenditure £25948.  The bank balance at the end of the year was £14820.24. 

## **Trustee payments and expenses** 

No payments were made to the Trustees during the year. 

## **Why we hold some money in reserve** 

Money is held in reserve to cover continuing expenditure throughout the year arising from booking artists and facilities for the Festival. 

## **Risk management** 

The Trustees consider that the principal risks and uncertainties are: Late cancellation or indisposition of booked artists 

External conditions (e.g. pandemic, extreme weather) affecting ticket sales. 



These risks are managed by the Artistic Directors and the Festival Administrator, reporting as necessary to the Trustees. 

This Annual Report was approved by the Trustees and signed on their behalf by the Chair, Jeremy Young.

## **INDEPENDENT EXAMINER'S REPORT TO THE TRUSTEES OF SOUTH DOWNS SUMMER MUSIC INTERNATIONAL FESTIVAL** 

## **Independent examiner's report to the trustees of South Downs Summer Music International Festival** 

I report to the charity trustees on my examination of the accounts of South Downs Summer Music International Festival (the Trust) for the year ended 5 April 2022. 

## **Responsibilities and basis of report** 

As the charity trustees of the Trust you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 ('the Act'). 

I report in respect of my examination of the Trust's accounts carried out under Section 145 of the Act and in carrying out my examination I have followed all applicable Directions given by the Charity Commission under Section 145(5)(b) of the Act. 

## **Independent examiner's statement** 

I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect: 

1. accounting records were not kept in respect of the Trust as required by Section 130 of the Act; or 

2. the accounts do not accord with those records; or 

3. the accounts do not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination. 

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.
