## **STRUCTURE, GOVERNANCE AND MANAGEMENT**

## **Organisational Structure**

The IKWRO - Women's Rights Organisation is .a registered charity that was established, initially as the Iranian and Kurdish Women's Rights Organisation, in August 2002. It was registered with the Charity Commission in 2004 (No. 1104550).

Since 9July 2012, IKWRO Women's Rights Organisation (new name to reflect the fact that the Charity now serves a wider community of women} has become a company limited by guarantee (company number 8140751), and registered with Charity Commission on 04 April 2013 (No. 11S1507).

## Governance and Management

The governance of IKWRO is entrusted to the Board of Trustees ("the Board **[11] ),** which currently consists of six members who meet ·at least six times .a year with the Executive Director of the Charity. At these meetings, the Board reviews the Charity's activities, finances and human resources and retains the following dutles. To:

Ensure that IKWRO fulfils its charitable objectives

Determine IKWRO's overall strategic direction within resource limits Monitor the performance of the Executive Director and her team

Review and ratify IKWRO's policies and procedures

Promote and protect IKWRO's values, integrity and reputation

- Ensure high standards of governance that command the confidence of all of IKWRO's staff and stakeholders

Exercise independent judgment, reasonable care, skill and diligence.

In addition to the Board meetings, there are several sub-committees of the Board of Trustees which hold meetings each month, or as and when required, to consider specific aspects of the Charity's activities or issues affecting the Charity e.g. finances, human resources, fundraising and business planning.

The day-to-day management of the organisation is delegated to the Chief Executive of the Charity, Diana Nammi, who reports to the Trustees and who works within the policy and procedural framework of the Charity.
