CHARITY COMMISSION FOR ENGLAND AND WALES PH Media Group Foundation Trustees, Annual Report for the period: 0110112024 to 3111212024 Charity registration number: 1150920 Objectives and Activities The objective of PH Media Group Foundation (the Charity) is to benefft the public by supporting charities (cy organisations that further a charitable purpose or purposes) whose aims include: the relief or prevention of poverty; the relief of those in financial need, hardship or distress,- the relief of sickness or disease; and at the discretion of the trustees lo further such other charitable purpose or purposes (charitable under English law) as they see fit from time to time. In setting the objectives and activities of the Charity the trustees have given regard to the Charity Commission guidan on public benefrt. Achievements and Performance In the year the Charity made payments of £45k to national and local charities In the UK and a further £61k to intemational charities. The beneficiaries included the Mind. Shelter, Shriner's Hospital for Children, The People's Music School. The Cancer Council NSW and The Movember Foundation. These charities were nominated by PHMG staff and reflect the Charity's aim of benefiting a broad range of causes across society as a whole. The Charity's principal source of funds are Please Hold Media Group (PHMG) and the Company's staff who were responsible for the £105k of donations in the year. Financial Review The Charity collected donations in the year of £105k and made payments of £106k resulting in a planned deficit of £1 k. The defiGit for the period reduces the Foundation's reserves to £172k. At the year end the Charity held cash funds of £172k. The Charity does not have a reserves policy as the intention of the Charity is to distribute all receipts in line with the stated objectives. The balance of £172k held at the end of the reporting period arises from the timing of receipts and payments, and will be fully distributed in subsequent a¢unting periods. At the signing date of this report the Charity had made payments to other charities in 2025 of £76k reducing the surplus cash held. The Charity does not fa any uncertainty regarding its going concem status. The Charity has no material costs, therefore the reserve balance held would be sufficient to sustain the activities of the Charty for a period of at least 12 months frorn the date of this report.

Independent examinerfs report to the trustees of 'PH Media Group Foundation, Trust I report on the accounts of the Trust forthe year ended 31 December 2024, which are set out on pages 3and4. Respective responsibilities of trustees and examiner The chariV5 trustees are responsible for the preparation of the accounts. The charitf s trustees consider that an audit is not required for this year under section 144(21 of the Charities Act 2011 (the 2011 Act) and that an independent exzmination 15 needed. It is my responsibility to: examine the accounts under section 145 of the 2011 Act to follow the procedures laid down in the general Directions given by the commission under Section 14515)Ib) of the 2011 Act to state whether particular matters have come to my attention Basis of independent examinerfs report My examination was carried out in accordance with the general Directions given by the Charity Commission. An examination includes a review of the accounting record5 kept by the charity and a comparison of the accounts presented with those records.
