## **REPORT of the TRUSTEES** 

## **FOR THE PERIOD ENDED 31ST DECEMBER 2021** 

The Trustees, who are also the directors of the company for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 31st December 2021. The Trustees have adopted the provisions of the Statement of Recommended Practice (SORP) "Accounting and Reporting by Charities" issued in March 2005. 

## **STRUCTURE, GOVERNANCE AND MANAGEMENT** 

## **Governing document** 

The charity is controlled by its governing document, a deed of trust, and constitutes a limited company, limited by guarantee, as defined by the Companies Act 2006. 

The company was incorporated on 12th August 2008, and registered as a charity on 5th February 2013. 

## **Recruitment and appointment of new trustees** 

The Directors of the company are its Trustees for the purposes of Company Law and are subject to appointment, and retirement, under the rules set out in the Articles of Association. In the event of the company being wound up members are required to contribute an amount not exceeding £1. 

No Director shall be liable to retire by rotation. 

The Directors may from time to time increase or decrease the numbers of Directors. 

The Board of Directors shall have power at any time to appoint any person to be a member of the Board of Directors, either to fill a casual vacancy or as an addition to the existing members but so that the total number of Directors shall not at any time exceed any maximum number fixed in accordance with the Articles. 

## **Induction and Training of new Trustees** 

New Trustees are provided with a copy of the most recent accounts of the charity and a copy of its governing documents, as well as any other documents produced by the charity, together with an explanation from the Chair and other Trustees of the manner in which the charity is organised and managed, and includes: 

* the obligations and responsibilities of the Trustees 

- the operational framework of the charity 

- the current financial position 

* future plans and objectives. 

All Trustees are encouraged to maintain an up-to-date understanding of their responsibilities by taking advantage of any relevant external training events and publications issued by the Charity Commission.

The board of Trustees is responsible for the overall management and control of the activities of the charity and meets approximately every month, and as required if additional meetings are necessary. 

## **Risk Management** 

The Trustees are responsible for the management of the risks faced by the charity and have reviewed the major risks, and measures for mitigation, as part of a continual process. They are satisfied that the process adopted is adequate to identify and mitigate any impact which such risks might have on the charity or its activities in the future. 

## **OBJECTIVES AND ACTIVITIES** 

The principal objectives and activities of the charity are to act as an arts organisation to use the arts to build stronger communities and inspire a healthier society in the Bradford area. 

## **ACHIEVEMENTS AND PERFORMANCE** 

The charity usually runs three key events each year; Saltaire Arts Trail, 2 Makers fairs and the Living Advent Calendar. We endeavoured to carry out our usual programme of events but due to the covid-19 pandemic, we had to make alterations to make this safe. 

In 2021, we ran the following events: 

- (i) Open Village – Window trail 

- (ii) Virtual Makers Fair (Arts Trail) 

- (iii) 8 Special exhibitions and events (Arts Trail) 

- (iv) 5 workshops (Arts Trail) 

- (v) Makers Fair - September 

- (vi) 2 Special exhibitions (September Makers Fair) 

- (vii) Saltaire Living Advent Calendar (LAC), throughout December 2021 

## **Saltaire Arts Trail May 2021** 

The limitations of physical distancing and government restrictions on large events made us rethink our programme of events for our Arts Trail (May 2021). We felt it was important to have a physical event to reconnect our audiences and communities. We expanded the event from the usual weekend to cover 9 days to ensure visitors could make the most of the event, whilst respecting social distancing. 

New for 2021, the Window Gallery Trail showed the work of some of the UK’s best contemporary artists in the windows of Saltaire’s Grade II Listed homes. Curated to show a wide range of disciplines, the window trail was enjoyed whilst following government guidelines. A number of the artists were present over the Arts Trail week, and informally demonstrated their practice, in a safe outdoor environment. All artists were also listed in our online artist gallery which includes further information on all exhibiting artists along with links to their online shops and social media channels.

Building on the success of the Virtual Makers fairs that we ran in 2020, we decided the safest option was to run these again for the Arts Trial 2021. The Virtual Makers Fair took place online and on Facebook and Instagram over two weekends: Week 1: Fri 28 – Mon 31 May Week 2: Thurs 3 – Sun 6 June 

All the artists from the Window Gallery Trail had the opportunity to sell their work through this platform as well as a large selection of other makers and artists. 

## **Special exhibitions and events** 

**Felt - Claire Tindale** Salt's Mill roof space; 29 May - 6 June and 11 - 19 September - FREE Originally commissioned for 2020, ‘Felt’ by Claire Tindale was a new site-responsive installation, using wool as the central material to explore the industrial heritage of the mill and surrounding village, commissioned by Saltaire Inspired. Over 800 needle felted houses were exhibited in the roof space at Salts Mill. Claire co-created the houses along with local residents through workshops and felt at home kits. The exhibition was so successful that it was agreed to be shown again as part of the Saltaire Festival in September 2021. 

## **Weaving Pathways** Nordish, Victoria Rd (windows); 29 May - 6 June 

Saltaire Makers Fair; 18 – 19 September This British Council funded opportunity saw a collaborative project between Social Innovation Lab (Pakistan), Casa do Povo (Brazil) and Saltaire Inspired. Designed as an opportunity to share skills and knowledge between cultures and creatives in Brazil and Pakistan, this project facilitated opportunities to connect makers in these different locations and co-create some new products. Saltaire Inspired provided an opportunity to share the learning from this project as well as provide a platform to sell the items and make the project commercially viable. 

**Kite Canvas - Georgia Griffiths** Mill Building, Shipley College (windows); 29 May - 6 June _Commissioned by Saltaire Inspired_ 

Georgia Griffiths ran a number of workshops and events with the staff and students at Shipley College, inviting them to reflect upon a year in lockdown. The results of these workshops resulted in the creation of 4 kites to reflect the 4 seasons of the year. These were then displayed in the college as part of the arts trail and flew in the park. 

**Our Street Gallery: Smile** Victoria Rd - Allotment Railings; 28 May - 30 June A Bradford based feel good project designed to spread some joy and positivity in these socially distanced times. We were pleased to be able to present this project as part of the Arts Trail 2021. 

**Saltaire: Foundation and Legacy** Salts Mill Boardroom; 28 May - 20 June FREE, to celebrate Saltaire World Heritage Site's 20th anniversary at a wonderful exhibition supported by local and knowledgeable historians. Saltaire Inspired, along with a number of other local organisations collaborated to present this exhibition. A community photography was also organised as part of this event. 

**Simon Palmer - Yorkshire Perspective** Salt's Mill Gallery 2; 27 May - 19 Sept – FREE, One of Britain’s leading watercolour artists and an Honorary Member of the Royal Institute of Painters in Watercolours. 

**Saltaire Art Group** Saltaire Methodist Church (windows); 29 May - 6 June The Saltaire Art Group who meet weekly, working together and supporting each other, and enjoying demos and workshops by visiting artists. The group have previously exhibited their work twice a year in the Church Hall, with an eclectic collection of their latest works. This year, they are delighted to be sharing two artworks in their windows: _Saltaire Terminus_ by M. Driver; multimedia _Scenes of Saltaire_ by T. McFadyen; acrylics

## **Trustees' Report** 

**Fun Times Activity Newspaper** A FREE activity paper packed with activities to inspire the next generation of enthusiastic artists, makers, crafters and warriors. Commissioned by Saltaire Inspired for the Saltaire Arts Trail, designed by The Brewers Design Society. 800 copies of this paper were distributed to the local children as part of the Arts Trail as well as through local schools including Saltaire Primary School, Wycliffe C of E and St Walburgas Primary School. 

## **Workshops** 

## **Cyanotype Print Workshops with Jenny Wren** 

The art of Cyanotype, an alternative photography method dating back to the mid 19th Century, using UV rays to produce mesmerising images of your favourite local scenes. Participants produced two cyanotype mixed media prints, and also learnt about the history of this wonderful art form and how it came about. 

## **Henna Workshops with Mez Galaria** 

Henna, or Mehndi in its motherland, is the 5000 year old Eastern art of body painting. Practised in India, Africa and the Middle East, Mehndi, derived from plants, is non-permanent, 100 % natural, vegan and organic. Mez Galaria taught participants how to mix Henna paste from the Henna plant, fill their own cone, and recreate traditional henna patterns. She also had drop in sessions for visitors to have henna tattoos. 

## **One Day Painting Retreat with Saltaire Art School** 

This was a one-of-a-kind open air event, led by Saltaire Art School founder and accomplished artist Nina Hunter. Taking place at the artist’s own garden, directly overlooking the River Aire, participants spent 6 hours soaking up the overpowering force of nature and transferred their vision onto canvas. **Mindful Painting with Saltaire Art School** 

We all needed a little bit of escapism during the difficult times and putting paint to paper is one of the purest forms of art, allowing for an immense amount of freedom. Nina Hunter helped participants to explore the colour palette, and create abstract forms and explore the medium of painting to its fullest and use the time to de-stress. 

**The Story of the People Powered Press (and an accidental world record)** In July, the non-profit People Powered Press — the largest letterpress printing press of its kind in the world — will be moving to Saltaire. It will take up residency in Salts Works, a brand new creative workshop space, co-working space and home of design studio Split. We look forward to building a creative partnership with the People Powered Press in the coming year. 

## **Saltaire Maker Fair September 2021** 

The Saltaire Makers Fair returned to Victoria Hall from 18 - 19 September 2021. We were pleased to offer 46 makers and designers the opportunity to exhibit and sell their work once again at a physical event. As this was the first physical makers fair since the pandemic, we were unsure about how this would be received however over the weekend we had 2225 visitors. This was slightly lower than the 2019 numbers however all the makers made sales with over 50% reporting they made sales over £500 and 20% making sales over £1000.

The Saltaire Living Advent Calendar has been a feature of our village since 2006. In 2021, a record 62windows were opened in the run up to Christmas, with 16 houses and community buildings illuminated from 1st December, then at least one new window being ‘opened’ each evening until 24th December. 2021 was a bumper year for the Living Advent Calendar with more residents than ever wanting to host or make artwork for their window. Maria Thelwell was recruited to co-ordinate the project due to the increase in interest over recent years. Residential properties, local businesses and community settings participated in the event. As usual, we hosted a workshop for window makers to share knowledge and network with other window makers. 25 people attended the evening workshop, which took place at Salt Works. There was a Zoom presentation by Ruby Merriman, Development Officer at Stromness Community Development Trust. Ruby talked about the relationship that has developed with Saltaire Inspired through the advent Calendar and the connection with Sir Titus Salt funding their first lifeboat. First time window makers enjoyed a mince pie and a mulled wine and talked to experienced makers to get hints and tips. 

## **Telephone Box** 

In October 2021, Saltaire Inspired were pleased to adopt the local Telephone Box in Wash House Garden on Caroline Street as part of the BT Adopt a Kiosk campaign. For £1, Saltaire Inspired has taken ownership of the kiosk to preserve this iconic grade 2 listed structure as a community asset. It is planned that the kiosk will be a community space and we will collaborate with other local organisations to host a variety of pop up events from the kiosk. We are pleased to have secured £500 of funding towards the kiosk from the Postcode Lottery’s Magic Little Grants scheme to install a lock and re-decorate the kiosk. The kiosk also displayed artwork by Saltaire Primary School as part of the Living Advent Calendar (December 2021). 

## **Strategic Planning** 

## **Board Membership and Volunteers** 

Trustee membership consists of seven Trustees: Dr Julia Calver (Chair), David Humphreys (Treasurer), Steve McConnell (Volunteer Lead), Fran Guy (Artists Lead) Dan Breeze (Governance Lead), Gina Pittendreigh and Sonja Keilty. Gina Pittendreigh had to take a leave of absence due to ill health. 

## **Staffing** 

When funds are available, freelancers are appointed with a specific contract and work with the Board of Trustees to develop and deliver a programme. 

Event Coordinator: Peter Reed, freelancer, first recruited in November 2018 and develops special commissions, Arts Council/strategic bids and coordinates the events overall. 

Artist Coordinator: Samantha Pickard is a freelancer coordinating the Makers Fair as well as Artist Liaison Coordinator. Samantha leads on selection and recruitment of artists, exhibitors and liaison with the panel. 

Marketing Manager: Gillian Allmark as a freelancer developing managing all online and social media coverage as well as producing the Arts Trail brochure, publicity leaflets and maps for the events. Gillian provides both media and distribution plans for each event. 

Living Advent Calendar Coordinator: Maria Thelwell. This is a new role for 2021. Maria has coordinated the recruitment of the windows, worked with our partners in Rydals and Stromness and chaired the volunteer steering group. 

Throughout the period a team of locally based volunteers are recruited, with a core group of loyal and supportive members of our community.

## **Finance** 

Overall, Saltaire Inspired has emerged from the 2 year pandemic situation in a stable financial 

position though the effects of it continued to affect the finances of the organisation during 2021. The main impact was the limitation of only being able to feature a Virtual Makers’ Fair in May 2021 rather than a physical event in Victoria Hall. The effect was a reduction in the number of Artists participating, lower fees from these Artists and no Fair entrance fees from visitors. 

Grants were received from Bradford Council, the British Council, Arnold Clark, Magic little Grants funded by the People's Postcode Lottery and GA Moores. 

Thanks to each of these organisations. A special projects application was made to the Arts Council in 2021 however this was unsuccessful. This will be reviewed and resubmitted in 2022. 

Due to the Covid restrictions, a number of special exhibitions were deferred into 2022 and their 

funding set aside for use in 2022. 

With a higher level of activity in 2021 than in 2020 plus the addition of a Living Advent Calendar Co-ordinator to the team during winter 2021, the freelance staff costs have risen. 

Bradford Council continued to support Saltaire Inspired in 2021, rolling over £6,500 for a further 12 months from the Arts & Culture Investment Fund. Saltaire Inspired successfully applied to Bradford Council’s Cultural Fund and following the production of a very strong funding bid/strategic document the organisation has achieved an increase in funding which is secure for the next 3 years. These monies begin to be received by 

Saltaire Inspired from April 2022 onwards. 

## **Reserves policy** 

The building of the reserves is a key action that the board is committed to. Due to the pandemic, these have been utilised however we aim to build them to the appropriate level equivalent to at least 10% of the cost of organising the Saltaire Arts Trail. Our policy is to build up reserves to this level through annual operating surpluses in future years.

For the financial year ending 31 December 2021 the charity was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies. 

Directors' responsibilities: 

- The members have not required the charity to obtain an audit of its accounts for the year in question in accordance with section 476; and 

- The directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.

## **1 Charity status** 

The charity is limited by share capital, incorporated in the United Kingdom. 

These financial statements were authorised for issue by the trustees on 7 July 2022. 

## **2 Accounting policies** 

## **Summary of significant accounting policies and key accounting estimates** 

The principal accounting policies applied in the preparation of these financial statements are set out below. These policies have been consistently applied to all the years presented, unless otherwise stated. 

## **Statement of compliance** 

The financial statements have been prepared in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)) (issued in October 2019) - (Charities SORP (FRS 102)), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) and the Companies Act 2006. 

## **Basis of preparation** 

Saltaire Inspired Limited meets the definition of a public benefit entity under FRS 102. Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy notes. 

## **Going concern** 

The trustees consider that there are no material uncertainties about the charity's ability to continue as a going concern nor any significant areas of uncertainty that affect the carrying value of assets held by the charity. 

## **Exemption from preparing a cash flow statement** 

The charity opted to early adopt Bulletin 1 published on 2 February 2016 and have therefore not included a cash flow statement in these financial statements. 

## **Transition to FRS 102** 

In preparing the accounts, the trustees have considered whether in applying the accounting policies required by FRS 102 and the Charities SORP FRS 102 a restatement of comparative items was required. No restatements are required as a result of the transition to FRS 102. 

## **Income and endowments** 

All income is recognised once the charity has entitlement to the income, it is probable that the income will be received and the amount of the income receivable can be measured reliably.

## _**Donations and legacies**_ 

Donations are recognised when the charity has been notified in writing of both the amount and settlement date. In the event that a donation is subject to conditions that require a level of performance by the charity before the charity is entitled to the funds, the income is deferred and not recognised until either those conditions are fully met, or the fulfilment of those conditions is wholly within the control of the charity and it is probable that these conditions will be fulfilled in the reporting period. 

Legacy gifts are recognised on a case by case basis following the grant of probate when the administrator/executor for the estate has communicated in writing both the amount and settlement date. In the event that the gift is in the form of an asset other than cash or a financial asset traded on a recognised stock exchange, recognition is subject to the value of the gift being reliably measurable with a degree of reasonable accuracy and the title to the asset having been transferred to the charity. 

## _**Gifts in kind**_ 

Gifts in kind are recognised in different ways dependent on how they are used by the charity: 

(i) Those donated for resale produce income when they are sold. They are valued at the amount actually realised. 

(ii) Those donated for onward transmission to beneficiaries are included in the Statement of Financial Activities as incoming resources and resources expended when they are distributed. They are valued at the amount the charity would have had to pay to acquire them. 

(iii) Those donated for use by the charity itself are included when receivable. They are valued at the amount the charity would have had to pay to acquire them. 

## _**Donated services and facilities**_ 

Where services or facilities are provided to the charity as a donation that would normally be purchased from our suppliers, this benefit is included in the financial statements at it's fair value unless it's fair value cannot be reliably measured, then at the cost to the donor or the resale value of goods that are to be sold. 

## **Expenditure** 

All expenditure is recognised once there is a legal or constructive obligation to that expenditure, it is probable settlement is required and the amount can be measured reliably. All costs are allocated to the applicable expenditure heading that aggregate similar costs to that category. Where costs cannot be directly attributed to particular headings they have been allocated on a basis consistent with the use of resources, with central staff costs allocated on the basis of time spent, and depreciation charges allocated on the portion of the asset’s use. Other support costs are allocated based on the spread of staff costs. 

## _**Raising funds**_ 

These are costs incurred in attracting voluntary income, the management of investments and those incurred in trading activities that raise funds. 

## **Support costs** 

Support costs include central functions and have been allocated to activity cost categories on a basis consistent with the use of resources, for example, allocating property costs by floor areas, or per capita, staff costs by the time spent and other costs by their usage.

## **Governance costs** 

These include the costs attributable to the charity’s compliance with constitutional and statutory requirements, including audit, strategic management and trustees’s meetings and reimbursed expenses. 

## **Taxation** 

The charity is considered to pass the tests set out in Paragraph 1 Schedule 6 of the Finance Act 2010 and therefore it meets the definition of a charitable company for UK corporation tax purposes. Accordingly, the charity is potentially exempt from taxation in respect of income or capital gains received within categories covered by Chapter 3 Part 11 of the Corporation Tax Act 2010 or Section 256 of the Taxation of Chargeable Gains Act 1992, to the extent that such income or gains are applied exclusively to charitable purposes. 

## **Cash and cash equivalents** 

Cash and cash equivalents comprise cash on hand and call deposits, and other short-term highly liquid investments that are readily convertible to a known amount of cash and are subject to an insignificant risk of change in value. 

## **Fund structure** 

Unrestricted income funds are general funds that are available for use at the trustees discretion in furtherance of the objectives of the charity.
