REPORT OF THE TRUSTEES FOR THE YEAR ENDED 30 JUNE 2023

The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 30 June 2023. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019).

OBJECTIVES AND ACTIVITIES

Objectives and aims

The objectives and aims of the charity are those of:

  1. The advancement of Chan Buddhism in the United Kingdom by establishing and running A temple for the study of Chan Buddhism and Shaolin culture.

  2. The advancement of the Chan culture and heritage.

  3. The promotion of health and wellbeing of the public by teaching Chan Buddhism and Shaolin Kung Fu.

Public benefit

The trustees have kept public benefit at the forefront of its undertakings; in accordance with the Charity Commission's guidance on public benefit.

ACHIEVEMENT AND PERFORMANCE Charitable activities

In the year 2022/23 we maintained our commitment to serve the public benefit by keeping this at the forefront of all our undertakings; in accordance with Charity Commission’s guidance on public benefit.

During this reporting year, the charity continued to respond to the challenging climate of the pandemic. During this reporting year, we faced the challenge of resuming in-person services and making the move to leasing our own dedicated facility.

During this year, we opened our dedicated facility in Southampton city centre. This facility was designed as a space to house Shaolin Kung Fu, other wellbeing and fitness activities. And Chinese arts and culture activities. In addition, a gym space was opened to support the Chinese martial arts classes and diversify the income. We also marketed the space where other community groups could hire the facility.

Membership numbers:

We retained 24 existing members that were accessing our services during the previous reporting year. Our membership number naturally declined during the pandemic.

Since opening the facility in Southampton until Jun 23, we gained 89 new members who predominantly engaged with Shaolin Kung Fu, Tai Chi and other wellbeing classes.

Highlights:

The highlight of the year was the opening of our new facility. As well as a dedicated home to run our classes, we also opened a range of new activities. These new services include yoga, stretch classes, lunchtime meditation and Qi Gong. We also run short courses for traditional Chinese activities such as calligraphy, weiqi and Chinese language sessions.

Over the year, we engaged with more than 5000 people through one-off events, regular activities, social events, and public events. Our facility has been a wonderful asset to facilitate this engagement.

Chinese New Year 2023 - Year of the Rabbit - we achieved 3000 engagements including participants and audience. We hosted our annual Chinese New Year cultural show in the MAST theatre in Southampton city centre and the Southampton Guildhall Square. A popular regional attraction, our festivities drew in people from as far as London to participate in the festivities. With the addition of our new facility, we hosted a range of culture and arts workshops include Chinese paper crafts, Chinese dance, tai chi, yoga. We partnered with other local groups to host Karate, Aerial Hoop and calligraphy workshops - all for free to the public. In addition, we hosted a small scale show where local arts groups could perform to a smaller audience.

We revamped our children’s classes for ages 5-12 years old and repackaged them into termly courses to bring them in line with school terms. These Little Dragon’s sessions aim to teach foundational Shaolin Kung Fu skills, improve children’s fitness and build confidence. This development was well received, along with an adjusted curriculum, a goal system was introduced to keep children engaged and incentivised to encourage their learning. The new format of termly courses was well received by parents who could easily fit the activity into their after school schedule. The children and parents received updates and feedback on their child’s learning.

For Stress Awareness month in April 2022, we ran four sets of free pop-up sessions around Southampton City Centre for the benefit of the public. Participants could take part in Tai Chi, Qi Gong, and Kung Fu sessions with the aim to de-stress and raise the awareness of stress in long-term health. We held sessions in Solent University, West Quay Shopping centre and Marlands Shopping Centre.

During the year, we also completed a project in partnership with Decathlon Southampton to challenge members of the public to take up a fitness challenge. The event aimed to promote the benefits of fitness on health and wellbeing. The activity includes a record setting challenge for the longest hang. The event was hosted in our facility and in Decathlon Store southampton. More than 50 participants took up the challenge, in ages ranging from adolescents to adults. Increased social media engagement was a key outcome of this partnership.

Challenges:

The biggest challenge to the Charity in this reporting year is rising running costs including utilities, services and running costs. Significantly, the rise of costs nationally due to inflation and financial recession saw several knock on effects to our operations indirectly.

Competitiveness of the funding sector has made it difficult to secure grant funding in comparison to previous years as there has been a significant drop in available grants.

In addition, this volatile period has been challenging to see more partnerships through to completion. This is due to interested potential partners being reluctant to commit their support.

FINANCIAL REVIEW

Financial position

The significant rise in our running costs due to the new facility, alongside national inflation and financial recession has meant financial stability has been difficult to maintain. This remains a key strategic goal for the next reporting year.

Reserves policy

There is no current policy on reserves.

The charity is controlled by its governing document, a deed of trust, and constitutes a limited company, limited by guarantee, as defined by the Companies Act 2006.

Independent examiner's report to the trustees of UK Shaolin Temple Limited ('the Company')

I report to the charity trustees on my examination of the accounts of the Company for the year ended 30 June 2023.

Responsibilities and basis of report

As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act').

Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under Section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under Section 145(5) (b) of the 2011 Act.

Independent examiner's statement

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe:

  1. accounting records were not kept in respect of the Company as required by Section 386 of the 2006 Act; or

  2. the accounts do not accord with those records; or

  3. the accounts do not comply with the accounting requirements of Section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or

  4. the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)).

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

1. ACCOUNTING POLICIES

Basis of preparing the financial statements

The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention.

Going concern

The trustees have concluded that the charity is a going concern for at least 12 months following the signature of the financial statements. Accordingly the trustees have prepared the financial statements on this basis.

Financial reporting standard 102 - reduced disclosure exemptions

The charitable company has taken advantage of the following disclosure exemption in preparing these financial statements, as permitted by FRS 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland':

Income

All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably.

Government grants

Business Interruption Payment (BIP) under the Coronavirus Business Interruption Loan: The BIP is payable in respect of the loan interest for the first 12 months, together with any related fees. The accrual model has been used to recognise the income on a systematic basis over the periods in which the related finance costs are incurred.

Expenditure

Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources.

Tangible fixed assets

Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life.

Stocks

Stocks are valued at the lower of cost and net realisable value, after making due allowance for obsolete and slow moving items.

Taxation

The charity is exempt from corporation tax on its charitable activities.

Fund accounting

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees.

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.

Further explanation of the nature and purpose of each fund is included in the notes to the financial statements.

Financial assets

'Other Financial Instruments Issues' of FRS 102 to all of its financial instruments.

Financial assets are recognised in the balance sheet when the charity becomes party to the contractual provisions of the instrument.

Basic financial assets, which include trade and other receivables and cash and bank balances are initially measured at transaction price including transaction costs and are subsequently carried at amortised cost using the effective interest method, unless the arrangement constitutes a financial transaction, where the transaction is measured at the present value of the future receipts discounted at a market rate of interest.

Financial liabilities

Basic financial liabilities, which include trade and other payables, are initially measured at transaction price and subsequently measured at amortised cost, unless the arrangement constitutes a financing transaction where the debt instrument is measured at the present value of the future receipts discounted at a market rate of interest.

6. TRUSTEES' REMUNERATION AND BENEFITS

Remuneration was paid to a trustee (Y Chen) for the year ended 30 June 2023 totalling £25,920 (2022: £26,432). Remuneration was paid for services provided to the charity inline with the Charities Articles of Association and not his role as a trustee.

Trustees' expenses

Trustee expenses for reimbursement of costs and travelling expenses were paid to one trustee totalling £15 (2022: £563 paid to one trustee).
