2025 has been a challenging year for the chartly, but tt afso feels like the right morrEnt to refkGt
on what we've ovarcome and to look ahead to the opportunities that will strengthen our
organisation. As we move foThvard, we eontlnue to celebrate the unique role that Wadars plays in
the lives of 80 many people across Worthlng and the surroundlng area.
I would Ilke to begln by ￿knOwledgIng the contribution of our fOrn￿r Chi8f Executive. Julie Toben,
who 5t8pped down at the end of 2025 after 13 years of d8dicated service. Julie worked tirethsty
lo help shape Wadars into the organisalF¢n il Is today, and we wish herevery success In her fulure
endeavouffJ. We are now fortunate to have an expeiienced Interim CEO, Steve Lane, who is
9￿dIng us through a peFiod 018lgnlficantchang8. som8 ofwhich wlll be outllned later in this report.
We are also pleased to welcAJme Alec Moser to th¢ Board of Trustees. Alec Joined us in January
2026 and brings ovar 20 years of experience as a Registered Vet8rinary Nurse, working across
both prlvate practice and charity velerlrbary hospitals. HIS expertise will be invaluab￿ as we
continue to evolve. I would also like lo express my sincere thanks to my lellow trustees for thelr
continued commitment and hard work throughout the past year.
Our dedicated staff remin at the heart of the charity. Thelr compassion and professlonalism shine
thiough in every aspe¢t of the care they provide, and their commitment ensures that the
administratlve responsibilitles of Ihe charity continue to meet the growin9 legislative requirements
we must now follow. The Board Jf Trustees deeply appredates their hard work and unwaverfng
dedicaiion. we extend our sinGere thanks to every member of the team.
In early 2026, the Trustees agreed to relo¢ate the charity from its ¢urftnt site at Hangleton Lane.

Our aim is to move to a smaller, more manag88ble srte bettèr 8ulled to our e￿slIng seNice whlle
also allowing for growth. This will ènabte the charity to continue meeting Its objectives while moving
toward long-lemi sustaknability.
We will keep everyon& regularly updated through our new monthly e-newsletter, the first edition of
which was rele8sed in May this yèar. The future 16 bright, and we move forward with clarity of
purpose.

STrUCTURE, GOVERNANCE AND ￿NAGEMENT
structure
The original chality. the Worthing and Distrfct Anlmal Rescue Servlce, was an unincorporated
d)arity established under 2 Charftah￿ tTUSt deed on 27 March 1974. In 2012. Wadars wa8
established 8$ a ¢ompany limited by guarantee to £1 per member {reglstrallon number 082739851
under Its Memorandum of Association. whl¢h establishes the objects and powors of the charitable
¢ompany and is govem&d under its Articles ol A5SDciation.
Wadars W88 reglstered ay a charlty on 23 November 2012 (numl)er 1149884). Th8 Bssets,
Ilabllllies and undertaklngs of the Worthing and Distrlct Anlmal Rescue ServicR, were transferred
lo Wadars on 31 March 2013. Following the formal approval of its rnembers. the Worthing arKI
District Animal Rescue Service was closed and m8rg8d with Wadars in 2016.
The Article5 of Association of W8dars have been reviewed lo make them fil ftsr purpose followlng
the closure and merger of the unlncorporated ¢harfty.
Govornance
The Trustees are 8180 the Directors of the Compat)y for tha purpose of company law. The Charity
is a charitable wmpany limitetl by guarantee and without share caprtal. In the 9v¢nl of the
Company being wound up tha liability of each membar is limlted lo £10.
Vvhen ryynplete. th8 Board of Tru¥tee8 consists of no f¢w¢r than five and no more than nine
Trustees. Trustee5 are appolnted for thelr relevant skills a5 idenlrfied by the Board from limè to
lime. The term of offi¢e for Trustees is three years and are eligible lo serve up to a fijrther
terms.
The Trustees Are responsible for the overall govemance ofthe Charlty. They meet on a quarterfy
basls to discuss and make decisions In relation to all as￿Ct$ of the Charlty's management,
ir)dudlng finan¢lal plannlng and control. stafflng 18vels, animal care and welfare. homing and
poli¢les. The day-icpday operatlons of the Charty are delegated to th9 Chief Executive through a
Scheme af Dele9allon, taking instructions from and reportlng directty to the Trustees. Expert legal,
IEnancial and other advi￿ Is Sought where necessary.
The Trust8&s r¢gJJlarty a&aess Ihe major rlsks to whtch th8 charity is exposad, both operationally
and fin8nclally, and a formal rlsk regtster ha$ been maintained throughout the year. This register
covers a wlde range of areas, including animal welfare, income generation, inve81mants,
organisallonal change, remuneration. heatth and safety for staff and volunteers, major projects.

The Trustees conlinue to review the register on a regular bas1$ to ensure robust governance. The
¢harty has a Gomprehensive sel of ¢ontrols and procedures in pla¢e to mitlgate these risks and to
manage the most significant challenges we face.

Cats ProteGtlon, Worthing Cat Welfare. and Dogs Trust. The group m8ets quarterty to share best
practice and Is a forum to di$¢u8s any issuè$ that a particular rescue may b8 expertenclng so that
others can b& supportive and hopefully suggest solutions. Outside of the meeting the group
membars ¢ften collaborate on projects or help each other with the homlng of certain animals. 11 is
possible that during 2026 the group will becom8 part of a UK￿ld8 network of ADCH (As$o¢iatlon
of Dogs & Cats Horn￿) regional groups.

which has hlstori¢ally been the Charity's primary fundrng source. can no longer be relied upon al

currenuy CAF Bank. To diversfy risk whllsl malntaining the most secure form of investment, Ihe
Trustees have deposited £250,000 of reserves with Charity Bank Limited on an instant athss
basis. The Trustees consldered thls to b8 the safest fomi of investment for opwational cash and
forth8 presèrvation of capital in nomlnal terms.
