TRUSTEES' ANNUAL REPORT

For the year ended 31 December 2024

The trustees, who are the directors of the company for the purposes of company law, present their annual report and financial statements of the charitable company for the year ended 31 December 2024. Reference and administrative information set out on page 1 forms part of this report. The financial statements comply with current statutory requirements, the charity's governing document, and the Statement of Recommended Practice - Accounting and Reporting by Charities: SORP FRS102.

Taking advantage of the small charities provision in Sections 4.22-4.26 and 4.6 of the same SORP, the trustees have reported income and expenditure on a natural basis.

The financial statements have been prepared to give a 'true and fair' view and have departed from the Charities (Accounts and Reports) Regulations 2008 only to the extent required to provide a 'true and fair view'. This departure has involved following SORP 2015 rather than the Accounting and Reporting by Charities: Statement of Recommended Practice effective from 1 April 2005 (SORP 2005) which has since

STRUCTURE, GOVERNANCE AND MANAGEMENT

a. Constitution and governing document

The charity is a charitable company limited by guarantee and was established by the Congregation of the Faithful Companions of Jesus (“the Congregation”) to work with schools within the trusteeship of the Congregation and to ensure that the schools operate in accordance with the teachings, tenets and practices of the Catholic Church and in accordance with the ethos reflecting the FCJ charism. It is governed by a memorandum and articles of association dated 12 December 2011.

The schools, which shall be academies for the purposes of the Academies Act 2010, will have sole responsibility for:-

  1. the standard of education provided at the academies;

  2. school improvement; and

  3. the conduct of the academies.

The charity may also act as a sponsor or co-sponsor for any academies.

b. Method of appointment or election of Board of Trustees

The trustees are appointed are follows:-

(a) up to five ‘Foundation' trustees appointed by the Congregation; and

(b) up to four trustees appointed by the Foundation trustees from amongst nominations made to the Foundation trustees by the governors of any academy in respect of which the charity acts as a member, sponsor or co-sponsor.

No other person or external body is entitled to appoint any trustees of the charity. The Trustees who served during the period and after the yearend are shown on page 1.

The trustees when complete consist of at least three and not more than nine individuals over the age of 18 , all of whom must support the objects of the charity and at least a majority of whom shall be Foundation

c. Policies adopted for the induction and training of Board of Trustees

On-going training opportunities are announced to trustees when these become available pro bono.

d. Related parties and relationships with other organisations

The Charity has considered the disclosure requirements of the SORP for related party relationships. The trustees consider that the members of the board and their close connections to be the main related parties of the charity. Details of trustee expenses and related party transactions are disclosed in note 3 to the

The Board of Trustees fully accepts its responsibilities for ensuring that the major risks to which the Charity is exposed are identified, and that there are systems and procedures in place to mitigate those risks.

OBJECTIVES AND ACTIVITIES FOR THE PUBLIC BENEFIT

a. Purposes and aims

The objects of the charity are:-

(a) to advance, for the public benefit, education, in particular but without prejudice to the generality of the foregoing by establishing and maintaining academies under the direction of the Congregation;

(b) to promote the efficiency and effectiveness of educational institutions and the efficient and effective application of resources for such purposes including, but without limitation, by promoting and disseminating models of good practice and by the delivery of support services generally to such institutions; and

(c) to advance the religious and other charitable work of the Congregation as the trustees from time to time see fit provided always that, if at any time the Congregation shall cease to exist or shall cease to carry on religious or other charitable work, then the trustees may advance such other lawful purposes connected with the advancement of the Roman Catholic faith as the trustees shall determine.

b. Principal programmes and activities

The charity works with schools within the trusteeship of the congregation of the Faithful Companions of Jesus (FCJ) to ensure that the schools operate in accordance with the teachings, tenets and practices of the catholic church and in accordance with the ethos reflecting the FCJ charism.

c. Statement of Public benefit

The trustees confirm that they have complied with their duty to have due regard to the guidance on public benefit published by the Charity Commission in exercising their powers or duties. The public benefit of the charity’s activities is outlined above.

Spring Term (January – March 2024)

The 4 Induction Modules for the formation of new staff in all five FCJ schools is now being delivered by experienced staff within each school. Support visits took place in Bellerive College and Maria Fidelis by the Educational Trust Officer to ensure consistency of practice and adherence to the spirit and expectations of the programme. Support visits for Gumley House & Upton Hall are planned for 2025.

Chaplaincy Formation Zoom meetings took place in January and March. These sessions were led and facilitated by the FCJ Educational Trust and Sr Anouska Robinson-Biggin FCJ. The themes for the sessions were community and service.

The Sixth Form Student Leadership plenary session for reporting back on their Earth Justice projects took place via Zoom on 22nd March. Students and staff welcomed Ann Nichols, (Network Facilitator, Edmund Rice schools, England) who had helped facilitate their Sixth Form Student Leadership Conference with the Educational Trust Officer in April 2023. Ann joined staff and students in reviewing and celebrating the outcomes of the FCJ Earth Justice projects. The media clips and PPTs produced by each school were combined to produce one showcase piece which schools could use for educational purposes.

The planned meetings with Deputy Headteachers, Heads of RE, Chaplains, and School Business Leaders took place in February/March. School Business Leaders met in Maria Fidelis Catholic School, in February, to discuss cost saving measures, budgets, the school’s three-year plan, insurance, requirements for the Gaudete Trust, as well as share good practice.

Heads of RE and Chaplains took part in a day of reflection and prayer led by Sr Margarita Byron fcJ, in FCJ House, in March. The theme of the day was hope and focused on the forthcoming Jubilee Year 2025: Pilgrims of Hope. In order to support the Chaplains further in their ministry the Trust encouraged them to attend the online formation session (Chaplaincy Chat) delivered by the ROE Charism group in February.

Deputy Headteachers met in FCJ House, in March. They shared examples of how Ignatian pedagogy was used in each of their schools. They discussed the possibility of working on a shared curriculum project which focused on Ignatian pedagogy but decided in the end to work on separate projects.

The annual Headteachers’ retreat, led by Sr Brid Liston FCJ, took place 14th – 16th March, in the Loreto Retreat Centre, Llandudno.

Summer Term (April – July 2024)

Chaplains were encouraged to attend the online formation sessions (Chaplaincy Chat) delivered by the ROE Charism group in May and June. This gave them the opportunity to network with Chaplains from other religious order schools, gather new resources and reflect on their own ministry.

The annual Sixth Form Student Leadership Conference took place in FCJ House, in April. The theme of the conference was FCJ Leadership. The Educational Trust Officer facilitated the day and encouraged students to consider what it means to be an FCJ Leader in the world today. Students were tasked with preparing a report for Governors on their chosen Earth Justice project.

The Chaplaincy Formation residential took place in London, in June. The two days provided an opportunity for the team to reflect on the year. By giving individuals, the time and space to reflect and grow in their faith it is hoped that this will lead them to gain an understanding of how their faith affects others’ lives. Our work and actions come from knowing who we are, why we are and what we are called to do. Our work is an expression of our faith. This is what it means to be in companionship and finding God in all things. Through participation in the programme, we hope to create an understanding of how chaplaincy teams can make a difference to the spiritual life of the whole school community.

Autumn Term (September – December 2024)

The scheduled FCJ Educational Trust meetings and activities took place online via Zoom. Headteachers, Heads of RE & Chaplains, Heads of Sixth Form and FCJ School Business Leaders met together in their respective groups during September – November. They shared their concerns, learning from the past year as well as their hopes and plans for the new academic year.

Heads requested that the meetings for DHTs (2024/25) should focus on the induction into the FCJ way of proceeding for the new Deputy Headteachers (x5) who have joined our schools rather than on a curriculum project. It was felt that a face-to-face meeting would be preferable. Consequently, the online meeting for Deputy Headteachers didn’t take place in October giving time for the experienced DHTs with the assistant Education Officer to plan the content of the day.

The Gaudete Trust organised a Day for Governors and Head Teachers on Saturday 5th October, with the aim of deepening Governors’ knowledge of the Gaudete Trust and their understanding of what it means to belong to it. It was envisaged that the Day would help Governors (and their schools) develop relationships with each other and find ways of working together in a spirit of companionship. If a sense of belonging to something new could be fostered this would help the Gaudete Trust to flourish. Governors and Headteachers from the 4 FCJ schools that belong to the Gaudete Trust attended.

The Chaplaincy Formation 2-day residential programme took place in London, in October. The programme is now in its second year. For several reasons not all the participants from last year are continuing with the programme. A couple have taken on additional responsibilities in their school and others have left for new jobs. Three schools are fully engaged: FCJ Jersey, Gumley House and Maria Fidelis. The programme will continue to follow the Ignatian dynamic of experience, reflection, and action. It’s an opportunity for us, as FCJ schools, to explore how we can develop chaplaincy in a different way and create something that brings us to creating chaplaincy teams, so we don’t rely on one person to be involved in nourishing the spiritual life of the school. Capturing the journey and experience of the 3 year programme in written form is envisaged. The residential was followed by the first of three scheduled Zoom meetings in November. The theme of the Zoom session was accompaniment.

The Induction Conference for new staff took place in FCJ House in November. It was facilitated by the Trust with input and participation of additional FCJ Sisters. Though the programme was shortened, because no longer a residential overnight 24-hour event, it, nonetheless, covered key areas from previous years; the life and mission of Marie Madeleine, FCJ Vision and Values and FCJ ministries across the globe. Prayer and reflection at the start and the end of the day was facilitated by FCJs.

Other Issues

All the legal and financial formalities for taking on the responsibility of Employer status have been fulfilled. The FCJ Educational Trust has been registered for tax purposes with HMRC; with a Pension Fund; with a Payroll Agency; with the Information Commissioner’s Office (ICO for Data Protection) and digital Banking arrangements have been established.

All four schools in England are judged to be Good or Outstanding by OfSTED with outstanding judgments in the category for personal development and well-being. Gumley House was inspected (Ungraded) in April 2024. The written report stated, “Pupils are proud to attend Gumley House. It is a welcoming and nurturing school where the ethos of ‘live that you may have life’ is celebrated by all. Pupils are happy and well cared for. They know how to stay safe online and in the wider world. Pupils build very respectful working relationships with each other and with staff.”

FCJ Primary was inspected in January 2024 under the Jersey Schools Review Framework. The opening paragraph of the report stated, “Leaders, staff, pupils and parents are justly proud of their school which many keenly describe as being their ‘second family’. The school’s Christian ethos and the FCJ values of ‘companionship, dignity, excellence, justice, gentleness and hope’ are threaded throughout daily life and all that the school achieves. Pupils flourish in this exceptionally caring learning environment. The team of reviewers totally agree with one parent who spoke for many when they said, ‘… FCJ is a truly lovely primary school that very much cares.”

All four schools in England are judged to be Good or Outstanding by the Catholic Inspectorate team. Both Gumley House and Bellerive College were inspected in 2024. Despite the changes to the framework and process Bellerive retained their Outstanding judgment. The report stated, “The values of the Faithful Companions of Jesus permeate all aspects of school life and have a tangible impact on the lived experiences of both staff and students in Bellerive.”

FINANCIAL REVIEW

a. Financial Position

The Charity achieved net income for the year of £4,005 (2023 - net income of £886), details of which are shown in the Statement of Financial Activities on page 12.

The charity had income for the year of £41,163 (2023 - £49,575), including income from provincial grants of £34,620 (2023 - £45,000). Total expenditure for the year was £37,158 (2023 - £48,689).

The charity's net assets at the year end amounted to £10,605, comprising of bank and cash balances of £12,310 and current liabilities of £1,705.

b. Reserves Policy

The Trustees consider that it is prudent to hold reserves in order to meet planned commitments that cannot be met by future income alone. Some examples of such activities include the costs associated with the twoday residential Sixth Form Student Leadership Conference for 30 participants; a 24 hour residential Induction Conference for new staff - 38 participants and a 2-day residential retreat for 10 Deputy Heads. The Trustees estimate that the charity needs £15k – £20k in reserves so that these commitments can be honoured.

The reserves balance at the year end was £10,605. This level of reserves is lower than desired following the unexpected cost of Due Diligence reports in 2023 (£19,000) that were needed for the schools to be admitted to the Gaudete Trust, which resulted in the use of existing reserves. The trustees are monitoring the reserves levels and have plans to build them up again.

c. Going Concern

After making appropriate enquiries, the trustees have a reasonable expectation that the charitable company has adequate resources to continue in operational existence for the foreseeable future. For this reason, they continue to adopt the going concern basis in preparing the financial statements. Further details regarding the adoption of the going concern basis can be found in the Accounting Policies.

TRUSTEES' RESPONSIBILITIES IN RELATION TO THE FINANCIAL STATEMENTS

The charity trustees are responsible for preparing a trustees’ annual report and financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).

The law applicable to charities in England and Wales requires the charity trustees to prepare financial statements for each year which give a true and fair view of the state of affairs of the charity and of the incoming resources and application of resources, of the charity for that period.

In preparing the financial statements, the trustees are required to:

The trustees are responsible for keeping proper accounting records that disclose with reasonable accuracy at any time the financial position of the charity and to enable them to ensure that the financial statements comply with the Charities Act 2011, the applicable Charities (Accounts and Reports) Regulations, and the provisions of the Charity's governing document. They are also responsible for safeguarding the assets of the charity and taking reasonable steps for the prevention and detection of fraud and other irregularities.

The trustees are responsible for the maintenance and integrity of the charity and financial information included on the charity’s website in accordance with legislation in the United Kingdom governing the preparation and dissemination of financial statements.

The financial statements have been prepared in accordance with the Statement of Recommended Practice: Accounting and Reporting by Charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) issued on 16 July 2014, as updated on 2 February 2016 (SORP 2015), and the Financial Reporting Standard applicable in the United Kingdom and Republic of Ireland (FRS 102) and the Charities Act 2011.

Income and expenditure have been analysed on a 'natural basis, taking advantage of section 4.6 of the SORP.

The effect of events relating to the year ended 31 December 2024 which occurred before the date of approval of the financial statements by the Trustees has been included in the financial statements to the extent required to show a true and fair view of the state of affairs at 31 December 2024 and the results for the year ended on that date.

The financial statements have been prepared to give a 'true and fair' view and have departed from the Charities (Accounts and Reports) Regulations 2008 only to the extent required to provide a 'true and fair view'. This departure has involved following SORP 2015 rather than the Accounting and Reporting by Charities: Statement of Recommended Practice effective from 1 April 2005 (SORP 2005) which has since been withdrawn.

Public benefit entity

The charitable company meets the definition of a public benefit entity under FRS 102.

Going concern

The trustees consider that there are no material uncertainties about the charity's ability to continue as a going concern.

Key judgements that the charity has made which have a significant effect on the accounts include estimating income and expenditure for the next 12 months.

Income

Income is recognised when the charity has entitlement to the funds: this is when any performance conditions attached to the income have been met, it is probable that the income will be received, and that the amount can be measured reliably.

Income is only deferred when: The donor specifies that the grant or donation must only be used in future accounting periods; or for performance related grants, where these are received in advance of the performances or specific event to which they relate.

Interest receivable

Interest on funds held on deposit is included when receivable and the amount can be measured reliably by the charity; this is normally upon notification of the interest paid or payable by the bank.

Fund accounting

Restricted funds are to be used for specific purposes as laid down by the donor. Expenditure which meets these criteria is charged to the fund.

Unrestricted funds are donations and other incoming resources received or generated for the charitable purposes.

Designated funds are unrestricted funds earmarked by the trustees for particular purposes.

Expenditure and irrecoverable VAT

Expenditure is recognised once there is a legal or constructive obligation to make a payment to a third party, it is probable that settlement will be required and the amount of the obligation can be measured reliably. Expenditure is considered all to relate to Charitable activities and includes the costs of delivering services undertaken to further the purposes of the charity and their associated support costs.

Support and governance costs

All support and governance costs are incurred in relation to the single charitable activity of the charity.

Tangible fixed assets and depreciation

Tangible fixed assets (excluding investments) are stated at cost less depreciation. The cost of minor additions costing less than £1000 are not capitalised. Other fixed assets with an expected life of more than one year are included at cost and depreciated over three years.

Debtors

Trade and other debtors are recognised at the settlement amount due after any trade discount offered. Prepayments are valued at the amount prepaid net of any trade discounts due.

Cash at bank and in hand

Cash at bank and cash in hand includes cash and short term highly liquid investments with a short maturity of three months or less from the date of acquisition or opening of the deposit or similar account.

Creditors and provisions

Creditors and provisions are recognised where the charity has a present obligation resulting from a past event that will probably result in the transfer of funds to a third party and the amount due to settle the obligation can be measured or estimated reliably. Creditors and provisions are normally recognised at their settlement amount after allowing for any trade discounts due.

The charity only has financial assets and financial liabilities of a kind that qualify as basic financial instruments. Basic financial instruments are initially recognised at transaction value and subsequently measured at their settlement value with the exception of bank loans which are subsequently measured at amortised cost using the effective interest method.

The charity had one salaried staff during the year (2023 - the same). The average weekly number of consulting staff on a head count basis was 1 (2023 - 1).

The total employee benefits including pension contributions of the key management personnel were £20,413 (2023 - £20,413).

No consultant earned more than £60,000, including benefits, during the year (2023 - the same.)

3. TRUSTEES' REMUNERATION AND EXPENSES

The charity trustees did not receive any payments or other benefits for serving as trustees (2023 - £nil). No charity trustee received payment for professional or other services supplied to the charity (2023 - £nil).

During the year, no trustees received payments in reimbursement of expenses (2023 - 2 trustees were reimbursed expenses amounting to £100). The Trustees are members of the Faithful Companions of Jesus order and have no personal bank accounts - the reimbursed expenses are therefore paid to their respective Communities.
