## **Structure, Governance and Management** 

Officers and Trustees 

(1)The Charity and its property shall be managed and administered by 

a governing board (committee) comprising the Senior and assistant 

Pastor, the trustees and other members nominated by the Senior 

Pastor in accordance with this Constitution. 

(2)The Trustees are in effect like legal Directors of a company overseeing the well-being of the charity. 

- (3)The governing board shall constitute the persons below: 

- •Senior Pastor, 

- •Assistant Pastor, 

- •The Trustees 

- •Church Administrator 

- •Account Signatories 

- •Secretary of the governing board 

- •Treasurer. 

(4)A Trustee must be a member of the Charity or the nominated representative of an organization that is a member of the Charity. 

(5)No one may be appointed a Trustee if he or she is disqualified from acting under the provision of clause 19. 



(6)The numbers of Trustees shall not be less than two but shall not be subject to any maximum. 

(7)The first Trustees and any Officers shall be those persons nominated 

or appointed as Trustees by the Senior Pastor, prayerfully by the help of the Holy Spirit and strictly in accordance to biblical principles. The same shall be at the meeting at which this constitution is adopted. 

(8)A Trustee may not appoint anyone to act on his or her behalf at meetings of the Trustees.

## **Activities** 

Our objective is to help people discover their God given purpose and to develop their potentials  for  impactful  living.  Our  activities  include teaching, preaching and propagating Christianity as laid down in the Holy Bible. We share the good news of Jesus Christ with as many people as possible  in  our  community.  We  also  serve  by  meeting  the  physical, emotional and spiritual needs of our church members and members of our community. 

## **Achievements And Performance** 

The objects of House of Praise, Nechells (RCCG) are primarily to encourage and be involved in the advancement of the Christian religion, the relief of poverty and the advancement of education and any other purposes which are charitable according to the law of England and Wales. The Charity seeks to further these objects through: 

1. **WORSHIP** - "To participate in public worship services together and to maintain personal daily devotions." (John 4:24) – Through the last year, there was worship every Sunday (10am – 12pm) and Wednesday (7pm – 9pm) 

2. **EVANGELISM** - "To share the good news of Jesus Christ with as many people as possible in our community and throughout the world." (Matthew 28:18-20; Acts 1:8; 2 Peter 3:9). - The church constantly does 



this. The church also extends gifts to the neighbors during Xmas and Easter and helps the homeless and less privileged in the community. The church gave out foods and various aids donation to the less privilege and donated to food banks across the city of Birmingham. 



3. **MINISTRY/MISSIONS** - "To serve unselfishly in Jesus' name, meeting the physical, emotional, and spiritual needs of those in our church, community, and in the world." (1 Peter 4:10,11; Matthew 25:3440; 1 Thessalonians 5:11; Galatians 5:13). The church has been able to do this based on preaching of the bible and providing psychological and financial support to the less privilege members. 

4. **DISCIPLESHIP** -  "To  help  members  develop  toward  full  Christian maturity and train them for effective ministry. The charity also promotes personal, spiritual growth and discipleship  through  Bible  teaching." (Ephesians  4:11-13;  Matthew  18:20;  2  Timothy  2:1,2). This  has  been achieved  through  bible  study  classes  on  Wednesdays,  Sunday  school classes on Sunday mornings and discipleship / membership classes. 

5. **FELLOWSHIP** - "To encourage, support and pray for each other as members of the family of God. We share our lives together." (1 John 1:7, Acts 2:44-47; Hebrews 10:23-25; Romans 15:5-7; John 13:34, 35). This has been achieved through setting up regional home cell groups that pray and fellowship together. 

In addition to the above achievement for the year, the church was granted planning and building permission by the Birmingham council to rebuild a more ultra-modern building to better serve the needs of the church and the general public.

## **Independent Examiner’s report to the Trustees/members of House of Praise Christian Centre, Birmingham (Reg. Number: 1149259)** 

I report on the account for the year ended 31 March 2022. 

## **Respective responsibilities of Examiner and Trustees** 

The Charity’s trustees considered that an audit is not required for this year based  on  Section 43 (2)  of the Charities Act  (1993)  and that an independent examination is needed. 

It is my responsibility to: 

- Examine the accounts (under Section 43 (3) (a) of the 1993 Act); 

- To follow the procedures laid down in the General Directions given by the Charity Commissioners (under Section 43 (7) (b) of the 1993 Act); and 

- To state whether matters have come to my attention. 

## **Basis of Independent Examiner's report** 

My examination was carried out in accordance with the General Directions given by the Charity Commissioners. An examination includes a review of the  accounting  records  kept  by the  Charity  and  a  comparison  of  the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from  you  as  trustees  concerning  any  such  matters.  The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently I do not express an audit opinion on the view given by the accounts. 

## **Independent Examiner's statement** 

In connection with my examination, no matter has come to my attention which gives me reasonable cause to believe that in any material respect the requirements 

- To keep accounting records in accordance with Section 41 of the 1993 Act; and 

- To prepare accounts which accord with the accounting records and comply with the accounting requirements of the 1993 Act have not been met; or 

- To which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.
