report with the financial statements of the charity for the year ended 31 ALtgusl 2025. The trustees have
adopted the provisions of AccoLJnling and Reporting by Charities.. Stslemenl of Recommended Practice
applicable lo charities preparing their accounts in accordance wlh the Financial Reporbng Standard
applicable in the UK and Republic of Ireland IFRS 1021 (effective 1 January 2019).

information and to act as a resource body for local schools and academies.

The charitys principle source of funding is through subscriptions from member schools, exlemal grants and
lettings. The contributions from member schools has been sel al £6.20 per capila.
Much of the activity and success in meeting Ihe key objectives is linked lo partnership working which benefits
from the investment in co-ordination.
CSL continues to focus significant lime and capacity into ils future sustainability with exciting project work and
a rising profile.
Al the end of our seventh year of operation the budget stands at approximately £261k which will be rolled
across to the next financial year.
The trustees confirm that they have complied with the requirements of section 17 of the Charities Act 2011 to
have due regard to the public benefit guidance published by the Charity Commission for England and Wales.

Financial review
The charitys total income was £104.615 12024.. £203,933) and total expenditure was £140,291 12024..
£205,456). The deficit for the year was £35,676 {2024.' £1,523). The charitys assets are available and
adequate lo fulfil its obligations on a fund by fund basis.
Policy on reserves
The lolal balance of funds al 31 August 2025 was £188,09812024: £223,744). This includes reslricled funds
of £9,330 12024." £31,726). The balance of unrestricted funds al 31 August 2025 was £178,768 12024..
£192,048). Of these unrestricted funds, f￿e reserves Icalculaled as total unrestricted reseNes, less
designated funds and tangible fixed assets) was £52,75612024.. £62.736}. These funds are held lo cover the
ongoing costs of providing the charills work.
The board of Iruslees considers that the slate of the charivs affairs is satisfactory. and that the charitable
company is well situated lo carry on its objectives in the future.
STRUCTURE, GOVERNANCE AND MANAGEMENT
Nature of governin9 document
The charity is controlled by ils governing document, a deed of trust, and constilules a limited company. limited
by guarantee. as defined by the Companies Act 2006.
Risk management
The trustees have a duly to identify and review the risks to which the charity is exposed and to ensure
appropriate controls are in place lo provide reasonable assurance against fraud and error.
Recruitment and appointment of new trustees
The Iruslees are the headteachersl executive headteachersl principals of the 21 member schools.
Trustee status is assumed by the above positions in each school. There is a chair and vice chair appointed at
an annual election. Trustees newly appointed to the charity are offered support by a mentoring and induction
package.
Organisalional slrudure
The trustees delegate responsibility for strategic recommendations on the work of the charity lo an operations
group made up of the chair. vice chair and two other trustees. Operation group meetings are open for all
Iruslees to attend. The operations group is directly supported by the senior employee and draws input as
required from staff working on a consultancy basis and from partner organisalions. Recommendations from
this group are considered and agreed at full Iruslee meetings held 6 x per year. Delegated decision making
processes are captured with the Governance and Scheme of Delegation document which is reviewed on an
annual basis.
There is an annual general meeting al which Iruslees and governors from member schools are invited.
Arrangements for setting key management personnel remuneration
The trustees consider that the comprise the senior employee is the key management personnel of the charity
in charge of the directing and controlling of the charsty and running and operating the charity on a day lo day
basis. The senior employee is closely supported by the trustees all of whom give of their lime freely and no
Iruslee remuneration was paid in the year. Details of Iruslee expenses and related paty Iransadions are
disclosed in note 9 and note 18 to the accounts.
Trustees are required lo disclose all relevant interests and register them and in accordance wtth the charitys
policy and withdraw from decisions where a conflict of interest arises.

I report lo the charity trustees on my examination of the accounts of the Company for the year ended
31 August 2025.
Responslbllities and basis of report
As the charitys trustees of the Company land also ils directors for the purposes of Company law) you are
responsible for the preparation of the accounts in accordance with Ihe requirements of the Companies Act
20061'the 2006 Acl'l.
Having satisfied myself that the accounts of the Company are not required to be 8udiled under Part 16 of the
2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's
accounts as carried out under Section 145 of the Charities Act 2011 Ilhe 2011 Acl'l. In carrying out my
examination I have followed the Directions given by the Charity Commission under Section 145151 Ib) of the
2011 Act.

Independent examiner's statement - matters of concern identlfied
I have completed my examination.
Evidence available to me was limited because infom)alion relating lo CollabDralive School Ltd's share of the
assets and liabilities of the pension fund al the year end dale was not obtained by the trustees. As a result,
the adjustments and disclosures required by FRS 102 could not be incorporated into the accounts. Had
information been available in respect of Collaborative School Ltd's share of the underlying assets and
liabilities of the scheme, an asset would have been recognised on the face of the tsalan￿ sheet along wth a
corresponding pension reserve within funds. The standard also requires the cu￿ent service costs, inleresl on
scheme liabilities and expected return on scheme assets for the period to be recognised in the slalemenl of
financial aclivilies. Actuarial gains and losses in the period would have been disclosed in the statement of
total recognised gains and losses. A triennial actuarial v81uation as 8131 March 2019 showed that the fund
was in surplus, details of the valuation are disclosed in note 16 to the accounts.
I confirm th8t no other matters have come to my attention in connection with the examination giving me
reasonable cause lo believe that in any material respect..
accounting records were not kept in respect of the Company as required by Section 386 of the 2006
Act.. or
the accounts do not accord with those records., or
the accounts do not comply with the accounting requirements of Section 396 of the 2006 Ael other
than any requirement that the accounts give a true and fair view which is not a matter considered as
part of an independent examination., and
the accounts have not been prepared in accordance with the methods and principles of the Statement
of Recommended Practice for accounting and reporting by charities (applicable to charities preparing
their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic
of Ireland (FRS 102)).

ACCOUNTING POLICIES
Basis of preparlng the flnancial statements
The financial slalemenls of the eharilable company, which is a public benefit entity under FRS 102,
have been prepared in accordance with the Charities SORP IFRS 1021 'Accounling and Reporting by
Charities.. Slalernenl of Recommended Practice applicable to charities preparing their accounts in
accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland IFRS
1021 (effective 1 January 20191,, Financial Reporting Standard 102 The Financial Reporting Standard
applicable in the UK and Republic of I￿land, and the Companies Act 2006. The financial slalemenls
have been prepared under the historical cost convention.
Collaborative Schools Ltd as a charitable company established in England and Wales. In the event of
the charitsble company being wound up, the liability in respect of the guarantee is limited to £1 per
member of the charitable company. The address of the registered ¢)ffice is given in the referen￿ and
administrative details on page 1 of these financial statements. The nature of the charitable companls
operations and principal activities are described in the Report of the Trustees.
The financial ststements have been prepared on a going concern basis under the historical cost
convention, modified lo include certain items al fair value. The functional currency of the charitable
company, and the presentation currency of these financial slalemenls is the pound sterling I'£'l.
The signrficanl accounting policies applied in the preparation of these financial slalemenls are sel out
below. These policies have been consislenlly applied lo all years presented unless otherwise stated
Income
All income is recognised in the Statement of Financial Activities once the charity has enlitlemenl lo the
funds, il is probable that the income will be received and the amount can be measured reliably.
Expenditure
Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation
committing the charity lo that expenditure, il is probable that a transfer of economic benefits will be
required in settlement and the amount of the obligation can be measured reliably. Expenditure is
accounted for on an accruals basis and has been classified under headings that aggregate all cost
related lo the category. Where costs cannot be directly attributed to particular headings they have been
allocated to activities on a basis consistent with the use of resources.
Expenditure includes any VAT which cannot be recovered and is reported as part of the expenditure to
which il relates.

Depreciation is provided al the following annual rates in order lo write off each asset over ils estimated
usefvl life.

Fund accounting
Further explanation of the nature anij purpose of each fund is included in the notes to the financi81
slalements.
Penslon costs
The charity is a member of Wiltshire Pension Fund. The Scheme is a multi-employer scheme. The
Scheme has previously been accounted for as rf il were a defined contribution scheme on the grounds
that trustees decided that it would be too expensive and of limited benefit lo users of the financial
Statements lo obtain the valuation of the charills share of the scheme at the year end dale. The
trustees have therefore continued lo account for the scheme on a defined contribution basis.
Debtors
Trade and other debtors are recognised al the settlement amount due after any trade discount offered.
Prepayments are valued at the amount prepaid net of any trade discounts dLre.
Cash at bank
Cash al bank includes cash and short term highly liquid investments with a short maturity of three
months or less from the date of acquisition or opening of the deposit or similar account.
Creditors and provisions
Creditors and provisions are recognised where the charity has a preseTrl obligation resulting from a
past event that will probably result in the transfer of funds to a third party and the amount due lo settle
the obligation can be measured or estimated reliably. Creditors and provisions are normally
recognised al their settlement amount after allowing for any trade discounts due.
Financial Instruments
The charitable company only has financial assets and financial liabilities of 8 kind that qualify as basic
financial inslrumenls.
Basic financial instruments are initially recognised al transition value and
subsequently measured at their settlemeril value.
Going concem
The financial slalements have been prepar9d on a going concern basis as the Iruslees believe that no
material uncertainties exist. The Iruslees have considered the level of funds held and the expected
level of income and expenditure for 12 months from aulhorising these financial statements. The
budgeted income and expenditure is sufficient with the level of reseNes for the charity to be able lo
continue 8s a going concem.

National Lottery funding is in respect of the enhancement of local inclusion forums.
The LAC Wellbeing funding is lo promote the wellbeing of children.
Digitsl Devices funding is lo make pupils literate in the area of digitalisalion wth aim lo enhance
collaboration, critical thinking, communication and creativity.
16.
EMPLOYEE BENEFIT OBLIGATIONS
The charity is a member of the Wiltshire Pension Fund. The Scheme is a mulli*mployer scheme.
The charity has not commissioned an actuarial valuation report at the year end dale and has therefore
not included the year end asset and the disclosures necessary lo account for the defined benefit
pension scheme under the normal reporting standards.
The charity has a triennial actuarial valuation report as al 31 March 2019 and this showed that
Collaborative Schools Ltd fund was in surplus by £18,000 and consequently no liability in respect of
deficit payments needs lo be recognised in the financial statements. The lalesl triennial actuarial
valuation report was on 31 March 2025 but the results were unavailable at the lime of these financial
stslemenls being signed
The cost for the period was £18,332 12024.. £16,8851- There were no outstanding or prepaKI
conlribulions at the balance sheet date.
17. RELATED PARTY DISCLOSURES
All of the members of Collaborative Schools Ltd are head teachers of their respective schools.
Services are provided lo the member schools in line with charitable activities.
18. ULTIMATE CONTROLLING PARTY
The Trustees consider that the charity is jointly owned by the Trustees and there is no ultimate
¢ontrolling party.
