Tlie Inatn object of the company is to beiiefit those employed oi. formei'ly employed in the wine and spirit
and ancillary trades, and tlieii. dependents. Tliis includes the genei'al relief of pov61ty among SUGII
iiidividuals and support of the Drinks Ti'LlSt (foi'merly tlie Wine and Spirit Trades Benevolent Society). The
activities of tlie coinpany are undertaken to fLlrtlier its cliai'itable purposes and the trustees have Ii&d regard
to the gliidance issued by tli8 Charity Commission on public bejiefit.
Structui'e, Govei'nallce and Management
The coinpaThy was iiicorpoi'ated as a chai'itable coinpany limited by guarantee on 22 Decembei. 2011. The
conipany took ovei. the assets of the Wine Trade Foundation, a cliai'ity with the same activities and
objectives which liad been fortned by a Declaration of Trust dated 17 July 1973.
On 22 November 2012, tlie company inei'ged into its balance slieet Élle assets of the Vine Products
Einployees, BenefLt Fiind, a charitable ti'ust WLth siinilai. objectives to the company. The Fund is now
adiniiiisteft'ed a5 pai't of the propeLty of the coinpany subject to the resti'iction that when applying the
propeity transferred the company must give prioTity to the original beneficiaTies,
The management of tlie affairs of the co￿PanY is conducted by the trustees, who meet hvice & year as
minimum, and more frequently if considered necessary.

The triistees repoit, with great sadness, the death of Michael Hasslaclier on 2 March 2024. Michael was
one of the founder tt'ustees of die Foundation, and had resigiied oil I laiiiiary 2024 having served for fifty
years as a trustee and chairinaTh.

Tlie trustees met twice during tlie year to agree the recipients and amovnts of grants and donations.
The ijivestinent poirfolio performed in line witli equity markets.
Plans for the Future

Basis of Pi'epai'alion
The Finaiicial Stateinents ar¢ prepared under th¢ Iiistoi-ical Qosl convention, witli the exception
that investineiits 81'e included at inarlcet value. Tlie Ftnancial Stat¢illents have been prepared
in accordance with tlie second edition of Accounting and Repoiling by Charities.. Statement of
Recommended Practice applicable to chai'ities preparing their accounts in accordance with the
Financial Reporting Standai'd applicable in the UIC and Republic of Ireland (FRS 102) issued
in October 2019, the Financial Reporting Standard applicable in the UK and Republic of
Ireland (FRS 102) and the Charities Act 2011 and the Coinpanies Act 2006.
