Governlng Document
The orgonisation is a chorilable compony limited by guarantee, incorporated on 21 February 2011 and
registered 05 a charity on 4 April 2012. The organisalion was eslablished under a Memorondum of
Association, subsequently revised by Special Re501ution on l O March 2012. The document establishes the
objectives and powers of the Charifable Company.
Retirement and Appolntmenl ol Dlrectors/Trvstees
The direclors of the company are also charily trustees for the purposes of chority low and Under the
charities articles of associalion, one third of the director5 ore to relire. by rolation. each year.
The charily trustees ore appointed from within the membership of the charity. There was no changes to the
board during the course of the year.
Management Structure
The directors allocate themselves orea5 of respon5ibilily to oversee the primary activity of the charity. that
being the organisation of the annuol Howden Agricultural and Horticultural Show. The directors oversee the
oclivities of the organising commiltee members who act on behalf of the chority in orgonising discrete
areas of the Show with Ihe committee members reporting back to monthly organising committee meetings
and subsequently lo quarterly directors meetings.

OBJECTIVES AND ACTIVITIES
The objects of the charity, as defined in the articles of association are to promote and advance, for the
benefit of the public, Agriculture. Horticulture, Rural and Counlry5ide pursuils. in particular bul nol
exclusively by the improvement of liveslock and the demonstration and showing of livestock, machinery,
crafts products, methods and processes connected with agriculture and agricultural educotion in
particular through the holding of on annual show.
The primory activity of Ihe chority is the organisation of the onnual Howden Agriculiural and Horticulturol
Show, held in July each year.
PUBLIC BENEFIT
The show ha5 0 long standing history of promoling agriculture, horticulture ond rural pursuils to the local
commvnily in combination wilh family orientoted entertainments.
When plonning the activilies for the year, Ihe Irvstees ond orgonising committee have considered Ihe
Commission's guidance on public benefit with regard to the objective5 of Ihe charity. being the promotion
of ogriculture, horticullure and rural pursuits.
As outlined below in the achievements and performance of the charity, all a5pect5 of the onnual Howden
Show are reviewed to ensure Ihal there is a benefil to the public by illu5troting a wide ronge ol octivities
which fall under the charilies aims within 0 single day show easily accessible to the public.
ACHIEVEMENTS AND PERFORMANCE
The 2023 Howden Agricultural and Horticultural show was held on Sunday 2nd July. The
Following activities were undertoken in support of the aims of Ihe charity:_

Horse and Pony showing classes
Cattle Showing Classes
Rare breed sheep displays
Pelting farm
Mountain bike stunt display leom
Have a go axe throwing
Circus display ond workshop
Puppet storytelling
Traditional funfoir
Rural Crafl displays, Blacksmith & Pole Lathe demonstrations
The performance of the charity is measured by the vi51tor numbers. based on gate receipts. Gate sales
were down from last year's exlroordinory sales. however. they were in line with expectations. The orgonising
committee and Ihe charitable trustees are satisfied that the show succeeded in ils aims of presenting
numerous elemenls of county ski115 rural pursuil5.

FINANCIAL REVIEW
The accounting period covers activilies associated wilh the preparations and running of Ihe 2023 Show and
Ihe operation of the charity.
As presented within the accounts. this financial period resulled in an income of £41,655 from a
combination of gran15, sponsorship of clo55es and elements of Ihe Howden Show, advertlsing revenue
0550ClOted with the show programme and gote revenues.
Expenditure 05socialed with the holding of the 2023 Howden Show and operation of the chorily was
£36,822. The surplus income of £4.833 was Iron5ferred to the reserves of Ihe charity in line with the reserves
policy outlined below.
RESERVES POLICY
The charily aims to hold reserves of approximately £41,000, a sum opproximately equivolent to the costs
associated with holding the annual event, such Ihot Ihe charily would remain 501vent in the event of lale
cancellation of the annual Howden Agricultural and Horticultural Show due to unforeseen circumslonces.
The reserve amounf 15 reviewed annually by the monagemenl commiflee. with excess holding being made
available lo Ihe Show organising committee specifically for additional activities which meet the charilable
aim5. Thi5 figure has been increased this year due to the inflation pressures being passed on by the supply
chain.
The chority holds o reserve of approximalely £1 0,925 to support the charitable aims of promoling
Agriculture and Horticulture within the Howdenshire orea. There were no applications for grants in this
financial year.
The director5 have approved the motion for the 150th Howden Show. lo be held in 2030, lo be a free to
enter event and have therefore made available £9.500. an increase of £1,500, to contribute to this.
The remaining amounl of opproximotely £5.000 was made available for advanced purchases for the 2024
Howden Agricultural ond Horticultural Show.

2 STATEMENT OF COMPLIANCE
These financial Statements have been prepared in compliance wilh FRS 102. 'The Finoncial Reporting
stondard applicable in the UK ond Ihe Republic of Ireland,. the Stalement of Recommended Practice
applicable to charities preparing their occounls in accordance with the Financial Reporting Standard
applicable in the UK ond Republic of Ireland IFRS 1021 Icharities SORP IFRS 1021 l. Ihe Chorities Act 2021
and the Companies Act 2006.
3 ACCOUNTING POLICIES
The principal accounling policies adopted, judgemenls and key sources of estimation uncertainty in
the preparation of the financial statements are os follows..
a) Basls of accounting
The financial statemenls hove been prepared on the hislorical cost basis.
The financial slatements are prepared in sterling, which is the functional currency of the entity.
The charity meets the definition of a public benefit entily under FRSI 02. Assets and liabilities are initially
recognised at historical cost or Iransaclion volue unless othepNise stoted in the relevant accounling
policy noles.
b) Legal status of the Charity
Howden Agricullure & Horticulture Show Limited is o compony limiled by guarontee and accordingly
does not hove o shore capitol.
c) Going concern
The UK economy has recently been impocfed by rising inllotion, interest rotes and energy costs.
exacerbated by the wor in Ukroine. All these malter5 hove impocled Ihe company's Irading results to
a greater or lesser extent. At the date of signing these financial stalements, Ihe direclors have
considered the effecl of these matters on the company with the information ovoiloble to it and do not
believe that it will affect the obilily of the company to continue to trade for Ihe foreseeable lulure. On
this bosi5, the directors have prepored these financial stalemenls on a going concern basis.
The trustees consider that there ore no material uncertaintie5 about the charity's ability to continue as a
going concern.
d) Fund accounting
Unrestricled funds are available for use at the discretion of Ihe trustees to further any of the charity's
purposes.
Designaled funds are unrestricted funds earmarked by the trustees for particular future project or
commitmenl.
