2. Structure, Governance and Management
EDUCA Foundation is a charitable trust governed by its constitution. Trustees are voluntary and collectively responsible for strategy, oversight of operations and compliance with charity law. Trustees receive induction on governance duties, review risk, and confirm policies (e.g. conflicts of interest, safeguarding, internal financial controls, serious incident reporting, trustee expenses). Relevant policies are maintained as formal risk mitigation documents.
3. Objectives and Public Benefit
The charity’s objects are to advance education for public benefit, especially by awarding scholarships, grants, and allowances to people to further their education.

The charity promotes the education and advancement of talented Brazilians, working in partnership with NGOs and the British Government to support educational scholarships for master’s degree studies in the United Kingdom.
It operates in England and Brazil.
In accordance with the Charity Commission’s guidance on public benefit, the trustees confirm that the activities undertaken have delivered clear benefit to scholarship applicants by enhancing access to higher education and associated opportunities.
4. Activities and Achievements
During the year, EDUCA Foundation continued its mission to support educational advancement by:

Continuing collaboration with the Chevening Programme — co-funding scholarship opportunities for outstanding candidates from Brazil and other emerging markets. (Chevening is administered by the British Government’s FCDO, and EDUCA has been a recognised partner on the Chevening site.)

Promoting accessibility to postgraduate study in the UK through targeted guidance, awareness, and scholarship support.

Maintaining strong governance and virtually no administrative overheads to ensure maximum funds support beneficiaries.
5. Financial Review
Income: Total income in the period was approximately £34,637 (compared to £14,665 to 05/04/2024 on public record).
Expenditure: Total expenditure was approximately £10,168.
Net funds held at year end strengthened the charity’s unrestricted reserve.
Reserves Policy: Trustees review reserves annually and aim to maintain a level sufficient to bridge the timing of scholarship cycles and expected grant commitments.
6. Risk Management
The trustees have considered and reviewed major risks, including:

Fundraising and income sustainability;

Partnership continuity with FCDO/Chevening;

Foreign exchange fluctuations;

Compliance with UK charity regulation and safeguarding.
7. Closure Decision

The trustees have resolved that this financial period will be the charity’s last due to ongoing difficulty in raising sustainable funding and attracting volunteers to support the charity's work. After more than 20 years of operation supporting talented minds from Brazil, the current partnership with the UK Foreign, Commonwealth & Development Office (Chevening) will not be renewed.
Upon closure, trustees estimate that circa £8,000 will remain in the charity’s bank accounts after all liabilities are settled.
The trustees intend to donate the remaining funds to a Chevening-related fund held by the British Consulate in São Paulo, Brazil, to support costs for Chevening scholarship applicants (e.g., application expenses and interview travel costs), consistent with the charity’s objects.
8. Trustees’ Responsibilities
The trustees are responsible for preparing the annual report and accounts, ensuring compliance with the Charities Act and the Charities SORP (FRS 102).
9. Independent Examination / Accounts
An independent examiner’s report will accompany the annual accounts submitted to the Charity Commission at the time of filing.

INDEPENDENT EXAMINER’S REPORT
TO THE TRUSTEES OF EDUCA FOUNDATION
15 JANAURY 2026
Dear Charity Trustees,
I report to the trustees on my examination of the financial statements of EDUCA FOUNDATION (“the charity”) for the year ended 31 March 2025.
Responsibilities and Basis of Report
As the charity’s trustees, you are responsible for the preparation of the financial statements in accordance with the applicable law and the Charities SORP (FRS 102).
I have carried out my examination in accordance with Section 145 of the Charities Act 2011, the Charities (Accounts and Reports) Regulations 2008, and the Charity Commission’s guidance for independent examiners (CC32).
An examination includes a review of the accounting records kept by the charity and a comparison of the financial statements presented with those records. It also includes consideration of any unusual items or disclosures in the accounts and seeking explanations from the trustees concerning such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently I do not express an audit opinion.
Independent Examiner’s Statement
In the course of my examination, nothing has come to my attention which gives me reasonable cause to believe that the accounting records have not been kept in proper order, that the financial statements do not accord with those records, or that they fail to comply with the applicable accounting requirements under the Charities Act 2011.
In my opinion, the financial statements are consistent with the accounting records and information provided to me.
Furthermore, in my opinion the Trustees’ Annual Report is consistent with the financial statements and accurately reflects the activities, events, and position of the charity

during the period 2024–2025, including the trustees’ resolution to cease operations and the intended application of remaining funds as described in the Report.
