FOR THE YEAR ENDED 31 MARCH 2024
The Trustees present their annual report together with the financial statements of the Whitley Bay Rockcliff
Rugby Football Foundation Limited for the year 1 April 2023 to 31 March 2024, The Annual report serves the
purposes of both a Trustees, report and a directors, report under company law. The Trustees confirm that the
Annual report and financial statements of the charitable company comply with the current statutory requirements.
the requirements of the charitable companls governing document and the provisions of the Statement of
Recommended Practice {SORP) applicable to charities preparing their accounts in accordance with the Financial
Reporting Standard applicable in the UK and Republic of Ireland (FRS102) (effective 1 January 2019).
Since the company qualifies as small under section 382 of the Companies Act 2006, the Strategic report
requlred of mediurn and large companies under the Companies Act 2006 (Strategic Report and Directors,
Report) Regulations 2013 has been ornitted.

The charrlable objective of the company is the promotion of communlty participatlon in healthy recreation for tho
benefit of the inhabitants of Whitley Bay by the provision of facilities for playing rugby football.
In setting objectives and plannlng for activities, the Truslees have given due conslderatlon to general guidance
published by the Charity Commission relaling to public benefit. including the guidance 'Public benefit.. running a
charity {P82)'.

The trustees consider opportunities where the company can actively fulfil the charitable objective, 80 when an
opportunity is deemed worthwhile, then the trustees will decide on the level of grant to award.

During the year the charlty made dlstributlons of £21.550 (2023- £22,122) as follows:
General funds
£16,863 (2023 - £18,364) from the accumulated fund to Whitley Bay Rockcliff Rugby Club to support the
running, training and development of mini junior, girls senior and touch rugby teams and including £nil (2023
£250) from the accumulated fund to support a member with expenses incurred in playing for the England U18
side,
Restricted funds
£4,687 {2023 - £3,758) from the Rockcliff Rugby Ground Fund for investment in the playing facilities at the rugby
club.

After making appropriat8 ènquiries, the Trustees have a reasonable expectation that the cornpany has adequate
resources to continue in operational existence for the foreseeable future. For this reason, they continue to adopt
the going concern basis in preparing the financial statements. Further details regarding the adoption of the going
concern basis can be found in the accounting policies.
• Reserves pollcy
At the year end the charlty had reserves lotalllng £157,921. 01 this total. £59,969 was made up of restricted
funds.
The trustees, five-year business plan enables them to identify on-going operational and charitable financial
commitments. Consequently the company has adopted a prudent reserves policy that is Sufficient to furMI these
commitments.

The Trustees (who are also the directors of the company for the purposes of company law) are responsible for
preparing the Trustees, report and the financial statements in accordance with applicabl8 law and Unlted
Kingdom Accounting Standards (United Klngdom Generally Accepled Accounting Practice).
Company law requlres the Trustees to prepare financial statements for each financial . Under company law, the
Trustees must nol approve the financial statements unless they are satisfied thal they give a true and fair view ol
the state of affairs of the company and of its incoming resources and application of resources, including its
income and expenditure, for that period. In preparing these financial slatements, Ihe Trustees are required to:

I report to the charity Trustees on my examination of the accounts of the company for the year ended 31 March
2024.
Responslbllltles and basls ol report
As the Trustees of the company (and its directors for the purposes of company law) you are responsible for the
preparation of the accounts in accordance wlth the requirements of the Companies Act 2006 (Ihe 2006 Acr).
Having satisfied myself that the accounts of the cornpany are not required to be audited under Part 16 of the
2006 Act and are eligible for independent exarnination, I report in respect of my examination of the companls
accounts carried out under section 145 of the Charities Act 2011 (Ihe 2011 Act,). In carrylng out my examination
I have followed the Directions given by the Charity Commission under section 145(5){b) of the 2011 Acl.

I have completed my examination. I confirm Ihat no matters have come to my attention in connection with the
examlnatlon giving me cause lo bell8ve:
accounting records were not kept in respect of the company as required by section 386 of the 2006 Act;

2.1 Basls of preparatlon of flnanclal statements
The financial staternents have been prepared In accordance wlth the Charits'es SORP (FRS 102)
Accountlng and Reporting by Charities; Statement of Recommended Practice applicable to charities
preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK
and Republic of Ireland (FRS 102) (effective 1 January 2019), the Financial Reporting Standard
applicable in the UK and Republic of Ireland (FRS 102) and the Companies Act 2006.
Whitley Bay Rockcliff Rugby Football Foundation Limited meets the definition of a public benefit entity
under FRS 102. Assets and liabilities are initially recognised at historical cost or transaction value
unless otherwise stated In the relevant accounting policy,
2.2 Golng concem

2.3 Income
All income 18 recognised once the company has entitlement lo the incorne, il Ss probable that the
income will be received and the amount of income receivable can be measured reliably.
For legacies, entitlement is taken as the earlier of the date on which either: the company is aware
that probate has been granted, the estate has been finalised and notification has been made by the
executor(s) to the Trust that a distribution will be made, or when a distribution is received from the
estate, Receipl of a legacy, in whole or in part, is only considered probable when the amount can be
rneasured reliably and the company has been notified of the executor's intention to make a
distribution. Where legacies have been notified to the company, or the company is aware of the
granting of probate, and the criteria for income recognition have not been met, then the legacy is
treated as a contingent asset and disclosed rf material.
2.4 Expenditure
Expenditure is recognised once there is a legal or constructive obligation to transfer economic benefit
to a third party, it is probable that a transfer of economic benefits will be required in setuement and
the amount of the obligation can be measured rellably.
Expenditure on charitable adivilies is incurred on directly undertaking the activities which further the
company's objectives, as well as any associated support costs.

Grants payable are charged in the year when the offer is made except in those cases where the offer
Is conditional, such grants being recognised as expenditure when the conditions attaching are
fulfilled. Grants offered subject lo conditions which have not been met at the year end are noted as a
ommitment. but not accrued as expenditure.
2.5 Interest recelvable
Interest on funds held on deposit is included when receivable and the amount can be measured
reliably by the company,, this is normally upon notification of the interest paid or payable by the
Inslitution wilh whom the funds are deposited.
2.6 Debtors
Trade and other debtors are recognised at the settlement amount after any trade dlscount offered.
2.7 Cash at bank and In hand
Cash at bank and in hand includes cash and short-term highly liquid investments with a short maturity
of three months or less from the date of acquisition or opening of the deposit or similar account.
2,8 Llabllltles
Liabilities are recognised when there is an obligation at the Balance sheet date as a result of a past
event, it Is probable that a transfer of economic benefit will be required in settlement, and the amount
of the settlement can be estimated rellably.
Liabilities are recognised at the amount that the company anticipates it will pay to settle the debt or
the amount it has received as advanced payments for the goods or services it must provide.
2.9 Flnanclal instruments
The company only has financial assets and financial liabilities of a kind that qualify as basic financial
instruments. Basic financial instruments are initially recognised at transaction value and subsequently
measured at their settlement value with the exceplion of bank loans which are subsequently
measured at amortised cost using the effective interest method.
2.10 Fund accounting
General funds are unrestricted funds which are available for use at the discretion of the trustees in
furtherance of the general objectives of the company and which have not been designated for other
purposes.
Restricted funds are funds which are to be used in accordance with specific restrictions imposed by
donors or which have been raised by the company for particular purposes. The costs of raising and
administering such funds are charged against the specific fund. The aim and use of each restrictéd
fund is set out in the notes to the financial statements.
Investment income, gains and losses are allocated to the appropriate fund.

General funds
Accumulated Funds - The accumulated funds of Ihe charity to support all the objectives of the Whitley
Bay Rockcliff Rugby Football Foundation Limited.
Restrlcted funds
Rockcliff Rugby Ground Fund This reserve was established from the donation by Rockcliff Rugby
Ground Limited with the speclfic purpose of improving playing facilities for Whitley Bay Rockcliff Rugby
Club Limited.
Rockcliff Capital Projects Matching Fund This reserve was established by an anonymous legacy
donation of £20,000. A specific purpose of the legacy donation is that the legacy can be dlslributed to
match fund raising efforts of Whitley Bay R￿k¢liff Rugby Football Club Limited that are raised for the
development of capital projects.
Rockcliff Endowment Fund - The charity received a legacy of £10,000 in 2017 to provide seed funding to
enable the establishment of a legacy Rockcliff Foundation Patrons Programme whereby interest from the
endowment fund is available to support the charitable objectives and the capital base is available to
provide secured repayable loans to facilltate and enable the advancement of new capilal projecls in
support of the charitable objectives.
Players, Bènevolenl Fund - This reserve was 8Stablish8d by way of a donatlon to help support members
of Whitley Bay Rockcliff Rugby Football Club in overcoming serious illness or injury so that they may
return lo rugby. The fund was initialed as part of the Rock4011y fundraising campaign to support Olly
Liddle, with the aim of establishing a legacy capability to support club members in their time of need.
