The trustees, who are also directors for the purpose of company law, present their report and accounts for the year ended 31st October 2021, which have been prepared in accordance with Accounting and reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard for Smaller Entities (the FRSSE) (effective 1st January 2015), and in accordance with the special provisions of Part VII of the Companies  Act relating to Small Entities. 

The Trustees have had due regard to the Charity Commission guidance on public benefit reporting in deciding what activities the charity should undertake. The remainder of this report illustrates the activities undertaken to support the public benefit requirement.

## **Covid-19: Taking education online**

The Covid-19 pandemic has had a huge global impact on schooling. With every continent on lockdown, educators have had to take learning away from the classroom. 

Across Africa and the world, schooling went digital. Lessons went online, rapidly utilising video conferencing platforms such as Zoom and Microsoft Teams like never before. 

To safeguard the education of our SLGS students, we needed to act quickly and decisively. This is where the world-standard learning you made possible has made a difference. Your investment in our ICT infrastructure means both our teaching staff and students are equipped to combat the current crisis. 

No longer dependent on lessons instructed over the radio, we launched our virtual classrooms just 7 days after Government lockdown announcements. The legacy of your investment doesn’t end with SLGS. To reduce the impact on students across the country, we have invited other schools across Sierra Leone to share the content of our digital classrooms lessons. All our classes were made accessible at any time via the YouTube channel. 

## **Virtual Classroom** 

We don’t see the ‘virtual classroom’ as just a means to combat a pandemic. We hope this ongoing initiative will inspire more institutions across the country to share their learning online, allowing as many pupils as possible in Sierra Leone to benefit from shared educational resources. 

The technology you funded will leave a lasting legacy throughout the country, raising the standard of education in Western Africa as a whole.

## **Gifted and Talented Scholarships** 


## **15 Years of nurturing our scholars for tomorrow’s world** 

The Sierra Leone Grammar School (SLGS) is one of the continent’s most successful and historic schools, with a legacy of excellence stretching back 175 years. For the SLGS Old Boys’ Associations across the world, it is vitally important to give back to the School by supporting its vision of bringing modern, world class education to Sierra Leone. In 2005, the SLGS Gifted and Talented scholarship fund was established to help support families who were truly in need and required assistance with their child’s education. 

Life events such as loss of employment, loss of housing, separation, sickness or even death often cause unexpected financial difficulties that could limit a student’s educational progress. Students can apply for two types of funds: annual renewal and for the remainder of their time at SLGS. Scholarships funds can cover just fees, or in certain circumstances also cover school uniforms, books and an allowance. 

6% of SLGS pupils are directly funded by the global Old Boys’ Associations. This vital support comes from a combination of family donations and annual Association’s events.

## ***Lamin Momoh: Tomorrow’s business analyst** 

Lamin Momoh has high hopes of becoming a first class business analyst, and the talent to achieve it. The scholarship recognised the potential and drive that now places him in the top 10% of his class. As an orphan living with his extended family, any financial constraints that would have been placed on his uncle are now alleviated by his well-deserved scholarship. “My name is Lamin and I am a business scholar at SLGS. Against all the odds of being an orphan, being a scholar drives me to remain in the top 10% of my class to make sure my uncle never has to worry about my school fees and upkeep again. 

Thank you. Being a scholar has driven my hopes of being a business analyst in tomorrow’s world.”

## **sTRuCTuRE aNd ORGaNIsaTION** 

## **ORGaNIsaTION** 

The organisation is a charitable company limited by guarantee, incorporated on 05 March 2012 and registered as a Charity on 07 March 2012. The company was established under a Memorandum of Association which identified the objects and powers of the company and the company is governed under its Articles of Association. In the event of it being wound up the members are required to contribute an amount not exceeding £1. The charity is managed by the trustees who, under the charity’s articles, are known as members of the Management Committee. The Management Committee meet regularly to consider the progress of the charity and its future direction and activities. 

## **RIsk MaNaGEMENT** 

The trustees have a wide range of business and other experience and are aware of the major risks which the Charity is exposed and have established systems to mitigate these risks. The trustees, however, are aware of significant risks to its fundraising activities over the next financial period due to Covid 19 pandemic and aim to put measures to mitigate some of the resulting impact. 

## **ObJECTIVEs aNd aCTIVITIEs** 

The aims of the charity are for the public benefit, the advancement of education through the provision of scholarship grants, payment of fees; teaching aid, laboratory and recreation equipment for students in Sierra Leone, who otherwise could not afford such services and to provide financial relief in cases of need, hardship or distress to alumni or their dependants. 

## **aChIEVEMENT aNd pERfORMaNCE** 

Review of the Year 

The last few years brought a challenge few of us could have anticipated, as our organisation, like the rest of the world, adjusted to the first global pandemic in living memory. Incredibly, it has now been two years since our last physical in person Alumni monthly meeting together. As the world convulsed under Covid-19, our Trust has not only risen to the challenge of continuing fundraising to support first class education for the pupils at the Sierra Leone Grammar School, but continued to implement our long-awaited improvements to the School’s infrastructure. Here, by way of update, is everything we have been focusing on since our last report. 

The activities of SLGSOBA pivoted from mainly in and around London, where most of its members live to digital using Zoom, this has allowed us to expand the reach and supporter base. It holds monthly meetings on the second Sunday afternoon of each month. Members contribute to the Association through annual subscriptions and voluntary donations. 

The invaluable support of the School’s Alumni and supporters has allowed us to continue our Gifted and Talented Scholarships for those from financially strained backgrounds. Now firmly established, the scholarship continues to provide assistance with fees, grants, essential materials and uniform, helping ensure that financial hardship should be no barrier to fulfilling student potential at SLGS.

Annual Report and Financial Statements 

We have worked together with the School’s Principal, Rev. Canon Leonard Ken  Davies, to transform the School’s ICT capability. The ICT strategy, which we have driven is to ensure the School has the tools to provide the pupils with 21st century skills. To achieve this, we developed a plan of action to reinforce the foundational components required to make more use of ICT at the School. 

We worked with a number of organisations who gave us used equipment that we refurbished and repurposed for the ICT labs. Some of the equipment we received were desks, chairs, whiteboards, desktop computers, monitors, internet broadband connectivity etc. Members of the alumni community also gave their time, free of charge, to fix the computers and set up the school wide campus network. 

We worked with the North American SLGS alumni Associations to collectively fund the cost of packing, shipping and clearing of these equipment for the School. 

We partnered again to fund the materials required to give a complete electrical upgrade to multiple buildings on campus - including the Computer Labs, Thomas Peyton Building and Admin block. This work will be completed and reported in the next financial year. 

The modernisation and renovation of our Computer Labs is now complete, bringing our ICT facilities fully in line with modern standards. Furniture, laptops and computer hardware have been donated or funded by sponsors including our organisation. We facilitated that staff received free, extensive digital training, allowing both teachers  and pupils to make the most of the considerable new resources at their disposal. 

Speaking of the newly equipped Computer Labs, they are amongst the buildings to benefit from the rolling out of wireless internet connectivity across campus. Kind support from our donors in the United Kingdom, United States, Freetown and the School’s own PTA has allowed us to implement 200 wired and 18 wireless access points in the Peyton and Frank Wood buildings, as well as high speed fiber optic cables between buildings. 

As we turn our focus forward, the future is bright for SLGS, with the continuing work to establish them as a STEM centre of excellence, further upgrades to the Computer Labs in terms of software and the strengthening teaching resources are planned. 

As we return to post Covid life, our next major project looks set to make a real difference. We are establishing a team to focus on planning the renovation of the Science Labs. SLGSOBA seeks to bridge the gap between the pupils of SLGS and  the world of science. We aim to create an environment that will make science fun and interactive to develop tomorrow’s scientists, doctors, nurses and engineers all of  whom are needed by the country.

This year was the 175th anniversary of the founding of the Grammar School and this flavoured the six main fundraising events in the year which are described briefly: 

## **GLOBAL VIrTuAL MuSICAL CONCErT** 

On 29th November 2020, SLGS alumni around the world met online at a free virtual music concert organized to raise funds for the School. It was a night of holiday Christmas music, live band performances, classical music, poetry, games and pure fun to celebrate the 175 year anniversary. It was indeed the first of its kind ever to be organised by a Sierra Leonean diaspora School alumni group. The collective group of Alumni raised £15,000 to invest on the Science Labs. 

## **XMAS VIrTuAL EVENT** 

At the end of every year, we at SLGSOBAFT UK like to organise an end of year party where we meet each other, have fun and most importantly raise funds for our scholarship and STEM initiatives through donations and ticket purchases. This event is quite popular and would have been widely attended by many alumni and friends, however, due to the Covid restrictions we decided to make it a virtual event. 

The event in itself was free but to raise funds, we organised a raffle and encouraged attendees to buy tickets to participate and also donate. It was held on 27th December 2020 with 700+ unique attendees on Zoom! There were 7 DJs lined up to ensure the party started at 5:30pm and did not end until 4:30am the following day. The party was interspersed with music, short speeches, fundraising pitches from each house, the SLGS roll call, the Regentonians Xmas raffle. Some past students and teachers also shared reflections and experiences of their time at the School. 

At the end of the event SLGSOBA UK was able to raise a total of £5,500 from donations and raffle tickets. 

## **VIrTuAL THANkSGIVING SErVICE** 

A Thanksgiving Service to mark the 176th Anniversary from the founding of the School was held virtually on 28th March  2021. 

The service was made up of hymns, some readings, culminating with a roll call of Regentonians who had died during the Covid period. We had a good turnout of alumni, friends and families with about 650 people attending the virtual event. We raised a total of £4,000 from this event. 

## **SLGS POWEr DrIVE** 

In August 2021, SLGS alumni Lindsay Benjamin undertook the incredible feat of driving from the uppermost point of Great Britain, John O’Groats in Scotland, to the very bottom, Land’s End, on the Cornish coast. Thanks to your invaluable support, Lindsay was able to raise £2,500 for our STEM initiatives, funds which will help us safeguard the School’s tradition of academic accomplishment.

## **VIrGIN LONDON VIrTuAL MArATHON OCT 2021** 

The Covid pandemic prompted the cancellation of almost all outdoor charity events in Great Britain. The Marathon moved online, proving a huge success and enabling competitors from across the globe to engage with the competition for the first time. The virtual race was also a fundraising success for Sierra Leone Grammar School Old Boys’ Association Foundation Trust (SLGSOBA), providing invaluable support for our efforts to modernize the School and bring world class education to West Africa. Three alumni ran the marathon on our behalf, they raised £3000.00. 

## **ALL rEGENTONIAN EVENING OCT 2021** 

This was our first in person event since the start of Covid. It was hybrid event to enable our supporters, who were not in a position to attend in person, to have the opportunity to also participate online. 

The event was made up of a selection of classical music, poetry, games, the usual interhouse competitions, along with music and dancing. Fun was had by all and we raised an amount of £6587.00 which is to be invested in our Science labs. 

Sierra Leone Grammar School has long been a springboard to excellence and high achievement - not just in Sierra Leone, nor West Africa, but across the globe. Three of our Alumni’s and members were recognised for outstanding achievements in their fields this period: 

- **Imperial College London distinguished Alumni of the year 2021 – Ambassador Yvette Stevens** one of our female Alumni won the award this year 

- **MBE Queen’s overseas and international birthday honours list. - C** onsultant Gastroenterologist, Dr David Nylander, was awarded an MBE for services to health in Sierra Leone and the UK, as part of the Queen’s overseas and international birthday honours list 

**British Empire Medal - PC Lance Edmondson** awarded the British Empire Medal for services to community policing in Lambeth 

Where we stand today, after more than two years that have been challenging, but nonetheless marked by progress. As you can see, the donations have made a huge difference to us supporting the School during these difficult times. We have embraced digital fundraising and Zoom meetings to extend our reach attracting Alumni from the rest of the UK, Scotland and rest of England.

## **FINANCIAL rEVIEW** 

At the end of the year the Charity had £33,221 (2020 £22,081) in bank accounts. Income for the year was £42,814 (2020 £41,430) with expenditure of £32,171 (2020 £44,073) giving a surplus for the year of £9,362 (2020 deficit of £4,637). 

## **rESErVES POLICY** 

The current net assets currently represent over 7 months of the average expenditure of this and previous year. The trustees aim to retain sufficient reserves to enable them to respond rapidly to significant or urgent need of Sierra Leone Grammar School and consider this level reasonable. Trustees are confident that the Charity will continue to operate effectively. 

## **rESPONSIBILITIES OF THE TruSTEES** 

Charity law requires the trustees to prepare financial statements for each financial period, which show a true and fair view of the state of affairs of the charity and its financial activities for that period. In preparing those financial statements, the trustees are required to: select suitable accounting policies and then apply them consistently ; 

make judgments and estimates that are prudent and reasonable ; 

state whether applicable accounting standards and statements of recommended practice have been followed, subject to any departures disclosed and explained in the financial statements; and prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charity will continue in existence. 

The trustees are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the charity and to enable them to ensure that the financial statements comply with the Charities Act 2011. They are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. 

## **SMALL COMPANY PrOVISIONS**

I report on the accounts of the company for the year ended 31st October 2021, which are set out on pages 12 to 17. 

## **REspECTIVE REspONsIbILITIEs Of TRusTEEs aNd EXaMINER** 

The trustees (who are also the directors of the company for the purposes of company law) are responsible for the  preparation of the accounts. The trustees consider that an audit is not required for this period under section 144(2)  of the Charities Act 2011 (the 2011 Act) and that an independent examination is needed. 

Having satisfied myself that the charity is not subject to audit under company law and is eligible for independent examination, it is my responsibility to: 

Examine the accounts under section 145 of the 2011 Act; 

To follow the procedures laid down in the general Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act; and 

To state whether particular matters have come to my attention. 

## **basIs Of INdEpENdENT EXaMINER’s REpORT** 

My examination was carried out in accordance with the general direction given by the Charity Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from you as trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit and consequently no opinion is given as to whether the accounts present a ‘true and fair view’ and the report is limited to those matters set out in the statement below. 

## **INdEpENdENT EXaMINER’s sTaTEMENT** 

In connection with my examination, no matter has come to my attention: 

(1) which gives me reasonable cause to believe that in any material respect the requirements: 

- To keep accounting records in accordance with section 386 of the Companies Act 2006; and 

- to prepare accounts which accord with the accounting records, comply with the accounting requirements of section 396 of the Companies Act 2006 and with the methods and principles of the Statement of Recommended Practice: Accounting and Reporting by Charities have not been met; or 

(2) to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.

## **1. aCCOuNTING pOLICIEs** 

## **(a) basIs Of aCCOuNTING** 

The financial statements have been prepared using the historical cost convention and accruals basis and are in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard for smaller entities (the FRSSE) (effective 1st January 2015) and in accordance with the special provisions of Part 7 of the Companies Act 2006 relating to small entities. The accounts include all transactions, assets and liabilities for which the Charity is responsible in law. 

## **(b) fuNd aCCOuNTING** 

Unrestricted funds are available to use at the discretion of the trustees in furtherance of the charities. Restricted funds are subject to restrictions on their expenditure imposed by the donor or through the terms of an appeal. 

## **(C) INCOMING fuNds** 

All incoming resources are included in the statement of financial activities when the charity is entitled to the income and the amount can be quantified with reasonable certainty. The following specific policies apply: 

(i) Voluntary income by means of donations or gifts is included on receipt. 

(ii) Grants and legacies to the Charity are accounted for as soon as the Charity is notified of its legal entitlement to the amount due. 

(iii) Interest and investment income is included when receivable. 

## **(d) REsOuRCEs usEd** 

Expenditure is recognised on an accruals basis as a liability is incurred, including the cost of unrecoverable VAT. 

(i) Costs of raising funds comprise costs associated with attracting voluntary income, including costs of trading for fundraising purposes and any use of a fundraising consultants. 

(ii) Charitable expenditure includes the costs incurred by the charity in delivering of its activities to and services to its beneficiaries. These include costs directly attributable to its activities and services, costs to support them and costs associated with meeting the statutory and constitutional requirements of the Charity, including the strategic management of the charity. 

(iii) Donated services are included at the value to the charity where this value can be quantified. The value of services provided by volunteers has not been included in these accounts. 

(iv) The number of financial transactions is small and the Management Committee time on strategic review is small in relation to total time so no specific management cost has been allocated to governance. 

## **(E) fIXEd assETs**
