Geograph Project Limited Directors’ report (incorporating the Trustees’ annual report) for the year ended 31[st] December 2021

The Trustees, who are also Directors of the charity for the purposes of the Companies Act, submit their annual report and financial statements for the year ended 31[st] December, 2021.

The Trustees are pleased to present their annual directors’ report together with the financial statements of the charity for the year ending 31[st] December 2021 which are also prepared to meet the requirements for a directors’ report and accounts for Companies Act purposes.

The financial statements comply with the Charities Act 2011, the Companies Act 2006, the Memorandum and Articles of Association, and Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2015).

Governance and management

Geograph Project Limited was established under the Memorandum and Articles of Association dated 20[th] December, 2010 as a company limited by guarantee. The liability of each member in the event of winding up is limited to £1.

At a general meeting of the company held on 15[th] November, 2011 a new Memorandum and Articles of Association was adopted which was acceptable for charity registration and the company became a registered charity with the Charity Commission on 25[th] January, 2012.

Method of appointment or election of Trustees

The management of the company is the responsibility of the Trustees who are elected and coopted under the terms of the Articles of Association.

The board of Trustees are named above. The Trustees have the power to appoint additional Trustees. There is no maximum number of Trustees but the minimum is three.

Risk management

The Trustees have assessed the major risks to which the company is exposed, in particular those related to the operations and finances of the company, and are satisfied that systems and procedures are in place to mitigate exposure to the major risks. The company has procedures in place which use Amazon Web Services to distribute copies of the photographs and associated data to multiple data-centres following established best practices. Copies of our data is deposited within national archive projects including the UK Web Archive and the Internet Archive.

Aims and objectives

The principal objective of the company is “To advance the education of the public in geography and heritage by collecting, organising, publishing and preserving photographs and associated information for every square kilometre of Great Britain, Ireland, and the Isle of Man and making them available primarily by electronic means free or at minimum charge to the public, with particular facilities for use by schools”

Our activities are as follows:

Photographs are published on the company’s web site under a Creative Commons Licence allowing users to copy and republish the photographs free of charge providing the appropriate acknowledgement of copyright is given, the Creative Commons Licence is quoted and any additional permissions that may be required have been obtained. The photographs have many users, especially amongst those in education.

Achievements and performance

By the end of 2021, some 13,534 people had submitted just over 7 million photographs. The rate of submission of photographs and associated data continues at a high level averaging about 28,000 images each month by an average of 318 active contributors with a total of 803 contributors uploading images during the year.

For Great Britain, Ireland and the Isle of Man as a whole, there are submitted photographs for over 84.7% of the one-kilometre grid squares. For England, Scotland and Wales, the coverage is over 98.5%. Geograph contributors have now photographed 98.7% of the 43,976 settlements within Great Britain (37% of them got photographs in 2021), and 71% of 2,358 in Ireland.

Just over 199,900 one-kilometre grid squares now have more than 4 photographs. The historical value of the photographic archive continues to grow as it now includes photographs taken in all decades from 1880 onwards. There are over 106,900 photographs which were taken before the year 2000. Some 126,900 one-kilometre grid squares now have photographs taken at least five years apart, thus illustrating the change over time.

Public benefit statement

The Trustees have read the guidance on public benefit issued by the Charity Commission and are mindful of their duty under the Charities Act 2011 to ensure that all of Geograph Project's activities fall within the scope of the guidance.

Financial Review

Reserves

As the charity is almost totally dependent on donations for funding, the Trustees have decided to hold a high level of reserves. Should the level of donations received decline, the Trustees are confident that the current level of reserves are sufficient to allow the charity to continue operations for some time until some other source(s) of funding have been secured.

Not applicable

Principal funding sources

Other than a small trading profit and a miniscule amount of interest, the sole funding source during the year has been donations which were received from some 270 people and companies. Donations have been received from people resident in the Czech Republic, the United States of America, Germany, Canada, Holland and Ireland as well as from all parts of the United Kingdom.

Exemptions

The Trustees have taken advantage of the exemptions available to small companies, including the audit exemption (see statement on balance sheet).

Small company provisions:

This report has been prepared in accordance with the special provisions for small companies under Part 15 of the Companies Act 2006.

Responsibilities of the Trustees

Company law requires the Trustees to prepare financial statements for each financial year, which give a true and fair view of the state of affairs of the charity at the end of the year and of the surplus or deficiency for the year then ended.

In preparing those financial statements, the Trustees are required to select suitable accounting policies, as described in the notes to the accounts, and then apply them on a consistent basis, making judgements and estimates that are prudent and reasonable. The Trustees must also prepare the financial statements on the going concern basis unless it is inappropriate to presume that the company will continue in business.

The Trustees are responsible for keeping proper accounting records which disclose, with reasonable accuracy at any time, the financial position of the company, and enable them to ensure that the financial statements comply with the Companies Act 2006. The Trustees are also responsible for safeguarding the assets of the company and hence for taking reasonable steps for the prevention and detection of fraud or other irregularities.

1. Accounting policies

Basis of the preparation of the accounts

These financial statements have been prepared under the historical cost convention and in accordance with (i) the Charities Act 2011, (ii) the Companies Act 2006, (iii) the Memorandum and Articles of Association, and (iv) Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2015).

Incoming resources

All material incoming resources have been included on an accruals and prepayment basis – i.e. they are included if the date receivable falls within the period covered by these accounts.

Resources expended

These have been analysed using a natural classification. All expenditure has been included on an accruals and prepayment basis.

Depreciation

Depreciation is calculated to write down the cost or valuation, less estimated residual value, of all tangible fixed assets with a cost exceeding £50 over their expected useful lives on a straight line basis.
