The directors present their report and the financial statements for the year ended 30 June 2023.
Principal Activity
The company's principal activity is a registered Charity working with other fundraising groups, the Graze Festival, Percy's Pals, Twyford Valley Conservation, Twyford Community Centre and others, on projects based in and around Twyford, Hampshire.
Twyford Heritage was set up in 2009 to work with Twyford Parish Council on preserving Berry Meadow, an ancient 17 acre water meadow in the Twyford Itchen Valley. Over £27,000 was raised to assist the Council buy Berry Meadow, improve the fencing, restore the grass sward biodiversity and maintain the increased public access to the meadow.
Graze Festival was a one day music, food and arts festival which took place during the August bank holiday weekend in Twyford. A great day out for all the family and a not for profit enterprise which raised funds for local groups and charities. Over £18,000 was raised from the 2015 to 2018 Graze Festivals which was donated to local groups.
Percy's Pals initial project was to raise funds for the purchase of a specialist portable CT brain scanner, fundraising under the umbrella of Southampton Hospital Charity. The Wessex Neurological ITU is a wing of Southampton General Hospital, specialising in treating victims of stroke and brain injury from all over the south of England, including The Channel Islands. Anyone suffering brain injury or stroke in this large area (three million people) is very likely to be treated there. The Percy's Pals Dr Richard Percival Scanner Appeal raised £130,000 towards the purchase of the scanner for the Wessex Neurological ITU. The scanner was under test from September 2015 and officially handed over to Southampton General Hospital in February 2016. Minimising the time needed for diagnosis and treatment of strokes and neurological conditions is crucial to survival and a successful recovery, and the portable CT scanner has slashed this time.
Percy's pals then began working with Twyford Heritage Charity on fundrasing projects to support the care of stroke victims within the community. During 2021 £48,000 was donated to Different Strokes charity.
Twyford Valley Conservation began a fundraising campaign with Twyford Heritage aiming to raise funds for the purchase of a water meadow in Twyford. During the previous two years funds (including Gift Aid) of £116,000 were raised and during the year a grant of £114,000 made to assist with the purchase of the meadow and other costs. The purchase completed in December 2022.
Twyford Community Centre's ("TCC") objective is to save the former Twyford Social Club building from being sold for potential housing development. TCC is raising funds to purchase the building, fund roof repairs and asbestos removal so the facility can remain an asset within the village. £5,000 was raised during the year and a grant of £6,000 made to assist withn the purchase of the former Social Club building which was completed in September 2022.
During the year total donations from fundraising projects amounted to £37,000 and grants of £134,000 were made by the Charity.

Statement of Directors' Responsibilities
The directors are responsible for preparing the Directors' Report and the financial statements in accordance with applicable law and regulations.
Company law requires the directors to prepare financial statements for each financial year. Under that law the directors have elected to prepare the financial statements in accordance with United Kingdom Generally Accepted Accounting Practice (United Kingdom Accounting Standards and applicable law). Under company law the directors must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the company and of the surplus or deficit of the company for that period. In preparing the financial statements the directors are required to:

select suitable accounting policies and then apply them consistently; make judgments and accounting estimates that are reasonable and prudent;
-
prepare the financial statements on the going concern basis unless it is inappropriate to presume that the company will continue in business.
The directors are responsible for keeping adequate accounting records that are sufficient to show and explain the company's transactions and disclose with reasonable accuracy at any time the financial position of the company and enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

The directors are responsible for the maintenance and integrity of the corporate and financial information included on the company's website. Legislation in the United Kingdom governing the preparation and dissemination of financial statements may differ from legislation in other jurisdictions.

Independent Examiner's Report
Independent examiner’s report to the members and directors of Twyford Heritage Limited (‘the Company’).
I report to the charity directors on my examination of the accounts of the Company for the year ended 30 June 2023.
Responsibilities and basis of report
As the charity’s directors you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 (‘the 2006 Act’).
Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity’s accounts as carried out under section 145 of the Charities Act 2011 (‘the 2011 Act’). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5) (b) of the 2011 Act.
Independent examiner’s statement
I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe:

accounting records were not kept in respect of the Company as required by section 386 of the 2006 Act; or
-
the accounts do not accord with those records; or
-
the accounts do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a ‘true and fair view which is not a matter considered as part of an independent examination; or
-
the accounts have not been prepared in accordance with the methods and principles applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102).
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

For the year ending 30 June 2023 the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.
The members have not required the company to obtain an audit in accordance with section 476 of the Companies Act 2006.
The directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.
These accounts have been prepared in accordance with the provisions applicable to companies subject to the small companies' regime.

1. General Information
Twyford Heritage Limited is a private company, limited by guarantee, incorporated in England & Wales, registered number 07775307. The company is a registered Charity registered number 1145389. The registered office is Littlebourne Hazeley Road, Twyford, Winchester, Hants, SO21 1PZ.
2. Accounting Policies
2.1. Basis of Preparation of Financial Statements
The financial statements have been prepared under the historical cost convention and in accordance with Financial Reporting Standard 102 section 1A Small Entities "The Financial Reporting Standard applicable in the UK and Republic of Ireland" and the Companies Act 2006.
2.2. Tangible Fixed Assets and Depreciation
Tangible fixed assets are measured at cost less accumulated depreciation and any accumulated impairment losses. Depreciation is provided at rates calculated to write off the cost of the fixed assets, less their estimated residual value, over their expected useful lives on the following bases:

6. Related Party Transactions
Kevin Watson is a director of the companies which operate The Fox pub in Crawley Winchester and Shoal Restaurant in Winchester. Twyford Heritage fundraises at these premises mainly through charity cash tins but also running charity events. During the year £665 was raised (Donations and Gift Aid), grants of £359 were made and at the end of the year funds of £5,819 were held by Twyford Heritage Charity.
On 5th December 2022, Kevin Watson made a £15,000 interest free loan to Twyford Heritage as an advance of Gift Aid expected, to enable Twyford Heritage to make a donation of £114,000 to Twyford Valley Conservation so it could purchase a watermeadow in Twyford. The Gift Aid was received on 26 January 2023 and the Kevin Watson loan repaid on 1 February 2023.
7. Company limited by guarantee
The company is limited by guarantee and has no share capital.
Every member of the company undertakes to contribute to the assets of the company, in the event of a winding up, such an amount as may be required not exceeding £10.
