The trustees present their annual report and financial statements for the year ended 31 May 2025 which are also prepared to meet the requirements for a directors’ report and accounts for Companies Act purposes. The financial statements have been prepared in accordance with the accounting policies set out in note 1 to the accounts and comply with the Charities Act 2011, the Companies Act 2006, and Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance tithe the Financial Reporting Standard applicable in the UK and Republic of Ireland published in 16 July 2014.
OJBECTIVES AND ACTIVITIES
The objects of the Charity are the promotion of community participation in healthy recreation by providing facilities for playing rugby union and other sports, to provide assistance in providing facilities for sport, recreation or their leisure time occupation of such persons who have need for such facilities.
ACHIEVEMENTS AND PERFORMANCE
Frampton Cotterell RFC field three senior teams, a veterans’ team, and a ladies' team. The first team finished second in the league, narrowly missing out on promotion. The second team successfully maintained their position in a new league. The third team also performed well, achieving a 50% win ratio - an impressive result considering many clubs struggle to field two teams. Our junior section enjoyed another strong season, with playing numbers continuing to rise. Frampton Cotterell Rugby Football Club now runs teams from under §'s right through to colts, as well as three girls' teams; some of which are combined with neighbouring clubs. Around 300 children are coached by our dedicated volunteer team, who work hard to deliver high-quality rugby training.
The club's social side also remains strong, with many events well attended and continuing to play an important role in community engagement.
PUBLIC BENEFIT STATEMENT
The charity trustees have complied with their duty to have due regard to the guidance on public benefit published by the Charity Commission in exercising their powers and duties.
FINANCIAL REVIEW
A satisfactory year finishing with £73,397 in the bank and an operating surplus of £14,861 for the year. However, the charity remains dependent upon membership income and external sources of income from Sponsorship and Bar and Social Club donations. The charity needs to ensure that it can not only maintain these levels of income each year, but also look for ways of increasing them.
STRUCTURE, GOVERNANCE AND MANAGEMENT
The organisation is a charitable company limited by guarantee, incorporated on 1 November 2011 and registered as a charity on 14 December 2011. The company was established under an Articles of Association which establishes the objects and powers of the charitable company. In the event of the company being wound up members are required to contribute an amount not exceeding £1.
All organisation decisions are taken by the trustees at the regular trustee meetings.

TRUSTEES’ RESPONSIBILITY STATEMENT Charity and Company law requires the Trustees to prepare accounts for each financial year which give a true and fair view of the state of affairs of the charity and of its income and expenditure for that period. In preparing the attached accounts the Trustees consider the charity has:

used suitable accounting policies and then applied them consistently;

- made judgements and estimates that are reasonable and prudent;

stated whether applicable accounting standards have been followed, subject to any material departures disclosed and explanations in the accounts; and
-
- has prepared the accounts on the going concern basis.
The Trustees have responsibility for maintaining proper accounting records which disclose with reasonable withaccuracy at anytime the financial position of the charity and enable it to ensure that the financial statements comply and the Companies Act 2006. They also have responsibility for safeguarding the assets of the charitable company hence for taking reasonable steps to prevent and detect fraud and other irregularities.

Respective responsibilities of trustees and examiners
The trustees (who are also the directors of the company for the purposes of company law) are responsible for the preparation of the accounts. The trustees consider that an audit is not required for this year under section 144(2) of the Charities Act 2011 (the 2011 Act) and that an independent examination is needed.
Having satisfied myself that the charity is not subject to audit under company law and is eligible for

- to follow the procedures laid down in the General Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act: and

- to state whether particular matters have come to my attention.
Basis of independent examiners’ report
My examination was carried out in accordance with the General Directions given by the Charity Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from you as trustees concerning any such matters. The procedures undertaken do not provide ail the evidence that would be required in an audit and, consequently, no opinion is given as to whether the accounts present a true and fair view and the report is limited to those matters set out in the statement below.
Independent examiner's statement
In connection with my examination, no matter has come to my attention:

The Director considers that the company is entitled to exemption from the requirement to have an audit under the provisions of s.477 of the Companies Act 2006. Members have not required the company under s.476 of the Companies Act 2006, to obtain an audit for the year ended 31 May 2025. The Director acknowledges his responsibilities for ensuring that the company keeps accounting records which comply with s.386 and s.387 of the Companies Act 2006, and for preparing accounts which give a true and fair view of the state of affairs of the company as at 31 May 2025 and of its profit for the period then ended in accordance with the requirements of 8.396, and which otherwise comply with the requirements of the Act relating to the accounts so far as applicable to the company.
The financial statements which have been prepared in accordance with the special provisions relating to companies subject to small companies regime within Part 15 of the Companies Act 2006 were approved by the board on 27 February 2026 and are signed on its behalf.

15 TAXATION
As a charity, Frampton Cotterell Rugby Football Club is exempt from tax on income and gains to the extent that these are applied to its charitable objects. No tax charges have arisen in the Charity,
16 TRUSTEES REMUNERATION AND RELATED PARTY TRANSACTIONS
No members of the board of trustees received any remuneration during the year.
No trustees or other person related to the charity had any personal interest in any contract or transaction entered into by the charity during the year.
