## Directors' & Trustees' report 

Each year brings new opportunities and new challenges to any organisation, and organisations engaged in the arts, especially in rural areas, were certainly no exception during the Endelienta Arts Financial Year which ended in June 2025. 

Uncertainty about Arts Council England funding joined general concerns about the economy and our cost base on the agenda of Endelienta Arts board meetings through the year, but we remained undaunted. At the centre of our operations are the enduring partnerships with the St Endellion Festivals Trust and the Parochial Church Council of the Collegiate Church of St Endellion, during the year we also worked closely with a number of other partners and sought to extend the range of those partnerships, efforts which we hope will bear fruit in future years. 

Throughout the year, Endelienta Arts’ programme of concerts at St Endellion continued to provide an unrivalled array of talent, entertainment and excitement with performers ranging from Gigspanner to the Endellion Ensemble, whilst our reflective days once again attracted superb speakers including Rowan Williams and Malcolm Guite. 

The 2024 North Cornwall Book Festival once again brought prominent authors, poets and other artists to the North Cornwall coast and provided opportunities for children and young people from Cornwall’s school to meet authors and develop their own creative awareness as readers and writers. This builds on our Take Part programmes which provide exceptional opportunities to make and appreciate art throughout the year in schools and community centres around our area. In tough times, this work is ever more important, and we are looking for ways in which we can extend its reach and its impact. 

The Trustees are grateful to Pum Grosvenor-Stevenson, whose inspirational artistic direction and canny fundraising skills have made Endelienta Arts what it is today, to our freelance creative team and our group of superbly talented and dedicated volunteers without whom Endelienta would have achieved very little in the last year.

## Independent examiner’s report to Endelienta Arts Limited 

I report to the trustees on my examination of the accounts of the above charity (“the Trust”) for the year ended 30 June 2025. 

As the charity's trustees, you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (“the Act”). 

I report in respect of my examination of the Trust’s accounts carried out under section 145 of the 2011 Act and in carrying out my examination, I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act. 

I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination which gives me cause to believe that in, any material respect: 

- the accounting records were not kept in accordance with section 130 of the Charities Act; or 

- the accounts did not accord with the accounting records; or 

- the accounts did not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a ‘true and fair’ view which is not a matter considered as part of an independent examination. 

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

Directors' statements required by Sections 475(2) and (3) for the year ended 30 June 2025 

For the year ending 30th June 2025, the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies. 

The members have not required the company to obtain an audit of its accounts for the year in question in accordance with section 476 of the Companies Act 2006 

The directors acknowledge their responsibilities for: 

a) ensuring that the charitable company keeps accounting records which comply with sections 386 and 387 of the Companies Act 2006 and 

b) preparing financial statements which give a true and fair view of the state of affairs of the charitable company as at the end of each financial year and its surplus or deficit for each financial year in accordance with the requirements of sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the charitable company. 

These financial statements have been completed in accordance with the special provisions applicable of part 15 of the Companies Act 2006 relating to small charitable companies.

## **Notes to the financial statements for the year ended 30 June 2025** 

## **Basis of preparing the financial statements** 

The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) ‘Accounting and Reporting by Charities: Statement of Recommended Practice applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2015)’, Financial Reporting Standard 102 ‘The Financial Reporting Standard applicable in the UK and the Republic of Ireland’ and Companies Act 2006. The financial statements have been prepared under the historical cost convention. 

The company has taken advantage of the exemption in FRS102 from the requirement to produce a cash flow statement because it is a small company 

Turnover represents the total value of ticket sales, grants, donations and other income received during the year. 

- Donation income is credited to the statement of financial activities when it is receivable 

- Grant income is matched to the expenditure on an annual basis 

- Resources expended are included in the statement of financial activities on an accrual basis 

- Contracts for part time staff are limited in time, to correspond with confirmed grants and prudent forecasts of income 

- There are no material uncertainties about the charity’s ability to continue as a going concern 

## **2. Turnover** 

The total turnover of the company for the year of £110,682 has been derived from; its principal trading activity wholly undertaken in the UK; ACE funding brought forward from 2020/21 and now replaced by additional ACE and private sector grants and funding.

## **6. Company limited by guarantee** 

The company was incorporated in England under the Companies Act 2006, as a company Limited by Guarantee and not having a share capital. In the event of winding up, every member of the company is liable to contribute a sum not exceeding £10 per member towards the debts and liabilities of the charity and the costs and expenses of winding up.
