The trustees present their annual report together with the financial statements of Vichai Srivaddhanaprabha
Foundation Limited ( the charity") for the year ended 30 June 2024. The trustees confirn] that the Report of the
trnstees and financial statements of the charity comply with the current statutory requirements, the requirements of
the charity's governing document and the provisions of the Statement of Recommended Praotioe (SORP) applicable
to charities preparing theiT financial statemenls in accordance with the Financial Reporting Standard applicable in the
UK and Republic of Ireland (FRS 102) (published in October 2019).
Structure, Governance and Management
Covernlng Document
Vichai SrivaddhallapTabha Foundation Limited was incorporated under the Companies Act 2006 as a private
company limited by guardntee. It is governed by its Memorandum and Articles of Association dated 28 September
201 l. It was registered as a charity with the Charity Commission on 24 November 201 l. The liability of the
members is limited to an amount not exceeding £ l.
Organlsatlon
The charity is named "Vichai Srivaddhanaprabha Foundation Limited" in honour of the contribution that Khun
Vichai Srivaddhanaprabha rnade to the community of Leicester and its Su￿ound1ng areas. Vichai Srivaddhanaprabha
Foundation Limited is a registered charity (Charity number 1144791) and as such is operated by a board of trnstees.
The trustees oversee the Foundation's working committee, which is comprised of a number of employees of Leicester
City Football Club. To facilitste effective operations, the day to day running of the charity is perfornied primarily by
the employees of Leicester City Football Club, including fund raising, promotion and marketing activities,
dministration, and accounting. The Club and these employees provide the 8ervices with only direct costs of fund
raising being incurred by the charity. It is not possible to accurately obtain the value of services provided by
Leicester City Football Club,
Directors And Trustees
The directors of the charity are its trustees for the pun)08e of charity law. Throughout this report they are
collectively referred to as the trusie¢5.

Trustees are appointed by the Board of Trustees from the senior management of Leicester City Fooiball Club and
from independent local reputable business individuals who bring the required expertise to both generate the expected
income and to manage the charity in an appropriate way. All of the trustees are or have been on the Board of other
charitable organisations, but support is provided to them where appropriate on the following issues:

Related partles
IKicester City Football Club Lin]it¢d ("LCFC") has supported the Charity both fmancially and through facility,
accounting and administration support over the year. Susan Whelan is also a Director and Chief Executive of
LCFC.
Rlsk management
The trustees have a risk management stralegy which comprises:
an annual review of the 8trategic, business and operational risks which the charity may face
the estsblishmenl of systems and procedures lo mitigate those risks identified
the implementation of procedures designed to minimise any potential impact on the charity should those risks
materialise.
The main risk to the charity is that donations reduce, which means the projects that the trustees decide lo support
annot be funded. Therefore, the trnst¢¢s will continue to review the reserve policy to ensure that beneficiaries are
not disadvantaged in the event donations are reduced for unforeseen reasons. The Vichai Srivaddhanaprabha
Foundation operates mainly as a fund-raising body and currently has no employees, and no significant overhead
costs so the trustees do not believe that there arc any other material risks.

in the United Kingdom (including, in particular, the inhabitanls of Leicester and Leicesten>hire and its surrounding
areas) and overseas and, in particular, but without prejudice to the generality of the following..
lo promote community participation in healthy recreation by providing facilities for the playing of association
football and other sports capable of improving health.
to provide and assist in providing faGilities for sport, recreation or other leisure lime occupation of such persons
who have need for.such facilities by reason of their youth, age, infimiity or disablement, povety or social and
economic circumstances or for the public at large in the interests of social welfare and with th¢ object of
improving their conditions of life.

The Irustees confllin that they have referred to the guidance contained in the Charity Commission's general guidance
on public benefit when reviewing the charity's aims and objectives and in planning future activities and setting the
grant making policy for the year.
Achlevements and Performanee
Vichai Srivaddhanaprabha Foundation Limited has continued to support charities within Leicestershire and
surrounding areas throughout 2023124 in line with the charity's objectives.
The charity donated £1 1,000 to local charili¢s and £7,550 worth of gifts.
FlnaneiaI Review
The Foundation and its Trustees have strengthened its deep commitment lo honour the legacy of the late Chainnan
by pushing forward its dedication to the community of Leicester and surrounding areas.

Future Plans
The charity is committed to work with Leicesler City Football Club in raising and distributing charitsble funds
within the community of Leicester and Leicestershire and will administer these fimds via Vichai Srivaddhanaprabha
Foundation.
Reserves pollcy
The charity has operated mainly as a fund-raising body and currently has no overheads or staff, To dale funds have
been raised on an annual campaign basis and have been paid out to Beneficiaries during the following financial year.
As such the trustees have decided that the charity should retain reserves of up to 50/0 of the total amounts raised in the
previous fmancial year. Th¢ Charity is holding r¢s¢rv¢s for future campaigns.

Golng concern
The Vichai Srivaddhanaprabh& Foundation Limiled only commits to donate fund5 Out of funds it already has in
hand. It also has almost no operational overheads. Accordingly, the trustees have a reasonabl¢ ¢xpectation that
the charity has adequate resources to continue in operational existence for thc foreseeable future. They do not
believe that there are any material uncertainties which cast significant doubt on thc ability of the company to
continue as a going concern. For this reason, they ¢ontinue to adopt the going concern basis in preparing the

Trustees, Responsibilities Statement
The trustees (who are also directors of Vichai Srivaddhanaprabha Foundation Limited for the pury)oses of
company law) are responsible for preparing the Report of the Trusiees and the financial ststements in
accordance with applicable law and United Kingdom Accounting Stsndards (United Kingdom Generally
Accepted Accounting Practice).
Company law requires the trnstees to prepare financial Siatements for each financial year. Under company law
the trustees must not approve the financial statements unless they are satisfied that they giv¢ a tnle and fair view
of the state of affairs of the charitable company and of the incoming resources and application of resources,
including the income and expenditure, of the Charitable company for that period.
In preparing these financial statements. the tjustees are required to:
select Suitable accounting policies and then apply them consistently,
observe the methods and principles in ihe Charities SORP 2019 (FRS 102).
make judgements and estimates that are reasonable and prudent.
state whether applicable UK Accounting Standards have been followed, subjecl to any material departures
disclosed and explained in the financial s¢alements' and
prepare the financial ststements on the going concern basis unle8s it is inappropriate to presume that the
h8Titablc company will continue in operation.
The trutslees are responsible for keeping adequate accounting records that disclose with reasonable accuracy at
any time the fmancial position of the charitable company and enable them to ensurc that the fmancial slalemcnts
comply with the Companies Act 2006. They are also responsible for safeguarding the as8ets of the charilable
company and hence for taking reasonable steps for the prevenlion and detection of fraud and other irregularities.

Opinion
We have audited the fmancial statements of Vichai Srivaddhanaprabha Foundation Limited (the 'charitsble
company,) for the year ended 30 June 2024 which comprise the Statement of Financial Activities (incorporating
the Summary Income and Expenditure Account), the Balance Sheet, the Statement of Cash Flows and notes lo
the financial statements, including a summary of significant accounting policies. The financial reporting
framework that has been applied in their preparation is applicable law and United Kingdom Accounting
Standards including Financial Reporting Standard 102. The Financial Reporting Standard applicable in the UK
and Republic of Ireland (United Kingdom Generally Acc¢pted Accounting Practice).
In our opinion the financial ytatements:
give a trne and fair view of the state of the charitable company's affairs as at 30 June 2024 and of its incoming

applicable law. Our responsibilities under those standards are further described in the Auditor's responsibilities
for the audit of the financial statements seclion of our report. We are independent of the ¢haritsble company in
accordance with the ethical requiremenls that are relevant lo our audit of ihe financial stalements in the UK,
including the FRC'S Ethical Standard. and we have fulfjlled our other ethical responsibilities in accordance with
these requirements. We believe that the audit evidence we have obtained is suificient and appropriate lo provide
a basis for our opinion.
Concluslons relatlng to golng eoncern
In auditing the fjnancial statements, we have concluded that the trustees, use of the going concern basis of
accounting in the preparation of the f￿anCIal slalements is appropriate.
Bat>ed on ihe work we have perfornied, we have not identified any material uncertainties relating to events or
conditions ihal, individually or collectively* may cast significant doubt on the charitable company's ability to
continue as a going concern for a period ofat least twelve months from when the fjnancial statements arc

conclusion thereon. Our responsibility is to read the other inforniation and, in doing so, consider whether the
other inforniation is materially inconsistent with ihe financial statements OT our knowledge obtsined in the
course of the audit or othenvise appears to be materially misstated. If we identify such material inconsistenctes
or apparent material misstatements, we are required to deternline whether this gives rise to a material
misslatement in the financial statements themselves. If, based on the work we have perfornied, we conclude that
there is a material misstatement of this other inforn]ation, we are required to report that fact.

ResponsAbllltles of trustees
As explained more fully in the trustees, responsibilities statement set out on page 5, the trustees (who are also
the directors of the charitable company for the Purposes of company law) are responsible for the preparalion of
the financial stalements and for being satisfied that they give a true and fair view, and for such internal control
as the trustees deterniine is necessary to enable the preparation of financial statements that are free from malerial
misstatement, whether due to fraud or error.
In preparing the fmancial statements, Ihe trustees are responsible for assessing the charitable company's ability
to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going
concern basis of accounting unless the trustees eiiher intend to liquidate the charitable company or to cease

Auditor's responsibilities for the audll of the finaneial statements
Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free
from material misststement, whether due to fraud or error, and to issue an auditor's report that includes our
opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in
accordance with ISAS (UK) will always delect a material mi8s1alement when it exists. Misstatements can arise
from fraud or e￿or and are considered material if, individually or in the aggregate, they could reasonably b¢
expected to influence the economic decisions of users tsken on the basis of these financial statements.
Irregularities, including fraud, are instances of non-compliance with laws and regulations. We design procedures
in line with our responsibilities, outlined above, to detect material misstatements in respect of irregularities,
including fraud. The exteni to which our procedures ar¢ ¢apable of detecting irregularilies, including fraud is
detailed below..
We obtained an understandin8 of the legal and regulatory frameworks that are applicable to the company
and deterniined that the most significant which are direcily relevant to specific assertions in the financial
statements are those related to the financial reporting frameworks (UK Generally Accepted Accounting
Practice, the Companies Act 2006, the Charities Act 2011) and the relevant tax compliance regulations in
the jurisdiction in which the Company operates.
We enquired of management, whether they were aware of any instances of non-compliance with laws and
regulations or whether they had any knowledge of actual, suspected or alleged fraud.
We assessed the susceptibility of the entity's financial statements to material misstalemcnt, i1]cluding how
fraud might occur.
Our testing corjsidered unusual or unexpec*d journal entries on a sample basis,.
We evaluated the assumptionty and judgements used by management within significant accounting estimates
and assessing if these indicate evidence of management bias;

We assessed the appropriateness of the colleclive competence and capabilities of the engagement team by
understanding the practical experience with audit engagements of a similar nature and complexity, plus
ensuring the team had appropriate and relevant training of the financial reporting framework and the
relevant tax compliance regulations specifjc to the entity.
We reviewed the financial statements and tested the disclosures against supporting documentation. and

Legal status and general Information
The Charity is a private company limited by guarantee. The members of the company are the trustees
named on page l.
The Charity is incorporated in England and its registered olfice is King Power stsdium, Filbert Way,
Leicester, LE2 7FL.
In the event of the Charity being wound up. the liability in respect of the guardntee is limited to £1 per
member.
Accounting polleles
(a) BasAs of preparation of financlal statements.
The financial statements have been prepared in accordance with Accounting and Reporting by Charities:
Statement of Recommended Practice applicable to charities preparing their financial stat¢ments in
accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)
(issued October 2019) - Charitie8 SORP (FRS 102), the Financial Reporting Standard applicable in the UK
and Republic of Ireland (FRS 102) and the companies Act 2006.
Vichai Srivaddhanaprabha Foundation Limited meets the defmition of a public benefit entity under FRS
102. Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise
stated in the relevant accounting policy.
The fman¢ial statements are presented in sterling (£).
(b) Golng Concern
Vichai Srivaddhanaprabha Foundation Limited only commits to donate funds out of funds it already has in
hand. It also has almost no operational overheads. Accordingly, the trustees have a reasonable expectalion
that the charity has adequate resources to continue in operational existenoe for the foreseeable future. They
do not believe that there are any material uncertainties which cast significant doubt on the ability of the
company to Continue as a going concern. For this reason, they continue to adopt the going concern basis in
preparing the fmancial statements.
(c) Fund accounting
General fund8 are unrestricted fiu]ds which are available for use at the discretion of the trustees in
furtherance of the generdl objectives of th¢ charity and which have not been designated for other pury)oses.
Restricted funds are to be used for specific pury)oses as laid down by the donor. Expenditure which meets
these crit¢ria is charg¢d to the fund. together with a fair allocation of management and support costs.

The value of seryices provided by volunteers has not been included.
(e) Expenditure
Expenditure is recognised once there is a legal or constructive obligation to make payment to a third paty,
it is probable that settlement will be required, and the amount of the obligation can be measured reliably.
Grants payable are charged in the year when an unconditional offer is made and when the amount can be
quantified with reasonable aGcuracy.
All other expenditure is ￿CoUnted for on an accrual basis.

Debtors are recognised at the settlement amount after any discount offered.
(g) Cash at Bank
Cash ai bank includes short tenn highly liquid investments with a short maturity of three months or 1¢$$ from
the date of acquisition on opening of the deposit or similar account.

Creditors are recognised where the charity has a present obligation resulting from a past event that will
probably result in the transfer of funds to a third paty and the amount due to settle the obligation can be
measured or estimated reliably. Creditors are nornially recognised at their settlement amount after allowing for
any discounts due.
(i) FlnaneAal Instruments
The charity only has financial assets and fllwicial liabilities of a kind that qualify as basic fmancial insttuments.
Basic financial instruments are initially recognised at transaction value and subsequently measured at their
settlement value.

14. Related party transaetlons
During the year Leicester City Football Club Limited collec*d income of £13,012 (2023,. £10,339), donated
£500,000 (2023.. £Nil) and paid expenses of £18.708 (2023: £33) on behalf of the charity. They remitted £Nil
(2023.. £1,048,518) to the charity during the period. At the period end LCFC owed £474,670 (2023.. £19,633
owed to LCFC).
In addition, Leicester City Football Club also provided administration services to the charity which are not
being r￿harged to the Charity.
Susan Valerie Whelan, a trustee of the charity, is the Chief Executive Officer and Company Direclor of
