We are pleased to present the Trustees’ Annual Report for Fight for Change Foundation for the year 2024. This report highlights our achievements, challenges, and the impactful work we have carried out over the past year, in pursuit of our mission to empower and support young people in their journey towards positive change in their lives. 

## **STRUCTURE, GOVERNANCE AND MANAGEMENT** 

## Structure 

The charitable company is limited by guarantee and does not have a share capital. 

## Governing document 

The charitable company is controlled by its governing document, the Memorandum and Articles of Association, and constitutes a limited company, limited by guarantee, as defined by the Companies Act 2006. The Memorandum and Articles of Association were signed on 7 September 2009 and the organisation was granted charitable status by the Charity Commission on 12 August 2011. 

## Trustees 

The charitable company shall have a board of trustees comprising not less than two trustees. The board of trustees shall be elected by and from the charitable company members. At the Annual General Meeting, all trustees shall stand down and shall be eligible for re-election. 

The Articles of Association allow for trustees or former trustees of the charitable company to be indemnified out of the charitable company's assets against any liability. The trustee may purchase and maintain insurance at the expense of the charitable company for the benefit of any trustee or former trustee in respect of any loss or liability incurred in connection with their duties or powers in relation to the charitable company. 

The charitable company's trustees are responsible for general control and management of the charitable company. Trustees give their time freely and receive no remuneration or other financial benefits. The trustees who are also directors for company law meet quarterly and are responsible for all decisions taken in relation to the running of the charitable company and those activities provided by the charitable company. The CEO oversees the day-to-day operation of the charitable company and reports back to the trustees with recommendations at the board meetings. The Fight For Change Foundation has two full time members of staff as well as sessional staff and part time staff. 

## Recruitment and appointment of new trustees 

The existing trustees are responsible for the recruitment of new trustees. However, in doing so seek the views and recommendations of the charitable company CEO. This approach ensures that new trustees are respected members of the voluntary, community and sports sector, and can add benefit and experience to the charitable company. Potential trustees are provided more details of the charitable company's aims and objectives as well as the activities of the charitable company and information on the role of a charitable company trustee. In selecting new trustees, Fight For Change Foundation seeks to identify those individuals who regularly attend meetings, support events / functions organised by the charitable company. Individuals who are prepared to assist, volunteer and help broaden Fight For Change community engagement / development / fundraising and empowerment work. 

## Induction and training of new trustees 

Following appointment, new trustees are given copies of the Memorandum and Articles of Association, a copy of the latest accounts and an information pack containing the policies and procedures adopted by the charitable company. They are also provided with a number of publications from the Charity Commission that includes information on the charitable company and its annual projects.

## Risk management 

Fight For Change trustees have a duty to identify and review the risks to which the charitable company is exposed and to ensure appropriate controls are in place to provide reasonable assurance against fraud and error. Fight For Change has implemented a system of checks to mitigate these risks. The charitable company payments are overseen by an appointed Finance Manager, with any significant payments signed off by the trustees. A financial risk management policy is in place to ensure the charitable company has regular reserves. 

## Investment policy and objectives 

Under the Articles of Association, the charitable company has the power to invest monies which are not immediately required for its purposes, in or upon such investments or property as may be thought fit. At the present time the trustees' policy is to maintain all such monies in liquid cash form, on deposits earning a market rate of interest. The trustees consider that this is the most appropriate form of investment in the current climate. 

## **Overview** 

This year has been a remarkable period of growth and transformation for Fight for Change.  With unwavering commitment, we have created a safe and supportive environment for young individuals participating in our programs. Our initiatives cater to a diverse range of individuals, including ex-gang members seeking to rebuild their lives and contribute meaningfully to their communities.  We are particularly proud of our flagship program, the Young Advisors Program, which fosters peer-on-peer consultation and engagement.  Additionally, our targeted mental health program continues to run through our partnerships with referral agencies. Our efforts have expanded across Southwark and Lambeth councils and have also this year included additional funding from the Swire Trust, GLA and Sport England. 

## **OBJECTIVES AND ACTIVITIES** 

## **Objectives and Aims** 

With the exception of our adult mental health program the charitable company’s work is predominately focused on young people aged 8-25, growing up in deprived communities who may be experiencing problems that are preventing them from meeting their full potential in adult life.  Our main focus areas are:- 

- Youth Violence 

- Mental Health 

- Female Engagement 

- Young Advisors program 

- Universal free to user session 

- Mentoring and wrap around services across all programs 

## **Significant Activities** 

## **New Funding Streams:** 

1. We are excited to announce that we have secured funding from GO London to collaborate with pupil referral units, combining boxing, workshops, and mentoring programs. This initiative has had a remarkable effect on young people, providing them with valuable skills, support, and opportunities for personal growth and covers both Southwark and Lambeth boroughs.

2. Female Propel Program: We have launched a new program specifically designed to engage and mentor females across the borough through various activities and mentorship. We aim to empower young women, foster their personal development, and create a positive impact in their lives. This is part of a wider consortium bid with lead agency Active Communities Network.  This program has been match funded by Sport England and allows us to capacity build our female work force and deliver additional weekend provisions. 

3. EIPS funding is from Lambeth council and is part of the North Lambeth consortium bid. This has involved a number of providers with a track record of delivery who have come together in North Lambeth to deliver a range of early intervention and youth work sessions and activities.  We deliver boxing sessions in the evenings across Kennington as part of our universal offer. 

4. Swire Trust and Lambeth Community Safety - We were successful in match funding our “in your corner” gang’s intervention program funded by Lambeth Community Safety with additional funding from Swire. This meant the program has additional funding for courses and workforces, which will have a greater impact on the cohort. This program is specifically tailored to those in the criminal justice system and are known to be involved in gang activity. 

## **Continued Funding:** 

1. Active Communities - New Deal has continued this year and has allowed Fight for Change to develop a range of mentoring opportunities for young people across Lambeth. This not only includes informal mentoring as part of our ongoing delivery but more formal one to one mentoring as part of a scale up program.  This has enabled us to employ and train additional staff to engage with and mentor more young people. 

2. Garfield Weston rolled over from last financial year, and this enabled us to continue running our mental health intervention program. This sees adults with mental health conditions receive boxing, fitness and CBT courses run by our partner, The Harbour. 

3. Collaboration with the Violence Reduction Unit: Fight for Change Foundation continues to work closely with the Violence Reduction Unit, aiming to combat youth violence across Southwark. We are grateful for the continued funding that enables us to implement effective strategies, provide support to at-risk youth, and promote a safer community for all. This has seen continued delivery across Southwark and the rolling program allows us to continue to deliver against our objectives. 

4. Our young advisors program continues to have a huge impact across the borough and our young people have been involved in a range of consultations with police, government and local council officials on how to make Lambeth a better place for young people and create more opportunities. This is a continued commitment from the council with additional funding secured and underspend rolled across to next year’s funding. We also have undertaken an independent impact evaluation on the program with A-to-Z sports consultancy, which is connected to Westminster and Liverpool university. 

These initiatives reflect our dedication to making a lasting difference in the lives of young people. We are immensely proud of the positive outcomes achieved through our programs and partnerships.

## **Development fund** 

The Fight for Change Development Fund plays a crucial role in our Charity mission to create positive change in our community. Established to support projects and initiatives aimed at improving the lives of individuals and families facing various challenges, the fund enables us to invest in innovative solutions that address key issues such as mental health, unemployment, and social isolation. Fight for Change’s Development fund is a designated unrestricted reserve accumulated from fundraising events, commissioned work and charged management fee. 

The Fight for Change Development Fund is to be used to match fund programs and initiatives agreed by the trustee that maximise the charity’s key objectives. By leveraging the fund to support projects that align with our values and goals, we are able to amplify our impact and create meaningful change that benefits our community as a whole. 

## **ACHIEVEMENTS AND PERFORMANCE** 

## **Empowerment and Skills Development** 

We have empowered youth, staff and the communities we work in with conflict resolution skills, anger management techniques, and effective communication strategies to mitigate potentially violent situations. We have also provided opportunities for skill-building, leadership development, and positive self-expression to channel energy and emotions constructively. 

## **Mentorship and Role Models** 

The Charity has established a robust mentorship program that connects at-risk youth with positive role models, fostering meaningful relationships and providing guidance to navigate challenges. This offering of mentor-led activities has instilled values of empathy, respect, and accountability among participants. 

## **Support Systems** 

We have created a supportive environment where youth can openly discuss their concerns, fears, and experiences related to violence, both as victims and potential perpetrators. We have provided accessible counselling services and mental health resources to help youth cope with trauma and emotional stress. 

## **Empower Positive Decision Making** 

Through our programs we have empowered youth to make informed and responsible decisions when faced with conflicts or pressures that could escalate into violence. This has been through our stop and search workshops, and contextual safeguarding workshops, leadership workshops and conflict resolution workshop. 

## **Cultivate Peer Support Networks** 

We have fostered the creation of peer support networks where young individuals can lean on each other for guidance, encouragement, and shared experiences. 

## **Promote Community Engagement** 

We have engaged with schools, community organisations, law enforcement and other stakeholders to collaborate on violence prevention initiatives that benefit the community as a whole.

## **REVIEW OF THE YEAR** 

## **Charitable Activities** 

Fight For Change has delivered programs across Lambeth and Southwark this year. These programs have included noncontact boxing and fitness sessions in the heart of the community including estates, community centres and after school programs. Fight for Change have also been able to run courses, workshops, and mentoring and counselling sessions. 

## **Principal Funding Sources** 

The finances of Fight for Change have been drawn from a number of grant giving agencies over the past year, and the charity is moving towards operating under a 'mixed economy' approach, aiming to increase corporate donations this year. 

Principal funding sources in 2023/24 have been from: - 

Active Communities Network Garfield Weston Lambeth Community Safety Swire Trust United St Saviours Together Fund Sport England Go London Other Grants/ Donations 

## **FINANCIAL REVIEW** 

During the year, income totalled £313,903 (2023: £238,351), with total expenditure of £256,450 (2023: £231,364). This resulted in the charity making a surplus of £57,453 (2023: £6,987). 

Total funds at 31 March 2024 of £303,683 (2023: £246,230) include restricted funds of £169,346 (2023: £112,563). Free reserves amounted to £45,267 at the end of the year (2023: £47,868). 

## **Reserves Policy** 

The charity seeks to retain sufficient reserves to ensure it can meet all its charitable objectives as well as its fiduciary duties.  As of 31 March 2024, the charity has reserves of £303,683 of which £134,337 is unrestricted which is in line with our reserves policy to retain at least 6 months of total costs.  The trustees keep the level of reserves held under close review. 

## **FUTURE PLANS** 

The charity will undertake the following planned actions: - 

- Continue to build a sustainable relationship with two corporate companies 

- Relook at our Theory of Change and outcomes framework 

- Continue to invest in staff development and mentoring 

- Continually review the quality & delivery of existing programmes for funders / user satisfaction. 

- Roll out our adapted wellness package to corporates.

## **PUBLIC BENEFIT** 

The objectives and activities, and achievement and performance sections of this report set out the activities that the charity undertakes for the public benefit. 

The trustees confirm that they have complied with their duty in the Charities Act 2011 to have due regard to public benefit guidance published by the Charity Commission in determining the activities undertaken by the charity. 

Many of the charity beneficiaries have very limited financial means. Access to activities or services are offered at highly discounted rates or free of charge in certain cases. 

The trustees make the following observations on two key principles of public benefit: 

1) There must be an identifiable benefit or benefits, and it must be clear what the benefits are; the benefits must be related to the aims; the benefits must be balanced against any detriment or harm; and 

2) Benefit must be to the public or a section of the public; the beneficiaries must be appropriate to the aims; where the benefit is to a section of the public, the opportunity to benefit must not be unreasonably restricted by geographical or other restrictions; or by the ability to pay any fees charged;  people in poverty must not be excluded from the opportunity to benefit; any private benefits must be incidental. 

A number of private benefits do necessarily arise from the activities of the charity. In particular, the charity finds it essential to employ and remunerate staff. Individual members of the charity will benefit in the widest sense from the activities they undertake. Private benefits are purely incidental as they are a necessary by-product of carrying out the charity's aim. 

## **Advocate for Policy Change** 

The charity seeks to: 

- advocate for policies that prioritise youth violence prevention, intervention, and support systems, both at the local and national levels, 

- advocate for funders to fund longer term programs of 3-5 years to enable substantial change and longer sustainability of programs, 

- advocate for more awareness around neurodiversity and how sensory overload can affect regulation within individuals.

The directors are responsible for preparing the report of the trustees and the financial statements in accordance with applicable law and United Kingdom Generally Accepted Accounting Practice (UK GAAP). 

The directors are required to prepare the report of the trustees and financial statements for each financial period, which give a true and fair view of the state of affairs of the charitable company and of its incoming resources and application of resources, including income and expenditure for the period. In preparing those financial statements accounts, the directors are required to: - 

- select suitable accounting policies and then apply them consistently; 

- make judgements and estimates that are reasonable and prudent; 

- state whether applicable accounting standards and statements of recommended practice have been followed, subject to any material departures disclosed and explained in the financial statements; 

- prepare the accounts on the going concern basis unless it is inappropriate to presume that the company will continue in operation. 

The directors are responsible for keeping adequate accounting records which disclose with reasonable accuracy at any time the financial position of the company and to enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. 

This report has been prepared in accordance with the small companies regime under section 419(2) of the Companies Act 2006, and in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with FRS 102 (effective 1 January 2019).

I report to the charity trustees on my examination of the accounts for the year ended 31 March 2024. 

## **Responsibilities and basis of report** 

As the charity’s trustees of the company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 (‘the 2006 Act’). 

Having satisfied myself that the accounts of the company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity’s accounts as carried out under section 145 of the Charities Act 2011 (the ‘2011 Act’). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act. 

## **Independent examiner's report** 

Since the Charity’s gross income exceeded £250,000 your examiner must be a member of a body listed in section 145 of the 2011 Act. I confirm that I am qualified to undertake the examination because I am a member of the Association of Chartered Certified Accountants, which is one of the listed bodies. 

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe: 

- (1) accounting records were not kept in respect of the company as required by section 386 of the 2006 Act; or 

- (2) the accounts do not accord with those accounting records; or 

- (3) the accounts do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a ‘true and fair’ view which is not a matter considered as part of an independent examination; or

For the financial year ended 31 March 2024, the company was entitled to exemption from audit under section 477 of the Companies Act 2006; and no notice has been deposited under section 476. The directors acknowledge their responsibilities for ensuring that the company keeps accounting records, which comply with section 386, and preparing accounts, which give a true and fair view of the state of affairs of the company as at the end of the period and of its surplus or deficit for the financial period, in accordance with the requirements of section 394 and 395, and which otherwise comply with the requirements of the Companies Act 2006 relating to accounts, so far as applicable to the company.

## **1 Accounting policies** 

## a) **Accounting convention** 

- The financial statements have been prepared in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019) - (Charities SORP (FRS 102)), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) and the Companies Act 2006. 

The charity meets the definition of the public benefit entity under FRS 102. Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy note. 

The accounts have been prepared on the going concern basis. 

The principal accounting policies adopted in the preparation of the financial statements are set out below. 

- b) **Income** 

   - All income is included in the Statement of Financial Activities when the charity is entitled to the income and the amount can be quantified with reasonable accuracy. Such income is only deferred when: 

      - The donor specifies that the grant or donation must only be used in future accounting periods; or 

      - The donor has imposed conditions which must be met before the charity has unconditional entitlement. 

Investment income is recognised on a receivable basis. 

Income from charitable activities includes income received under contract or where entitlement to grant funding is subject to specific performance conditions is recognised as earned (as the related goods or services are provided). 

The value of services provided by volunteers is not recognised.

- c) **Expenditure** 

   - Expenditure is recognised on an accrual basis when a liability is incurred. Contractual arrangements and performance related grants are recognised as goods or services are supplied. Other grant payments are recognised when a constructive obligation arises that results in the payment being unavoidable. 

      - Costs of generating funds comprises the costs of commercial trading and their associated support costs. 

      - Expenditure on charitable activities includes the costs of the charity's services undertaken to further the purpose of the charity and their associated support costs. 

      - Support costs include central functions and have been allocated to activity cost categories on a basis consistent with the use of resources, e.g. allocating staff costs by the time spent and other costs by their usage. 

- d) 

## **Value Added Tax** 

- As the majority of the charity's activities are classified as exempt or non-business activities for the purposes of value added tax, Fight For Change Foundation Ltd is unable to reclaim the value added tax which it suffers on its purchases. Expenditure in these financial statements is therefore shown inclusive of value added tax. 

## e) **Tangible fixed assets and depreciation** 

- Tangible fixed assets are stated at historical cost less accumulated depreciation and any accumulated impairment losses. Historical cost included expenditure that is directly attributable to bringing the asset to the location and condition necessary for it to be capable of operating in the manner intended by management. The charity only capitalises items costing more than £300. 

Depreciation is charged so as to allocate the cost of assets less their residual value over their estimated lives, as follows: 

Fixtures and fittings 25% straight line Computer equipment 3 years 

The assets' residual values, useful lives and depreciation methods are reviewed, and adjusted prospectively if appropriate, or if there is an indication of a significant change since the last reporting date. 

Gains and losses on disposals are determined by comparing the proceeds with the carrying amount and are recognised in Statement of Financial Activities.

## **1 Accounting policies (continued)** 

## f) **Fund accounting** 

Funds held by the charity are either: 

- Unrestricted general funds - these are funds which can be used in accordance with the charitable objects at the discretion of the trustees. 

- - Designated funds - these are funds set aside by the trustees out of unrestricted general funds for specific future purposes or projects. 

- Restricted funds - these are funds that can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes. 

Further explanation of the nature and purpose of each fund is included in the notes to the financial statements. 

## g) **Taxation** 

No provision has been made for corporation tax or deferred tax as the company is a registered charity and is exempt, as agreed with HM Revenue & Customs. 

## h) **Pension costs** 

Pensions are provided for staff by means of money purchase personal pension schemes. Contributions in respect of these scheme are charged to the Statement of Financial Activities for the year in which they are payable to the scheme. Differences between contributions payable and contributions actually paid in the year are shown as accruals at the year end. 

## i) **Financial instruments** 

- The charitable company only enters into basic financial instrument transactions that result in the recognition of financial assets and liabilities like trade and other debtors, cash at bank and creditors. These basic financial instruments are initially measured at transaction price and are subsequently carried at amortised cost using the effective interest method. Financial assets and liabilities classified as due within one year are not amortised. 

## **2 Legal status** 

The charity is a company limited by guarantee and has no share capital. The charitable company was incorporated on 7 September 2009 in England and Wales and was registered on 12 August 2011 with the Charity Commission in England and Wales. The charity's registered number with the Charity Commission is 1143318. The charity is a public benefit entity.

## **Lambeth Council** 

This is a funding stream by Lambeth council to run our Young Advisors program. This is young people aged between 16 to 25 who support the local community in a range of activities. 

## **Lambeth** 

To deliver a range of early intervention and youth work sessions and activities. 

## **London Metropolitan University** 

This funding is to be used for evaluating Fight For Change programs and measuring the outcomes and impact of our programs on participants. 

## **Sport England - Sisters in Strength** 

The project will provide boxing and exercise opportunities to increase female participation. Delivery will involve under 16s from pupil referral units and a local school.

## **GO London** 

GO London match funding to collaborate with pupil referral units; combining boxing, workshops, and mentoring programs. This initiative has had a remarkable effect on young people; providing them with valuable skills, support, and opportunities for personal growth and covers both Southwark and Lambeth boroughs. 

## **Active Communities Network - TIF** 

This is a grant award from ACN to help support any additional costs of activities that will get young people active. 

## **Game Changers** 

This program is part of the violence reduction unit My Ends program and consists of a consortium of five partners with Active Communities being the lead partner. Fight For Change's remit is to develop relationships with the community in Walworth area of Southwark and put in place a range of activities that is need to divert young people away from anti-social behaviour. 

## **Female** 

Program to engage and mentor females accros the borough aiming to empower young women, foster their personal development and create a positive impact on their lives. 

## **Active Communities Network - New Deal** 

This fund is part of a consortium bid where Fight For Change provides mentoring services and support. This is done through our group boxing sessions and tailored one to one support for individuals across North Lambeth. 

## **Garfield Weston** 

This grant is to fund some of our mental health programs. This grant funded support for participants suffering with mental health issues. It allowed them to access a range of provisions including one-toone support and specific tailored boxing sessions and workshops. 

## **Lambeth Community Safety** 

This was funding for us to work with two Pupil referral units across Lambeth, providing boxing sessions and tailored support and one to one mentoring and workshops. 

## **Lambeth Sexual Health** 

Fight For Change were hired by Lambeth council Sexual health to run a number of consultations with young people across the borough to find out what they wanted from a sexual health service and what this might look like. 

## **Metropolitan Thames Valley** 

To deliver boxing services focused on North Clapham to include events, counselling and peer to peer guidance and support for young people and adults. 

## **Active Communities Together - Together Fund** 

This grant was part of Sport England Together Fund to test and trial a program with ex-offenders and those at risk of offending to participate in sports and workshops.

Matched funding from “in your corner” gang’s intervention program funded by Lambeth Community Cafety with funding from Swire, which meant the program has additional funding for courses and workforces and will have a greater impact on the cohort. ## **14 Movements in funds - comparatives (continued)** 

## **Lambeth Council - Clips** 

This funding is from Lambeth Council to be used to develop and train our volunteers and young advisors in a range of courses and workshops. 

## **Mayor's Office for Policing and Crime** 

This was a grant to enable Fight For Change to deliver boxing and educational activities to some of the most hard to reach young people. 

## **Comic Relief - Rolling with the punches** 

This is an 18 month funded program ending in June 2022 to work with a specific cohort of participants that have specific Mental health conditions. This involves a specific boxing curriculum, workshops, a buddy system, mentoring and counselling and volunteering. 

## **Positive Futures** 

The Positive Futures fund from Southwark council focused on services delivered to young people experiencing trouble with school and behavioural issues. This is a 2.5 year funded programme. The council gave permission for funding that could not be spent due to school closures to be rolled onto next year in 2021. 

## **Changing Gears (BPT)** 

This is a joint funded programme from GLA with BPT as the grant holders and Fight For Change the delivery arm. It is an 18 month program to run football, basketball and boxing out of Black Prince Hub in Kennington and surrounding areas working with Pupil Referral Units, YOT, Schools behavioural units. With a wrap around services of courses and mentoring and counselling. 

## **Southwark Council - Healthy Living** 

This grant is to provide fitness activities and talking therapies to adults in Southwark to help support their mental health. 

## **Alliance of Sport** 

This was a grant to provide sport activities to young people from BME communities. 

## **United St Saviour** 

This grant was given to support services in Southwark that included physical activity sessions, boxing and variety of after school clubs, events and adult activities. 

## **Youth Justice Sports Fund** 

This fund was to specifically work with young people in the criminal justice system or at risk of offending.  This worked across Lambeth and Southwark with referrals from Youth offending teams and additional Pupil Referral Units and Behavioural Units in Southwark and Lambeth.
