The trustees and the directors of the charitable company, present their report and the accounts of the charitable company for the year ended 31 March 2021. 

## **STRUCTURE, GOVERNANCE AND MANAGEMENT** 

## Structure 

The charitable company is limited by guarantee and does not have a share capital. 

## Governing Document 

The charity is controlled by its governing document, the Memorandum and Articles of Association, and constitutes a limited company, limited by guarantee, as defined by the Companies Act 2006. The Memorandum and Articles of Association were signed on 7 September 2009 and the organisation was granted charitable status by the Charity Commission on 12 August 2011. 

## Trustees 

The charity shall have a board of trustee comprising not less than two trustees. The board of trustees shall be elected by and from the charity members. At the Annual General Meeting, all trustees shall stand down and shall be eligible for re-election. 

The Articles of Association allow for the trustee or former trustee of the charity to be indemnified out of the charity's assets against any liability included by the trustee. The trustee may purchase and maintain insurance at the expense of the charity for the benefit of any trustee or former trustee in respect of any loss or liability incurred in connection with their duties or powers in relation to the charity. 

The charity's trustees are responsible for general control and management of the charity. Trustees give their time freely and receive no remuneration or other financial benefits. The trustees/directors meet quarterly and are responsible for all decisions taken in relation to the running of the charity and those activities provided by the charity. The CEO oversees the day-to-day operation of the charity and reports back to the trustees with recommendations at the board meetings. The Fight For Change Foundation has two full time members of staff as well as sessional staff and part time staff. 

## Recruitment and appointment of new trustees 

The existing trustees are responsible for the recruitment of new trustees. However, in doing so seek the views and recommendations of the charity’s CEO. This approach ensures that new trustees are respected members of the voluntary, community and sports sector, and can add benefit and experience to the charity. Potential trustees are provided more details of the charity's aims and objectives, as well as the role and activities of the charity -including information on the role of a charity trustee.  In selecting new trustees, Fight For Change Foundation seeks to identify those individuals who regularly attend meetings and support events and functions organised by the charity. Those Individual's that are prepared to assist, volunteer, and help broaden Fight For Change’s community engagement / development / fundraising and empowerment work. 

## Induction and training of new trustees 

Following appointment, new trustees are given copies of the Memorandum and Articles of Association, a copy of the latest accounts and an information pack containing the policies and procedures adopted by the charity. They are also provided with a number of publications from the Charity Commission that includes information on the charity and its annual projects.

## Risk Management 

Fight For Change trustees have a duty to identify and review the risks to which the charity is exposed and to ensure appropriate controls are in place to provide reasonable assurance against fraud and error. Fight For Change has implemented a system of checks to mitigate these risks. The charity payments are overseen by an appointed Finance Manager, with any significant payments signed off by the trustees. A financial risk management policy is in place to ensure the charity has regular reserves. 

## Investment policy and objectives 

Under the Articles of Association, the charity has the power to invest monies which are not immediately required for its purposes, in or upon such investments or property as may be thought fit. At the present time the trustees' policy is to maintain all such monies in liquid cash form, on deposits earning a market rate of interest. The trustees consider that this is the most appropriate form of investment in the current climate. 

## **OBJECTIVES AND ACTIVITIES** 

## **Objectives and aims** 

With exception of our adult mental health programme the charity’s work is predominately focused on young people aged 11-25, growing up in deprived communities who may be experiencing problems that are preventing them from meeting their full potential in adult life. After the pandemic took hold in early 2020, the board realigned its focus and streamlined its services to focus on development plans for individuals. At the start of the year, we were unable to run the boxing sessions, so took this time to do a needs analysis in order to fully understand and gauge the needs that young people and their communities were facing during the pandemic.  This inputted into our theory of change and led to the refocus of activities specifically around our invention programmes, which also led to us upskilling staff and bringing onboard a part time counsellor. 

**Youth Violence** - The programme focused on preventative measures of youth violence and prevention. Through the covid restrictions and lockdown measures imposed, the young people could not engage fully in the boxing and physical activity sessions.  We therefore changed our methodology of engagement and were able to work more closely with the whole family, with the additional benefit of providing counselling peer mentoring and educational support specific to the young person’s needs. This included going out on home visits with the Met Police to the most vulnerable young people homes to  offer additional services and support to the young person and their extended family. This evolved into a wider relationship with the young people, siblings, and parents to enable joint family counselling looking at specific issues. 

Our staff upskilled and took qualifications in mentoring, attended workshops in psychotherapy and introductions to counselling in order to better aid their mentoring skills.  We also took on a part time qualified counsellor to work with the young people and their families. 

**Mental Health** - Our project is focused on supporting those with mental health issues or those at risk of developing mental health issues for them to become physically active and more involved within their communities. ‘Rolling With The Punches’ is a sport for developing mental health intervention that helps fight both the stigma and the illness of mental health, by using boxing as the vehicle for change.

We have developed, in conjunction with our research partners, a curriculum that covers a series of modules aiming to alleviate symptoms of mental illness as well as to reduce the vulnerability of the participants.  This group were one of the most vulnerable groups during the lockdown, so we ensured that regular communications were kept between the group members. Counselling and mentoring were offered along with walks in the park with individuals. When the restrictions were lifted, we were able to run outdoor sessions in bubble groups and when restrictions were fully lifted, we were able to run normal gym sessions back inside the gym.  In addition, we were able to create volunteer opportunities with participants in our local food banks, which proved a lifeline for them to be able to get out and do something productive during the lockdown period. Volunteering is fundamental for us to develop the participants we work with and give them meaningful and enjoyable volunteering opportunities. 

**Young Advisors –** Our Young Advisors Programme is a core group of young people aged 16 to 25 that have a passion and commitment to delivering services to other members in their local community.  They are chiefly employed to run a range of projects and services across Lambeth Borough that will benefit other young people and the local community. YA are the voice of other young people and act as Peer Mentors to find out the wants and needs of the community.  They were out on the estates during the pandemic handing out leaflets containing advice and information about services that were available to those people struggling.  The Young Advisors’ time has been spent on a range of projects from food banks, stop and search workshops, outreach, awareness videos, school assemblies, homework clubs, tutoring support and assisting and supporting other community groups. 

## **Significant Activities** 

The pandemic had a large impact on our programmes and completely challenged us to re-focus our delivery.  As a charity we learnt a lot through the pandemic, specifically around our methodology and the way we engaged young people in our services. Where we were unable to deliver our normal services we contacted our partners, schools, pupil referral unit and young people to see how best we could support these young people during the pandemic. 

There was a need for Therapeutic Services to run alongside sessions and to help support young people with additional learning, which was imbedded across our services. 

The pandemic saw an increased need for mental health provisions with emphasis on wellbeing and exercise.  We were still able to deliver sessions to participants that were referred onto our Mental Health Program, and this was continued throughout the lockdown period for those who had long term mental health issues. 

We received funding of two emergency grants from National Lottery and GLA, both were 6 months in duration to enable us to continue to deliver services to young people and adults across Southwark and Lambeth. 

We received additional funding from GLA as part of a joint program that formed part of our Interventions Programme. 

We received funding from Metropolitan University that was matched with funding for Comic Relief for delivery of our Mental Health Program.

We were allowed to reallocate budgets within our existing funding from Southwark Council to enable us to change delivery to online where possible and to defer start dates on some of the activities. 

Lambeth Council funded us for the delivery of our Young Advisors Programme, which stretched across the borough and continued to run throughout the duration of the pandemic. 

## **ACHIEVEMENTS AND PERFORMANCE** 

## Public Benefit 

The objectives and activities, and achievement and performance sections of this report set out the activities that the charity undertakes for the public benefit. 

The trustees confirm that they have complied with their duty in the Charities Act 2011 to have due regard to public benefit guidance published by the Charity Commission in determining the activities undertaken by the charity. 

Many of the charity beneficiaries have very limited financial means. Access to activities or services are offered at highly discounted rates or free of charge in certain cases. 

The trustees make the following observations on two key principles of public benefit: 

1) There must be an identifiable benefit or benefits and it must be clear what the benefits are; and the benefits must be related to the aims; and the benefits must be balanced against any detriment or harm; and 

2) Benefit must be to the public or a section of the public; and the beneficiaries must be appropriate to the aims; and where the benefit is to a section of the public, the opportunity to benefit must not be unreasonably restricted by geographical or other restrictions; or by the ability to pay any fees charged; and people in poverty must not be excluded from the opportunity to benefit; and any private benefits must be incidental. 

A number of private benefits do necessarily arise from the activities of the charity. In particular, the charity finds it essential to employ and remunerate staff. Individual members of the charity will benefit in the widest sense from the activities they undertake. Private benefits are purely incidental as they are a necessary by-product of carrying out the charity's aim 

## Review of the year 

## **Charitable activities** 

Fight For Change has delivered programmes across, Lambeth and Southwark this year. These programs have included non-contact boxing and fitness sessions in the heart of the community including housing estates, community centres and from our Lambeth F4C hub site. In addition, we co - jointly set up an After School Homework Club and ran courses and workshops in mentoring and counselling.

Our online session ran from the start of the pandemic along with one-to-one mentoring counselling and outdoor exercise classes. 

## **Principal Funding Sources** 

The finances of Fight For Change have been drawn from a number of grant giving agencies over the past year, and the charity is moving towards operating under a 'mixed economy' approach, whereby we avoid being overly reliant on one funder, funding stream or sector. This year due to Covid 19 we were unable to run our annual fundraising event, however, did receive emergency grants that’s still allowed us to deliver services. 

Principal funding sources in 2020/ 21 have been from: - 

Lambeth Council GLA Wave 3 Southwark Council National Lottery Comic Relief BPT Met university Other Grants/ Donations 

## Future plans 

The charity will undertake the following planned actions: - 

- Build a sustainable relationship with two corporate companies 

- Re look at our ‘Theory of Change and Outcomes’ framework 

- Establish an audit committee 

- Establish new recruitment and terms of reference for trustees 

- Continually review and quality delivery of existing programmes for funders / user satisfaction. 

- • Launch two impact research pieces on our Youth Violence Programme and Female Empowerment Programme. 

## **FINANCIAL REVIEW** 

## Financial Review 

During the year, income totalled £237,059 (2020: £60,595), with total expenditure of £146,594 (2020: £123,528).  This resulted in the charity making a surplus of £90,465 (2020: deficit of £62,933). 

Total funds at 31 March 2021 of £213,697 (2020: £186,165) include restricted funds of £93,798 (2020: £10,304).  Free reserves amounted to £47,899 at the end of the year (2020: £40,928). 

## Reserves policy 

It is always difficult to plan or develop services within a voluntary organisation, with its constant need to find funding and in an atmosphere of insecurity of long-term funding agreements. Our reserves policy is set to ensure our work is protected from the risk of disruption at short notice due to a lack of funds, whilst at the same time ensuring we do not retain income for longer than required.

The charity seeks to retain sufficient reserves to ensure it can meet all its charitable objectives as well as its fiduciary duties. 

## Reserve purpose 

The following reserves policy exists in line with guidance issued by the Charity Commission, and to enable the charity's trustees to: 

- fund specific projects on short notice or for which no funding can be raised which further the charity's charitable aims as stated in its governing document; 

- cover administration and support costs without which the charity could not function; - protect against risks and unforeseen expenditures which may arise, and which are beyond the charity's control and cannot be met from existing income and are in line with its stated objectives; and 

- ensure the viability of the charity beyond the immediate future and to provide reliable and on-going services over the longer term. 

As at 31 March 2021 the charity had total reserves of £213,697 (2020: £123,232) of which £119,899 is unrestricted (2020: £112,928).  Included within unrestricted funds is £72,000 for the development of new projects.  This is in line with our reserves policy to retain at least 6 months of operational costs. The trustees keep the level of reserves held under close review. 

## **DIRECTORS’ RESPONSIBILITIES** 

The directors are responsible for preparing the report of the trustees and the financial statements in accordance with applicable law and United Kingdom Generally Accepted Accounting Practice (UK GAAP). 

The directors are required to prepare the report of the trustees and financial statements for each financial period, which give a true and fair view of the state of affairs of the charitable company and of its incoming resources and application of resources, including income and expenditure for the period. In preparing those financial statements accounts, the directors are required to: - 

- select suitable accounting policies and then apply them consistently; 

- make judgements and estimates that are reasonable and prudent; 

- state whether applicable accounting standards and statements of recommended practice have been followed, subject to any material departures disclosed and explained in the financial statements; 

- prepare the accounts on the going concern basis unless it is inappropriate to presume that the company will continue in operation. 

The directors are responsible for keeping adequate accounting records which disclose with reasonable accuracy at any time the financial position of the company and to enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

As the charity’s trustees of the company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 (‘the 2006 Act’). 

Having satisfied myself that the accounts of the company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity’s accounts as carried out under section 145 of the Charities Act 2011 (the ‘2011 Act’). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act. 

## **Independent examiner's report** 

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe: 

- (1) accounting records were not kept in respect of the company as required by section 386 of the 2006 Act; or 

- (2) the accounts do not accord with those accounting records; or 

- (3) the accounts do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a ‘true and fair’ view which is not a matter considered as part of an independent examination; or

For the financial year ended 31 March 2021, the company was entitled to exemption from audit under section 477 of the Companies Act 2006; and no notice has been deposited under section 476. The directors acknowledge their responsibilities for ensuring that the company keeps accounting records, which comply with section 386, and preparing accounts, which give a true and fair view of the state of affairs of the company as at the end of the period and of its surplus or deficit for the financial period, in accordance with the requirements of section 394 and 395, and which otherwise comply with the requirements of the Companies Act 2006 relating to accounts, so far as applicable to the company. 

The accounts have been prepared in accordance with the provisions applicable to companies subject to the small companies' regime in Part 15 of the Companies Act 2006.

## **1 Accounting policies** 

## a) **Accounting convention** 

The financial statements have been prepared in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019) - (Charities SORP (FRS 102)), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) and the Companies Act 2006. 

The charity meets the definition of the public benefit entity under FRS 102. Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy note. 

The accounts have been prepared on the going concern basis. 

The principal accounting policies adopted in the preparation of the financial statements are set out below. 

- b) **Income** All income is included in the Statement of Financial Activities when the charity is entitled to the income and the amount can be quantified with reasonable accuracy. Such income is only deferred when: 

   - The donor specifies that the grant or donation must only be used in future accounting periods; or 

   - The donor has imposed conditions which must be met before the charity has unconditional entitlement. 

Investment income is recognised on a receivable basis. 

Income from charitable activities includes income received under contract or where entitlement to grant funding is subject to specific performance conditions is recognised as earned (as the related goods or services are provided). 

The value of services provided by volunteers is not recognised.

## **1 Accounting policies (continued)** 

- c) **Expenditure** 

   - Expenditure is recognised on an accrual basis when a liability is incurred. Contractual arrangements and performance related grants are recognised as goods or services are supplied. Other grant payments are recognised when a constructive obligation arises that results in the payment being unavoidable. 

      - Costs of generating funds comprises the costs of commercial trading and their associated support costs. 

      - 

      - Expenditure on charitable activities includes the costs of the charity's services undertaken to further the purpose of the charity and their associated support costs. 

      - - Support costs include central functions and have been allocated to activity cost categories on a basis consistent with the use of resources, e.g. allocating staff costs by the time spent and other costs by their usage. 

- d) **Value Added Tax** As the majority of the charity's activities are classified as exempt or non-business activities for the purposes of value added tax, Fight For Change Foundation Ltd is unable to reclaim the value added tax which it suffers on its purchases. Expenditure in these financial statements is therefore shown inclusive of value added tax. 

## e) **Tangible fixed assets and depreciation** 

- Tangible fixed assets are stated at historical cost less accumulated depreciation and any accumulated impairment losses. Historical cost included expenditure that is directly attributable to bringing the asset to the location and condition necessary for it to be capable of operating in the manner intended by management. The charity only capitalises items costing more than £300. 

Depreciation is charged so as to allocate the cost of assets less their residual value over their estimated lives, as follows: 

Fixtures and fittings 25% straight line Computer equipment 3 years 

The assets' residual values, useful lives and depreciation methods are reviewed, and adjusted prospectively if appropriate, or if there is an indication of a significant change since the last reporting date. 

Gains and losses on disposals are determined by comparing the proceeds with the carrying amount and are recognised in Statement of Financial Activities.

## f) **Fund accounting** 

Funds held by the charity are either: 

- Unrestricted general funds - these are funds which can be used in accordance with the charitable objects at the discretion of the trustees. 

- Designated funds - these are funds set aside by the trustees out of unrestricted general funds for specific future purposes or projects. 

- Restricted funds - these are funds that can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes. 

Further explanation of the nature and purpose of each fund is included in the notes to the financial statements. 

## g) **Taxation** 

No provision has been made for corporation tax or deferred tax as the company is a registered charity and is exempt, as agreed with HM Revenue & Customs. 

## h) **Pension costs** 

Pensions are provided for staff by means of money purchase personal pension schemes. Contributions in respect of these scheme are charged to the Statement of Financial Activities for the year in which they are payable to the scheme. Differences between contributions payable and contributions actually paid in the year are shown as accruals at the year end. 

## i) **Financial instruments** 

The charitable company only enters into basic financial instrument transactions that result in the recognition of financial assets and liabilities like trade and other debtors, cash at bank and creditors. These basic financial instruments are initially measured at transaction price and are subsequently carried at amortised cost using the effective interest method. Financial assets and liabilities classified as due within one year are not amortised. 

## **2 Legal status** 

The charity is a company limited by guarantee and has no share capital. The charitable company was incorporated on 7 September 2009 in England and Wales and was registered on 12 August 2011 with the Charity Commission in England and Wales. The charity's registered number with the Charity Commission is 1143318. The charity is a public benefit entity. 

The registered office of the charitable company is Fight for Change Foundation Ltd, The Black Prince Trust, 5 Beaufoy Walk, Off Black Prince Road, Kennington, London, England, SE11 6AA.

## **11 Movements in funds (continued)** 

## **National Lottery** 

The national Lottery Covid grant was a 6 month emergency grant to allow the charity to continue to delivery physical activities for people suffering mentally during the pandemic. Working across Southwark and Lambeth delivery fitness sessions and supporting participants with a wrap around services of support. 

## **Wave 3** 

This was a 6 month emergency grant from GLA to deliver activities to young people with peer led engagement, training and mentoring. Not all these activities could be delivered due to covid and lock down so permission was given by GLA to finish in July 2021. 

## **Positive Futures** 

The Positive Futures fund from Southwark council focused on services delivered to young people experiencing 

## **BPT (Changing Gears)** 

This is a joint funded programme from GLA with BPT as the grant holders and Fight 4 Change the delivery arm. It is an 18 month program to run football, basketball and boxing out of Black Prince Hub in Kennington and surrounding areas working with Pupil Referral Units, YOT, Schools behavioural units. With a wrap around services of courses and mentoring and counselling. 

## **Comic Relief** 

This is an 18 month funded program ending in 2022 to work with a specific cohort of participants that have specific Mental health conditions. This involves a specific boxing curriculum, workshops a buddy system, mentoring and counselling and volunteering. 

## **Lambeth Council** 

This is a funding stream by Lambeth council to run our Young Advisors program. This is young people aged between 16 to 25 who support the local community in a range of activities. Where the Young Advisors were not able to engage with other young people due to Covid this rolled over into 2021. 

## **Mayor's Office for Policing and Crime** 

This was a grant to enable fight 4 change to deliver boxing and educational activities so some of the most hard to reach young people. The remittent of this funding changed when covid hit and reassigned to core cost of the charity to help support the running of the charity during covid.
