The Trustees (who are also the Company directors) present their annual report together with th8 financial
statements for the year ended 31 December 2025.
Structurg, Gov•mance and Management
The Company is a charitable company limited by guarantee registered in England & Wales. The Company is
the successor body to the original charity founded in February 1988 and commenced its activit￿S on 1
January 2012. It is registered with the Charity Commi$$ion for England and Wales.
The numtr*r of Trustees shall be not less than three and not more than eight Trustees are appointed for a
perh￿ of fivè years and are e1￿ible for ￿ppointr￿ent. The current Truslees are due to retire as follows.. Don
Bawir88 on 3 November 2026, Jane Champ on 31 May 2027. John Puttock on 31 May 2028, Trevor Cristin
on 16 June 2029, and lan Crosthwatte on 15 September 2029. The Trustees shall consist of al a person
nominated by the Parochial Church Council {'the PCC.) of Bishop Hannington Memorial Church, Hove,
I"BH'I, (lan Crosthwaite), bl a Ferson nominated by the Churchwardens of BH, (the Churchwardens have
chosen not to nomnate a person at this timel, cl the Vur, Priest in charge or the incumfr*nt of any new
benefice which indudes thè whole or part of the present benefice, {Nick Tucker), and d) personls) nominated
by an existing member. Atl Trustees must be on the electoral roll of BH and subscribe to the staterf￿nt of
Fath in the schedule of the Memorandum and Articles OfAss￿1ab'0n.
The Company is limited by guarantee and hence no shares have been issued. Each Trustee is also a
member of the Company and there are no other members. In the event of the Company being wound up or
otherwise dissow, the liability of the ￿Ernbers by way of 9uaranlee Is limited under Clauses 6 and 7 of the
Memorandum of Association to an amount not exceeding £1 each.
The ChaimBn and the Treasurer handle the day-to-day administration of the Company. The Trustees met
three times during the year to review the Compariy's aCtIv￿"e5, financial stslements and issues relating to the
employee. Management Accounts are circulated to the Trustees monthly and other reports are circulated to
the Trustees as necessary between meetings.
Objects and PrKn¢ipal Actlvltles lor thg Publlc Ben•fft
The objects of the Company, which are set out in the Articles of Association. are the athancement of the
Christtan foith wh￿h is achieved by the raising of funds for the employment of Christian wotkers primarily
within the Parish of BH. A small number of the gifts to the Company are provided by the members of BH but
most of its Ir￿Qme now arises from tts properb"es. An agreed proportion of this income ¢s transferred to BH
specthcally to assist with the funding of its employment costs under a Memorandum of Understanding
entered into btheen the Company and the PCC in October 2022 lthe"MoU°).
The Company r)wn5 the following th￿e properties outright 40 Meadway Crescent is let at below market rent
and subject to certain special terms as agreed at the time of transfer to the Company but nevertheless
provides a very welcome source of income. 86 Elm Drive is used for the advan￿ment of the Christian
Rel￿40n by pmviding pTrmises for B(KJks AINe, a Christian Bookshop. and 47 Nevill Avenue va5 temporanly
let commercialty untsl 16 July pendin9 the arrival of a new ordained minislei who, with his family. has
crcupied ihis propety under li￿nce since 8 August.
This year the Company purchased another residentwl propety {97, Poplar Avenue) on LEhalf of Hoty Cross
church, to provide housing for one of its ministers and his family.
The Ttustees have referred to the Charity Commission's genernl guidance on public benefft when reviewing
the Company's aims and objectives and in planning its future activ$t￿s. The charitable activities during the
year have been similar to those in prior years and primarily rekte to the 8s5islance provided to the staff of
BH and ts sister churches in supporting the ministry. administration and other 5UPPOrt services. That
conbnued for the sole remaining employee, but the Company will still raise funds to assist funding of the
Cf)ntinuing employment of the staff employed by the PCC. The activities of BH and its Parish. as part of the
Church of England, arE available to all those of whatever background vtho wish to attend and participate in
its services and ath"vities.

Although the Memorandum and Art￿leS of Association gwe the Trustees unrestricted powers of investment.
no such investments aFe currenty held. As already irKlicated above, the Trustees havè exercised their
powers to own propwty, both to house Chri8tian workeTS and to proV￿e inccrfne to the Company.
Financial Rev10W
As advised previousty, the Company's activities Changed quite dramaticalty effective from 1st October 2022,
when all bul one of its staff were 'TUPE'd' across to BH tt) become directy employed ty the PCC. The
Company's regular donors were asked to switch their giving to the new PCC account especialty opened to
¢xllect the In￿Me dedicated for the ernployment costs. TVK) donors conts.nued to pay their donations to the
Company and those donations plus asS￿ated gbft aid were tranSfer￿d to the PCC at the end of each
month.
ExceptionalPy, this year the Company received a grant of £658,621 from a substantsal legacy held by Holy
Cross Church. In line with the terms of the original bequest to Hoty Cross. that grant was used for the
purchase of a residents'al property to be held and operated for the benefit of Holy Cross. Hoty Cross has
entered into a tenancy agreement with the Company to house one of tts ministers and family under li￿n￿.
The stathng rent was £1.850 per month effectiv8 from 16 Juty. which In¢￿aseS by 2.5%pa each January.
The Company retains £200 per month to fund the annual maintenance and insurance costs and retums the
surplu$ rent to Holy Cross. Hoty Cross has also funded a contingency reserve held by the Company of
£10,(NJO for any major repairs. These assets are all held as ￿stricted assets.
The annual rental income from the three other properties totalled £49.380 (2024 £36,157). The rent paid by
Books Alive is set at £15,OOOpa for another fiv&year term from January 2025. Also, the rent payable on 40
Meadway continued at £1,19Opm. 47 Nevill Avenue was let on commeraal terms until 16 July at £1,850pm
gross. From 8 August this proparty has been let to the PCC of BH at the same rrK)nthty ￿nt with an
escalation of 2.5%pa exh January.
The Company's total income during 2025 was £779.206 1£87.079 in 20241. If we remove £676,564 of
rest[￿ed funds which were re￿Ned in relation to the new propety. then the comparative income figure
would be £102,642, which is £15,563 up on lasl year. This t5 primarity due lo the improved rental income on
the unrestricted properties of £13,223. Gift4id enabled the Company to re¢laim £1,044 (£1,369 in 2024).
This is valuable income but less significant now as much less eligible inojme is rewved by the Company.
Total expenditure was £125,909 {£89.001 in 20241 but this includ8s £25.504 of expenses and transfers in
relat￿ lo the new propety. The comparative expenses figurè woijtd be £100,405 which is £11.404 higher
than last year primarily due to the increased payments to the PCC and extra works to 47 Nevill Avenue for
the successful instsllath)n ofthe new A55cciate VKar. The Company made an unrestricted surplus of £2,237
(£1,922 deficit in 2024>.
The unrestrid&l net current assets 8t the year*nd stand at £26,486 {£24,250 in 2024). The Twstees are
fDrecasting a break-even situation going forward because the one remaining employee. vtho retired at the
end of March. was fulty funded by Goldstone church and the Company is in receipt of unrestricted rental
incx)me of £4,336 per nw)nth currently.
k Managgrnent
The following have been idenlrfied by the Trustees as Potenti￿ risks to the Company:
The reserves are insufficient to meet repair costs to the properttes owned by the Company. In the
event of these circ#Jmstan¢es the Trustees would inib21ty temporarity cease to make grants to the
PCC, followed by a review of the powbility of the PCC making an addrtional grant to the Company,
or finding other extemal ftjnding such as launching an appeal.

The Trustees have ￿nsidered the level of reserves th* ￿ woutd be prudent to maintain against potential loss

e￿t from 14t January 2026 to be provided trom the balan￿ of the Unrestricted Fund, plus a further £1,250

Avenue every ￿r years, next due in 2029. This is in addition to the £10,000 reserve in Rest[￿ted Funds
speoftcally for 97 Poplar Avenue.

The Company will continue to support the salarEs of the staff now enyloyed by the PCC primarity from its
rental inrA)me and any other incon* that is recewed by the Company. With effect from 25th IAarth 2026, our
sde emptyee reb.red and the Company will not be employing any slaff for the foreseeable future.

Expendable Endowment Funds represent the valualion of the tsvo properties which the Company received
from the previous unincorporated trust in 20121£552.000) plus the new property donated to the Company in
2020 {£400,0001. The Revaluation Reserve is the net increase in the value of the properties since being
owned by the Company. The CoTnpany has the unrestricted right to retain these properties and the income
arising from them may be used as unrestncted funds.
Restrthd funds were re￿Ived from BH'S sister church. Gok1stone, to cover the enybyment costs of any
ministers and staff who work at that church but a￿ employed by the Company. Those restricted ￿ndS were
all utilised in satisfying those restricted costs. The residual restricted funds above all relate to the property at
97 Poplar Avenue purchased for the benefit of Holy Cross. Ottasionally donations from other sources are
received spe¢ifiGalty to cov8r deS￿nated expenditure.
