## **REPORT OF THE TRUSTEES FOR THE YEAR ENDED 29 APRIL 2021** 

The trustees who are also directors of the charity for the purposes of the Companies Act 2006, present their report with the financial statements of the charity for the year ended 29 April 2020. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019). 

## **OBJECTIVES AND ACTIVITIES** 

## **Objectives aims and significant activities** 

Last Night A DJ Saved My Life Foundation creates fundraising initiatives in support of children in crisis around the world. 

The Charity continues to operate within the dance music industry, identifying and initiating fund raising opportunities to benefit other charitable organisations and projects. This year we have also begun to fundraise in the corporate sector. 

This year we have started to diversify by way of launching charity challenges to support children in crisis around the world. 

The Charity seeks to ensure that these aims are reflected in the diversity of the trustees. The Objectives and principal activities are to assist charities in place whose aims include the following. 

a) The Prevention or relief of poverty (or financial hardship) anywhere in the world by providing or assisting in the provision of education, training, healthcare projects and all the necessary support designed to enable individuals to generate a sustainable income and be self-sufficient 

b) The Relief of sickness and the preservation of health among children, young people & their families anywhere in the world. 

c) Advancing the education of persons under the age of 25 years by developing their mental, physical and moral capabilities through leisure time activities 

d) The promotion of social inclusion for the public benefit by preventing people from becoming socially excluded relieving the needs of those people what are socially excluded and assisting them to integrate into society. 

## **Public benefit** 

We have referred to the guidance contained in the Charity Commission's general guidance on public benefit when reviewing our aims and objectives and in planning our future activities. In particular, the trustees consider how planned activities will contribute to the aims and objectives they have set. 

The Trustees review the fundraising activities and the projects they have supported at the end of the year and on a regular basis throughout the year. This review helps us to plan our future projects and fundraising activities and to adjust the plans accordingly. The review also helps us to ensure that we are planning our activities and selecting projects to meet the objectives as set out in the Memorandum of Association 

## **How our activities deliver public benefit** 

The Last Night A DJ Saved My Life Foundation is a charitable foundation creating opportunities and fundraising initiatives to enable the dance music industry to make a positive impact in support of children in crisis. 

We provide the vision, connections and essential groundwork. We provide partnerships with like-minded organisations providing funding and support for selected charities and projects.

## **ACHIEVEMENT AND PERFORMANCE** 

## **Charitable activities** 

Being hit by the global pandemic at the start of the year presented LNADJ with a major challenge as most of our fundraising income was based around live events and challenges. 

As a charity strongly linked to the global dance music industry - which is best known for its live events, we came to a virtual standstill and were left with no option but to explore new ways to engage with our supporters and partners. 

One project which we had been planning to launch in Spring 2020 was our Set For Love campaign, initially conceived as a 'party in a box' concept that promoters around the world could use to fundraise for us through hosting their own live events. 

As the world went into lockdown we monitored what promoters and DJ's were doing online, noticing a rapid growth in virtual events and live streaming. 

We made a key decision to re-focus our efforts online and our best opportunity was with our Set for Love campaign. 

With DJs finding themselves at home and unable to gig, it was a clear opportunity for us to engage them in supporting LNADJ. Similarly, many employed professionals were unable to do their normal work and were looking to volunteer to help us make a difference. 

At the same time, we reached out to our charitable partners in developing countries. We learned that the pandemic, and more specifically the lockdowns, were having a disastrous impact in the communities we support, where many people live hand to mouth day to day and a day without work means no food. These were communities already in extreme poverty and with no benefits or government help - a crisis was emerging. 

This gave us a clear focus on where to channel our fundraising efforts and we decided to launch an Emergency Appeal using Set For Love as the fundraising mechanic. 

In the space of just three weeks we were able to develop and launch this global campaign. We galvanised support quickly, boosting the capacity of our in-house team through the addition of volunteers and the support of professionals willing to discount their services and give extra time to help us get the project launched. Everything was achieved remotely through Zoom meetings. 

Our goal was to encourage as many DJs as possible around the world to take part and do a DJ livestream across the same weekend, using assets we gave them to fundraise for our appeal. 

Our aim was to engage not only the high profile big artists but to connect with as many bedroom DJs as possible. 

With a highly targeted social media advertising campaign, major artists inspired the bedroom DJs and we soon found ourselves with over 10,000 DJs registering from over 80 countries to help create the world's largest DJ-led streaming event. 

The first Set for Love DJ marathon launched on May 8th, 2020 over the course of a weekend and it was an immediate success. Using our chosen fundraising platform, Just Giving, alongside Facebook donations we were able to raise over £65,000. 

For LNADJ this was a huge success engaging many major artists and gaining over 125 pieces of press which helped to raise vital awareness of our organisation. 

The funds were sent immediately to our grassroots partners in Tanzania, Uganda, Nepal and Indonesia and had a huge impact. 

In Uganda we were able to provide food packages for 1000 rural community members on an ongoing basis. We were particularly focused on helping the most vulnerable, who were identified with the guidance of community leaders. 

In addition, 100 families were also provided with longer term food security with seed packs and crop cuttings so that those subsistence farmers could safeguard their planting. 

In Indonesia, we supported our partner BGBJ in their food outreach programme to families living on SE Asia's largest landfill site.  This provided an additional 238 food parcels and nutritious cooked meals.

In Nepal our partner Chora Chori had responded and adapted quickly to the impact of lockdown, creating an emergency outreach plan to get food and essential supplies to some of the poorest districts in Nepal. We supported this initiative and Set For Love funds contributed.  In total they provided food and supplies to over 25,000 people. 

Our relief work in Nepal also centred on providing medical supplies for the rural mountainous region of Sahid Lakhan. Money raised by Set For Love provided medical centres in this area with supplies of surgical masks and other forms of PPE, sanitizers and oxygen cylinders. 

The need for freshwater was more vital than ever for sanitation needs. Set For Love 2020 funds were used to complete 7 new wells. 5 are in the Mpigi region of Uganda, one is in Chiure District of Mozambique and one is in Tamil Nadu, India. 

On June 20th we were celebrating our 10th anniversary which led to another Set For Love being delivered, raising a further £25k. 

One thing we noted along the way was the positive experience this was for all involved, with many DJs expressing their thoughts of it also helping with their mental health in such an uncertain time. We were also able to strengthen our support for our own campaigns serving our causes like Back On Track, Get Equipped, Have a Drink on Us and Smiles for Life. 

Set For Love soon became our most successful campaign to date and we continued with it throughout the year and focused our final one for the year around World Children's Day on November 20th which once again was another success story. We also were able to strengthen our support from partners with various sponsorship packages helping to cover some of the costs to produce the event. 

The partnerships we gained along the journey enabled us to deliver a high-end professional event which helped us to gain many more supporters in 2020. 

Sadly there were some setbacks to our yearly calendar which resulted in us cancelling both Cycle Ibiza in May & Home House Charity Gala in Oct. We did however manage to launch a virtual cycle event named Cycle for Love which helped to raise funds to build more freshwater wells. 

This brought our total number of wells overall by the end of 2020 to 69 - serving communities in India (Andhra Pradesh), Uganda, Mozambique, South Sudan & Malawi. 

## **FINANCIAL REVIEW Reserves policy** 

The reserves of the Foundation are monitored regularly by the trustees. The unrestricted reserves at the year end of £80,004 will be needed to cover the running expenses of the charity and have designated them for this purpose. 

The key focus of the trustees is to have adequate funding to carry out its mainstream charitable activities. The trustees are constantly working on obtaining funds for this purpose. The trustees aim is to build up unrestricted reserves to cover four months running costs.

## **FINANCIAL REVIEW** 

Founders statement (Jonny Lee) 

Despite such uncertain times it was incredible to see how resourceful our team was in being able to deliver such outstanding events remotely in short spaces of time. 

We proved we were able to pivot in these times and make the most of our community and the support we have gained over the years to support us at a time in need to help those causes we work with. 

Whilst we were unable to travel to any of the projects we support globally I felt we were able to communicate effectively and get up to date reports/images showing the difference our supporters were able to help deliver in 2020. 

With the extra financial support from private and corporate sponsors, we were able to finance more team members which had a huge impact on us to be able to deliver our events when needed. 

There was a huge shift from the dance music industry in their recognition of the need to take their social responsibility seriously, and we were witness to so many fundraising events throughout the year. At a time when the industry was at its lowest, it was refreshing to see how much support they gave to giving back. 

It was a challenging year but one in which we were able to galvanise the support from our community more effectively than ever before which resulted in an outstanding year of change. 

To our supporters from outside the industry, we thank you for facilitating us with the means to continue our work going forward. 

On behalf of myself and the whole LNADJ team, we thank you for your ongoing generous support which has enabled us to reach out to children in crisis in many developing countries and make a real difference. 

I have been asked by the communities who have received our help to extend their gratitude to you all. 

## **FUTURE PLANS** 

The main focus of the trustees is to have sufficient funding to carry out more charitable activities. Recent links have been made with corporate entities in order to obtain sponsorship to enable this. 

With the current pandemic still affecting many areas of the events industry we have not confirmed any team activities and events for the first 6 months of the year. 

Our success story of Set for Love will continue in the end of June and we are looking to expand the live event side of the event. We are hoping to see an increase in potential fundraising due to these events. Building our database of DJ’s and fundraisers make this event key to our continued growth in engaging the dance music community in fundraising. 

Get Equipped project will be expanded in both Tanzania & Uganda as we look to make more progress in teaching the students more skills in music production. We will be looking into grant applications also to raise funds to further advance this project. 

We will be looking to increase our supporters of our Direct Debit Scheme to help raise more funds to provide more funds for admin and staffing costs. 

## **STRUCTURE, GOVERNANCE AND MANAGEMENT** 

## **Governing document** 

The Charity is controlled by its governing document, the memorandum and articles of Association, and constitutes a limited company, limited by guarantee, as defined by the companies Act 2006. 

The constitution was dated 15 March 2011, the company was incorporated on 15 March 2011 and the liability of each member, in the case of the company being wound up, is limited to £10.

## **STRUCTURE, GOVERNANCE AND MANAGEMENT Organisational Structure and Appointment of Trustees** 

The directors of the company are also the charity trustees for the purposes of charity law. Under the Memorandum and Articles of Association the directors are elected to serve for the period between Annual General Meetings, at the end of which they must offer themselves for re-election at the next Annual General Meeting. 

Under this requirement the director to retire by rotation should be decided by the lot and, being eligible, offer themselves for re-election. 

## **Induction and training of new trustees** 

The current trustees have had a long involvement with the charity. New trustees would be recruited through fundraising events, contacts and networking made through the various campaigns and projects of the charity. New trustees would be trained by current trustees on the aims and objectives of the charity. 

## **Risk management** 

The Trustees have a duty to identify and review the risks, which the charity is exposed and to ensure appropriate controls are in place to provide reasonable assurance against fraud and error.

## **Independent examiner's report to the trustees of The Last Night A Dj Saved My Life Foundation ('the Company')** 

I report to the charity trustees on my examination of the accounts of the Company for the year ended 29 April 2021. 

## **Responsibilities and basis of report** 

As the charity's trustees of the Company (and also its directors for the purposes of company law) you are responsible for the preparation of the accounts in accordance with the requirements of the Companies Act 2006 ('the 2006 Act'). 

Having satisfied myself that the accounts of the Company are not required to be audited under Part 16 of the 2006 Act and are eligible for independent examination, I report in respect of my examination of your charity's accounts as carried out under section 145 of the Charities Act 2011 ('the 2011 Act'). In carrying out my examination I have followed the Directions given by the Charity Commission under section 145(5) (b) of the 2011 Act. 

## **Independent examiner's statement** 

Since your charity's gross income exceeded £250,000 your examiner must be a member of a listed body. I can confirm that I am qualified to undertake the examination because I am a registered member of FCCA on behalf of which is one of the listed bodies. 

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe: 

1. accounting records were not kept in respect of the Company as required by section 386 of the 2006 Act; or 

2. the accounts do not accord with those records; or 

3. the accounts do not comply with the accounting requirements of section 396 of the 2006 Act other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination; or 

4. the accounts have not been prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)).

The charitable company is entitled to exemption from audit under Section 477 of the Companies Act 2006 for the year ended 29 April 2021. 

The members have not required the company to obtain an audit of its financial statements for the year ended 29 April 2021 in accordance with Section 476 of the Companies Act 2006. 

The trustees acknowledge their responsibilities for 

- (a) ensuring that the charitable company keeps accounting records that comply with Sections 386 and 387 of the Companies Act 2006 and 

- (b) preparing financial statements which give a true and fair view of the state of affairs of the charitable company as at the end of each financial year and of its surplus or deficit for each financial year in accordance with the requirements of Sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the charitable company. 

These financial statements have been prepared in accordance with the provisions applicable to charitable companies subject to the small companies regime.

## **1. ACCOUNTING POLICIES** 

## **Basis of preparing the financial statements** 

The financial statements of the charitable company, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102) 'Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019)', Financial Reporting Standard 102 'The Financial Reporting Standard applicable in the UK and Republic of Ireland' and the Companies Act 2006. The financial statements have been prepared under the historical cost convention, with the exception of investments which are included at market value. 

The accounts are prepared on a going concern basis after consideration by the trustees that there are no material uncertainties about the Charity's ability to continue as a going concern. Such consideration includes a review of committed income and expenditures, cash flows and reserves. The trustees do not consider that there are any sources of estimation uncertainty at the reporting date that have a significant risk of causing a material adjustment to the carrying amount of assets and liabilities within the next reporting period. 

## **Income** 

All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably. 

## **Expenditure** 

Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources. 

## **Governance costs** 

Governance costs include the preparation and examination of statutory accounts. 

## **Tangible fixed assets** 

Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life. 

Computer equipment - 33% on cost 

## **Taxation** 

The charity is exempt from corporation tax on its charitable activities. 

## **Fund accounting** 

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees. 

Restricted funds can only be used for particular restricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.

## **6. TRUSTEES' REMUNERATION AND BENEFITS** 

J Lee, a Trustee for the charity was paid for his services as an employee to the charity. 

J Lee received a salary of £38,760 (2020: £32,922). 

During the year the charity paid a total of £5,294 to J Lee for consultancy costs. 

Included in other debtors is an amount due from J McNulty, a trustee of £5 (2020: £nil). 

## **Trustees' expenses** 

There were no  trustees' expenses paid for the year ended 29 April 2021 nor for the year ended 29 April 2020.

The brought forward restricted funds include: 

£2,400 for Water Wells 

£11,985 towards funding a new staff member 

In the year the charity received the following restricted funds: 

£12,000 for Water Wells £26,985 towards Core Costs £3,400 for food and towards Cleft operations 

All the income has been spent on the relevant expenditure. There are no carried forward restricted funds. 

## **15. RELATED PARTY DISCLOSURES** 

The Last Night A DJ Saved My Life Foundation owns 100% of the share capital of LNADJ Limited. 

As at 29 April 2021, the Foundation was owed  £9,157 from LNADJ Limited (2020: £9,397).

## **16. POST BALANCE SHEET EVENTS** 

Across the Accounts Year period (May 2020 - April 2021), the UK has largely been in lockdown as a result of the Covid 19 pandemic. 

The main issues we had as a charity, were as follows: 

- It had a detrimental effect on the team being able to meet in person which also had a knock-on effect with the AGM. 

- We were also unable to visit any of the international causes we support and relied heavily on the use of the internet for updates. 

In respect of the current COVID 19 situation, the Charity has reviewed its business and has taken the following steps to limit risk to the charity and ensure the charity is a going concern: 

- All our physical live events were cancelled from May 2020 to April 2021 

- All our charity challenges were cancelled. 

- Our cycling challenge Cycle Ibiza we replaced with a virtual event called Cycle for Love which allowed cyclists to participate and fundraise without travelling and cycle locally. 

- We also attracted sponsors which also hugely helped to cover some of the expenses of the Set for Love event. 

- In the period Jan -April 2021 a period where we were doing the least amount of work we made the decision to put Jonathan Lee on Flexi furlough to save funds in these times and cut back on other expenses for the charity. 

Thankfully with our ability to be able to produce events online many of the restrictions we were able to work around.
