## Foreword 

As founders, 2021 was such a special year for us. Ten years after Sea-Changers became a registered charity, it gave us the chance to pause and reflect on the progress we have made over the past decade. 

When Sea-Changers was established in 2011, it was impossible for us to understand the task we were undertaking. Our lack of experience in the charity and fundraising sector should have maybe warned us to leave it to others! But in a strange way, our newness to the sector has been helpful. It has allowed us to be optimistic about how Sea-Changers can grow and develop and enabled us to approach building a charity with fresh eyes and perspectives. It's also meant that we have been able to draw in a wonderful range of people who have been able to fill the many skills, knowledge and understanding gaps we had. 

In 2011, we could not have imagined that by the end of 2021 we would have raised over £250,000 and funded over 220 marine conservation projects across the UK. We also could not have imagined developing such strong relationships with our fundraising partners who really do work hard to show their commitment to the environment. 

2021 was a year full of real excitement for us. It was the second year of running the Coastal Fountain Fund, which we know will make a massive impact around our coasts in reducing plastic pollution, as well as providing beachgoers with the option to refill. 2021 was also the inaugural year of the Innovation Fund and the Marine Conservation Social Fund. Both these funding streams are in their infancy and we are so excited to see what the first recipients of both will achieve in 2022 and how these funds can develop. 

Through our 10th Anniversary virtual festival we were able to reflect on all the wonderful projects we have enabled and supported through our grant funding.Many of these projects have been able to grow and develop because of our seed funding and we have had the privilege to watch them develop to achieve fantastic things for marine environments and species. We hope this report will give you a flavour of what we achieved in 2021 and how far we have come in our first decade.

## Who we are 


Sea-Changers is a unique marine-based charity, founded in 2011 by diving enthusiasts Rachel Lopata and Helen Webb and backed up by a team of marine experts and specialists who advise and support. In its ten years of operation, Sea-Changers has aimed to harness the commitment and passion of those who enjoy the UK’s coasts and waters to improve our seas, shores and wildlife, supporting everyone from grass-roots, local organisations to national, household-name charities, from Orkney to Alderney and all around the UK. 

We believe that the best people to care for  the UK's coasts and seas are the people who live, work and play there. 

In the past decade, more than £250,000 has been raised and distributed to 200+ projects, involving practical actions like beach cleaning, but also educational activities and scientific research. Our grants enable local people to care for, and raise awareness about, the coastal environments they love. 

Grants programmes we run include: 

- Main Grants Fund - awards grants of between £500 and £2,500 twice a year through an open application process. 

- The Small Grants Fund - runs year round to support community conservation projects CASE STUDY – 10 INTERNATIONAL 

- in need of a small amount of additional funding quickly. 

- The Innovation Fund - encourages new and more experimental solutions to marine conservation challenges. 

- The Bunzl Coastal Fountain Fund - supports the installation of water bottle refill stations around the UK coast. 

- The Marine Conservation Social Fund - enables socially beneficial marine conservation approaches and solutions.

## Our objectives 

Our charitable purpose is to promote, for the benefit of the public, the conservation, protection and improvement of the physical and natural marine environment and promote3 marine biodiversity. We are meeting this purpose by: 

Establishing fundraising partnerships with business partners across the UK. 

- Managing these partnerships and collecting funds raised by these businesses for Sea-Changers. 

- Administering transparent and robust grant-giving processes, available to marine conservation charities and projects within the UK. 

- Providing funding to enhance the work of charities and other organisations with shared aims. 

Sea-Changers arranges partnerships with a range of marine-connected and other commercial and philanthropic organisations. We develop a range of models of commercial partnership in negotiation with individual partners to raise funds. This funding is then distributed, in line with set criteria, to reputable and appropriate marine conservation and protection organisations throughout the UK. 

To achieve our purpose, Sea-Changers now has four priority actions within our business plan and under which all activities of the organisation fall: 

- To expand the number of commercial partners that work with us to raise funds for marine conservation; 

To raise our profile and build our reputation; 

- To run effective grants programmes supporting marine conservation projects around the UK; 

To build the long-term sustainability of the charity.

## Governance & management 

## **Type of governing document** 

Sea-Changers was formed through the signing of a Trust Deed (our governing document) on the 10 December 2010, amended by deed dated 23 April 2013 as amended by deed dated 18 March 2014, as amended by deed dated 29 September 2021 

We are managed by a Board of five Trustees. The day-to-day operation of the charity’s work is undertaken by a team of volunteers, including the charity’s two co-founders. Whilst the charity has no paid employees, we do buy-in some support for the grants administration process on an ad hoc basis, using the services of a freelance, self-employed administrator. 

## **Trustee recruitment and appointment** 

There must be at least three Trustees. 

- Apart from the first Trustees, every Trustee must be appointed by a resolution of the Trustees passed at a special meeting. In selecting individuals for appointment as Trustees, the Trustees must have regard to the skills, knowledge and experience needed for the effective administration of the Charity. 

- The Trustees must keep a record of the name and address and the dates of appointment, re-appointment and retirement of each Trustee. 

- The Trustees must make available to each new Trustee, on his or her first appointment: (a) a copy of the Trust deed and any amendments made to it; (b) a copy of the Charity’s latest report and statement of accounts. No one shall be appointed as a Trustee: (a) if he or she is under the age of 18 years; or (b) if he or she would at once be disqualified from office under the provisions of clause 11 of the Trust deed. 

- No one shall be entitled to act as a Trustee whether on appointment or on any reappointment as Trustee until he or she has expressly acknowledged, in whatever way the Trustees decide, his or her acceptance of the office of Trustee of the Charity.

## 2021 - The Year in Review 

## **Activities, achievements & performance** 

2021 was a pivotal year for Sea-Changers. We celebrated our 10th Anniversary, giving us an opportunity both to take stock of what has been achieved so far and to look ahead to where we want to be in the future. 

Our reflections have allowed us to understand the impact our work has had both on the environment and the marine conservation community. We know our small grants have enabled several now very well-established groups kick off their vital work programmes. 

Our grants have ensured that some overlooked, yet important, research and species protection work could take place. We are in a unique position with our overview of the marine conservation landscape in the UK, which allows us to understand what work is taking place around our coast, help groups and communities to make links together and encourage joined-up thinking in conservation work and activities.

## 10th Anniversary Festival 

We wouldn’t be here without SeaChangers we're hugely grateful to them for our pilot project. We put down a thousand native oysters and they did well and following on from that, we decided to go full whack and try and put down a million native oysters over a fiveyear period. - Danny Renton, Seawilding 


**“A Decade of Creating a Sea Change"** was our virtual festival held in June 2021 to celebrate the 10th anniversary of Sea-Changers. While the pandemic required a virtual event, it allowed the celebration to be more accessible to a wider audience. All presentations were freely available to watch live and are still **available on YouTube.** The events were: 

**Involving Communities in Species Conservation** This session considered how involving the local community helps drive the marine conservation agenda and how the public can be practically useful in protecting our marine habitats. Hosted by Maya Plass from The Marine Biological Association, the session was a conversation with projects, which had all been supported by Sea-Changers: The National Lobster Hatchery; The Seahorse Trust; The Shark Trust; Project Seagrass and; Seawilding. 

## **Ocean Pollutions: Practice Action on Plastic Pollution** 

An event with the team behind the documentary Plastic Warriors (Outpost Pictures) to discuss the issues uncovered in the film. Hosted by Theo Stocker (SeaChangers Patron and Editor at Yachting Monthly), panellists discussed the practical action we can all take to reduce the impact of plastic waste in our seas. Our guests were Plastic Warriors contributors: Poppy Chandler; Ella Daish ; Cat Fletcher and John Vidal. 

## **A Critical Mass of Community Marine Action** 

We received a small grant from Sea-Changers and I think it was actually our very first official grant and that helped develop seagrass monitoring work up in North Wales, that we still continue to this day. It helped foster the development of the world’s biggest seagrass citizen science programme: “Seagrass Spotter,” that has now had thousands of data uploads into it.” - Richard Unsworth, Project Seagrass 

This event spotlighted the interconnected nature of grassroots marine conservation and explored why this is working so well in Cornwall.  The event was hosted by the eminent marine biologist, explorer and climate optimist Heather Koldewey. 

## **Helen Scales in Conversation with Miranda Krestovnikoff about The Brilliant Abyss** 

An evening of conversation with Helen Scales – friend and scientific advisor to Sea-Changers giving us a special glimpse into her exploration of the deep sea. Helen discussed her latest book, The Brilliant Abyss (Bloomsbury), with presenter, author and scuba diver Miranda Krestovnikoff.

## Main Grants Programme 2021 

In 2021, Sea-Changers was pleased to be able to support 23 diverse projects from around the UK through our spring and autumn main grants rounds. 

**In the Spring funding round** , four of the projects funded had a strong research focus. These included Cumbria Wildlife Trust’s research into the grey seal population in the Irish Sea; Stable Isotope Biogeochemistry Laboratory (SIBL) at Durham University who will be quantifying microplastic contamination in rivers and coastal waters of the Durham Heritage Coast; and the St Andrews University iGEM team research into Shinescreen, an environmentally friendly probiotic sunscreen that will not damage coral reefs. Funding was also  provided for St Abbs Marine Station to map the historic herring spawning grounds of the Berwickshire Marine reserve. Sea-Changers also provided funding to the Orkney Marine Mammal Research Initiative ‘Stewards of the Sea (SOS)’ to train local people in carrying out cetacean surveys and to contribute towards scientific research. 

Other projects funded include two clean-up projects by Portadown Boat Club and The Deep, in Hull, to invest in cleaning equipment which visitors can borrow to carry out litter picks in the local marine area. 

I **n the Autumn round** , the focus was on the theme of ocean plastics and education. Community Supporters ‘Beach Smart – Prevent the Plastic’ was a series of eight beach school sessions aimed at learning about, and addressing the issues around, marine plastics, whilst also learning about the parts of the natural local coastline in East Sussex and how plastics are affecting marine life. 

The Darwin Centre Ocean - Plastics & Plankton was funded to run a project looking at the problems of macro- and microplastics in our oceans and how it impacts marine organisms from entanglement to bio-accumulation. The aim was to raise school pupils' awareness of marine plastic pollution and improve ocean literacy. We also funded Surfers Against Sewage’s Brighton Mealbox project - the first reusable, stainless steel, leakproof takeaway food container deposit return scheme for the city of Brighton and Hove aiming to tackle the vast amount of single-use, plastic-based food packaging that litters the seafront and escapes into the sea. 

In addition, we were able to support a number of further projects focusing on species protection, direct action and research.

## Two New Funds 

## 2021 saw the launch of two new funds: 

## **The Innovation Fund** 

Dorset Wildlife Trust were the very first recipients of the SeaChangers’ Innovation Fund. The Fund aims to encourage and support new ideas, solutions and projects for marine conservation in the UK. The grant will contribute £2,000 towards the Dorset 3Deep Project. 

Surveying underwater is like working in a dense fog – you can only see any detail or colour if you are very close to the seabed, generally within a metre. Using specialised software, it is possible to stitch together hundreds of overlapping seabed photographs to create an otherwise impossible to see widescale “aerial” view. The aim of this project is to apply this technique to monitor changes in fragile reef species within the Studland to Portland Special Area of Conservation (SAC) in Dorset. The outputs will provide a unique way to illustrate seabed dynamics and the habitats within the SAC. The resultant 3D models, which will be available to view online, will provide a novel way to engage with stakeholders and the wider public. 


The founding sponsor for the fund was MRT - a world-leading manufacturer of Personal Locator Beacons (PLBs) and marine safety equipment. 

## **The Marine Conservation Social Fund** 

In 2021 Sea-Changers were thrilled to announce the establishing of a new grant stream, the Marine Conservation Social Fund. The aim of this exciting new fund is to support socially beneficial marine conservation approaches and solutions. 

It is well-documented that engagement with blue spaces can have a hugely positive impact on wellbeing. It is also the case that volunteering has both individual and community cohesion benefits. It is hoped this new fund will enable projects to achieve marine conservation outcomes, alongside social, health and/or well-being benefits for the targeted individuals and communities that participate. 


The 2021 fund totals £23,000 and was made possible by a single donation to Sea-Changers. 

The first grants from this new programme were awarded in 2022 and so will be reported in in next year’s Annual Report.

## The Bunzl Coastal Fountain Fund 

Sea-Changers has awarded nine organisations grants from the 2021 Bunzl Coastal Water Fountain Fund. Since launching in 2020, the Sea-Changers Coastal Fountain Fund has enabled organisations based around the UK to install fountains in busy and/or environmentally important coastal locations. In 2021, grants were awarded to a range of organisations from Wildlife trusts, to District, Borough and Community Councils and the National Trust.

“We know that our customers, suppliers and the societies in which our businesses operate around the world all want to find ways to protect our environment and to make better use of natural resources. That’s why we’re delighted to have supported the fund in 2021 and are looking forward to seeing more water bottle refill stations installed around the UK coast.” James Pitcher, Head of Sustainability, Bunzl plc 

The fund aims to tackle the increasing problem of plastic bottles, left behind along the coast as marine litter, which damage the marine environment and the species that call it home. It is anticipated that the provision of the water refill stations will significantly reduce the numbers of non-reusable plastic drinks bottles on our beaches. In fact, research suggests that providing more free drinking water in public spaces could lead to a 65% reduction in the use of plastic water bottles. 

The fund is being sponsored by the specialist international distribution and services group, Bunzl plc, who are supporting this work as part of their response to the plastic challenge. The issue remains widespread on UK beaches despite the rising awareness around the impact of single-use plastic.

## Partnerships 

Our bespoke funding partnerships are developed to deliver against partners' corporate social responsibility themes. We enable partners to track the projects funded so that they can create employee and customer pride in their support for UK marine life. 

In 2021, Sea-Changers became a member of 1% for the Planet. They are a global organisation that connects money and doers to encourage and accelerate environmental giving. 1% for the Planet inspires people to support environmental organisations, such as Sea-Changers, through annual membership and everyday actions. They aim to make environmental giving easy and effective through partnership advising, impact storytelling and third-party certification. Core to our fundraising model are our partnerships with a range of diverse businesses.  We are grateful to all the amazing businesses that supported our grant giving work throughout 2021. The 2021 grant money came from SeaChangers’ marine business partners, including: 

- Extrême Ice Cream Brand funded the set-up of the 'Tackling Ocean Plastics Fund', to support groups and organisations around the UK who wish to run marine conservation projects aimed at tackling the issue of plastics. 

- 10 International, who raise funds through sales of their ethically sourced eco-friendly wine range, Sea Change Wine. 

- International distribution group, Bunzl Plc, which invested in the installation of drinking water refill stations around the UK coast. 

- The global home-swapping platform Love Home Swap partnered with Sea-Changers to create home swaps for hermit crabs! With a focus on raising awareness and encouraging holidaymakers to keep beaches clean, they listed crustacean cribs on their platform, and ask their members to donate. In addition, Love Home Swap made their own generous donation. 

- Liga, a family-run business, generously committed to donate 1% of sales from their online store to Sea-Changers. 

- MRT, a world-leading manufacturer of Personal Locator Beacons (PLBs) and marine safety equipment, were the founding sponsors of the trail-blazing Sea-Changers Innovation Fund. 

- Hebridean Island Cruises have an opt-in donation for their customers at the point of sale, which the company matches to the same value, raising more than £40,000 since 2012. 

- Port & Lemon who raise funds through sales of specific lines and who generously donated our festival logo design in 2021.

## Financial Review 

## **INCOME** 

## Total Funds 

During 2020 we received income from three main sources: personal donations, unrestricted business donations and fundraising activities undertaken by our supporters. Total income in 2021 was: £79,371 (2020: £14,521). This significant increase in income was, in part, due to Sea-Changers’ income being so severely affected by the COVID-19 pandemic in 2020. 

Sea-Changers continues to generate income through mechanisms such as Give as you Live, Easyfundraising, eBay, Just Text Giving and Virgin Money Giving. 

## Restricted Funds 

Sea-Changers’ purpose is to raise money for marine conservation projects through working with marine businesses. During the year 2021 we raised £40,639 (2020: £752) in restricted funds specifically for this use. Over time we have been moving away from partnerships that actively restrict our expenditure, however, the vast majority of our unrestricted income also goes towards marine conservation projects. 

## Pro Bono Donations 

Some administration costs have been met through the generous donation of time and services by businesses. This included: 

- IT support: Iain Lopata 

- Other voluntary support: Sarah Harvey, Tracy Evans, Emma Armshaw, Rachael Ogden Wilson and Lydia Edwards.

## Financial Review 

## EXPENDITURE 

## Administrative Costs 

Total expenditure for administration by Sea-Changers during the year 2021 amounted to £12,727 (2020: £8,347). This covered administrative costs (insurance, travel and administration costs and purchase of merchandise and marketing materials). A further £690 (2020: £622) went towards the costs of governance. 

## Grants for Marine Conservation Work 

In 2021 Sea-Changers dispersed grants totalling £36,073 (2020: £17,798). Sea-Changers’ purpose is to raise money for marine conservation projects through working with commercial partners.  Depending on the nature of the agreement in place with a commercial partner, some of the money raised through these routes goes into our restricted fund and must, ultimately, be passed on to marine conservation projects, through grants; rather than being used for charity administrations, support or campaigns. 

Money raised through other fundraising: through partnerships where no restriction has been agreed about how the money should be used;  and / or personal donations direct to the charity (not via a business relationship or text donation) goes into our unrestricted fund and may be used for any purpose, including for governance and general administrative purposes. 

## Trustee remuneration and expenses 

No remuneration was paid by Sea-Changers to any Trustees during the year (2020: nil). No Trustees received payments for expenses during the year (2020: nil). 

## OTHER NOTES 

## Reserves 

Sea-Changers maintains a reserve of at least £1,000 at all times. This is held purely to allow for fluctuations in receipts / payments and to cover for unforeseen situations and requirements – i.e. as a small contingency fund. 

## Deficit 

There was no deficit during the year. 

## Risks 

Throughout the year, the Trustees continued to manage risks by reviewing key aspects of SeaChangers’ work, determining their likely impact and associated level of risk. These included: The need for funding to cover core costs; 

- External factors impacting on future plans – thus year, in particular the trustees had to consider the continued impact of COVID-19; Compliance with legal requirements; and 

- The risks and benefits of volunteer recruitment.

I report to the trustees on my examination of the accounts of the above charity (“the Trust”) for the year ended 31/12/2021. 

**Responsibilities and** As the charity trustees of the Trust, you are responsible for the **basis of report** preparation of the accounts in accordance with the requirements of the Charities Act 2011 (“the Act”). 

I report in respect of my examination of the Trust’s accounts carried out  under section 145 of the 2011 Act and in carrying out my examination, I have followed the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act. 

**Independent** I have completed my examination. I confirm that no material **examiner's** matters have come to my attention in connection with the **statement** examination which gives me cause to believe that in, any material respect: 

 accounting records were not kept in accordance with section 130 of the Act or 

- the accounts do not accord with the accounting records 

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in order to enable a proper understanding of the accounts to be reached.
