As set out in the Articles of Association, the objects of Ealing Cricket Club are:

`1.      to provide community participation in healthy recreation by providing facilities for playing cricket and other sports ("facilities" means land, building, equipment and organisation of cricketing or other sporting activities); and` 

`2.      to advance the education of children and young people whether or not undergoing formal education.`

We are a familyClubandthislies at the heartof oursuccessbothon andoff the playingfield.Fosteringthissense of
family involvement is the cornerstone of our efforts to promote cricket in our local community.

The Trusteesrecognisethat,followingthe Club'sconversionto becomea charity,the Club'svariousactivitiesmust be
runaccordingtothebestprinciplesofcorporategovernance.TheTrusteesbelievethatthecharityconversion has
focusedoureffortsonachievingourtwinobjectivesforthebenefitofourlocalcommunity.Wecontinuetolook to
attract volunteers to strengthen our team to ensure we can deliver the best quality services.

## **`OBJECTIVES AND ACTIVITIES Charitable activities`**

Eachyear,theClubupdatesitsDevelopmentPlanaspartofitsClubmarkaccreditationwiththeEngland& Wales
Cricket Board (ECB). This document summarises the activities that are planned to achieve our objectives.
```

We are a club focused solely on cricket.
```

```
Afterthevagariesofrecentseasons,whichhadbeenimpactedsignificantlybytheCOVID19crisisandall the
restrictionsthatentailed,2023wasperhapsourfirstfullseasonthatmightberegardedas'normal'inthe post
pandemicworld.Levelsofcricketactivitiesremainedrelativelyhighinmostareas,butthereisnodoubtthat the
economic fallout of the events of recent years had an affect on the Club's activities in 2023.
```

InSeniorCricket,ECCagainhadnineseniorMen'steamsplayingleaguecricketintheMIddlesexCounty Cricket
League(MCCL)onSaturdays,withafull18matchfixtureschedule.WeparticipatedintheECBNational Club
Championship,theECBNationalT20Cup,theMiddlesexCup,ClubCricketConferenceCup,MiddlesexCricket Board
DevelopmentLeague,theECBU19NationalClubChampionship,theMiddlesexCricketWomen'sLeagueand the
Chess Valley League.
```

The JuniorCricket section,which had approximately570 members in 2023, aged between 5 and 17 in 29 junior teams,
issupportedbyseniorqualifiedprofessionalcoaches,ledbyourDirectorofCricket,ChadBarrett,andassistedby a
largenumberofvolunteercoaches,mostlydrawnfromtheparentsoftheJuniorCricketers.Manyofthe volunteer
coachesundertakeECB sponsoredcoachingcoursesand some go ontoLevel 2 courses.Our Girls'sectionremains one
of the largest in the country with over 100 girls.
```

The numberof childreninvolvedin our Juniorcricketactivitiesdid decreasesomewhatduringthe year,in partdue to
theabilityoffamiliestotravelfarmoreeasilyandalsobytheeconomicpressuresthatsomanyarefacingin the
currentenvironment.For our part,the Club has continuedto seek to expandthe broadrange of opportunitiesfor our
Junior members to develop as cricketers.
```

SeniorcricketisprovidedbytheClubacrossaspectrumofstandardsandcompetitivenessandisplayed by
participantswitha widerangeof abilitylevels.It is alsoanintegralpartof thecontinuumof youthdevelopment and
participation.
```

TheseniorMen'sandWomen'steamsoftenincludeasignificantnumberofJuniorCricketersgivingour younger
players the opportunity to get exposure to more experienced cricketers and to play at a higher level.
```

TheClubprovidesplayingopportunitiesforalllevelsofabilityalthoughallteamsareusuallyselectedonability. This
ensuresthatteamscontaintheskillsnecessary(forexample,bowling,batting,fieldingandwicket-keeping)and that
playersplaycricketatalevelcommensuratetotheircompetencetoensuresafety.Selectionisbasedon the
experienceandjudgementofcoachestakingintoaccountanumberoffactorsincludingthebalanceofskills needed
and player availability. When there are sufficient players available, the Club seeks to organise additional fixtures.

In recentyears,ourJuniorcricketactivitieshas expandedconsiderablyandas a resultwe have neededto expand our
playingfacilities.Ourthreegrounds-CorftonRoad,PopesfieldandBrentfield-areallinregularusethroughout the
summer, but are not sufficientfor our currentneeds. In 2024, we will againneed to hire additionalplayingfacilities to
caterforallofourplannedactivities.Andwecontinuetolookactivelyatacquiring,onalongtermbasis, additional
playing facilities.
```

Coachingcoursesforyoungcricketerson Sundaysandthroughoutthe schoolholidayscontinueto be runat the Club
underourbrand,PremierCricketCoaching.And,inrecentyears,ourcomprehensivewintertrainingprogramme for
ourJuniorCricketershasbeenverypopular.Whenthereissufficientdemand,wealsorunindoorcoaching courses
during the winter during the October and February half term breaks and during the Christmas holidays.

TheClubhasformanyyearsactivelyengagedwithanumberoflocalschoolswhereweassistthedevelopment of
cricketintheschools.WehavealsohostedKwikCricketcompetitionsrunonbehalfofActiveEaling,Schools Sports
Partnershipsandothercompetitionson behalfof MiddlesexCricketandthe MiddlesexJuniorCricketAssociation and
work closely with Active Ealing and others promoting cricket in our local community.

## **`Charitable activities`**

2023 was another successful year for our teams.
```

In Senior Cricket,our 1st XI, finished6th in the MiddlesexCountyCricket Premier League (slightlybetter than in 2022),
butwedidmanagetowintheMiddlesexCuptwice,beatingStanmoreinthepostponed2022Finalplayedin May
2023 and beatingActon in the 2023 Final in September2023. We also made it to the Semi Finalsof the Middlesex T20
Cup,losingtoeventualwinners,Twickenham,inatiedmatchwiththeresultdecidedonacountback.The2nd XI
finished8th in theirdivision,narrowlyavoidingrelegationby beatingStanmoreon the last day of the season.Our 3rd
XI,havingwontheLeaguein2022wereunfortunatelyrelegated,butwehopewillcomebackstrongerin2024. Our
4th XI made it back to back titles, but unfortunately,both EalingHanwellians1st and 2nd XIs were both relegated. Our
Women's 1st XI won the Sheila Hill division of the Middlesex Cricket Women's.League.

InJuniorCricket,continuingthesuperbresultsseeninrecentyearswehadthemostsuccessfulJuniorseasonin the
Club'shistory.The highlightwas theU13 BoysbeingNationalchampions,butwe arealsoMiddlesexChampions with
the U10 Boys, U13 Boys (Leagueand Cup), U14 Boys, U15 Boys, U11 Girls (Leagueand Cup) and U13 Girls (League and
Cup).Out of the totalof 18 Countywide competitionsthatwe entered,we won 9 andwere losingfinalistsor runners
upin5others.AllofourBoysandGirlsteamswontheirlocalAreaDivision1leaguesandqualifiedfor the
County-widestagesoftheircompetitions.TheculminationwasagaintheClubbeingawardedtheVictor Ludorum
trophy as the Champion Junior Club in Middlesex. We have now held this trophy since 2019.
```

InadditiontotheMiddlesexJuniorCricketAssociationcompetitions,theinternalInterFranchiseLeague (IFL)
launchedin2019toprovideadditionalplayingopportunitiesforourJuniormemberswasagainagreatsuccess. We
also had another fantastic IFL Festival.
```

A largenumberof ourBoysandGirlscontinuetoparticipateintheMiddlesexCricketplayerpathwayandwe  believe
that we still have a higher number of children playing County Age Group cricket than any other Club in Middlesex.
```

The continuedsuccess of our juniorteams and playersis extremely pleasingand a great credit to our brilliant coaches,
many of whom are volunteers.
```

We continue to look for opportunities to improve and expand our facilities.

England,underregisterednumber7721549.Thissubsidiarycompanywas incorporatedon28 July2011and provides
functionsand social facilitiesto fee-payingmembers. It preparesits financialstatementsto 30 Septemberand  donates
the whole of its taxable profit to Ealing Cricket Club.

EalingCricket&SocialClubLimitedisthesolememberofPremierCricketCoachingLimited,alimited liability
company,registeredinEnglandunderregisterednumber9951849.PremierCricketCoachingLimited was
incorporatedon14January2016andrunscricketcoachingcoursesandsupportsEalingCricketClub.Itprepares its
financial statements to 30 September and donates the whole of its trading profit to Ealing Cricket Club.

The company'sArticlesof Associationrequirethatthere be at least three Trusteesand a maximumof twelve Trustees
(Article 25).

AnypersonwhoiswillingtoactasaTrusteemaybeappointedTrusteebyordinaryresolutionoradecisionof the
Trustees (Article 26), provided they have reached the age of 18 years, and unless disqualified under Article 27.

Onethirdof theTrusteeswhoaresubjecttoretirementbyrotation,orthenearestnumbertoonethird,must retire
from office at each annualgeneralmeeting,plus any Trustees who have been appointedby the Trustees since the  last
AnnualGeneralMeeting.Thosetoretirebyrotationarethosewhohavebeenthelongestinofficesincetheir last
appointment or reappointment.

Atthe2022AGM,theTrusteesforeshadowedthattherewouldbeareviewofthecompositionoftheBoard of
TrusteeswhichwaslikelytoleadtotheappointmentofanumberofnewTrustees.SubsequenttotheAGM, James
Grigg informedthe Trustees in September2023 that he intendedto retire as Chairof Trustees.This, togetherwith the
appointmentinNovember2023ofDavidHoltasthenewChairofTrustees,hashadtheeffectofaccelerating the
changes to the Trustees.

FollowingDavidHolt'sappointmentasthenewChairofTrustees,anumberofnewTrustees-Greg Fitzpatrick,
DominicMorrey,MitulPatel,ShilpaPatel,SteveScott,LukeStoughtonandRobbieWhite-wereallappointed as
Trustees of the Club in December 2023. At the same time, Bob Fisher and MartinTurner retiredas Trustees, albeit Bob
remainsPresidentoftheClub,andJamesGrigghasindicatedthathewillretireasSecretaryoftheClubandas a
Trustee at the forthcoming AGM.
```

Each of the new Trusteesadds a significantwealthof experience,passionand expertiseto the role that will help drive
theClubforward.ThediverseskillsacrossthisgroupwilladdvaluetoallareasoftheClubtohelpcontinueitin the
right direction.
```

TheTrusteeswouldalsoliketotakethisopportunitytothankBobFisherandMartinTurner,whobothretired as
TrusteesinDecember2023tohelpaccommodatetheappointmentofthenewTrustees,andJamesGrigg,who will
leave the Trustees at this year's AGM.
```

BobisalegendatEalingCricketClubandnowordscanadequatelydojusticetohiscontributiontotheClub. He
startedasaJuniorattheClubin1955andhasplayedatvirtuallyeverylevel.HewasClubcaptaininthree different
spells,hasbeenaCommitteememberforlongerthananyonecanrememberandwasappointedPresidentin 2022
when John Poore retired.His appointmentas a Life Member was announcedat the Club's 150th AnniversaryDinner at
Lord'sinMarch2022.He remainsPresidentoftheClub,despitesteppingdownasa Trustee.Andhiscontribution to
cricketoutsideoftheClubhasalsobeenrecognisedwithhisrecentappointmentasPresidentoftheClub Cricket
Conference. He is also a Hon. Vice President of the Middlesex County Cricket League.
```

MartininitiallyjoinedtheClubasaJuniorparent-hisson,Sam,wasanoutstandingJuniorattheClub(Coltof the
Yearin2015)-andMartinsoonbecameanJuniorAgeGroupManagerandhisteamenjoyedconsiderable success
over many years. He became a Trustee in 2014 and has been an excellentservant of the Club in the last 10 years. For  a
longperiod,hewasMembershipSecretary,dealinginparticularwithalltheJuniorregistrations.Hewas also
instrumentalinthesaleoftheClub'sflatinWoodvilleRoadin2019,whichhasplacedtheClubinavery strong
financialposition.Morerecently,MartinoversawtherefurbishmentofthepavilionatCorftonRoad following
subsidence damage.

JamesGriggoriginallyjoinedtheClubasaJuniorparentin2007.Hehasbeeninvolvedinmanyaspectsofthe Club
since then.

HewasappointedTreasurerin2009andoversawtheClub'sconversiontocharitablestatusin2011.In2019, James
became Secretaryof the Club and,for a period,was bothSecretaryand Treasurer.In 2022, he was appointedChair of
the Trustees, following John Poore's retirement, while remaining Secretary.
```

He became a JuniorAge GroupManagerin our Girls sectionin 2010 and ended up runningthe entire Girls section and
startedour Ladies team in 2015. In 2012, he took over the managementof all of our JuniorCricket activitiesand, since
then, the Club has been awarded the Victor Ludorum trophy as the Champion Junior Club in Middlesex on 6 occasions.
```

Outsideof the Club,James acted as EalingBoroughCricketLead for many years,onlysteppingdown in 2021, and was
activelyinvolvedinLondonYouthGamesIndoorCricketforbothBoysandGirls,alsooveraperiodofmorethan 10
years.JameshasbeenViceChairoftheCentralAreaoftheMiddlesexJuniorCricketAssociation(MJCA)and was
recentlyappointedasChairmanoftheMJCACricketCommittee.In2022,Jamesreceivedanawardfor Outstanding
Contribution to Sport at the Ealing Sports Awards.
```

Jameshascontinuedtoplayanimportantrole,particularlyinrelationtoourJuniorCricketactivities,overthe past
few months to help me and the other new Trustees to get up to speed and in our planning for the coming season.
```

TheTrusteescannotthankBob,MartinandJamesenoughfortheworktheyhavedoneovertheyearsand the
assistancetheyhaveprovidedinthecurrentperiodof transition.AndI am verypleasedthatallhaveexpressed their
interest to continue supporting the Club in any way they can.
```

AsrequiredbytheArticlesofAssociation,allthenewTrustees,whowereappointedinNovemberand December
2023,are standingfor re-electionat the AGM andColinWheelerwill retireby rotationandis alsoofferinghimself for
re-election.
```

The Trusteesmeet aroundsix times per year to review the Club'sperformanceand ensure the Club'sstrategyto meet
itsobjectivesisbeingimplemented.TheTrusteesaresupportedbyanumberoffulltimeandparttime professional
staffwhodelivertheClub'scoreactivitiesandprovidesupportforthelargenumberofvolunteersthattheClub is
fortunate to have.
```

## **`Risk management`**

TheTrusteeshaveadutytoidentifyandreviewtheriskstowhichthecharityisexposedandtoensure appropriate
controlsareinplacetoprovidereasonableassuranceagainstfraudanderror.TheTrusteesmonitorthe financial
performanceandcontrolcloselyandreceiveregularreportsonvariousaspectsoftheClub'sactivities. Financial
controlsystemshavebeenimplementedandthesearesubjecttoongoingreviewandimprovement.Health, safety
and insurance reviews are undertaken at least annually.

ChildsafeguardingishighpriorityfortheClubandClubmarkaccreditationreflectsthegoodpracticesthatwe have
implemented to ensure that all aspects of junior cricket at our Club are undertaken in a safe and effective manner.

Duringtheyearended30September2023,TotalIncomingResourceswere£262,785(2022:£456,732), Total
ResourcesExpendedwere£361,979(2022:£380,746)andarealisedgainof£nil(2022:£nil)leavingNet Outgoing
Resourcesof£99,194(2022NetIncomingResources:£75,986).Therewasanunrealisedgainoninvestments of
£26,994 (2022: loss £29,813).
```

ActivitiesforGeneratingFundsof£102,852(2022:£78,114)comprisedSponsorshipandGroundRental income.
Sponsorshiprevenueof £20,882(2022:£23,389).GroundRentalincomeof £81,970(2022:£54,725)was primarily the
fundsreceivedfortheuseofthegrounds,andincludesthehireofPopesfieldandthepaymentsmadebythe Club's
whollyownedsubsidiaries,EalingCricket&SocialClubLimitedandPremierCricketCoachingLimited,fortheuse of
the facilities owned by the Club.

Donationsand legacies amountedto £1,169 (2022: £110,672).This comprisedexternaldonationsand grants of  £1,169
(2022:£66,537)andpaymentsreceivedfromsubsidiariesof£nil(2022:£44,135).Donationsinsupportofour new
nets were the vast majority of the external donations and grants in 2022.

As in2022,therewasnodonationmadebyEalingCricket& SocialClubLimited,theClub'swhollyowned subsidiary,
as it has losses broughtforward.However,Premier CricketCoachingLimited,an indirectlywhollyownedsubsidiary of
the Club, usuallydonatesall of its profitsfor the year to EalingCricketClub. No donationwas made by Premier Cricket
CoachingLimitedin2023asthecompanymadelossesduringtheyear;in2022itdonated£44,135toEaling Cricket
Cub.

IncomingResourcesfromCharitableActivitiesof£157,747(2022:£265,203)were,inpart,members'subscriptions of
£107,901(2022:£108,818),butalsoincludedtheproceedsofsignificantinsuranceclaimsof£15,914 (2022:
£125,084).TheseinsuranceclaimsrelatedtodamagecausedtothepavilionatCorftonRoadbysubsidenceand the
interruptiontotheClub'sbusinessactivitiescausedduringtheCOVID-19pandemic.Itisworthnotingthat a
substantialpartoftheproceedsofthesubsidenceclaimwasexpendedonrepairsmadetothePavilionand this
accounts for the much higher expenditure on Repairs and Maintenance in 2023 and in 2022.

TheClubreceived£nil(2022:£2,667)inGovernmentgrantsandfurloughclaimsrelatedtotheCovid-19 pandemic.
TheprincipalelementsofResourcesExpendedonCharitableActivitiesof£361,979(2022:£380,746)were Match,
Cricket & Coachingcosts £86,534 (2022: £112,845),Salaries £98,389 (2022: £81,373),GroundExpenses £54,929 (2022:
£51,986)andRepairsandMaintenance£54,966(2022:£73,557).The higherRepairsandMaintenanceexpenditure in
2023andin 2022reflectsthe costsof repairingsubsidencedamageandthe opportunitythisofferedfor a substantial
refurbishment of the Pavilion at Corfton Road

Club'sactivitiesandtoensurethatwecontinuetomeetourcharitableobjectivesintothefuture.Inthisregard, the
Trusteeshaveestablisheda developmentsubcommitteeto lookat the futuredevelopmentneedsof the Cluband to
seek to ensurethatwe are 'futureproofed'.The reservesavailableto the Clubwill be availableto providesupport for
any strategic initiatives that emerge from the development sub committee's work.

investmentportfoliowould be allocatedto investmentsin index funds linked to the major globalmarkets, with an  80%
exposuretoequitybasedinvestmentsanda20%exposuretofixedincomeinvestments,withthebalance invested
with active fund managers,who have an exceptionalrecord,providingexposureto high qualitybusinesseswith strong
competitive positions, conservative leverage and attractive growth prospects.

In reachingthe investmentsub-committee'srecommendations,financialadvice was soughtfrom 1st Financial Limited,
an IndependentFinancialAdviser registeredwith the FinancialConductAuthority.It shouldbe noted that 1st Financial
LimitedisacompanyassociatedwithVikramPatel,whowas,atthattime,alsoaTrustee.TheTrustees considered
whetherreceivingfinancialadvicefrom1stFinancialLimitedmightrepresentaconflictofinterest.The Trustees
concludedthat,as 1st FinancialLimitedwas notcharginga fee forprovidingadviceto the Club,therewas no conflict
of interest that was of concern.

TheprogrammeofinvestmentintheportfoliocommencedinAugust2020andwascompletedinJune2021. The
investmentsub-committeecontinuestomonitortheperformanceof theportfolioandtheallocationof assets within
the portfolio and may recommend changes to the Trustees in the future.
